Start with the SEC’s EDGAR system, not an “upcoming IPO” list. Search by issuer name, ticker or Central Index Key (CIK), filter for S-1 or F-1 registration statements and amendments, and save each filing’s date and accession link. Use Nasdaq and NYSE calendars to discover candidates and understand expected timing, then verify every status and date against the issuer’s newest filing or an official exchange notice.
An S-1 or F-1 starts disclosure and SEC review; it does not confirm that an offering will price or that a particular listing date will occur.

Why SEC EDGAR is the evidence layer
EDGAR is the SEC’s public filing database. It contains registration statements for IPOs and other offerings, quarterly and annual reports, insider-trading reports and proxy materials. Investor.gov describes it as “the SEC database for company filings” that can be obtained electronically through EDGAR. Because the issuer and its advisers must update the registration statement as terms change, EDGAR is where you can see the most authoritative public record of an IPO’s progress.

Calendars and news pages are useful discovery tools, but they may show an estimated date, an old price range or a status that changed after the page was updated. The filing itself supplies the accession number, filing date, form type and document set needed to distinguish an original registration statement from a later amendment.

EDGAR is free to use. The SEC Search Filings area provides company search, full-text search, latest-filings views, EDGAR APIs and RSS feeds. A practical system uses those tools for evidence and alerts, then uses exchange calendars only as a second source for venue and timetable context.
Build an IPO watchlist that survives name changes
Record the stable identifiers
Create one record per potential issuer before you start searching. Include:
- Issuer name: use the legal name shown in the filing, not only a popular brand name.
- CIK: the SEC Central Index Key is the most stable identifier when a company changes its name. Make it your primary key.
- Ticker, if known: a proposed symbol can change or may not have been assigned yet.
- Industry: this helps separate similarly named companies and organize a large list.
- Suspected exchange: record Nasdaq, NYSE or another venue as a hypothesis until a filing or exchange notice confirms it.
- Last checked date and latest accession number: these prevent you from treating an old filing as current.
Start with candidates, not rumors
A company may appear in a calendar before it has publicly filed a registration statement. Conversely, a confidential draft registration statement can precede a public S-1 or F-1, so the absence of a public filing does not prove that no IPO work is under way. Add a candidate to the watchlist when you have a credible issuer identity, then let EDGAR determine whether a public filing exists.

- Open SEC company search. Search the issuer by legal name, ticker or CIK. If a name search returns several entities, switch to the CIK shown in the company record and keep that number in your watchlist.
- Limit the date range. Set a recent period for routine monitoring, then widen it when researching the issuer’s complete filing history. A narrow date range reduces noise but can hide the original registration statement.
- Filter by form type. For a U.S. domestic issuer, look for
S-1andS-1/A. For a foreign private issuer, useF-1andF-1/A. IncludeEFFECT,424B4and relevant8-Kfilings when you are following the offering through pricing. - Open the filing index. The accession page lists the filing date, form, issuer and all documents submitted together. Save the accession number, the primary document URL and the index URL in your record.
- Read the latest amendment first. If several S-1/A or F-1/A filings exist, begin with the newest one. It may replace the prior price range, share count, risk disclosures, use of proceeds or timetable.
- Compare against the prior accession. Keep the earlier filing available so you can identify what changed. Do not overwrite the original record; an amendment is a separate filing with its own date and accession number.
- Check for effectiveness and final terms. Look for an EFFECT notice and then a 424B4 prospectus after pricing. These provide stronger confirmation than a calendar’s expected date, but you should still read the final terms and check for an exchange listing notice.
Know what each IPO form means
| Signal | What it tells you | What it does not prove |
|---|---|---|
| DRS or DRS-A | A draft registration statement, or an amendment to a draft, was submitted confidentially. | The public can see little or none of the draft, and timing can change before a public filing. |
| S-1 | A U.S. domestic issuer has publicly filed its IPO registration statement. | The SEC review is complete or the offering will price. |
| S-1/A | The issuer filed an amendment to its S-1. | The terms in the original S-1 remain current. Price range, shares, risks and timing may have changed. |
| F-1 | A foreign private issuer has filed its IPO registration statement. | The company follows the same domestic-issuer form path or has a confirmed listing date. |
| F-1/A | An amendment to a foreign private issuer’s F-1 is public. | Earlier terms remain valid. |
| EFFECT | The SEC has declared the registration statement effective, allowing the registered offering to proceed. | The final price, share count or trading date; verify the final prospectus and exchange notice. |
| 424B4 | The final prospectus filed after pricing, including final price, shares and proceeds. | That the security has already begun trading on every venue mentioned in earlier materials. |
| 8-K | A current report that may announce a material IPO or corporate event. | That every IPO development will appear in an 8-K; reporting depends on the event and issuer. |
The NYSE IPO Guide identifies Form S-1 as by far the most common U.S. IPO registration statement. “U.S. issuer” and “foreign private issuer” are important distinctions: use S-1 forms for the former and F-1 forms for the latter.
Read the registration statement for information that matters
Finding an S-1 is only the beginning. Treat it as disclosure under review, not as a promise that the offering will price. On the cover and in the offering section, capture the proposed ticker, exchange, number of shares, proposed price range, underwriting arrangement and whether selling shareholders are included.

Offering size and proceeds
Record the number of primary shares the company plans to sell and any secondary shares sold by existing holders. The use-of-proceeds section explains how the company says it will use the money. A filing can show a wide price range or an assumed price used only to calculate registration fees; label assumptions as assumptions rather than presenting them as final terms.
Dilution and ownership
Read the dilution table and capitalization section together. Note the difference between shares outstanding before the offering, primary shares issued in the IPO and shares sold by existing holders. Selling-shareholder sales raise cash for those holders rather than for the company. Options, restricted stock, preferred stock and other rights can affect the fully diluted share count.
Risks and financial statements
Review risk factors for company-specific issues such as customer concentration, regulatory exposure, losses, dependence on one product or supply-chain constraints. Check the audited financial statements, interim periods and management’s discussion for revenue, margins, cash, debt and cash-burn trends. The latest amendment date matters because these sections can be updated materially.
Timing language
Look for statements about the expected listing, roadshow or launch, but distinguish “expected,” “anticipated” and similar language from an official notice. An issuer can postpone, resize or withdraw an offering after filing. A registration statement can also remain in review for an extended period while the SEC’s Division of Corporation Finance sends comments and the issuer responds.
Automate change detection without losing the audit trail
Use the SEC’s latest-filings views
Latest-filings pages are useful for a quick check by CIK or form. They show new submissions as they arrive, so you can spot an S-1/A, EFFECT, 424B4 or 8-K without repeatedly searching the entire company history.

Subscribe to EDGAR RSS feeds
RSS is suitable for a watchlist that changes frequently. Subscribe to the issuer’s filings feed where available, then route new entries into a reading queue. Keep the form type and accession number in the alert record; an alert that says only “new filing” cannot tell you whether it is an amendment or a routine report.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →Scan for outdated or missing drivers - takes under a minuteDriver Scan →Use EDGAR APIs for a larger list
For a script or spreadsheet workflow, poll the EDGAR API for each CIK and compare the newest accession number with the value you stored. Save at least these fields:
- Issuer CIK
- Form type
- Filing date
- Accession number
- Direct document URL
Use the accession number as the immutable event ID. If the same issuer files three amendments, your system should create three events rather than updating one row and erasing the history. Respect the SEC’s access requirements and rate limits when automating requests.
Set meaningful alert rules
A basic alert can trigger on S-1, S-1/A, F-1, F-1/A, EFFECT, 424B4 and 8-K. A more useful workflow labels each event: “new registration,” “amendment,” “effective,” “priced” or “material current report.” Send a high-priority notification for an amendment that changes the price range or share count, and a separate notification for a 424B4 because it contains final terms.
Use Nasdaq and NYSE calendars as context
Exchange calendars help you find issuers and organize an expected timetable, but they are not substitutes for filings.

| Calendar or source | Useful information | How to interpret it |
|---|---|---|
| Nasdaq IPO Calendar | Separate views for upcoming, priced, filings and withdrawn entries. | Expected dates are estimates based on dates in company filings. The calendar’s disclaimer says they are not official and are not endorsed by Nasdaq. |
| NYSE IPO Filings page | Issuer, ticker, industry, bookrunner, exchange and currency fields. | Use the fields to compare venue and deal metadata with the issuer’s SEC filing; confirm changes in the newest filing. |
| Issuer’s SEC filings | Accession number, form, filing date, disclosure, amendments and final prospectus. | This is the primary evidence for what the issuer has publicly disclosed. |
NYSE presents a claim that 75% of U.S. technology proceeds were raised on its exchange. Treat that figure as an NYSE marketing claim, not as an independently established market-wide statistic, and do not use it to infer where a particular issuer will list.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to tell whether an IPO date is real
Use a confidence ladder rather than a single calendar date.
- Candidate: a company appears in a calendar or news report, but you have not matched it to a public registration statement.
- Public filing: an S-1 or F-1 is available in EDGAR. The company has begun public disclosure and review, but no price or date is guaranteed.
- Amendment: an S-1/A or F-1/A updates the terms. The newest amendment supersedes earlier assumptions about range, shares or timing.
- Effective: an EFFECT notice indicates that the registration statement became effective. The offering can proceed, but final terms still need verification.
- Priced: a 424B4 prospectus states the final price, share count and proceeds.
- Listed: an official exchange listing notice or trading confirmation establishes that the security has begun trading on the stated venue.
When sources conflict, publish or record the date from the latest issuer filing and identify it as expected unless an EFFECT, 424B4 and exchange notice support a firmer conclusion. Recheck immediately before sharing a date because an amendment can change it.
Compare the main tracking methods
| Method | Primary-source authority | Update latency | Amendment coverage | Search and filters | Automation | Date status |
|---|---|---|---|---|---|---|
| EDGAR company search | Highest for issuer disclosures | Usually close to filing time | Complete for public forms | Name, ticker, CIK, form and date filters | Manual unless paired with feeds or APIs | Filing date is official; offering date may not be |
| EDGAR latest filings, RSS and APIs | Highest | Designed for rapid change detection | Strong, because each accession is distinct | Best when keyed by CIK and form | Strongest option | Reports filings, not a guaranteed trading date |
| Nasdaq IPO Calendar | Secondary | Depends on calendar maintenance | Useful for listed statuses, but verify amendments in EDGAR | Upcoming, priced, filings and withdrawn views | Limited compared with an API | Expected dates are estimates, not official Nasdaq dates |
| NYSE IPO Filings page | Exchange-level context | Depends on page updates | Cross-check with the issuer’s filings | Issuer, ticker, industry, bookrunner, exchange and currency fields | Not stated | Context for venue and timing; verify final event |
Fix common tracking problems
The company has no public S-1
Check the legal name and CIK, then widen the date range and search for DRS or DRS-A references where the filing index exposes them. A confidential draft can exist before a public registration statement. Do not mark the company as “not pursuing an IPO” solely because EDGAR has no public S-1.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsThe ticker in a calendar does not match the filing
Use the CIK to confirm that both records refer to the same issuer. A ticker may be proposed, changed or reused after a corporate event. The registration statement’s cover page and offering section are the better references for a proposed symbol and exchange.
Best Value
The price range changed
Open the newest S-1/A or F-1/A and compare it with the prior accession. Update the price range, share count, proceeds, dilution calculations and any related risk language in your watchlist. Keep the old values in an amendment history so readers can see that they were superseded.
A calendar shows a date that the filing does not
Label the calendar date as an estimate and check the latest amendment, EFFECT notice, 424B4 and exchange listing notice. The issuer may have delayed, resized or withdrawn the offering. Do not convert an estimate into a confirmed date in a headline or alert.
The issuer is foreign
Confirm whether it is a foreign private issuer. Monitor F-1 and F-1/A rather than assuming the domestic S-1 path. Continue to check the issuer’s applicable reporting forms and the final prospectus for the terms that apply to that offering.
Several filings arrive together
Sort by filing date and accession number, then read the newest registration amendment first. A same-day 8-K may announce a material event while the S-1/A contains the detailed changes. Store both records; one form does not replace the other.
A repeatable monitoring routine
- At setup: create the watchlist with legal name, CIK, ticker if known, industry and suspected exchange.
- On each check: search EDGAR by CIK, filter for IPO forms and record the newest accession number and filing date.
- After a new filing: read the cover page, offering terms, dilution, proceeds, risk factors and financial statements; note the amendment date.
- For alerts: monitor EDGAR latest filings, RSS or APIs and classify every new event by form.
- For context: compare Nasdaq and NYSE calendar entries with the filing’s issuer, ticker and exchange information.
- Before publishing or acting on a date: check for the newest amendment, EFFECT, 424B4 and official exchange listing notice.
- After pricing: replace estimated price and share-count fields with the final values from the 424B4 and retain the earlier estimates as historical entries.
What this workflow can and cannot tell you
It can show when an issuer publicly filed, how its proposed terms changed, whether the registration became effective and what the final prospectus reported. It cannot guarantee that a company will complete an IPO, that an estimated date will hold, or that buying the security is appropriate. The process is a way to organize public disclosures and timing signals, not a recommendation to buy an IPO.
The SEC EDGAR company database page displayed a system-update timestamp of 09/29/2026 at 7:00 AM GMT. That timestamp describes when the database page was updated; it is not an IPO count, success rate or measure of market activity.
