Tokenizing a real-world asset is not simply putting a property, bond, fund interest, or commodity on a blockchain. It is a rights-and-records project: a legal wrapper must hold or represent the asset, contracts must define what investors own, a compliant custodian must control the underlying value, and the token ledger must stay synchronized with the legal register. A blockchain entry alone does not establish title to an off-chain asset.
The practical sequence is to define the holder’s rights, classify the instrument, choose an enforceable wrapper, secure custody, select a network and token standard, connect identity and transfer controls, then operate the arrangement with continuous reconciliation and oversight.

What tokenization actually creates
The U.S. Securities and Exchange Commission (SEC) describes a tokenized security as a security formatted as, or represented by, a crypto asset, with ownership recorded partly or wholly on crypto networks. Its January 28, 2026 statement distinguishes issuer-sponsored tokenization from third-party tokenization. A third party might issue a custodial security entitlement or a synthetic exposure rather than the underlying security itself. Those models can give holders materially different rights.
For an investor, the important question is not “Which chain is the token on?” It is “What legal claim does this token represent, against whom, and how is that claim enforced if a custodian, issuer, exchange, or smart contract fails?” The answer should be visible in the offering documents, custody agreement, servicing contracts, transfer rules, and governing law.
- Underlying asset: the physical or financial value, such as real estate, a debt instrument, a fund interest, inventory, or another investment.
- Legal interest: the share, debt claim, beneficial interest, security entitlement, or contractual exposure the holder receives.
- Record of ownership: the authoritative register and the blockchain record, with rules explaining which prevails if they diverge.
- Operational controls: custody, valuation, redemption, identity checks, corporate actions, incident response, and reporting.
Tokenization therefore digitizes ownership or exposure only when these layers fit together. It does not, by itself, transfer title to an off-chain asset or remove securities, anti-fraud, custody, disclosure, tax, and recordkeeping obligations.

Before choosing a blockchain: define the asset and the rights
Write an asset specification
Start with a factual description that a lawyer, custodian, developer, and investor can all use. Record what the asset is, where it is located, who owns it today, how it is valued, what cash flows it produces, and what events can impair it. For a building, that may include title documents, leases, insurance, debt, maintenance obligations, and jurisdiction. For a bond or fund interest, it includes the issuer, maturity, payment waterfall, transfer agent, and redemption terms.
Define the token holder’s economic rights
Specify whether a token gives a direct ownership interest, a beneficial interest in an SPV or trust, a creditor claim, a security entitlement, a right to redeem, or only synthetic price exposure. State the holder’s entitlement to income, voting, information, liquidation proceeds, and recovery if the issuer defaults. Also state what the holder does not receive—for example, direct title to property or a right to demand physical delivery.
Document the lifecycle
Describe issuance, subscriptions, settlement, distributions, transfers, redemptions, cancellations, splits, forks, corporate actions, and wind-down. This lifecycle becomes the specification for legal documents and smart-contract functions. Ambiguous redemption or servicing language is a common source of disputes, especially when an on-chain balance does not match an administrator’s records.
Step 1: classify the instrument in every distribution jurisdiction
Classification comes before marketing or code. Determine whether the arrangement is a security, fund interest, commodity, payment instrument, or another regulated category in each jurisdiction where it will be offered, sold, held, or serviced. The same economic design can be regulated differently across borders.
For a tokenized security, existing disclosure, anti-fraud, custody, investor-protection, and recordkeeping rules generally continue to apply. Token terminology does not create an exemption. Obtain jurisdiction-specific advice on offering registration or exemptions, investor eligibility, solicitation, secondary trading, sanctions, tax, privacy, and reporting.
Questions the classification memo should answer
- Who is the legal issuer and who owes payment or performance?
- Is the token itself the security, evidence of a security, a security entitlement, or a derivative exposure?
- Which investors may buy, hold, or transfer it?
- Which venues may facilitate trading and what licensing do they need?
- What disclosures, financial statements, risk factors, suitability checks, and periodic reports are required?
- Which law governs ownership, settlement, insolvency, and disputes?
Step 2: choose a legal wrapper that can survive a failure
The wrapper is the legal bridge between the token and the asset. Common choices include an issuer entity, special-purpose vehicle (SPV), trust, fund, security entitlement arrangement, or a contractual structure. The right choice depends on the asset, investors, tax treatment, financing, and jurisdictions involved.

| Structure | What the token may represent | Issues to test |
|---|---|---|
| SPV or issuer company | Shares, notes, or other interests in an entity that owns the asset | Corporate governance, shareholder records, insolvency remoteness, distributions, and entity-level creditors |
| Trust or fiduciary arrangement | Beneficial interest in assets held by a trustee | Trust validity, trustee powers, beneficiary rights, governing law, and replacement of the trustee |
| Fund or collective vehicle | Units or shares linked to a portfolio and its net asset value | Fund authorization, valuation, dealing frequency, redemption gates, administrator duties, and investor disclosures |
| Security entitlement or custodial model | A claim recorded through a custodian or securities intermediary | Intermediary law, segregation, priority in insolvency, account control, and the distinction between the entitlement and the underlying security |
| Synthetic exposure | A contractual payment linked to an asset’s price or performance | Counterparty risk, collateral, derivative regulation, termination rights, and the fact that the holder may have no claim to the asset itself |
Align the wrapper with the offering memorandum, subscription agreement, transfer restrictions, custody agreement, servicing contracts, and governing law. The documents should state which register is authoritative, how an on-chain transfer becomes legally effective, and what happens if the token contract is paused, upgraded, exploited, or permanently unavailable.
Test bankruptcy and cross-border outcomes
Ask what happens if the issuer, custodian, administrator, token platform, or technology provider becomes insolvent. Can investors reclaim segregated assets, or are they unsecured creditors? Can a local court recognize the trust, security interest, or account-control arrangement? Does a foreign custodian’s law conflict with the investor’s law? These answers should be documented before issuance, not improvised during a crisis.
Step 3: design custody and control of the underlying asset
Custody covers more than storing a private key. It includes possession or control of the off-chain asset, segregation from the custodian’s own property, access rights, valuation evidence, insurance where appropriate, and procedures for transfers, liens, and corporate actions.
Minimum custody design
- Appoint a custodian or other control provider that is authorized for the asset and jurisdiction.
- Document segregation, account labels, reconciliation duties, permitted investments, and use of sub-custodians.
- Define who can instruct a movement, pledge, redemption, or disposal of the asset and how dual approval works.
- Maintain evidence of title, possession, liens, insurance, and valuation.
- Run insolvency, cyberattack, key-loss, service-provider failure, and cross-border enforcement scenarios.
FINMA warned on January 12, 2026 that when authorized financial institutions use third-party providers, “Responsibility shall remain with the authorised financial institutions in the event that such providers are used.” Outsourcing a wallet, oracle, or token platform does not outsource regulatory accountability.

For arrangements within the relevant MiCA framework, Article 37 requires reserve assets to be held with eligible custodians no later than five working days after issuance. The custodian must be a legal person different from the issuer. Controls must address encumbrance, concentration, and loss. Confirm that the specific token and activity fall within the provision before applying it; MiCA classification and territorial scope still matter.
Step 4: select the distributed ledger and token standard
Choose technology after the legal and operational requirements are known. A public network may offer broad interoperability and independent verification; a private or permissioned network may provide stronger control over participants, privacy, and transaction policy. Neither is automatically safer or more compliant.

| Decision axis | Questions to answer |
|---|---|
| Permissioning and identity | Can only approved wallets hold or transfer the token? How are entities, beneficial owners, and revoked credentials handled? |
| Transfer-rule expressiveness | Can the contract enforce investor limits, holding periods, jurisdiction rules, sanctions blocks, and required approvals before settlement? |
| Freeze, recovery, and clawback | Can assets be frozen or recovered after a court order, lost key, fraud event, or mistaken transfer, and who may invoke those powers? |
| Privacy | Which balances, counterparties, and transaction details are public, and can disclosures be limited without preventing audit? |
| Finality and resilience | How quickly is settlement final, what is the reorganization risk, and how does the network recover from an outage? |
| Upgrade governance | Who can change code, how are investors notified, and what happens if a required upgrade is rejected? |
| Interoperability and cost | Can approved venues and custodians integrate, and are transaction fees predictable for issuance, servicing, and redemption? |
| Jurisdictional support | Can the chosen operators, validators, and service providers lawfully serve the intended markets? |
ERC-20 is a widely used fungible-token format, but a plain implementation does not supply identity checks or legal transfer restrictions. ERC-3643 is designed for permissioned, identity-linked transfers and may better fit regulated securities where eligibility must be enforced at the contract layer. The standard is only one component: the legal register, compliance service, administrator, and custody controls still determine whether a transfer is effective.
Smart-contract controls to specify
- Minting and burning authority, supply limits, and issuance approvals.
- Allow-list or identity-registry checks before transfers.
- Jurisdiction, investor-category, holding-period, and concentration rules.
- Pause, freeze, forced transfer, and recovery functions, with narrowly defined legal triggers.
- Role separation, multi-signature approval, key rotation, emergency procedures, and event logging.
- Upgrade timelocks, versioning, independent code review, and a published change process.
Do not describe a token as immutable if an administrator can upgrade, freeze, or claw it back. Those powers may be necessary, but investors should see who controls them and under what documented authority.

Regulated tokenization normally requires a persistent link between an on-chain address or account and a verified legal person. That link should be privacy-conscious but auditable. Keep identity evidence in an appropriate off-chain system and expose only the minimum data needed for a transfer decision.
- Collect and verify identity, beneficial ownership, sanctions status, and required tax information.
- Determine investor eligibility, suitability, jurisdiction, and any offering-specific limits.
- Issue a credential or approval that the token contract or compliance service can check.
- Screen the sender, recipient, and transaction context immediately before settlement.
- Block, reject, or route an exception for review when a rule fails.
- Record the decision, reason, approver, and related transaction identifiers for audit.
Keep an auditable mapping between balances on the ledger and the legal register. Plan for expired documents, changed beneficial ownership, sanctions updates, lost keys, deceased holders, corporate reorganizations, and law-enforcement freezes. A wallet address alone is not a substitute for a controlled investor record.
Step 6: build issuance, servicing, and reconciliation
Issuance and redemption
Define the subscription asset, cut-off time, price source, settlement conditions, minting authority, and failed-payment procedure. For redemption, specify notice periods, valuation dates, liquidity limits, cash or in-kind delivery, burning, and the order in which claims are paid. The administrator should be able to prove that every outstanding token is backed by the documented asset or obligation.
Valuation and oracles
Set the valuation source, frequency, hierarchy of fallback sources, stale-price thresholds, and human escalation process. For assets without continuous market prices, document appraisal methodology and conflicts of interest. An oracle can transmit data accurately and still transmit a legally inappropriate price; governance must cover both technical uptime and valuation judgment.

Corporate actions and investor reporting
Map interest, dividends, principal payments, votes, splits, substitutions, defaults, and liquidations to on-chain and off-chain records. State when a distribution is final, how withholding tax is handled, and how corrected calculations are communicated. Provide statements that reconcile token balances, cash movements, fees, and asset-level information.
Reconciliation and incident response
Reconcile the blockchain ledger, transfer-agent or administrator register, custodian holdings, cash accounts, and outstanding supply on a defined schedule and after material events. Set tolerance thresholds, investigation deadlines, and escalation owners. Prepare playbooks for key compromise, erroneous minting, duplicate records, chain outage, oracle failure, contract exploit, custodian insolvency, and unauthorized transfer.

Launch is the beginning of the control program. Monitor the issuer, custodian, administrator, technology providers, compliance vendors, validators, and venues against service levels and legal obligations. Review access rights, penetration-test findings, smart-contract changes, reserve evidence, reconciliations, complaints, and suspicious activity.
- Update offering and risk disclosures when the asset, code, service providers, fees, or legal status changes.
- Retain records for the periods required by each applicable regime, including identity checks, transfer decisions, approvals, and reconciliations.
- Review whether a new market, wallet type, secondary venue, or protocol integration changes the original classification.
- Test disaster recovery, key rotation, pause and recovery powers, and the ability to contact every critical provider.
- Report incidents and material changes to regulators, investors, and counterparties when required.
Tokenization does not reduce substantive duties owed by the issuer or financial institution. Automation can make controls faster and more consistent, but it does not replace supervision, judgment, or accountability.

How to compare legal and technical designs
Use separate scorecards for the legal wrapper and the technology. Combining them into one “best blockchain” ranking hides the most important differences.
| Legal and operational criterion | Evidence to request |
|---|---|
| Investor rights | Constitutional documents, offering terms, voting provisions, payment waterfall, and default remedies |
| Bankruptcy remoteness | SPV or trust analysis, segregation language, account-control opinions, and insolvency scenarios |
| Token-to-asset enforceability | Register mechanics, transfer-agent procedures, governing law, and treatment of an erroneous blockchain entry |
| Disclosure burden | Offering document, ongoing reports, risk factors, valuation policy, and marketing approvals |
| Transferability and redemption | Eligibility rules, lockups, venue restrictions, dealing windows, gates, and cancellation process |
| Tax treatment | Issuer, investor, withholding, transfer, and cross-border analysis for each intended market |
| Custody model | Licenses, segregation, sub-custody, insurance, controls, audit rights, and replacement plan |
| Cross-border recognition | Conflict-of-laws analysis, local registrations, enforceability opinions, and data-transfer controls |
| Ongoing reporting | Regulatory filings, investor statements, reserve evidence, reconciliations, and incident notices |
Common failure modes and practical fixes
The token is treated as title by default
Symptom: marketing says ownership is “on-chain,” but the legal documents never explain the register or transfer effect. Fix: identify the enforceable claim, name the authoritative record, and define how a compliant blockchain transfer updates it.
Best Value
Compliance is added after the contract is deployed
Symptom: unrestricted transfers make it possible for an ineligible wallet to acquire the token. Fix: design identity, eligibility, sanctions, freeze, and recovery controls before deployment; test rejected transfers and administrator actions.
Custody is outsourced without accountability
Symptom: the issuer cannot prove segregation or retrieve assets when a vendor fails. Fix: perform authorization and financial-stability checks, contract for audit and access rights, maintain a replacement plan, and run insolvency scenarios.
Recommended Free Tools
On-chain and legal records diverge
Symptom: token supply, custodian holdings, and administrator records do not match. Fix: reconcile at a defined frequency, set tolerance thresholds, stop issuance when they are breached, investigate the cause, and document remediation.
Upgrade and recovery powers are undisclosed
Symptom: investors assume immutability while an administrator can freeze, claw back, or replace code. Fix: disclose each power, trigger, role, approval threshold, notice process, and appeal or dispute path.
Cross-border assumptions are too broad
Symptom: a structure valid in one jurisdiction is marketed globally without local analysis. Fix: create a jurisdiction matrix covering offering, custody, data, tax, trading, insolvency, and enforcement before accepting an investor from a new market.
Launch-readiness checklist
- Asset title, valuation, insurance, liens, and cash-flow evidence are complete.
- Instrument classification and offering route are documented for every target jurisdiction.
- The issuer, SPV, trust, fund, or entitlement structure has signed governing documents.
- Investor rights, transfer effect, redemption, insolvency treatment, and governing law are explicit.
- Custody is segregated, authorized, auditable, and tested against failure scenarios.
- Network, token standard, contract roles, upgrade process, privacy model, and fee assumptions are approved.
- KYC, AML, sanctions, eligibility, wallet approval, and exception workflows are operational.
- Smart contracts have undergone independent review and controlled deployment testing.
- Issuance, servicing, corporate actions, valuation, reporting, and reconciliation procedures are assigned to named owners.
- Incident response, key management, business continuity, and provider replacement plans have been exercised.
- Disclosures explain technology risk, legal rights, custody, liquidity, transfer limits, and administrator powers without implying more than the structure delivers.
What the evidence does—and does not—establish
The SEC’s January 28, 2026 framing supports treating tokenized securities as financial instruments represented by crypto assets and distinguishes issuer-sponsored from third-party models. FINMA’s January 12, 2026 statement emphasizes that authorized institutions retain responsibility when they use outside providers. MiCA Article 37 sets specific reserve-custody requirements for arrangements within its scope.
There is no single authoritative global figure that measures the entire real-world-asset market across asset classes and jurisdictions. Market-size claims should therefore identify the asset classes, geography, measurement date, and methodology rather than present an uncited worldwide total.
