How to Research a Private Company Before Investing

Learn how to evaluate a U.S. private-company offering: verify the issuer and security, test financial and business claims, check the seller, and assess illiquidity and loss risk.
Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Before investing in a U.S. private company, verify three things independently: the business, the exact security and offering terms, and the people asking you to invest. Request the issuer’s documents, test its claims against evidence, check the offering’s stated legal route, and decide whether you can tolerate a total loss and a potentially indefinite wait to sell. A Form D filing, a polished presentation, or a referral is not a substitute for that work.

Start by defining exactly what is being offered

“Investing in a private company” can mean buying several different things: shares, an interest in an LLC, a note, or an interest in a fund. Those securities can carry different economic and governance rights. Establish what you would own or be owed before evaluating the company’s growth story.

As an Amazon Associate I earn from qualifying purchases.

  • Get the issuer’s full legal name, not just its brand or project name.
  • Identify the precise security and the entity issuing it. If a fund or special-purpose entity is between you and the operating company, ask what that entity owns and what rights you receive.
  • Ask for the offering’s stated registration exemption and the complete offering package. Do not assume every private-company investment is a Regulation D placement; crowdfunding, Regulation A, intrastate offerings, and other structures can have different rules and disclosure.
  • Clarify the price or valuation basis, fees, use of proceeds, and any eligibility requirements that apply to you. If the exemption, structure, or your eligibility is unclear, get independent securities-law advice before signing.

Private offerings may have less comprehensive disclosure than registered public offerings. The information an issuer must provide depends on the exemption and other facts. A missing private placement memorandum (PPM) alone does not establish fraud: a PPM is not always required. But if the issuer will not provide enough meaningful information to understand the business and security, you do not have a sound basis to assess the investment.

Request the documents that let you check the story

Ask for the materials that support the specific claims being made, not only a pitch deck. Depending on the offering, useful materials include a PPM or other offering memorandum, financial statements, capitalization and ownership information, subscription documents, material contracts, and evidence for important product, customer, or technology claims. The issuer may not have every item in the same form; what matters is whether it can explain the business and the security with credible, checkable information.

Read binding terms, not just the presentation

Review the subscription agreement and the documents describing the security. Look for what rights attach to it, what fees are charged, how proceeds may be used, what conditions govern transfers, and what information or decision rights investors receive. Compare those terms with the claims made by the seller. A presentation describes the pitch; the signed documents determine contractual rights.

Use risk factors as questions to investigate

Do not treat a long risk-factor section as proof that risks have been controlled. Identify the risks that could materially affect the company or your rights, then ask what evidence, safeguards, or contingency plans address them. If documents conflict, request an explanation in writing and determine which document controls before you sign.

A PPM, if provided, may not have been reviewed by a regulator and may not present a balanced account. Read it alongside the financial statements, security terms, and supporting evidence rather than treating it as independent verification.

Test financial statements and projections

Ask for financial statements and establish what period they cover, what accounting basis they use, and whether an independent audit was performed. An audit status is one part of the evidence, not a complete verdict on the company. If the statements are unaudited, ask why, who prepared them, and what underlying records support material figures. Unaudited status by itself does not prove wrongdoing, but unexplained gaps or contradictions deserve scrutiny.

Connect the numbers to the business

  • Revenue: Ask what has actually been earned, over what period, and from which products or customers. Separate reported revenue from forecasts, pipeline, bookings, or other measures.
  • Cash and cash needs: Ask how much cash is available, what obligations and operating costs it must cover, and how the new investment is expected to be used. Compare the stated plan with the company’s need for additional financing.
  • Assets and liabilities: Understand what the company owns and owes, and whether any material obligations or claims affect the business or the security you are buying.
  • Projections: Identify the assumptions behind expected sales, costs, customer growth, and timing. Ask what evidence supports each important assumption and how the plan changes if it is not met.
  • Customer concentration: Ask whether a small number of customers account for a large share of sales or expected revenue, and what documentation supports the stated customer relationships.

Do not compare projected figures with historical results as if both were established facts. A forecast is an assumption-based estimate. Treat any claim that cannot be substantiated with documents or a credible explanation as unverified, not as a fact.

Verify the product, market, and management claims

Private companies may have little public information, so ask for evidence directly and evaluate how well it supports the pitch. The SEC’s private-placement investor guidance identifies the company’s business, product or technology, customers, competitors, management experience, financial statements, and use of proceeds as matters for investors to investigate—not as guarantees of investment quality.

Check whether the product is where the pitch says it is

Distinguish an idea, prototype, working product, and product already being sold. Ask for evidence appropriate to the claimed stage, such as demonstrations, operating records, customer documentation, or other support the issuer can provide. A demonstration may show that something works in a particular setting; it does not by itself establish commercial demand, reliable production, or future revenue.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Make customer and market claims specific

Ask what supports claims about customer interest, signed business, repeat purchases, market size, and expected adoption. Clarify whether a customer reference is a paying customer, a pilot, a prospect, or a nonbinding expression of interest. Compare the company’s stated competitors and alternatives with the problem it claims to solve. A large claimed market does not establish that the issuer can capture it.

Check management’s relevant experience

Compare the experience presented in the offering materials with the people’s roles and track records relevant to this business. Ask who is responsible for executing the plan and whether related-party relationships or other conflicts could affect decisions. Claims about credentials or past success should be independently checkable; a biography in a pitch deck is not verification.

Check the offering trail, but do not overread it

If the issuer says the offering relies on Regulation D and there have been prior sales, search SEC EDGAR for a Form D notice. SEC guidance says an issuer relying on Regulation D must file Form D no later than 15 days after the first sale of securities in the offering. The filing is a notice with brief information about the issuer, management or promoters, and offering—not a merits review.

A Form D does not mean the SEC registered, verified, or approved the offering, or confirmed the accuracy of its claims. Do not accept a seller’s statement that the filing proves SEC approval. Conversely, if you cannot find a filing, ask the issuer about it. SEC investor guidance notes that some issuers may not comply and treats noncompliance as a possible warning sign, not a complete standalone determination about the investment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Check with the relevant state securities regulator for state-level information or requirements. The offering’s legal route matters: do not use the presence or absence of one filing as a substitute for understanding the exemption and the documents that govern the security. The SEC’s private-placement bulletin is educational staff material from 2022, not a rule or legal opinion about a specific offering; confirm current documents and requirements for the investment you are considering.

Verify the seller, intermediary, and incentives

If a broker or investment adviser is recommending the investment, check registration, background, and disciplinary history through official tools such as Investor.gov and FINRA BrokerCheck. Search the person and firm you are actually dealing with; do not rely on a credential or registration claim in promotional material. Ask how the person is compensated and whether relationships with the issuer or other parties could influence the recommendation.

Intermediary checks do not verify the company’s claims or make the security suitable for you. A trusted financial professional may help explain an opportunity, but check that professional’s qualifications, scope, incentives, and conflicts as carefully as you check those of the seller. The SEC Office of Investor Education and Advocacy’s 2022 bulletin puts the decision in plain terms: “it is your money, your risk and your decision whether to invest.”

Understand your rights, the possibility of loss, and the exit

Private securities may be difficult to resell, may be subject to transfer restrictions, and may need to be held indefinitely. Do not count on a future buyer, company sale, public listing, or other liquidity event unless the relevant documents and facts support the claim—and even then, an expected event is not a guaranteed exit.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Write down the amount you could lose without jeopardizing essential financial needs. Consider the possibility of losing the entire investment.
  • Determine how long your money could be tied up and what contractual restrictions apply to a transfer or resale.
  • Identify the rights your security gives you, including any governance, information, or creditor rights described in the documents. Do not assume rights that are not stated.
  • Ask what conditions would have to be met for resale and whether a practical market or other exit route exists. Separate a possible route from a promised one.
  • Compare fees, dilution provisions, and use-of-proceeds terms with the issuer’s explanation of how investors may benefit if the plan succeeds.

If you cannot explain what you are buying, what could make the company successful, what could go wrong, and how you might eventually recover your capital, pause rather than letting a deadline make the decision for you.

Compare opportunities using the same evidence standard

When reviewing more than one private offering, use the same questions for each. This prevents a confident pitch or attractive headline from receiving a more generous standard of proof than a less polished opportunity.

Area What to compare Evidence to seek
Issuer and business Operating history, management experience, business model, product or customer claims, and competitors Company documents and support for material claims
Financial quality Statement period and accounting basis, cash and obligations, revenue assumptions, and audit status Financial statements, explanation of preparation, and support for projections
Offering terms Security type, price or valuation basis, rights, fees, dilution, and planned use of proceeds Offering documents and subscription agreement
Governance and conflicts Decision and information rights, related-party ties, seller compensation, and intermediary background Contract terms, disclosures, and official background checks
Liquidity and loss Transfer restrictions, possible exit routes, holding period, and ability to absorb a total loss Security terms and a realistic assessment of resale conditions
Offering route Stated exemption, offering materials, Form D where applicable, and state-level information Issuer documents and official filing or regulator information

This comparison organizes investigation; it does not produce a legal conclusion or prove that one investment is safe. If a material question remains unanswered for one opportunity, record it as unresolved rather than treating the absence of evidence as favorable evidence.

Recognize warning signs and decide when to stop

One warning sign does not automatically establish fraud, and a clean-looking document trail does not establish quality. The significance lies in what is missing, inconsistent, or being used to deter reasonable scrutiny.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • False implication of SEC approval: A seller says the SEC approved the investment or presents Form D as proof of registration. SEC guidance says Form D does not confer that status.
  • No meaningful information: The issuer will not explain the company or security, gives evasive answers, or does not permit questions where the applicable rules require an opportunity to ask them.
  • Financial claims without support: Statements are missing, unaudited without a clear explanation, inconsistent with the pitch, or projections cannot be tied to evidence. These call for further investigation; unaudited statements alone are not proof of wrongdoing.
  • Risks minimized: The pitch glosses over illiquidity, transfer limits, conflicts, or possible total loss, or relies on “exclusive” access and urgency to discourage review.
  • People cannot be checked: A promoter’s claimed credentials or registration cannot be confirmed through official channels.

Pause if the issuer will not answer material questions or provide information needed to understand the offering. Seek qualified, independent advice when the legal structure, financial statements, or contractual rights are beyond your expertise. Verify the adviser’s credentials and incentives, and make sure the work requested is within that person’s professional scope.

A practical go/no-go checklist

Before signing or sending money, make sure you can answer each question from documents or verified information rather than relying on the pitch alone:

  • Who is the legal issuer, and exactly what security and rights am I receiving?
  • What exemption or offering route does the issuer identify, and do I understand what that means for this offering?
  • What do the financial statements establish, what period and accounting basis do they use, and were they independently audited?
  • What evidence supports the key claims about customers, product or technology, competitors, management, and use of proceeds?
  • What fees, conflicts, dilution, restrictions, and potential liabilities could affect my investment?
  • Can I bear a total loss and an indefinite holding period, and do I understand the practical limits on resale?
  • Have I checked the recommending professional or intermediary and considered independent advice where needed?

An unresolved answer is a reason to pause, not a reason to assume the most favorable interpretation. Invest only if you understand the security, can support your assessment with evidence, and can accept the downside.
