How to Read Bitcoin Holdings and Impairment Losses in a Company’s Financial Statements (U.S. GAAP Guide)

The accounting answer depends on when the reporting period began. Before the 2024–2025 transition to FASB’s crypto-asset standard, qualifying bitcoin was generally an indefinite-lived intangible asset carried at cost less impairment. A price decline could create a one-way impairment loss, while a later recovery could not restore the carrying amount. For annual periods beginning after December 15, 2024, qualifying bitcoin is generally measured at fair value every reporting date, with both unrealized gains and losses reported in net income. Early adoption was allowed.

To read a filing correctly, first identify the company’s accounting framework and fiscal year, then trace the balance-sheet line, income-statement effect, digital-asset footnote, cost-basis method and transition adjustment. A 2025 fair-value gain or loss may not be comparable with a 2024 impairment-only result because prior periods are not restated.

Start with the accounting period and framework

This guide addresses U.S. GAAP reporting under FASB Accounting Standards Update 2023-08. The standard applies to qualifying crypto assets, so a filing must be checked to confirm that the company says its bitcoin is in scope. The effective-date boundary is more important than the calendar year printed on the cover: the amendments apply to annual periods beginning after December 15, 2024, including interim periods. A company could adopt early.

Why the fiscal-year start matters

A calendar-year company adopting on the required timetable normally uses the new model in 2025 financial statements. A company with a non-calendar fiscal year may cross the boundary on a different date. An early adopter may show fair-value accounting before its peers. Always read the accounting-policy note for the adoption date rather than assuming that every filing labeled 2025 uses the same model.

What is and is not covered here

The analysis is for U.S. GAAP. IFRS treatment can depend on whether a holder keeps crypto assets in the ordinary course of business and on other facts; the U.S. GAAP workflow below should not be applied automatically to an IFRS filing.

How bitcoin appeared before ASU 2023-08

Before adoption, qualifying bitcoin generally fell under the indefinite-lived intangible-asset model. The company initially recorded a purchase at cost. It then carried the asset at cost less any impairment recognized under the applicable guidance, rather than remeasuring it upward whenever the market price increased.

The one-way impairment rule

If the carrying amount exceeded fair value, the company had to recognize an impairment loss and reduce the carrying amount to fair value. FASB describes the rule this way: "If the carrying amount of the asset exceeds its fair value, an entity is required to recognize an impairment loss and reduce the carrying amount of the asset to its fair value." The loss reduced earnings in the period of the write-down.

After that write-down, a later bitcoin-price recovery did not reverse the impairment. The company generally recognized a gain only when it disposed of the bitcoin, using the applicable disposal accounting. This asymmetry is why a pre-adoption income statement can show a large loss in a falling market but no offsetting gain when the market subsequently rebounds.

Where the old amount appears

In an older filing, bitcoin may be included in an intangible-assets line, described as digital assets, or shown net of accumulated impairment. The balance-sheet label alone is not enough. Read the policy note and digital-asset note to determine whether the amount is cost less impairment, how many coins it represents and whether the company has grouped bitcoin with other digital assets.

How bitcoin is measured after adoption

For qualifying crypto assets under the new model, the company measures bitcoin at fair value at each reporting date and recognizes changes from remeasurement in net income. FASB’s stated requirement is that an entity measure crypto assets at fair value in the statement of financial position each reporting period and recognize remeasurement changes in net income.

What changes on the balance sheet

The reported amount should track fair value at the reporting date rather than remain at the original purchase cost after a market increase or decrease. Qualifying crypto assets are presented separately from other intangible assets under the disclosure requirements. Compare the balance-sheet amount with the footnote’s disclosed fair value and number of units; a mismatch may indicate that the filing includes other digital assets, a different measurement date or a classification detail that needs explanation.

What changes in earnings

The income statement may use labels such as unrealized gain or loss on digital assets, fair-value gain or loss or a similar description. The amount can be positive or negative and normally includes the period-to-period remeasurement of bitcoin that the company still holds. It is not limited to gains realized through sales.

Why the word impairment can be misleading after adoption

A historical line called digital-asset impairment loss refers to the old one-way write-down model. Under the fair-value model, a decline is a fair-value loss and an increase is a fair-value gain, even if no coins were sold. A filing can contain both terms when it presents comparative periods spanning the adoption date. Do not treat every digital-asset loss as the same economic or accounting event.

Read the balance sheet without losing the footnote detail

Use the balance sheet to find the carrying amount, then use the digital-asset footnote to explain what that number represents. A useful reading sequence is:

  1. Locate the line containing digital assets, crypto assets or bitcoin.
  2. Check whether the line is separate from other intangible assets, as expected for qualifying assets under the new disclosures.
  3. Record the reporting date, the amount reported and the number of bitcoin units disclosed in the note.
  4. Compare the amount with the note’s stated fair value, not merely with a public exchange quote observed after the filing date.
  5. Read any restriction, custody or valuation language before concluding that the amount equals unrestricted spot-market value.

Under the old model, the balance-sheet number could be substantially below current market value after an impairment. Under the new model, it should reflect fair value at the reporting date, subject to the company’s stated valuation methodology and any contractual restrictions.

Find the income-statement effect

For a pre-adoption period

Search the income statement and notes for digital asset impairment loss or equivalent wording. The amount is the write-down from carrying value to fair value. It reduced pretax income in that period, and a subsequent price recovery did not create an equivalent accounting gain while the coins remained unsold.

For a post-adoption period

Search for unrealized gain/loss on digital assets, fair-value gain/loss or another line identified by the accounting-policy note. The reported amount may combine changes on bitcoin held throughout the period with gains or losses associated with coins sold during the period, depending on the company’s presentation.

When gains and losses are not shown on a separate line

The disclosure requirements allow a company to identify the income-statement line used when crypto-asset gains and losses are not presented separately. Follow that cross-reference. A net investment gain, other income line or broad operating line can contain the crypto result even when the word bitcoin does not appear on the face of the income statement.

The digital-asset footnote is the main evidence

The annual note should answer questions that the balance sheet cannot. Look for these disclosures:

Item to find What it tells you How to use it
Asset name Whether the note specifically identifies bitcoin or groups it with other crypto assets Confirm that the units and values you are comparing belong to bitcoin.
Number of units How many bitcoin the company held at the reporting date Separate a change in market price from a change in the quantity held.
Cost basis The historical tax or accounting cost information specified by the company’s policy Understand purchase economics and disposal calculations; do not confuse it with the post-adoption carrying amount.
Fair value The valuation at the reporting date Reconcile the note to the balance-sheet amount and assess market exposure.
Contractual sale restrictions Whether the company is limited in selling or transferring some units Interpret liquidity and valuation in light of those restrictions.
Cost-basis method How the company identifies the cost of units sold, such as a specified lot method Understand why disposal gains or losses differ from a simple average-cost calculation.
Roll-forward Additions, dispositions, gains and losses during the period Reconcile opening units and value to closing units and value.
Disposal information The difference between disposal price and cost basis and the activities causing dispositions Distinguish selling activity from price changes on coins still held.

Use the roll-forward as a reconciliation

Start with the opening number of units and carrying amount. Add purchases or other additions, subtract dispositions, and then consider the reported gains or losses. The closing units should agree with the balance-sheet date. If they do not, check whether the note uses different units, includes another crypto asset, or describes a transaction that occurred around the reporting date.

Read restrictions and custody disclosures

A contractual sale restriction can affect when a company can monetize a holding and can be relevant to valuation. Restrictions are not the same as a voluntary decision to hold. Record the duration, counterparty or release condition when the filing provides it, and do not assume that every disclosed bitcoin unit is immediately available for sale.

Cost basis, purchases and sales under the fair-value model

Adoption of fair-value accounting does not eliminate cost-basis information. A company can initially record a bitcoin purchase at its cost. At each reporting date, it remeasures the holding to fair value. The footnote may continue to disclose cost basis and the method used to identify the lots sold.

What happens when bitcoin is sold

Under the new model, the gain or loss on a sale compares the sale price with the carrying value immediately before the sale. Because the carrying value has already been remeasured to fair value, the disposal result can be small even when the coin’s original purchase price was much lower. The cost-basis or lot-identification method remains important for the company’s disclosures and for explaining the difference between historical cost and the amount removed from the books.

Illustrative example: why a sale gain is not the same as a holding gain

Assume, for illustration, that a company buys one bitcoin for $30,000. At the next reporting date, its fair value is $45,000, so the company records a $15,000 fair-value gain under the new model. If it sells the coin the following day for $45,500, the sale produces a $500 gain relative to the immediately preceding carrying amount, not a $15,500 gain relative to the original purchase cost. The figures are illustrative; a filing’s own policy and dates control the calculation.

Understand the transition adjustment

Moving from cost less impairment to recurring fair value generally creates a cumulative-effect adjustment to opening retained earnings. The adoption note may also describe an effect on deferred tax balances. These entries change opening equity; they are not the same as the current-period unrealized gain or loss shown in the income statement.

Why prior periods are not restated

Implementation examples state that prior periods are not restated. A comparative income statement can therefore place an impairment-only year beside a fair-value year even though the measurement basis changed. The transition adjustment may sit in opening retained earnings rather than in the prior year’s reported net income.

How to build a transition bridge

  1. Find the stated adoption date and whether the company adopted early.
  2. Identify the bitcoin carrying amount immediately before adoption.
  3. Find the fair value used at adoption and the cumulative-effect adjustment to opening retained earnings.
  4. Check whether the note describes deferred-tax effects.
  5. Mark the first period measured entirely under the new model before comparing trends.

Why this year’s bitcoin results may not compare with last year’s

Comparability can fail for several separate reasons. Measurement basis is the first: cost less impairment is not equivalent to fair value every reporting period. Earnings recognition is the second: the old model generally recognized a one-way impairment and sale-based gains, while the new model recognizes recurring unrealized movements. Units and transactions are the third: a company may have bought, sold, pledged or otherwise restricted bitcoin. Presentation is the fourth: a broad income-statement line may combine crypto results with other items.

Comparison question Old-model answer New-model answer
Measurement basis Cost less impairment for qualifying indefinite-lived intangible assets Fair value at each reporting date
Price increase while holding bitcoin Generally not recognized until disposal Recognized as an unrealized fair-value gain in net income
Price decrease Impairment write-down when carrying amount exceeded fair value Fair-value loss in the reporting period
Recovery after a prior write-down Could not reverse the impairment while held Subsequent increases are recognized through fair-value remeasurement
Comparative periods Historical amounts remain under the old basis Adoption-period and later amounts use the new basis; prior periods are not restated

For a meaningful trend, compare bitcoin units, fair value, cost basis, purchases, sales and the accounting model together. A large swing in reported earnings can reflect a change in bitcoin’s market price, a change in units, the adoption adjustment, a disposal or a combination of those factors.

Valuation evidence: principal market and fair-value hierarchy

When disclosed, the valuation note can identify the principal market and the ASC 820 input level. One SEC implementation example uses quoted prices in the principal market, classified as Level 1. That classification indicates quoted prices for identical assets in an active market were used for the reported measurement in that example; it does not establish that every company or every bitcoin holding uses the same inputs.

Read the company’s stated market, pricing source, valuation time and any adjustments for restrictions. A quote seen on a retail exchange after the reporting date is not a substitute for the measurement described in the filing.

A practical workflow for reading a 10-K

  1. Read the accounting-policy note. Record the stated framework, the fiscal year, the crypto-asset scope conclusion and the adoption date.
  2. Find the balance-sheet presentation. Note whether bitcoin is separate from other intangible assets and record the carrying amount.
  3. Search the income statement and notes. Look for impairment, unrealized gain or loss, fair-value gain or loss and the line identified when crypto results are aggregated.
  4. Open the digital-asset footnote. Capture units, cost basis, fair value, restrictions, cost-basis method and roll-forward data.
  5. Reconcile activity. Tie opening units to additions, dispositions and closing units; investigate unexplained differences.
  6. Analyze sales separately. Compare sale price with the carrying value immediately before disposal and read the company’s lot-identification policy.
  7. Build the transition bridge. Identify the opening-retained-earnings adjustment and any deferred-tax effect; do not treat either as a recurring current-period fair-value result.
  8. Label the comparison. State explicitly whether each year uses cost less impairment or fair value, and whether the periods are directly comparable.

Common reading mistakes and how to correct them

Calling every loss an impairment

Correct the terminology by checking the accounting year. Use impairment for the pre-adoption write-down and fair-value loss for a decline under the new model unless the company’s note uses a different, clearly explained label.

Assuming the original purchase price is today’s carrying amount

Under the fair-value model, the carrying amount is remeasured each reporting date. Use cost basis to understand historical purchases and disposals, not as a substitute for the closing fair value.

Reading only the headline balance

The headline amount does not reveal units, restrictions, valuation inputs, purchases or sales. The footnote is where those distinctions are made.

Comparing 2024 impairment with 2025 fair-value income as if the policy were unchanged

Mark the adoption boundary and explain the lack of prior-period restatement. A year-over-year change can be partly an accounting-model effect.

Assuming a positive fair-value gain means cash was received

An unrealized gain records remeasurement of bitcoin still held. Cash proceeds require a disposal or another transaction described in the filing.

What a complete analyst’s worksheet should contain

For each filing, keep one row for every reporting date and columns for:

  • Accounting model and adoption date
  • Bitcoin units held
  • Gross cost basis and stated cost-basis method
  • Closing fair value and carrying amount
  • Impairment losses, if the period uses the old model
  • Unrealized or fair-value gains and losses, if the period uses the new model
  • Purchases, dispositions and the stated reasons for dispositions
  • Contractual sale restrictions
  • Principal market and ASC 820 input level, when disclosed
  • Opening-retained-earnings and deferred-tax effects from adoption

This layout prevents a market-price change from being mistaken for a coin-count change and keeps transition entries separate from operating-period results.

Key takeaways for interpreting a filing

  • The first question is whether the reporting period is before or after adoption of ASU 2023-08.
  • Before adoption, qualifying bitcoin was generally cost less impairment, with no reversal of a prior write-down while the asset was held.
  • After adoption, qualifying bitcoin is generally fair-valued each reporting date, with unrealized changes in net income.
  • The digital-asset footnote supplies the units, cost basis, fair value, restrictions, roll-forward and disposal information needed to explain the balance-sheet number.
  • Adoption generally affects opening retained earnings, and prior periods are not restated, so cross-year comparisons require an explicit accounting-model adjustment.
