It tells you what changed, when, at what price, under which transaction code, and how much the insider owned afterward. It does not by itself establish illegal insider trading, prove that an insider is bullish or bearish, or explain motive. To read one correctly, identify the filer and filing status, choose Table I or Table II, decode the transaction code, read the quantity and price fields together, verify direct or indirect ownership, and then read every footnote and the Rule 10b5-1 indicator.
What Form 4 reports—and what it cannot tell you
Form 4 is the recurring ownership report used by directors, executive officers and other Section 16 insiders to disclose transactions in an issuer’s equity securities. A filing can show an acquisition, disposition, grant, option exercise, tax withholding, gift, transfer to the issuer or another event. The report is a disclosure record, not a finding by the SEC about legality, intent or investment value.

Form 4 generally must be filed within two business days after the transaction date. That deadline is a general rule; the exact timing can depend on the transaction and applicable exemptions. An initial Form 3 is generally due within 10 days after a person becomes an insider. Certain transactions that are omitted or exempt from Form 4 may instead appear on Form 5, generally due 45 days after the issuer’s fiscal year-end. These deadlines explain why the filing date and transaction date may differ and why a later Form 5 can contain an event not previously visible on Form 4.

- Reporting person: the insider whose beneficial ownership is being reported.
- Issuer and ticker: confirm that the filing belongs to the company and class of security you are researching.
- Insider relationship: for example, director, officer or ten-percent holder.
- Earliest transaction date: the first transaction covered by the filing.
- Amendment status: an amended filing changes or supplements an earlier Form 4; do not treat it as a second independent trade without checking what was corrected.
- Joint filing status: a joint report can cover more than one reporting person.
- Rule 10b5-1 indicator: the checkbox identifies whether the reported transaction was made pursuant to a Rule 10b5-1 trading plan, when that disclosure is provided on the form.
The header prevents common errors such as attributing a transaction to the wrong insider, treating an amendment as a new trade, or assuming that every row occurred on the date the document was posted.
Choose the right table
| Table | What it covers | Fields that matter most |
|---|---|---|
| Table I | Non-derivative securities, such as common stock | Security title; transaction date and deemed execution date; code; acquired or disposed indicator; number of securities; price; post-transaction beneficial ownership; direct or indirect status; nature of indirect ownership |
| Table II | Derivative securities, such as options, warrants, puts, calls and convertible securities | Derivative title; conversion or exercise price; transaction dates; code; number acquired or disposed; exercisable and expiration dates; underlying security and amount; derivative price; post-transaction derivative holdings; direct or indirect status |
A single filing can contain both tables. Read each table separately because an option exercise in Table II and the resulting common shares in Table I may describe connected parts of one event. The derivative row can tell you the exercise price and remaining option terms, while the non-derivative row shows the resulting common-stock ownership.
Decode the transaction code before deciding whether ownership rose or fell
The code is the row’s shorthand for the nature of the transaction. Never infer “buy” or “sell” from the number alone; first read the code and the acquired/disposed column.
| Code | SEC meaning | How to read it |
|---|---|---|
| P | Purchase on an exchange or from another person | Potential open-market buying; verify the price, security and footnotes. |
| S | Sale on an exchange or to another person | Potential open-market selling; check taxes, plans, diversification and the price field. |
| A | Grant, award or other acquisition from the company | Often compensation-related; inspect vesting and delivery terms. |
| M | Exercise or conversion of a derivative security | Pair the row with Table II’s exercise price, underlying security and remaining derivative holdings. |
| F | Shares used to pay an exercise price or tax liability | Often administrative withholding rather than a discretionary market sale. |
| G | Gift by or to the insider | Not an open-market trade; look for the recipient or donor context in the footnote. |
| D | Sale or transfer back to the company | Check for repurchase, surrender or withholding explanations. |
| K | Equity swap or similar hedging transaction | May reduce economic exposure without a straightforward sale of shares. |
| V | Voluntarily reported transaction | Read the accompanying description because the code alone is not enough. |
| J | Other transaction | The footnote is required to understand what happened. |
The acquired/disposed indicator typically uses “A” for acquired and “D” for disposed. That indicator describes the movement in the reported security, while the transaction code describes why it moved. A row with a sale code and a zero or nominal price can represent withholding, a transfer or another non-market event; the footnote controls the interpretation.

Read quantity, price and resulting ownership as one unit
For each row, work from left to right and ask four questions:
- How many securities moved? Check the number acquired or disposed and the security title. Shares, units and derivative contracts are not interchangeable.
- What price was reported? Determine whether the price is a per-security price, an exercise price, a weighted average or not applicable. Do not calculate proceeds unless the filing supports that calculation.
- What did the insider own afterward? The post-transaction amount is the ownership balance after the reported event, not necessarily the number sold or acquired.
- Was the movement direct or indirect? Read the ownership nature field and any explanation of the account or entity involved.
An S-coded row at a nominal price should not automatically be treated as a cash sale at that price. Tax withholding, a transfer to the issuer or a gift can produce a disposition entry without an ordinary market transaction. Conversely, a P code should be checked against the price and footnotes before being treated as a discretionary open-market purchase.
Direct versus indirect beneficial ownership
“D” means direct ownership. “I” means indirect ownership, such as securities held through a trust, family member, partnership or another arrangement. The nature-of-indirect-ownership field should identify the relevant arrangement.
Recommended Free Tools
Indirect ownership can make the post-transaction total look larger or smaller than the insider’s personal brokerage balance. It also affects how you compare filings: two rows may involve different entities even when the same reporting person signs both reports. Follow the account or entity description in the filing rather than combining every line into one undifferentiated personal position.

Read every footnote and the 10b5-1 information
Footnotes often contain the economic explanation that the table cannot fit. Look for statements that shares:
- vested or represent restricted stock units;
- were withheld to satisfy taxes;
- were used to pay an option exercise price;
- were sold under a Rule 10b5-1 trading plan;
- are held indirectly through a trust, family member or partnership;
- are subject to a future delivery, exercise or settlement condition; or
- represent a derivative right rather than currently issued common stock.
For example, a footnote may explain that each restricted stock unit is a contingent right to receive one common share and specify when delivery is expected. Until that delivery condition is met, the economic meaning differs from owning an unrestricted share outright.
The Rule 10b5-1 checkbox and related footnote help distinguish a pre-arranged trading plan from an order selected after the fact. A plan does not make a transaction bullish or bearish, and the checkbox does not eliminate the need to read the code, price, dates and remaining ownership. It does, however, provide important context about how the trade was scheduled.

Transaction date versus filing date
Write both dates down. The transaction date is when the reported event occurred; the filing date is when the disclosure was submitted. Because Form 4 is generally due within two business days, a short gap is normal. A longer gap may reflect weekends, holidays, a correction, an amendment or a transaction that belongs on another form.

Also check a “deemed execution date” where the table supplies one. Derivative transactions can have more than one relevant date: the date a contract was exercised, the date shares were delivered, and the date a plan order executed. Use the date specified for that row rather than assuming every date in the filing means the same thing.

The SEC notes that insiders may sell for many reasons, including liquidity and diversification. Therefore, one S-coded row does not prove that the insider expects the company’s price to fall or that illegal insider trading occurred.

| Is the row P or S, or an administrative code such as F, D or G? | Open-market purchases and sales generally carry a different signal from tax withholding, gifts, awards or transfers. |
| Which table contains it? | Table I shares and Table II derivatives can change exposure in different ways. |
| What are the price and quantity? | A small sale, a partial exercise or a nominal-price transfer has a different meaning from a large market transaction. |
| How much does the insider still own? | Post-transaction ownership shows whether the reported event materially changed the position. |
| Is ownership direct or indirect? | Different accounts or entities may represent different economic interests. |
| Is a Rule 10b5-1 plan identified? | A pre-arranged plan can explain timing and reduce the relevance of the filing date as a signal. |
| What do the footnotes say? | They can reveal vesting, taxes, delivery conditions, hedging or a non-market transfer. |
| Does the pattern repeat? | Earlier and later Forms 4 provide more context than one isolated row. |
For broader context, review the insider’s Form 3, subsequent Forms 4, any Form 5, the company’s earnings releases and the proxy statement. Those documents can show the starting position, recurring transactions, compensation arrangements and ownership structure. They still do not convert a filing into a guaranteed forecast.

A worked reading example
Imagine a filing with one Table I row showing code S, 4,000 common shares disposed, a reported price, and lower direct ownership afterward. The first conclusion is only that a disposition was reported. Next, inspect the footnote. If it says the shares were sold under a Rule 10b5-1 plan, that supplies timing context. If it says the shares were withheld for taxes, the event may be administrative rather than a discretionary sale. If ownership is indirect, identify the trust or partnership before comparing the balance with the insider’s direct holdings.
Now suppose the same filing contains a Table II row with code M and an exercise price, plus a Table I row showing common shares acquired. Read those rows together: the derivative was exercised or converted, and the common shares are the resulting security. A separate F-coded disposition may represent shares withheld to cover the exercise price or taxes. Counting every row as a separate market buy or sell would overstate the insider’s trading activity.
Common mistakes and how to avoid them
- Calling every S row a bearish trade: check the footnote, price, plan status and reason for disposition.
- Ignoring the acquired/disposed indicator: the code and the A/D column answer different questions.
- Reading only Table I: options, warrants and other derivatives appear in Table II and can explain a common-stock entry.
- Assuming the price is total proceeds: it is often a per-security figure or an exercise price.
- Adding direct and indirect holdings without qualification: preserve the entity or account identified in the filing.
- Treating an amendment as a new transaction: compare it with the original filing to see what changed.
- Skipping footnotes because the table looks complete: vesting, taxes, plan execution and delivery conditions are frequently disclosed only there.
- Confusing filing date with trade date: use the transaction or deemed execution date for event timing.
- Assuming Form 4 proves legality: it reports ownership changes; it is not an adjudication of insider-trading law.
A repeatable checklist
- Confirm the reporting person, issuer, ticker, insider relationship, amendment or joint-filing status, earliest transaction date and 10b5-1 indicator.
- Choose Table I for non-derivative securities or Table II for derivatives.
- Decode the transaction code before interpreting direction.
- Read the transaction date, deemed execution date, acquired/disposed indicator, amount and price together.
- Record post-transaction beneficial ownership and preserve the direct or indirect designation.
- Read every footnote, especially explanations involving vesting, taxes, plans, gifts, hedging or delivery conditions.
- Compare the transaction date with the filing date and note whether the two-business-day general deadline fits.
- Review earlier and later Forms 4, Form 3, any Form 5 and surrounding company disclosures before drawing an investment conclusion.
Frequently Asked Questions
Does a Form 4 show the insider’s exact profit or loss?
Usually not. It reports transaction quantities, reported prices and resulting ownership, but it does not provide the insider’s complete cost basis, taxes, prior purchases or current market value.
Why can one filing show both acquired and disposed shares?
An exercise or vesting event can create shares while another line with code F, D or S disposes of shares for an exercise price, taxes or another transfer. Read the rows and footnotes together.
Can a Form 5 replace a missing Form 4?
Certain omitted or exempt transactions may appear on Form 5, generally due 45 days after the issuer’s fiscal year-end. That timing is different from the general two-business-day Form 4 deadline.
