How to Read a Director Deal Notification: Transaction Type, Price and Share Count

A director-dealing notification is a regulatory record of a transaction by a company’s senior manager or a person closely associated with that manager. To read one correctly, start with Nature of the transaction, then check the instrument, currency, price, volume, execution date and any option or employee-plan context. A purchase may be an open-market investment, but a large share count or a zero price can instead describe an award, grant, gift or option event.

These notices are filed under UK Market Abuse Regulation (UK MAR) Article 19. They cover persons discharging managerial responsibilities (PDMRs) and their persons closely associated (PCAs), not only board directors. The filing confirms that a reportable transaction occurred; it does not, by itself, reveal the person’s full portfolio, motivation or view of the future share price.

What a director-dealing notification records

UK MAR Article 19 requires PDMRs and PCAs to report certain transactions in the issuer’s shares, debt instruments, derivatives or other linked instruments. A PDMR can include a director or another senior manager with regular access to inside information and authority to make managerial decisions. A PCA can include a close family member, a household member or an entity connected with the PDMR, depending on the circumstances covered by the regime.

The notice is therefore broader than the phrase “director deal” suggests. A company announcement may carry a heading such as “Director/PDMR Dealing,” but the person named could be a non-executive director, an executive officer or a closely associated individual. Read the person’s role before drawing conclusions about who made the decision.

A filing is also a compliance document rather than an investment commentary. It identifies the instrument, transaction nature, consideration, quantity, date and venue or plan context. It normally does not explain the person’s wider holdings, tax position, liquidity needs, lock-up arrangements or expectations for the stock.

Read the notice in this order

Use the following sequence so that the numbers are interpreted in context rather than in isolation.

  1. Person and role: identify the PDMR or PCA and the role stated in the form.
  2. Issuer and instrument: confirm the company, security description and ISIN or other instrument identifier.
  3. Nature of the transaction: establish whether the event is a purchase, sale, award, option event, gift, pledge, borrowing or lending.
  4. Currency, price and volume: read the price with its currency and treat volume as the number of instruments reported for that transaction.
  5. Transaction date: use the execution date, not merely the date on which the announcement appeared.
  6. Venue or plan context: check the trading venue, employee share plan, option arrangement or other stated reason.

Person and role

Names and titles matter because a transaction by a board chair, a finance director, another PDMR and a PCA can have different contexts. The form may identify more than one relationship, such as a non-executive director who is also a PDMR. Do not assume that every named person is a board member.

Issuer, security and ISIN

Confirm that the instrument is the ordinary share or another security you intend to analyse. An option, a derivative, a debt instrument and an ordinary share can appear in separate transaction sections. The ISIN helps distinguish securities with similar descriptions and prevents a share transaction from being confused with an award or derivative linked to the same issuer.

Venue and plan context

A venue such as the London Stock Exchange Main Market indicates where an open-market transaction was executed. A plan or award reference points to a different economic event. The same company can therefore publish a market purchase, an employee-plan allocation and a sale following option exercise in notices that look similar at headline level.

What “Nature of the transaction” means

Nature of the transaction is the notice’s key semantic field. It tells you what happened to the person’s position, but the label must be read with the consideration and context fields.

Transaction type What it generally describes Context to check
Purchase Acquisition of the reported instrument Whether it was an open-market trade, a plan transaction or another acquisition route
Sale Disposal of the reported instrument Whether it was an open-market disposal or followed an option exercise
Gift Transfer with no consideration Why the transfer occurred and whether the recipient is a PCA or another permitted recipient
Grant or award Allocation of shares, options or other instruments under an award arrangement Plan terms, vesting conditions and whether consideration is nil
Accepting or exercising a stock option Conversion or exercise of an option into the underlying instrument Underlying share volume and any separate exercise-price information
Sale of shares received from an option exercise Disposal after shares were delivered on exercise Separate sale price, date and volume; do not treat it as the option grant itself
Pledge Using the instrument as security That a pledge is not the same as a sale or a cash purchase
Borrowing or lending Temporary transfer or receipt of instruments Terms of the arrangement and whether ownership or voting rights changed

A headline saying that a director “bought shares” may therefore conceal an award or plan event if the headline was written broadly. Open the transaction details and read the exact nature label before treating it as a cash investment.

Why awards can look like purchases

An award or grant can increase the number of shares or share-linked instruments held by a PDMR even when the person did not spend cash in the market. Vesting conditions, performance tests and deferred delivery can also mean that the reported event is only one stage of a longer arrangement. The form’s reason or context field is more informative than the resulting share count alone.

How to read price, currency and volume

Price is inseparable from currency

Read a reported price together with its currency. “2.61” is incomplete without knowing whether the form reports pounds, euros or another currency. The currency also matters when comparing notices across issuers or markets. Do not convert a price into a total transaction value until both the currency and the number of instruments are clear.

Volume is the number of instruments in that transaction

Volume is the quantity reported for the transaction section. It is not automatically the person’s total holding, the number of shares currently owned or the size of every related award. A form can repeat the transaction section for each instrument, transaction type, date and place.

When several transactions have the same nature, instrument, day, currency and venue, the FCA guide permits a price-and-volume table. That format can group multiple lines while retaining the relevant quantities and prices. Check whether the notice contains one grouped table or several distinct transaction sections before adding volumes together.

Why a zero price can be valid

A price of 0 is permitted for a transaction made at nil consideration, including a gift, grant or award. It does not necessarily indicate a data error or a worthless share. In an option grant, the notice reports the underlying share volume and the award volume; do not replace the transaction price with the option’s eventual exercise price.

  • [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by

The practical reading is:

  • Zero price plus a gift, grant or award label usually means no consideration was paid for that reported transfer.
  • An option award with a large underlying share volume can represent a contractual award rather than a market purchase.
  • A later exercise or sale may appear in separate notifications with a different nature, price and date.

Worked example: the Man Group notification

An official Man Group example identifies Dixit Joshi as a non-executive director and PDMR. It records a purchase of 38,183 ordinary shares at GBP 2.613174 per share on 2024-05-28, executed on the London Stock Exchange Main Market (XLON).

Read that entry in sequence:

  1. The named person is identified as both a non-executive director and a PDMR.
  2. The instrument is ordinary shares in the issuer, rather than an option or another linked instrument.
  3. The nature is a purchase, so the entry describes an acquisition rather than a disposal or award.
  4. The price is 2.613174 in GBP, and the volume is 38,183 shares.
  5. The transaction date is 28 May 2024; it is not the date on which the announcement necessarily reached the public.
  6. The venue is XLON, providing market context for the execution.

This example is easier to interpret as an open-market purchase because the notice supplies a positive per-share price, a share quantity and a trading venue. Even here, the filing does not establish why the person bought, what other holdings they have or where the share price will go next.

Transaction date, filing date and announcement date

Three dates can matter:

  • Transaction date: when the trade, award, gift or other reportable event occurred.
  • Notification date: when the PDMR or PCA notified the issuer and the FCA.
  • Public announcement date: when the issuer disclosed the information to the market.

The dates can differ. The FCA states: “PDMRs and PCAs should notify the issuer and the FCA within 3 working days of the date of the transaction.” After receiving the notification, the issuer should disclose it publicly within 2 working days. These are working-day timetables, so weekends and relevant non-working days affect the calendar interval.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For market analysis, anchor the event to the transaction date when examining price movements, closed periods or a sequence of dealings. Use the publication date to understand when other investors could first have seen the information.

The annual reporting threshold

UK MAR Article 19 reporting is triggered when the aggregate of reportable transactions reaches €5,000 in a calendar year, subject to the scope and conditions of the regime. The threshold is an annual aggregate, not a claim that every individual line in a notice was worth €5,000. A small transaction can appear after the threshold has been reached or as part of a set of reportable dealings covered by the rules.

How to compare two notifications

Comparison only works when the events are economically comparable. Use this order:

  1. Compare nature first. Separate purchases, sales, awards, gifts, pledges, loans and option events.
  2. Check price and currency. A pound-denominated market price is not directly comparable with a zero-consideration award.
  3. Compare volume. Confirm that both quantities refer to the same type of instrument and are not one share line versus one option award.
  4. Align dates. Use transaction dates for chronology; record announcement dates separately.
  5. Match venue or plan. Open-market trades, employee share plans and option exercises have different mechanics.
  6. Confirm instrument and ISIN. Avoid mixing ordinary shares with derivatives, options or debt instruments.

A market purchase should not be treated as equivalent to a nil-cost award. A sale after option exercise has a different context from an open-market disposal because the person may be selling shares that were just delivered under an option arrangement.

Is a director purchase always bullish?

No. A purchase is evidence of an acquisition reported under UK MAR, not proof of a bullish investment thesis. The buyer may be meeting a share-ownership policy, participating in a plan, replacing shares sold for tax, adjusting a personal holding or acting for another reason not stated in the notice.

Even a clearly priced market purchase has limits as a signal:

  • The notice does not provide the person’s complete portfolio or cash position.
  • It does not disclose every personal motivation, tax consideration or liquidity need.
  • It does not establish whether the person expects a particular future price.
  • One transaction may be part of a larger hedging, vesting, lock-up or financing arrangement.
  • The information reaches the public after the execution date under the notification and issuer-publication timetable.

Use the transaction nature, consideration, instrument, date and plan context to classify the event first. Only then decide whether it adds useful information to your own analysis.

Common reading mistakes and how to avoid them

Mistake: treating every named person as a board director

Fix: read the role and relationship fields. Article 19 notices cover PDMRs and PCAs, so the named person may not sit on the board.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: treating a zero price as a worthless share

Fix: check for a gift, grant or award. FCA guidance permits “0” for transactions made at nil consideration.

Mistake: using the option exercise price as the transaction price

Fix: for an option award, use the reported underlying share volume and the transaction price shown for that award. Keep any future exercise-price information conceptually separate.

Mistake: reading volume as total ownership

Fix: treat volume as the number of instruments in that transaction section. Search the notice for other sections and distinguish the reported event from the person’s overall holding.

Mistake: assuming the announcement date is the trade date

Fix: locate the execution or transaction date, then note when the issuer published the announcement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: adding unlike transactions

Fix: do not combine a market purchase, a nil-cost award, an option exercise and a post-exercise sale into one bullish or bearish total. Classify each event before comparing quantities or values.

Mistake: calculating a value from incomplete fields

Fix: only calculate an implied consideration when the currency, per-instrument price and volume are all explicit and refer to the same transaction. Otherwise, report the fields separately.

A practical checklist for each notice

  • Have you identified the named person’s exact role or PCA relationship?
  • Have you confirmed the issuer, instrument description and ISIN?
  • What is the exact “Nature of the transaction” label?
  • Is the price shown with a currency?
  • Does the volume refer to shares, options or another instrument?
  • Could a zero price indicate a gift, grant or award?
  • Is there an option, employee share plan or other context field?
  • What is the execution date, and how does it differ from the filing and publication dates?
  • Which venue or plan is named?
  • Are you comparing this event with another notice of the same economic type?

Following that checklist turns a headline-level “director deal” into a properly classified regulatory event. The most important discipline is to interpret the transaction type before assigning meaning to the price or share count.
