Use a minimum-disclosure workflow: classify the brief, remove or mask identifiers and unnecessary facts, and upload only to a provider that has been approved after contractual and technical diligence. Check training use, retention, deletion, subprocessors, access, matter isolation, security and breach response. Obtain informed consent when a third-party disclosure requires it, disable unnecessary integrations and autonomous actions, document the decision, and have a lawyer verify every output before it affects the matter.
Why an AI brief review does not change confidentiality duties
Confidentiality follows information relating to the representation, not the storage location or the software used to process it. A draft pleading, interview summary, email thread, chronology, billing detail, strategy note or fact supplied by a non-client may all be protected even when the material is not marked “confidential.” ABA Formal Opinion 512 (announced July 29, 2024) states that a lawyer using generative AI must be mindful of the duty to keep confidential all information relating to a representation, regardless of its source, unless the client gives informed consent.

Uploading a file to an outside AI service can therefore be a disclosure to a third party. The service may retain prompts and files, route them to subprocessors, use them to improve a model, expose them to support personnel, or make them available through connected applications. A firm cannot treat the familiar chat interface as if it were an internal document tool merely because the response appears private.

Decide whether AI is justified before preparing the file
Start with the legal task, not the tool. Ask what the review is expected to accomplish and whether the benefit is large enough to justify exposing any client information. Summarizing a lengthy public statute may require no client data. Finding inconsistent dates in a confidential witness statement may require some data, but not every page of the matter.
- Define the output. Examples include a list of duplicate allegations, a chronology for internal review, a comparison of two drafts, or questions for a lawyer to investigate.
- Limit the corpus. Select only the pages and fields needed for that output. Do not upload an entire matter folder when a short excerpt will answer the question.
- Check restrictions first. Look for protective orders, confidentiality agreements, client instructions, outside-counsel guidelines, data-residency requirements and court rules that prohibit external processing.
- Consider a non-AI alternative. A local search, deterministic comparison, redaction tool or human review may provide the needed result with less exposure.
Record the reason for using AI and the approved scope. If the risk cannot be reduced to an acceptable level, do not upload the material.
Classify the brief before upload
Classification determines the controls and the people who may approve an exception. Mark each portion of the brief for the kinds of sensitivity it contains; one document can have several classifications.
- Privileged material: communications seeking or giving legal advice and material that would reveal legal strategy.
- Work product: lawyer impressions, interview notes, litigation plans, mental impressions and research prepared for a matter.
- Personal information: names, addresses, identification numbers, health information, financial records, employment data, account details and information about children or vulnerable people.
- Regulated or contractually restricted data: information governed by sector rules, a protective order, a nondisclosure agreement or a client’s security schedule.
- Trade secrets and strategic facts: unreleased products, pricing, source code, acquisition plans, settlement positions, witness vulnerabilities and facts that could identify a matter.
Classify attachments and hidden fields as well as visible text. Word-processing comments, tracked changes, document properties, embedded spreadsheets, file names, image metadata and email headers can disclose more than the page a reviewer sees.
Minimize, redact and pseudonymize safely
Remove what the task does not require
Delete direct identifiers, matter numbers, account numbers, exact addresses, unnecessary dates, signature blocks, contact details and unrelated narrative. Replace a precise date with a month or sequence number when the exact day is immaterial. Exclude exhibits and attachments that cannot affect the requested analysis. Keep the original in the firm’s controlled system; create a separate working copy for the AI service.
Use reversible pseudonyms only with a protected key
If the output must map back to the matter, replace names with neutral labels such as Party A, Witness 1 and Company B. Store the mapping key locally in an access-controlled system that is not connected to the AI workspace. Never paste the key into the same prompt or ask the service to infer real identities.

Assume combinations can identify a matter
Anonymization is not a guarantee. A rare job title, a small town, an unusual accident date and a public news report may identify a person when names have been removed. D.C. Bar Ethics Opinion 388 (published April 2024) warns that public facts combined with unique details can permit re-identification. Generalize or remove distinctive combinations, and test the sanitized text by asking whether someone familiar with the industry or locality could recognize the case.
Scrub metadata and test the sanitized copy
- Export a clean copy rather than uploading the original file.
- Accept or remove tracked changes and delete comments.
- Inspect document properties, revision history, embedded objects, hyperlinks and image metadata.
- Search the text for names, initials, email addresses, phone numbers, account numbers, exact locations and rare phrases.
- Have a second reviewer verify that the redactions did not leave obvious clues or remove facts needed for the task.
Keep a secure local record of what was removed, why it was removed and who holds the re-identification key. That record should not itself be uploaded.
When client consent is required
Whether consent is required depends on the applicable rules, the provider’s role and the information disclosed. Florida Bar Opinion 24-1 (2024) says that a lawyer using generative AI must protect client information under Rule 4-1.6. A third-party upload can require informed client consent, particularly when the lawyer cannot establish that the service will preserve confidentiality or when the client has imposed a specific prohibition.
“Informed” consent is more than a generic statement that the firm uses technology. Explain the material risks in understandable terms: what information will be sent, who will process it, whether prompts or outputs may be retained or used for model improvement, where subprocessors may operate, how long data may remain, what security controls apply, and what could happen after a breach or compelled disclosure. Explain the expected benefit and the available lower-exposure alternative. Follow the engagement letter and any client security addendum, and honor a client’s instruction not to use external AI even if the firm believes the risk is manageable.
Do not assume that a promise in a marketing page eliminates the need for consent. The firm must be satisfied, based on the contract and technical evidence, that the service can protect the information. D.C. Bar Ethics Opinion 388 states that if the lawyer is not satisfied, the lawyer should not reveal client confidential information to the generative AI system or should not use the system.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteDocument the consent decision, including the jurisdictional rule considered, the explanation given, the client’s response, the approved tool and the scope of permitted use. Renew the analysis when the provider changes its terms, model, data flows or connected features.

What to verify in an AI provider’s contract and privacy documentation
Security labels and statements such as “enterprise grade” or “we do not train on your data” are starting points, not conclusions. Obtain the current contract, privacy policy, security documentation, retention controls, subprocessor list and incident procedure. Ask for written answers where the public material is ambiguous.
| Control area | Questions to answer before approval |
|---|---|
| Collection and use | What prompts, uploads, outputs, embeddings, telemetry and support data are collected? Can any content be used for training, model improvement, product development, abuse monitoring or human review? |
| Retention and deletion | How long is each data type retained? Is zero retention available by contract? What logs remain despite that setting? Can the firm delete and export all matter data and receive evidence that deletion occurred? |
| Encryption and keys | Is data encrypted in transit and at rest? Who controls the keys, how are they rotated, and can the provider’s staff access plaintext? |
| Isolation | Are customers, matters, retrieval indexes, caches and administrator roles separated? Could one matter’s content appear in another matter’s search or response? |
| Subprocessors and location | Which companies receive data, in which countries, for which functions and under what transfer mechanism? How are changes to the subprocessor list announced? |
| Access and audit | Are least-privilege roles, multifactor authentication, approval workflows, immutable audit logs and exportable activity records available? |
| Connectors | Can the system connect to email, document management, calendars, client portals or file shares? Can each connector be disabled or restricted to a single matter? |
| Incidents and assurance | What is the notification deadline and response process for a suspected breach? Are vulnerability-management details and independent assurance reports available? |
| Contract allocation | Who is responsible for confidentiality, breach costs, indemnity, compelled disclosure, discovery preservation and return or destruction of data? |
Evaluate these controls together. A short retention period does not cure broad training rights; encryption does not prevent an overprivileged administrator from opening a matter; and a contractual promise is difficult to enforce if the technical configuration cannot implement it.
Configure the workspace for least privilege
Separate people, clients and matters
Use individual accounts with multifactor authentication, not a shared login. Create a distinct workspace or project for each client and matter when the provider supports it. Scope retrieval indexes to the approved matter, prevent cross-matter search, and restrict administrators to the smallest group that needs administrative access. Remove access promptly when a lawyer, contractor or vendor leaves the matter.

Turn off unnecessary connectors
Disable email, calendar, document-management, cloud-drive and client-portal connectors unless the review genuinely needs them. If a connector is necessary, authorize only the relevant folder, mailbox label or matter ID. Review inherited permissions; an AI assistant that can read an entire mailbox can expose unrelated clients even when the prompt names one matter.
Block autonomous external transmission
Agentic features can draft or send email, file documents, update a case system, create calendar events or transmit data to another service. California State Bar practical guidance (released November 16, 2023) says a lawyer must not deploy an agentic AI system in a way that permits autonomous external transmission of client information, including automated communications, filings or data transfers, without appropriate safeguards and human review. Set external actions to “draft only” or disable them. Require a named lawyer to inspect the proposed recipient, attachment, citation and content before any transmission.
Set retention and monitoring controls
Choose the shortest practical retention period and disable history or training features that are not needed. Preserve only the audit records required for security, billing or professional obligations, and protect those logs because they may contain sensitive prompts. Alert on bulk downloads, unusual matter access, permission changes, connector activation and attempts to export data.

A controlled brief-review procedure
- Define the question. Write the narrow review task and the required output. Identify the lawyer responsible for the final decision.
- Classify the material. Mark privilege, work product, personal, regulated, trade-secret and strategic content. Check orders, engagement terms and client instructions.
- Choose the minimum corpus. Select only the pages and fields that can answer the question. Prefer public or synthetic examples for prompt testing.
- Sanitize the copy. Remove direct identifiers, unnecessary facts and metadata. Generalize rare combinations and keep any re-identification key outside the service.
- Confirm provider approval. Check the current contract, training exclusion, retention and deletion settings, subprocessors, location, isolation, access, logging, incident response and connector scope.
- Obtain consent when required. Explain material risks and alternatives, record the client’s informed decision, and follow any prohibition or security addendum.
- Configure least privilege. Use individual accounts, matter-scoped retrieval, restricted administrators, short retention and disabled autonomous actions.
- Run the review. Use a prompt that requests analysis of the supplied text rather than unnecessary personal details. Do not add the mapping key or unrelated matter history.
- Verify the result. Compare every citation, quotation, date, factual assertion, privilege conclusion and claimed omission with the source brief and primary authority. Check for invented authorities, plausible-sounding errors and missing contrary facts.
- Approve the work product. The responsible lawyer—not the model—decides what is accurate, sufficient, privileged, strategic or fit to send to a client, court or opposing party.
- Close and record. Delete temporary copies where the approved retention policy permits, confirm that no connector created an extra copy, and record the tool version, matter scope, redaction method, reviewer, approval and incident path.
Reviewing AI output without creating a second confidentiality failure
Keep the review inside the approved matter workspace or the firm’s controlled systems. Do not paste a questionable response into a different public service for a “second opinion.” If outside expertise is needed, apply the same classification, consent and vendor-approval process to that service.
Use a source-first checklist:
- Does every quotation match the source, including punctuation and qualifiers?
- Are cited cases, statutes, regulations and docket facts real, current and relevant?
- Did the system infer a privilege waiver, deadline, jurisdiction or legal conclusion that the source does not establish?
- What facts were omitted, contradicted or silently normalized?
- Could the wording reveal a masked identity through a rare combination of details?
- Is the proposed advice within the lawyer’s competence and consistent with the client’s objectives?
Florida Bar Opinion 24-1 and North Carolina State Bar guidance place responsibility for accuracy, sufficiency, professional judgment and supervision on the lawyer. Treat the response as an unverified research aid, never as a final legal product.
Incident response when information may have escaped
Prepare the response path before the first upload. If a prompt reaches the wrong workspace, a connector exposes another matter, an unauthorized person views a file, or a provider reports a breach, stop processing and preserve the relevant audit records. Do not delete evidence before the responsible security or legal team has assessed preservation duties.
- Disable the affected account, connector, token or agentic action while preserving logs.
- Identify the data, clients, matters, recipients, time window and provider subprocessors involved.
- Notify the firm’s incident lead, responsible lawyer and client-contact team under the applicable policy and contract.
- Ask the provider to preserve logs, stop further processing, return or delete the data where appropriate, and provide its incident findings.
- Assess professional-conduct, contractual, privacy, protective-order, insurance and court-notification obligations in the relevant jurisdictions.
- Document containment, notifications, client decisions, remedial controls and whether the provider remains approved.
A breach plan should name decision-makers and deadlines without assuming that every event is reportable. The applicable law, client contract and court order determine what must be disclosed and when.
Governance, training and periodic reapproval
Adopt a written AI policy that identifies approved tools, prohibited data, consent triggers, required redaction, configuration standards, output review and incident reporting. Train lawyers, paralegals, vendors and temporary staff on realistic failure modes: re-identification from public facts, cross-matter retrieval, hidden metadata, prompt retention, hallucinated citations and accidental external transmission.
Recommended Free Tools
Maintain an approval record for each tool and material deployment. Useful fields include:
Best Value
- provider, product, model or feature version and approval date;
- client and matter scope, data classification and purpose;
- contractual training exclusion, retention period and deletion method;
- subprocessors, data locations, encryption and key-management terms;
- connector permissions, administrator roles, audit-log location and alerting;
- redaction and pseudonymization method, including the key custodian;
- consent or client-instruction record;
- reviewing lawyer, verification steps and incident contact.
Reapprove when terms, subprocessors, model behavior, retention defaults, connectors or agentic capabilities change. A tool that was acceptable for a sanitized internal chronology may not be acceptable for an unredacted medical record or a filing prepared under a protective order.
How to compare tools after security requirements are met
Price and convenience come after confidentiality controls. Compare approved options on the following axes, documenting evidence rather than relying on a sales statement:
| Decision axis | What a stronger option provides |
|---|---|
| Confidentiality contract | Clear obligations for client information, breach handling, compelled disclosure, return or destruction and responsibility for subprocessors. |
| Training and improvement | An enforceable exclusion from training, model improvement, product development and unnecessary human review. |
| Retention | Configurable short retention or contractual zero retention, with explicit treatment of security and abuse logs. |
| Isolation | Separate tenants, matter indexes, caches and administrative roles, with tests or documentation showing cross-matter protection. |
| Data control | Transparent locations and subprocessors, encryption, key-management options, export and verifiable deletion. |
| Operational safeguards | Least-privilege roles, multifactor authentication, detailed audit logs, alerts and independent assurance information. |
| Integration safety | Connectors that are off by default, narrowly scoped and unable to send or file without human approval. |
| Human review support | Draft-only workflows, source traceability, version history and clear separation between generated suggestions and approved work product. |
Reject an option that fails a mandatory confidentiality requirement even if it is cheaper or produces a more fluent summary. Revisit cost only among tools that meet the firm’s legal, contractual and technical baseline.
What the principal authorities say
The key guidance is consistent on the practical result:
- ABA Formal Opinion 512 (2024): confidentiality covers all information relating to the representation, regardless of source, unless the client gives informed consent.
- Florida Bar Opinion 24-1 (2024): generative-AI use must protect client information under Rule 4-1.6, and lawyers must supervise the technology and verify its work.
- D.C. Bar Ethics Opinion 388 (2024): a lawyer should not disclose confidential information to a generative-AI system when the lawyer is not satisfied that confidentiality will be protected.
- California State Bar practical guidance (2023): lawyers must make reasonable efforts to protect client confidences and must not permit autonomous external transmission without safeguards and human review.
These authorities were issued in 2023 and 2024. Provider terms, state guidance, court orders and client security instructions can change quickly, so the approval record should include the date on which each was checked.
Quick Recap
Common mistakes and the safer correction
| Mistake | Safer correction |
|---|---|
| “The names were removed, so the brief is anonymous.” | Remove or generalize rare combinations and test whether an informed outsider could re-identify the matter. |
| “The provider says it does not train on customer data.” | Verify the exclusion in the contract, privacy terms, configuration and treatment of prompts, outputs, embeddings and logs. |
| “A private workspace is the same as an internal server.” | Check tenant and matter isolation, administrator access, subprocessors, locations, retention and deletion. |
| “The assistant can email the draft to save time.” | Disable autonomous transmission and require a lawyer to approve recipients, attachments and content. |
| “The output cites a case, so it must be correct.” | Open the primary authority, verify every proposition and check for omitted or contrary facts. |
| “One approval covers every future use.” | Reassess when the data type, matter, model, terms, connector or agentic capability changes. |
