Prepare the company as an evidence-backed system: a focused investment thesis, conservative technology-readiness assessment, verified demand, defensible intellectual property, mapped regulatory and scale-up risks, a complete team plan, and a round sized to measurable milestones.
What investor-ready means for a deep-tech company
Venture investors underwrite evidence rather than ambition. GOV.UK’s investor-readiness guidance describes a credible thesis as a combination of market understanding, capable leadership, traction, and coherent financial and governance plans. For a deep-tech company, that thesis must connect laboratory or engineering proof to a repeatable commercial outcome.

- Who has the urgent problem, and who controls the budget?
- What has been demonstrated, under which conditions, and what remains unproven?
- Why can this company defend its position against alternatives?
- Which technical, regulatory, manufacturing, and commercial risks will the round remove?
- What specific evidence will justify the next financing or a sustainable business?
Every major claim should point to a dated artifact: a signed order, test report, patent filing, permit, customer interview log, cost model, or board-approved plan. A polished pitch without an evidence trail usually creates more diligence friction, not less.

1. Write a focused investment thesis
Start with one beachhead rather than a catalogue of possible applications. State the customer problem in operational terms, the measurable outcome your product creates, the economic buyer, the alternatives they use today, and why the timing is favorable. Explain why this team has an unusual ability to execute.
Define the wedge and buyer
Name the first use case, deployment environment, procurement owner, budget line, and buying trigger. If the user is different from the economic buyer or regulatory signatory, document each role. A technically impressive device can still fail if no person owns the purchasing decision or the deployment work.
Quantify the market from the bottom up
Build the market from customers, units, price, replacement or renewal frequency, and realistic adoption. Show the assumptions behind service revenue, consumables, installation, support, and gross margin. Use one beachhead calculation before discussing adjacent markets; investors can then see which assumptions must be true for expansion.
Explain alternatives and timing
Compare the current workflow, incumbent products, internal solutions, and the cost of doing nothing. Quantify the improvement that matters to the buyer—such as throughput, accuracy, energy use, downtime, or compliance—not just a laboratory specification. Explain external changes that make adoption possible now, including regulation, supply constraints, infrastructure, or a newly affordable component.
Attach evidence to each thesis claim
| Thesis element | Evidence investors can verify | Typical owner |
|---|---|---|
| Customer pain | Interview notes, workflow measurements, problem statements signed by target users | Product or commercial lead |
| Willingness to pay | Purchase orders, paid pilots, priced proposals, renewal or expansion data | Commercial lead |
| Market size | Named account list, unit assumptions, pricing logic, adoption model | Finance and strategy |
| Technical advantage | Controlled benchmarks, raw data, test protocols, failure analysis | Chief technology or engineering lead |
| Defensibility | Assignments, filings, trade-secret controls, switching-cost or data strategy | CEO and counsel |
| Execution ability | Relevant biographies, references, hiring plan, milestone ownership | CEO and board |
2. Prove the technology without overstating readiness
Create a technical evidence pack that a skeptical specialist can reproduce. Include architecture diagrams, schematics, bills of materials, software or firmware versions, test protocols, raw and summarized results, benchmark definitions, environmental conditions, sample sizes, and known failures. Record who ran each test and when.
Assign a conservative TRL
Use the Government of Canada Technology Readiness Level Assessment Tool as a discipline for stating maturity. Begin with the broad development stage, check whether the test environment represents the intended real-world environment, and assign the lower TRL whenever the evidence leaves uncertainty. Explain the evidence supporting the assigned level and list the gap to the next level.
Do not let a successful bench demonstration imply field, manufacturing, or market readiness. A prototype may work in controlled conditions while still lacking durability, service procedures, safety approvals, supply availability, or customer acceptance.

Make tests reproducible
- Define the pass/fail metric before running the experiment.
- Use controls and reference devices where a benchmark exists.
- Report full distributions, not only the best run.
- Log calibration, environmental conditions, operator steps, and deviations.
- Retain raw files with checksums or immutable version history.
- Repeat critical tests with an independent operator or facility.
- Document failure modes, corrective actions, and residual uncertainty.
Build a techno-economic model
Translate engineering assumptions into a model of cost, performance, yield, reliability, deployment time, and service burden. Identify which variables dominate unit economics. For each dominant variable, specify the experiment, supplier quote, pilot, or manufacturing build that will replace an estimate with evidence. Present base, downside, and upside cases; do not hide sensitivity in a single blended number.
Order the technical risk burn-down
Maintain a risk register with probability, impact, detection method, mitigation, owner, and target date. Rank risks by the value they could destroy, not by ease of testing. A low-cost experiment that retires a catastrophic reliability or safety risk should precede an optimization that only improves headline performance.
3. Prove customers will adopt and pay
Commercial readiness is a separate workstream from technology readiness. MIT’s readiness model distinguishes technology, commercial customers, mission customers, and commercial or mission funding. A high TRL does not demonstrate that a buyer can procure, deploy, operate, and pay for the product.
Use an evidence hierarchy
| Strength | Evidence | What to record |
|---|---|---|
| Highest | Signed contract or purchase order | Scope, price, delivery, acceptance criteria, payment terms, renewal or expansion clause |
| Strong | Paid pilot | Customer, amount paid, success metric, start and end dates, deployment conditions, conversion decision |
| Directional | Letter of intent or partner letter | Named signatory, defined scope, timing, dependencies, procurement path, conditions that could void it |
| Usage evidence | Repeat use, renewals, or expansion | Cohort, retention period, frequency, paid versus free activity, reason for continuation |
| Early pipeline | Dated opportunities | Account, stage, value, probability method, next action, expected decision date |
Design pilots to answer buying questions
Each pilot should have a written hypothesis and a conversion path before deployment. Specify the operational baseline, success threshold, data owner, installation responsibilities, payment status, security or compliance review, and the person authorized to approve expansion. A free demonstration with no procurement route is marketing activity, not strong traction.
Separate commercial and mission customers
For dual-use products, maintain separate evidence for commercial buyers, government or mission users, and the funding mechanisms each uses. A mission customer may validate impact while procurement follows a grant or budget cycle; a commercial customer may require a different certification, service level, and return-on-investment case. Show how one path informs the other without treating them as interchangeable revenue.
4. Establish IP ownership and defensibility
Prepare an ownership chain that begins with every inventor and contributor. Collect employment and contractor assignments, university or former-employer agreements, license terms, government-funding obligations, joint-development rights, and any encumbrances. List patent applications, granted patents, jurisdictions, filing dates, claim scope, maintenance status, and inventorship review.
Complete freedom-to-operate work
A patent filing is not proof that you can practice the invention. Commission a freedom-to-operate review and patent landscape for the markets and jurisdictions you plan to enter. Record opinions, identified blocking claims, design-around options, licenses required, and decisions made. Keep privileged legal analysis access-controlled in the data room.

Protect trade secrets and data
Identify process parameters, calibration methods, source code, training data, supplier specifications, and test datasets that are not public. Define access roles, confidentiality agreements, repositories, retention, and departure procedures. Document provenance and permission for customer or third-party data.
Describe a compounding moat
Explain how the advantage strengthens with each deployment. Possible mechanisms include proprietary data, process know-how, manufacturing learning, regulatory approvals, supply access, customer integration, switching costs, or a cost curve that improves with volume. Tie each mechanism to an observable milestone; avoid the unsupported phrase patent protected when ownership or scope is incomplete.
5. Map regulatory, manufacturing, and scale-up risk
Build a dependency map from prototype to routine deployment. Include permits, quality systems, safety testing, export controls, clinical or field validation, environmental requirements, tooling, facilities, supplier qualification, yield, logistics, installation, maintenance, and end-of-life obligations.
| Risk area | Questions to answer | Evidence to place in the room |
|---|---|---|
| Regulatory | Which authority, classification, submission, review time, and post-market obligation apply? | Regulatory pathway memo, correspondence, test plan, budget and dates |
| Manufacturing | Which steps are manual, outsourced, capacity constrained, or yield sensitive? | Process flow, work instructions, yield data, contract manufacturer quotes |
| Supply chain | Which components have single-source, lead-time, export, or obsolescence exposure? | Approved-vendor list, lead times, alternatives, inventory policy |
| Facilities | What space, utilities, containment, calibration, and insurance are required? | Site plan, permits, service quotes, commissioning schedule |
| Deployment | Who installs, trains, services, and accepts the system? | Runbook, service-level assumptions, training records, customer sign-off |
Assign every dependency to a milestone and owner. High TRL alone does not establish readiness for broad adoption; compliance, manufacturing or service capability, customer uptake, and IP management must advance together.
6. Show a team that can execute the next phase
Investors assess whether the team can attract and direct the talent required by the technology. Present concise biographies tied to the current work, not a résumé dump. Explain what each person has built, shipped, regulated, manufactured, sold, or financed.

| Manufacturing and operations | Suppliers, tooling, yield, facilities, service | Prototype bill of materials is mistaken for production cost |

Include an organization chart, advisers and their scope, open roles, hiring dates, compensation assumptions, and the milestone each hire unlocks. State which responsibilities are temporarily covered by founders and when that arrangement ends.
7. Size the round around milestones
Build the raise from a bottom-up budget for payroll, experiments, prototypes, pilots, certification, facilities, tooling, inventory, legal and IP work, and working capital. Add a stated contingency for schedule slips and failed experiments. Show monthly cash usage, hiring dates, payment timing, and runway under the base and downside cases.

Use a milestone ladder
| Milestone | Capital allocation | Completion evidence | Next objective |
|---|---|---|---|
| Current state | Existing cash and committed funding | Baseline TRL, customer evidence, IP status, open risks | Named technical or commercial proof point |
| Technical de-risking | Experiments, engineering builds, test facilities | Predefined pass/fail metrics and independent results | Field, certification, or production trial |
| Market validation | Pilots, deployment, support, compliance work | Paid conversion, repeat use, contract, or qualified pipeline | Repeatable sales or strategic financing |
| Scale preparation | Tooling, inventory, quality, hiring, supplier capacity | Yield, unit economics, delivery and service capability | Next institutional round or sustainable revenue |
For every ask, state the amount, runway, use of funds, milestone dates, pass/fail metric, and expected next-round or commercial outcome. The GOV.UK milestone approach is useful because it links capital to technical readiness, regulatory approval, customer acquisition, and operational scaling rather than to an arbitrary calendar period.
Match capital to risk
Consider grants, translational programs, strategic capital, venture debt, or equipment finance where their repayment, control, eligibility, and dilution characteristics fit the risk. Non-dilutive money can fund infrastructure or validation; debt generally requires predictable repayment capacity and may be unsuitable before commercial cash flow. Disclose restrictions, matching requirements, security, covenants, and ownership effects.
8. Assemble a diligence-ready data room
Use a logical index with document owner, version date, confidentiality level, and review status. Give each investor the minimum access needed, maintain an access log, and remove obsolete drafts that could contradict approved information.

9. Prepare for technical due diligence
Expect specialists, academics, consultants, auditors, and lawyers to examine different parts of the same claim. EIB descriptions of deep-tech investment criteria include technology readiness, patents and grants, scalability, projected cash flows, and credible exits. Your team should be able to answer consistently without improvising numbers.
Questions to rehearse
- What is the current TRL, and which test justifies it?
- Which result has been independently reproduced?
- What failed, and what changed after the failure?
- Which assumptions dominate cost, yield, reliability, and deployment time?
- What prevents a better-funded incumbent from copying the product?
- Who owns every relevant invention, dataset, and code contribution?
- Which regulatory submission or permit is on the critical path?
- What happens if a key supplier fails or a component is discontinued?
- What customer behavior proves willingness to pay?
- Which milestone will be missed first if the round closes late?
Use one source of truth for metrics. If a number differs between the pitch, model, and data room, explain the definition and reporting date rather than silently changing it.
10. Choose investors for fit, not just valuation
Compare prospective funds on the dimensions that affect execution after the cheque is written.

Common failure modes and fixes
Claiming a high TRL from a laboratory demo
Fix: State the lower defensible level, describe the environmental gap, and fund the test that closes it.
Best Value
Presenting interest as revenue
Fix: Label contracts, paid pilots, LOIs, repeat usage, and pipeline separately, including conditions and dates.
Using a top-down market number
Fix: Show named accounts, units, price, adoption assumptions, and the first wedge before expansion.
Ignoring ownership history
Fix: Obtain assignments and licenses before fundraising; disclose university, employer, government, and partner rights.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsBudgeting only the prototype
Fix: Include certification, tooling, quality, inventory, deployment, service, and working capital.
Leaving regulatory work until after the raise
Fix: Put classification, authority contact, submission sequence, cost, and review time on the critical path.
Raising for time instead of evidence
Fix: Tie every major spend to a pass/fail milestone and a next financing or commercial decision.
A practical 90-day preparation plan
Days 1–30: establish the evidence baseline
- Write the one-page thesis and identify the beachhead buyer.
- Freeze metric definitions and reconcile the pitch, model, and data room.
- Inventory inventions, contributors, agreements, filings, and data rights.
- Assign a conservative TRL and list the evidence gap to the next level.
- Create the risk register and rank the experiments that retire the largest risks.
Days 31–60: convert proof into investable milestones
- Run or schedule reproducible tests under representative conditions.
- Formalize pilot scopes, payment terms, success metrics, and conversion decisions.
- Obtain supplier, tooling, facility, certification, and manufacturing assumptions.
- Build the bottom-up cash model, downside case, and contingency.
- Document role ownership, open hires, advisers, and milestone-linked recruitment.
Days 61–90: package and rehearse
- Populate and index the data room with version dates and access controls.
- Complete freedom-to-operate and regulatory pathway work appropriate to the stage.
- Turn the budget into a milestone ladder with dates, evidence, and next-round outcomes.
- Screen investors against stage, expertise, network, reserves, geography, and time horizon.
- Run a mock diligence session with an external technical and commercial reviewer.
Final readiness checklist
- The thesis names one customer problem, buyer, outcome, wedge, and timing rationale.
- Market, pricing, margin, and adoption assumptions are visible and bottom-up.
- TRL is conservative, test conditions are representative, and raw data is reproducible.
- Technical risks have owners, dates, experiments, and pass/fail criteria.
- Customer evidence distinguishes paid commitments from interest and pipeline.
- IP ownership, licenses, trade secrets, and freedom to operate are documented.
- Regulatory, manufacturing, supplier, facility, and service dependencies are mapped.
- Team responsibilities and hiring gaps are tied to milestones.
- Round size, runway, contingency, and use of funds reconcile to the cash model.
- Data-room documents are indexed, dated, access-controlled, and internally consistent.
- The next financing or commercial objective is explicit before the round begins.
When these elements agree, fundraising becomes a review of a coherent operating plan rather than a request to take technology on faith. Investors can see what is proven, what remains risky, how their capital changes the evidence, and what outcome the company is building toward.
