An AI vendor exit strategy is a practical plan for moving, replacing, or retiring an AI service without losing essential data, records, workflows, or business continuity. Build it while you are selecting and designing the service—not when a contract ends or a provider problem forces a rushed decision. A useful plan identifies what must keep working, what the provider controls, what you can actually export, where the workload could go, and what a tested transition would cost.
The aim is not to make every AI system portable to every platform. The Australian Government Architecture guidance puts the trade-off plainly: “Maximum portability is not always the best outcome.” Accepting a provider-specific capability can be reasonable when its value, dependencies, exit implications, and fallback are understood, owned, and reviewed.

What an AI vendor exit plan needs to achieve
An exit plan should let your organization make and execute a deliberate choice if an AI service becomes unsuitable, unavailable, too costly, or unacceptable under changing business or risk conditions. The destination might be another hosted AI service, another cloud environment, an internally operated model or service, or no replacement at all if the business process can be redesigned.

These are planning practices, not universal legal requirements. Australian Government Architecture materials address Australian government agencies; other organizations can use the checklist without assuming its public-sector obligations apply to them. NIST AI RMF Playbook recommendations are voluntary risk-management guidance, and the Cloud Security Alliance (CSA) materials are implementation guidance rather than a substitute for applicable law or negotiated terms.
Define success in business and operational terms
Do not define success only as “the new API responds.” Specify the service and business outcomes that matter: for example, a workflow remains available at an agreed level, records remain accessible, staff can perform required tasks, and replacement outputs satisfy the relevant quality and safety checks. Set workload-specific measures and thresholds rather than borrowing a universal switching target. AWS exit-planning guidance likewise treats scope, objectives, success criteria, and risk indicators or thresholds as plan elements.
Record assumptions alongside the goal: expected transition duration and cost, data residency constraints, required staffing and skills, licensing or usage rights, and any periods when the old and new services must run together. Name the person or function responsible for keeping the plan current.

Scope the workload and the process around it
List the AI workloads and business processes the plan covers. Include the surrounding application, user workflow, and operational responsibilities—not just the model call. A seemingly small AI component may be embedded in a customer-facing service, a staff decision process, or a chain of other systems. Record what would stop, degrade, or require a manual workaround if the AI service disappeared.
For each workload, capture its business purpose, criticality, data sensitivity, accountable owner, affected users, and continuity requirements. State what must continue during an exit and what can be paused or handled manually, for how long, and by whom. This turns “keep the service running” into a decision the business and technical teams can plan against.

Set decision triggers without pretending one threshold fits all
Define the indicators that should prompt a formal review or exit decision. They may relate to unacceptable service risk, a change in commercial objectives, a material change in organizational risk tolerance, contract or provider changes, or a legal or residency constraint. For each trigger, specify who evaluates it, what evidence they need, and who can authorize the next step. A trigger is not necessarily an automatic termination instruction; it is a reason to assess the agreed options.
Review the plan at contract renewal and after significant organizational or architecture changes. Also set workload-specific review triggers—for example, a major model or system upgrade, a changed business criticality, or a new dependency. AWS guidance recommends recording relevant risk indicators and thresholds; your organization must decide what levels are meaningful for its context.
Map dependencies and AI artifacts before they become exit blockers
Build a dependency register that follows the service path from the application and workflow through the vendor’s API or platform, then through relevant hosting, data, software, hardware, and operational dependencies. NIST guidance highlights that third-party AI can involve not only technology, but also data, personnel, and expertise; third-party relationships may add complexity and opacity.
For each material dependency, record its purpose and business value, how a switch would affect it, mitigation or fallback, accountable owner, and review trigger. Include supplier and subcontractor relationships when known. Identify provider-specific features, proprietary interfaces or formats, custom integrations, identity and access arrangements, required staff skills, and other services whose availability affects the workload.
Ask the exportability question directly
The Australian Government Architecture checklist asks: “Can agency data, metadata, logs, configuration, prompts, model artefacts and records be exported in usable formats?” Apply that question to the workload and its contract. “Exportable” is not enough if the files cannot be read, reconstructed, or used at the destination.

- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
- Data and records: Identify which input, output, reference, audit, and business records must be retained or moved, and who is responsible for them.
- Metadata and logs: Check which operational, access, and traceability information is available, in what form, and whether it is needed to support investigations or reconstruct activity.
- Prompts and configuration: Record system instructions, task prompts, parameters, safety settings, routing rules, and other configuration that materially shapes the service.
- Model artifacts and related work: Identify artifacts and custom work product that matter to the use case, then establish what can be retrieved, transferred, retained, or reused under the applicable terms.
- Integrations and identities: Map connectors, application interfaces, credentials, roles, permissions, and dependencies on provider-specific tooling.
Do not assume every artifact exists as a downloadable file or that a provider will export it in a form a replacement can use. Record the actual retrieval method and test whether the receiving system can consume or reconstruct what is needed.
Make the contract usable when it is time to leave
Bring procurement, legal, security, privacy, architecture, and operational owners into contract review. The goal is to make retrieval, transition, and deletion mechanics clear enough to execute—not merely to state that data belongs to the customer. CSA AI customer guidance calls attention to ownership and control, export rights, deletion guarantees, control over processing locations and methods, and exit and transition terms. Its provider guidance also highlights export format, the retention period after termination, the scope of retrievable data, and deletion policy.
These are useful contract-planning checks, not clauses that automatically apply in every jurisdiction. Have qualified reviewers assess them against the deal, applicable law, and the service architecture.
| Contract topic | Questions to resolve before signing or renewal |
|---|---|
| Data and artifact scope | Which data, metadata, logs, configurations, prompts, records, and other relevant artifacts can be retrieved? Who owns or stewards each item? What limitations apply to reuse or migration? |
| Format and method | Which export formats and mechanisms are available, and can the intended destination consume them? Australian Government Architecture gives CSV, JSON, and Parquet as examples of standard formats, not universal answers. |
| Retrieval window and fees | How long does export access remain available after termination? What are the extraction steps, delivery method, operational constraints, and any fees? |
| Retention and deletion | What is retained, for how long, and by what method is it deleted? How are backups and transient data handled? What evidence or confirmation of deletion is provided? |
| Transition assistance | What cooperation is available to support a replacement, continued access during transition, or transfer of relevant materials? Are assistance limits, responsibilities, and costs stated? |
| Verification and remedies | What audit or verification rights apply, and which termination or transition obligations survive the end of service? |
Negotiate these details while there is leverage and time to test them. A contract term that allows export but omits the retrieval window, format, or process may not give the team a usable path during a live transition.
Choose a credible destination and cutover approach
Compare the likely exit paths against the workload’s requirements rather than assuming another service will be a drop-in replacement. A provider-specific feature may require substantial refactoring or workflow redesign even if the replacement has a similar model interface. AWS guidance calls out refactoring, staffing and skills, legal commitments, assumptions, and data residency as planning considerations.

For each credible destination, compare continuity and performance, portability and refactoring, security and privacy, data residency, contractual rights, total transition effort, available operational capability, reversibility, and any new concentration or complexity risk. These comparison axes synthesize Australian Government Architecture, AWS, and UK government cloud technical-lock-in guidance; they are not a universal weighted scoring model. Set weights according to workload importance and risk.
Choose how to cut over and recover
Set a cutover method that matches the workload: staged migration, parallel operation, fallback routing, or planned downtime where the business can accept it. Decide how outputs and operational behavior will be evaluated at the destination, who approves the transition, and what conditions require rollback or a pause. Include dependencies on people and processes: a technically successful migration can still fail operationally if staff cannot use the replacement or support it.
Where the old service remains available during transition, plan the duration and responsibilities for dual-running. State which system is authoritative for records during that period, how differences are reconciled, and how access is controlled. If parallel operation is not feasible, document the expected interruption and approved continuity procedure rather than treating downtime as an unexamined surprise.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Budget the full transition, not just the new service
Estimate direct and indirect costs before committing to a design. The Australian Government Architecture checklist specifically calls attention to offboarding, workflow and data migration, dual-running, reconfiguration, testing, staff, assurance, and supplier transition costs. Add the costs relevant to the selected route, such as export and transformation, refactoring, integration changes, new security or assurance reviews, test environments, training, and transition assistance.
- Supplier exit: Provider offboarding, extraction, transition support, and any contractually applicable fees or operational constraints.
- Data and artifacts: Export, format conversion, validation, reconstruction, and secure transfer.
- Technical change: Workflow migration, code and integration changes, reconfiguration, and refactoring of provider-specific features.
- Continuity: Dual-running, fallback arrangements, additional capacity, or planned downtime and its business impact.
- Assurance and readiness: Test environments, security and privacy reviews, output evaluation, staff training, and operational documentation.
- Ongoing capability: Staff time and skills needed to operate and maintain the destination after the transition is complete.
Record cost and timing assumptions with their owners and confidence level. No single standard export package or universal exit timeline is established by the cited guidance; workload architecture, contract terms, destination, and assurance needs determine the work.

Test exports and rehearse the transition
Do not wait for termination to find out whether the promised export is usable. Test the path end to end while the service is operating and there is still time to renegotiate terms or change the architecture. A test should exercise both retrieval and practical use at the intended destination or a representative test environment.
- Request a representative export. Include the data and artifacts the dependency register says are needed, within the agreed contractual process.
- Validate integrity and readability. Check that files open, expected records are present, formats are documented, and identifiers or relationships needed to reconstruct activity are intact.
- Rebuild or load the materials. Confirm that the destination can ingest the export or that the organization can reconstruct required configurations and workflow state.
- Verify operational controls. Check target-side authorization, access logging, monitoring, and any required security or privacy controls.
- Exercise continuity and cutover decisions. Rehearse who does what, how users are supported, how outcomes are assessed, and which rollback conditions apply.
- Record findings and remediate. Capture the test date, scope, evidence, failures, owners, and due dates for corrective actions; update the plan and cost assumptions.
A tabletop exercise or game day can expose unclear responsibilities and sequencing before a real exit. AWS guidance recommends exercising exit plans this way; Australian Government Architecture guidance calls for export and recovery tests and recorded results. UK government guidance describes periodically rebuilding or testing critical components in another environment to reassess switching-cost assumptions. These recommendations do not mean your organization has tested anything until it actually performs and records a test.
Govern the plan and accept dependencies deliberately
Assign named responsibilities across business ownership, architecture, operations, procurement, security, privacy, legal, and relevant vendors. Keep the dependency register, contract requirements, destination assumptions, accepted trade-offs, estimated exit costs, and test evidence together so decision-makers can see the same picture.

Review the plan at renewal, after material provider or model changes, after major architecture or organizational changes, and when business criticality or risk tolerance changes. NIST recommends documenting third-party AI components, monitoring their risks, maintaining contingency processes for mission-critical third-party systems, and decommissioning systems that exceed organizational risk tolerance.
Portability and diversification can reduce dependency, but they also add cost, engineering complexity, and capability requirements. Focus controls on dependencies that could create unacceptable cost, disruption, or operational risk. Where a provider-specific capability is worth keeping, document why, who accepts the dependency, what fallback exists, and what change would trigger reassessment. That is a governed trade-off, not an accidental lock-in.
