How to Plan a Business Exit from China While Protecting Data and Operations

Plan a China business exit across liquidation, workforce obligations, data-transfer decisions and operational continuity, with local requirements verified before filing.

Plan a China exit as coordinated legal, financial, workforce, data and operations workstreams—not as a single decision to close an office or switch off systems. Start by defining which entities and functions are changing, then sequence liquidation and deregistration alongside data-transfer decisions and the controls needed to keep essential services running.

What does a business exit from China involve?

For a company being wound down, exit is a formal process. The State Council’s publication of the six-department Enterprise Deregistration Guide (2025 Revised) describes the usual sequence as dissolution, liquidation and distribution, followed by deregistration. The company must address its assets, taxes, creditor rights and debts, employee wages, social-insurance contributions and any applicable compensation, then prepare a liquidation report and apply for deregistration.

A sale, transfer of selected functions or restructuring may have a different path from dissolving an entity. First identify what is actually changing: the legal entity, particular operations, ownership, contracts, systems or some combination. The right route depends on the company’s legal form, governing documents, location, sector, licenses, workforce, debts and other facts; the national guide does not determine the best commercial option for a particular company.

How should you scope and organize the exit?

Define the perimeter

Create a list of every entity, branch, representative office, license, contract, asset, account, employee group and operational function in scope. Identify what will close, transfer, be sold, or continue temporarily. Check the entity’s governing documents and approval requirements, and flag open disputes, guarantees, tax matters and creditor claims.

Give each workstream an owner

Coordinate legal and corporate filings with finance and tax, human resources, IT and security, business operations, procurement and local management. Maintain one controlled exit register, with an owner, deadline, evidence and status for every obligation. This makes dependencies visible—for example, a system may need to remain accessible until accounting records or employee matters have been handled.

  • Record decisions and approvals for each entity and function.
  • Track creditors, debtors, contracts, leases, guarantees, litigation, tax filings, invoices and customs matters.
  • Track employee wages, social-insurance contributions and legally applicable compensation.
  • Identify which licenses, accounts, branches and vendor relationships need action, and when.

Which deregistration route applies?

Beijing Investment Promotion Service Center guidance for foreign-invested enterprises describes general and simplified deregistration. Simplified deregistration is available only to entities that meet its eligibility conditions; it is not a shortcut to choose without checking unresolved obligations and local requirements.

Route or detail What the cited guidance says What to verify
General deregistration Beijing guidance describes publicizing liquidation-group information, making a creditor announcement and a 45-calendar-day creditor-announcement period. This is Beijing-specific guidance, not a nationwide timing promise. Confirm the current procedure and applicable period with the relevant local authorities.
Simplified deregistration Beijing guidance describes a 20-day public announcement period for this route. Confirm eligibility, local applicability and current filing requirements before relying on the route or period.
Branches The same Beijing guidance says branches should be deregistered first. Confirm the order for the entity and locality involved; do not assume the Beijing instruction applies everywhere.

The Beijing service page lists common materials for general cancellation, including an application, dissolution resolution or decision, liquidation report, tax clearance and business license. It notes that online verification may remove the need for a paper tax-clearance certificate. Treat this as a local example rather than a complete nationwide checklist: verify the current document list and filing route for the entity’s location and circumstances.

What must be settled before deregistration?

Use the liquidation workstream to reconcile obligations, document the evidence and resolve or assign each item before filing completion. The national 2025 guide identifies tax and employee-related settlements among the liquidation matters; it does not provide company-specific calculations, employment notice periods, termination grounds or payment amounts.

  • Creditors and debts: Reconcile claims, liabilities, guarantees and creditor communications.
  • Assets and contracts: Identify assets for distribution or transfer, outstanding receivables, leases, supplier and customer contracts, and obligations that survive a change in operations.
  • Tax and filings: Check tax filings, clearance, invoices and customs matters with advisers familiar with the entity and its location.
  • Employees: Plan payroll and employee support, and assess wages, social-insurance contributions and any applicable compensation with China-qualified employment counsel.

Assign responsibility for each item and retain completion evidence. The applicable calculations and steps are fact-specific, so have local legal and tax advisers review them rather than inferring requirements from a general deregistration guide.

How can you decide whether China data may move abroad?

Corporate closure and data export are separate decisions. Before moving, deleting or disabling access to information, map what data exists, why it is needed, who handles it, who will receive it, where it would go and how much personal information has been exported during the relevant calendar year. The CAC’s Provisions on Promoting and Regulating Cross-Border Data Flows, issued March 22, 2024, make the applicable path depend on factors such as critical information infrastructure operator (CIIO) status, data type and volume, purpose, and whether an exemption applies.

Map and classify the data first

Record systems and datasets by type, business purpose, storage location, handler, access group, proposed recipient and destination, transfer method, and retention need. Distinguish personal information, sensitive personal information, data officially identified or publicly identified as important data, and ordinary business information. Do not assume all data generated in China is important data: the 2024 provisions say a handler need not declare data as important data for an export assessment if the relevant authorities have not notified it that the data is important and it has not been publicly identified as such. Check sector-specific requirements and the facts before relying on that rule.

Where the rules call for annual counts, track the number of individuals whose information is exported from January 1 of the relevant year. Count and classify the data carefully; a threshold cannot be applied correctly without first determining the handler’s status and whether the information is sensitive.

Compare the main transfer routes

The following summarizes the routes and bands described in the CAC’s March 2024 provisions. Thresholds are cumulative annual counts for the relevant non-CIIO handler categories, and the rules contain exemptions. A figure alone does not decide the route.

Handler and transfer facts Route described by the 2024 provisions Qualification
CIIO operator exporting personal information or important data Security assessment Confirm CIIO status, data category and any applicable exception with counsel.
Non-CIIO handler exporting important data Security assessment The provisions address data identified or publicly identified as important; do not infer that status solely from the data’s origin.
Non-CIIO handler exporting personal information of 1,000,000 or more individuals, excluding sensitive personal information Security assessment CAC 2024 cumulative annual threshold; subject to the provisions’ terms and exemptions.
Non-CIIO handler exporting sensitive personal information of 10,000 or more individuals Security assessment CAC 2024 cumulative annual threshold; subject to the provisions’ terms and exemptions.
Non-CIIO handler exporting non-sensitive personal information of 100,000 to fewer than 1,000,000 individuals Standard contract or personal-information protection certification generally applies CAC 2024 band; check the exact facts and listed exemptions.
Non-CIIO handler exporting non-sensitive personal information of 10,000 to fewer than 100,000 individuals, or sensitive personal information of fewer than 10,000 individuals Standard contract or certification generally applies CAC 2024 lower bands as summarized in the provisions; check the exact facts and listed exemptions.

The provisions include exemptions for certain employee human-resources transfers, some transfers needed to perform contracts or respond to emergencies, and specified low-volume transfers of non-sensitive personal information. Each exemption has conditions. Do not treat an exemption as a blanket permission for all data, recipients or uses.

Check employee data separately

The CAC provisions exempt certain employee personal-information exports needed for cross-border human-resources management when the management is based on lawfully established labor rules and a lawfully concluded collective contract. Confirm the scope and necessity of the transfer and meet other applicable personal-information obligations; the exemption does not make every workforce dataset exportable.

Address notice, consent and filings

In its July 24, 2026 Q&A, the CAC says a personal-information handler transferring information abroad must provide notice and obtain separate consent under Personal Information Protection Law Article 39, subject to applicable exceptions. The notice should cover the recipient’s name and contact details, processing purpose and method, information categories, and how individuals can exercise their rights. For sensitive personal information, it should also explain why the export is necessary and its impact on personal rights and interests. Assess the legal basis and any exception; completing a transfer mechanism does not by itself resolve every personal-information duty.

If the facts require a security assessment or standard-contract filing, the CAC announced second-edition filing guides and an online filing system on March 22, 2024. Check the current CAC instructions and system before preparing materials: a dated guide or system reference may change, and the applicable filing path depends on the transfer facts.

What should remain operational during the wind-down?

Plan for essential functions to continue for as long as liquidation and transition work requires them. The following is a practical continuity checklist for operations and counsel to validate against the company’s obligations; it is not a claim that each item is a specific legal duty.

  • Keep payroll and employee-support contacts available while employee matters are being handled.
  • Maintain customer communications and routes for urgent service, safety and incident reports.
  • Preserve access to accounting, contracts, tax and other records needed for ongoing work.
  • Keep cybersecurity monitoring, incident response and necessary backups in place.
  • Identify the regulatory contacts and vendor administrators needed during the transition.
  • Set approval rules for access, administrator-account transfers and credential retirement.
  • Confirm what records vendors hold, what they must return or delete, and when changes take effect.

For each function, name an accountable owner, a minimum staffing or access plan, a transition date and the condition for safely closing it. Coordinate shutdown dates with the legal and data workstreams instead of treating a deactivated system as proof that a business or regulatory obligation is complete.

How should you close the exit?

Track completion through formal deregistration, not just staff departures or systems being switched off. Use a locally reviewed schedule to determine which records must remain accessible and for how long; the cited transfer rules establish controls for exporting data, not a universal exit-retention timetable.

  • Confirm liquidation duties, tax matters and other required clearances are resolved.
  • Complete applicable branch, license, account and vendor actions.
  • Record the decision for each dataset: retain, transfer under an approved path, or delete when authorized.
  • Preserve evidence of approvals, required notices, filings, access decisions and retention or destruction actions.
  • Confirm that formal deregistration has been completed for each in-scope entity.

Have China-qualified legal and tax advisers review the plan against the entity’s city, sector, legal form, workforce, licenses, data holdings and intended transfer or deletion actions. The official national guide, CAC rules and Beijing process example answer different parts of the exit; none alone determines the complete route for an individual company.
