How to Negotiate a Layoff Severance Package and Review the Agreement

Yes, you can negotiate a layoff severance package. Treat the employer’s first draft as a proposal, not a final price: calculate the value of wages, benefits, equity and rights you would give up, then trade specific revisions for the release and other promises the employer wants. Do not sign until you understand the payment terms, health coverage, tax treatment, post-employment restrictions and every claim being waived.

This U.S.-focused guide explains how to price an offer, make a written counterproposal, check age-waiver and WARN issues, and decide when an employment lawyer should review the agreement. State law, a union agreement, your employment contract, company policy and the facts of your separation can change the result.

As an Amazon Associate I earn from qualifying purchases.

Start with the legal baseline: severance is usually negotiated, not automatic

The Fair Labor Standards Act does not require severance pay. The U.S. Department of Labor states: “There is no requirement in the Fair Labor Standards Act (FLSA) for severance pay.” Severance is generally a matter of agreement between employer and employee, so the written offer, any severance policy, your employment contract and a collective-bargaining agreement are central documents.

That does not mean an employer can withhold money you already earned. Final wages, legally required vacation payout, earned commissions or bonuses, vested retirement benefits and other existing entitlements should be identified separately from new consideration for signing a release. The Equal Employment Opportunity Commission (EEOC) explains that a waiver must be supported by consideration beyond benefits the employee was already entitled to receive.

There is no authoritative universal severance multiplier or average package. EEOC guidance says amounts vary by employer and may be expressed as a fixed amount or as weeks of salary per year of service. Your leverage comes from the value of the release, the employer’s desire for a clean transition, documented contributions, possible legal exposure and the cost or uncertainty of continuing the dispute.

What a severance package can include

Before negotiating, separate what is already owed from what the employer is offering in exchange for your signature. A total-value worksheet prevents a large headline number from hiding an expensive loss of benefits or an unfavorable payment schedule.

Item Questions to answer Why it matters
Final wages What is the final work date, and when will earned wages be paid? These wages are generally not consideration for a release.
Accrued vacation or paid time off Does the state require payout, and does company policy promise it? Rules differ by state and policy; do not trade an existing entitlement for severance.
Bonus or commission What has been earned, what is pending, and what plan conditions apply? Define eligibility, calculation, payment date and treatment of disputed amounts.
Equity Which awards are vested, what happens to unvested awards, and how long is the exercise window? Expiration dates and company-plan terms can make equity more valuable than a small cash increase.
Severance cash How much, in what form, and subject to which conditions? Compare lump-sum and salary-continuation timing after tax.
Health coverage What is the exact COBRA premium, subsidy period and payment method? A subsidy can materially change the package’s practical value.
Retirement plans How will contributions, matching, vesting and distributions be handled? Leaving employment can affect eligibility and account administration.
References and outplacement Will the employer provide agreed reference language or job-search support? A written reference can reduce uncertainty during a job search.
Release and continuing promises Which claims and parties are released, and what confidentiality, non-disparagement, cooperation or repayment duties continue? These obligations are the consideration the employer is buying.

Record the value of each item, its payment date, tax withholding and any condition. A package that pays more in cash but ends health coverage immediately may be less useful than a smaller package with a meaningful COBRA subsidy and a clear equity exercise period.

Compare the structures before choosing what to request

Choice Potential advantage Questions and risks
Lump sum Immediate access to cash and a clean administrative end. How will withholding affect the check, and will benefits end sooner?
Salary continuation Predictable income over a transition period and possible continued benefits. Does the agreement offset payments if you find a job, and when does each installment become earned?
Cash increase Flexible funds for living expenses. It may not replace the value of health coverage or a lost bonus.
Employer-paid COBRA Preserves access to the employer plan while you search for work. Confirm the subsidy’s duration, payment mechanics and what happens when it ends.
Broad release May support a larger payment. It can waive discrimination, wage, contract and other claims; check statutory carve-outs.
Narrow release Preserves more potential claims. The employer may offer less money or refuse the change.
Unilateral non-disparagement Restricts only your statements. Ask for a mutual, narrowly defined obligation if the employer wants one.
Immediate payment Provides liquidity quickly. Check whether a revocation period, administrative process or repayment clause delays payment.
Deferred payment or installments May improve cash planning and sometimes preserve benefits. Assess employer-credit risk, tax timing and whether a later payment is conditioned on anything new.

Evaluate every option on after-tax value, rights surrendered, benefit continuity, enforcement risk and administrative certainty—not just the gross dollar amount.

How to negotiate severance step by step

1. Preserve review time and collect the documents

Do not treat a short deadline as proof that you must sign immediately. Ask for the offer in writing, confirm the proposed termination date and request time to review it. Collect the agreement, exhibits, equity plan, bonus plan, employee handbook, severance policy, offer letter, employment contract, collective-bargaining agreement and relevant payroll or benefits statements. Save each version and all communications.

Confirm whether the separation is a layoff or reduction in force, whether you are being asked to return property, and whether payment depends on a non-revocation, confidentiality promise or another condition. A verbal assurance that is missing from the final signed agreement is difficult to enforce.

2. Build the total-value worksheet

List existing entitlements first, then the new consideration offered for the release. Add final wages, accrued vacation where state law requires payment, earned bonus or commission, equity vesting and exercise windows, severance cash, COBRA premiums, retirement-plan treatment, outplacement and reference language. Note the date and conditions attached to each item.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

3. Identify your strongest, specific asks

Employers can evaluate a concrete request more easily than a general demand for “a better package.” Common asks include:

  • Additional weeks of pay or a larger lump sum.
  • A later payment date or installments that improve cash planning.
  • Defined bonus, commission, equity vesting or exercise treatment.
  • Employer-paid COBRA for a stated period.
  • Neutral or agreed reference language.
  • A narrower confidentiality or non-disparagement clause.
  • A mutual release rather than a release signed only by you.
  • Deletion of unnecessary cooperation, repayment or reimbursement language.
  • A written statement that the separation was part of a reduction in force.

Tie each request to a reason the employer can assess, such as transition time, documented contributions, the value of the release, a delayed bonus cycle or the cost of replacing health coverage.

4. Trade, rather than simply demand

Make clear what the employer receives in return for each concession. For example, you might request a defined reference and a COBRA subsidy in exchange for accepting the existing release, or ask for more cash in exchange for a narrower negotiation over a non-disparagement clause. Keep the trade-offs explicit so the discussion does not become a series of disconnected promises.

5. Send a controlled written counterproposal

Use one concise email or letter that identifies the agreement date, lists requested edits, supplies replacement language where practical and gives a response deadline that still leaves time for legal review. A useful structure is:

6. Ask for the final version and check every change

Compare the revised document with the prior draft line by line. Confirm that agreed changes appear in the body or an attached exhibit, not merely in an email. Check defined terms, dates, payment calculations and cross-references. Do not sign a version that contains a new obligation you did not discuss.

Review the release line by line

The release is usually the most consequential part of the agreement. Mark each category of claim and every person or entity covered. Look for the covered time period, unknown-claims language and whether the release includes affiliates, officers, directors, owners, insurers, benefit plans or other parties.

Claims and carve-outs

  • Identify employment, contract, wage, bonus, commission, discrimination, retaliation, leave, benefits and tort claims included in the release.
  • Confirm that vested retirement benefits, workers’ compensation rights, unemployment rights where protected, and rights that cannot legally be waived remain carved out.
  • Check whether the agreement preserves the ability to enforce the agreement itself.

Government-agency rights

An agreement cannot lawfully prevent you from filing a discrimination charge with the EEOC or participating in an EEOC investigation. The EEOC states: “The agreement may not restrict the employee from filing a charge of discrimination with the EEOC.” Review any sentence requiring notice to the employer, repayment of severance or permission before communicating with a government agency.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Confidentiality and non-disparagement

Define what information is confidential, how long the duty lasts and the exceptions for your spouse, lawyer, tax professional, immediate family, government agencies and legally protected activity. Non-disparagement should identify whose statements are covered, what conduct counts as a violation and whether the employer’s representatives are bound as well. Avoid language that could be read to prohibit truthful testimony or participation in an investigation.

Cooperation, fees and enforcement

Limit cooperation duties to reasonable requests, reasonable notice and necessary subject matter. Clarify reimbursement for travel and time, the maximum duration and whether cooperation can occur during working hours at a new job. Review attorneys’ fees, governing law, venue, severability, integration language, electronic-signature terms and any clause making you repay severance for an alleged breach.

Repayment and clawbacks

A clawback should state the specific triggering event, the notice process, the amount subject to repayment and an opportunity to cure. Be cautious when a minor technical breach could require repayment of the entire package. Ask whether repayment is limited to the employer’s actual loss and whether disputed violations are decided by a court or another process.

Extra rules for workers age 40 or older

If you are covered by the Age Discrimination in Employment Act, the Older Workers Benefit Protection Act (OWBPA) imposes special requirements on an age-discrimination waiver. The waiver must be knowing and voluntary and must satisfy statutory rules concerning the agreement’s language, consideration period, revocation period and, in a group termination, information about the decisional unit and the ages and job titles of selected and non-selected employees.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not assume a generic release satisfies those requirements. Compare the draft with the EEOC’s waiver guidance and checklist. If group-layoff disclosures are missing, incomplete or confusing, pause before signing and obtain legal advice. A defective age waiver may not protect the employer even if the document contains broad release language.

Check WARN and state-law leverage

The federal Worker Adjustment and Retraining Notification (WARN) Act can require advance notice for qualifying plant closings and mass layoffs. Whether it applies depends on employer size, the event, the location, the number and timing of affected employees and statutory exceptions. Compare the notice you received and the effective date with the Department of Labor’s worker guidance. A state “mini-WARN” law may cover smaller employers or impose different requirements.

State law also controls many severance-adjacent issues, including final-pay timing, vacation payout, restrictive covenants, wage claims and how severance affects unemployment. A collective-bargaining agreement or individual contract may provide stronger rights than the federal baseline. Do not sign a release before checking whether a notice or wage claim could materially change your leverage.

Value health insurance separately

COBRA is a federal law that allows workers and their families to temporarily keep employer health coverage after events such as job loss or a reduction in hours. The usual continuation period after job loss is 18 months, with possible extensions in qualifying circumstances. The Department of Labor says the premium can generally be up to 102% of the plan cost, and COBRA generally must be elected within 60 days after the later of coverage loss or receipt of the election notice.

Ask the employer to state in the agreement:

  • The exact monthly COBRA premium for each coverage tier.
  • The number of months the employer will subsidize and whether the subsidy is a direct payment or reimbursement.
  • When the subsidy begins and ends, including how partial months are handled.
  • What happens if you become eligible for another group plan or fail to pay your share.
  • Whether the subsidy is treated as taxable income and how it appears in payroll records.

Do not value “continued health insurance” without knowing the premium, coverage tier, subsidy mechanics and end date.

Estimate taxes and the amount you will actually receive

Severance is commonly treated as wage income subject to supplemental-wage withholding. Ask payroll how federal, state and local withholding will be calculated, whether the payment will be combined with regular wages and when the payment will be reported. Withholding is an advance collection method, not necessarily your final tax liability.

Model the after-tax amount alongside the payment date. A lump sum may create a larger single withholding event, while salary continuation spreads payments; neither structure alone determines your final tax bill. Because tax results depend on your total income, residence, deductions and other facts, confirm planning decisions with a qualified tax professional.

Unemployment, retirement and equity questions

Unemployment

Whether severance delays, reduces or does not affect unemployment benefits is governed primarily by state law and the facts of the payment. Ask the state unemployment agency how it treats a lump sum, salary continuation, pay in lieu of notice and payments tied to a release. Do not assume the agreement’s label controls.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Retirement plans

Request the plan administrator’s written explanation of distribution options, matching contributions, vesting and any deadlines triggered by termination. Keep plan benefits separate from the release consideration unless the agreement clearly states what is being paid and what is already vested.

Equity awards

Read the governing equity plan and award agreements, not only the severance document. Confirm the vesting date, treatment of unvested awards, post-termination exercise window, tax withholding and any corporate-transaction provisions. If the agreement promises an extension or acceleration, require the company to state the exact award, date and number of shares or units covered.

When professional review is worth the cost

An employment lawyer is especially valuable when the agreement contains a broad release, age-waiver disclosures, alleged discrimination or retaliation, equity, restrictive covenants, strict confidentiality, a repayment trigger, a possible WARN violation or a large amount of money. The EEOC notes that waiver rules can be complicated and that employees may want to consult a lawyer.

Bring the complete document set, a timeline of events, performance and compensation records, notes about discrimination or retaliation, and your total-value worksheet. Ask the lawyer to identify rights you would waive, deadlines that could expire, negotiation priorities and whether any provision is likely to be unenforceable under the applicable state law. A focused review can be more efficient than asking counsel to renegotiate every sentence.

Final signing checklist

  • The termination date and reason for separation are accurate.
  • Final wages, accrued vacation where required, commissions, bonuses and vested benefits are listed separately from severance consideration.
  • The gross severance amount, payment form, payment date, withholding and conditions are clear.
  • COBRA premiums, subsidy duration and payment mechanics are stated.
  • Equity vesting, exercise windows and retirement-plan treatment are documented.
  • The release identifies claims, parties and covered periods precisely.
  • EEOC filing and participation rights are preserved.
  • Confidentiality, non-disparagement and cooperation duties have workable definitions and exceptions.
  • Any repayment clause has a narrow trigger, notice and cure process.
  • Governing law, venue, attorneys’ fees and severability have been reviewed.
  • For workers age 40 or older, the required age-waiver language, consideration, revocation and group-disclosure rules have been checked.
  • Any WARN or state-law issue has been evaluated before signing.
  • Every negotiated promise appears in the final signed agreement or an incorporated exhibit.
