How to Invest in Mutual Funds in Nepal: A Step-by-Step Guide

To invest in a Nepalese mutual fund, first verify the scheme and its fund manager with the Securities Board of Nepal (SEBON). Then set up a bank account with C-ASBA and a CRN, a CDSC demat account, MeroShare access and, when buying a listed closed-ended fund, a licensed broker account. Read the current prospectus before applying: it defines the fund’s objective, portfolio, tenure, dealing rules, fees, exit load, distributions, risks and tax treatment.

Open-ended units are bought from and repurchased by the fund under its published dealing rules, with the applicable NAV used for pricing. Closed-ended units run for a stated tenure and can trade on the stock exchange, so their market price may be above or below NAV. The steps below show how to choose, buy, monitor and exit either structure without assuming a return, minimum investment or settlement period that a particular scheme has not published.

What a mutual-fund unit represents

A mutual fund pools investors’ money and invests it in a portfolio selected by a professional scheme manager. You own units rather than individual shares in every company held by the scheme. The value assigned to one unit is its net asset value (NAV), calculated from the portfolio’s assets and liabilities under the scheme’s rules.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Your result depends on the portfolio, expenses, distributions and the price at which you eventually sell or redeem. A past return, dividend or NAV movement is not a promise of what comes next. Read the offer document and periodic reports instead of relying on a single performance period.

Nepal has two practical structures:

  • Open-ended funds: the manager issues units and accepts repurchase requests under the scheme’s dealing schedule. The regulation summary cited for Nepal provides for repurchase using the applicable daily NAV, while the prospectus sets dealing days, settlement and any exit load.
  • Closed-ended funds: the scheme has a stated tenure. Units may be listed and bought or sold through the stock exchange, where the traded price is determined by orders and liquidity rather than NAV alone. At maturity, the scheme follows the redemption, extension or other process stated in its documents.

Open-ended and closed-ended funds compared

Feature Open-ended Closed-ended
Life of the scheme No fixed exchange-listing tenure; the scheme document governs continuation and dealing. Fixed tenure stated in the offer document, with maturity actions described there.
How you buy Apply through the manager or its designated collection channel. Apply in a primary issue, or buy listed units through a licensed broker and trading account.
How you exit Submit a repurchase request through the manager’s channel on eligible dealing days. Sell on the exchange while listed, or follow the maturity/redemption process.
Pricing The applicable NAV under the dealing rules; check the calculation and cut-off time in the prospectus. Exchange price can be at a premium or discount to NAV and may move sharply when liquidity is thin.
Liquidity Depends on the manager’s dealing frequency, cut-off and settlement arrangements. Depends on trading volume, buyers and sellers, exchange hours and the remaining tenure.
Main operational concern Exit load, request cut-off and settlement instructions. Broker order execution, market-price discount/premium and maturity notices.

Neither structure is automatically safer. Select the structure whose liquidity and time horizon match your need for the money.

Set up the accounts and access you will use

1. Complete KYC and confirm eligibility

Start with a bank and a CDSC-licensed depository participant (DP). Complete the intermediary’s KYC and identity checks and obtain the account identifiers it requires. Documents, photographs, signatures, beneficiary details and minimum application amounts vary by institution and scheme, so use the current checklist supplied by the chosen fund or DP rather than an old form.

2. Arrange a bank account, C-ASBA and CRN

For a primary fund issue, the permitted application route normally uses C-ASBA or another channel named in the offer notice. Your bank issues a Customer Registration Number (CRN) after its verification process. Keep sufficient cleared funds in the linked account before submitting an application; the bank blocks or debits funds according to its C-ASBA procedure. A failed debit, an incorrect CRN or a mismatch in account details can invalidate an otherwise complete application.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

3. Open a CDSC demat account

A demat account records your units electronically. Use a licensed DP and check the beneficiary-owner name, citizenship or identification details and bank linkage before applying. Listed closed-ended units are held and transferred through this depository system. A manager may specify a demat requirement for an open-ended product as well, so follow that scheme’s instructions.

4. Activate MeroShare

Ask your DP to activate MeroShare and verify the email address and mobile number used for alerts. MeroShare can be used to view eligible issues, submit permitted applications, check allotment results and review holdings or transaction records. Keep contact and bank information current; an old email or phone number can prevent notices from reaching you.

5. Add a broker account for listed units

If you intend to buy or sell a listed closed-ended fund after its primary issue, open a relationship with a licensed stock broker and complete its trading-account or TMS onboarding. Confirm the broker’s order, payment, collateral and settlement instructions before placing an order. You do not need a broker to submit an open-ended repurchase request unless the scheme expressly routes it through one.

Infrastructure changes over time. SEBON’s homepage counters accessed in 2026 listed 24 mutual funds, 17 fund-manager and depository entities, 125 depository participants, 43 C-ASBA banks or financial institutions and 90 stock brokers. CDSC counters accessed in 2026 showed 8,116,484 beneficial-owner demat accounts, 7,208,020 registered MeroShare users and 5,120,895 active users. Treat these as a snapshot, not a permanent count, and check the live SEBON and CDSC pages when choosing an intermediary.

Verify the scheme before sending money

SEBON is Nepal’s securities-market regulator. Its stated functions include: “Register mutual funds, grant permission to operate collective investment schemes, and supervise and monitor them.” Use SEBON’s current mutual-fund, fund-manager, depository and intermediary information to confirm that the scheme and the entities named in its documents are authorised.

Before paying, check all of the following in the latest prospectus, offer notice or approved scheme document:

  • The exact scheme name, registration or approval details and the legal identity of the manager and depository.
  • The investment objective, permitted instruments, geographic exposure and target asset mix.
  • Whether the fund is open-ended or closed-ended, its tenure or continuation terms and its unit structure.
  • Application opening and closing dates, permitted channels, cut-off times, allotment rules and refund instructions.
  • NAV calculation, publication frequency, dealing days and repurchase or listing arrangements.
  • All manager, supervisor, depository, brokerage, transaction and other charges, including any exit load.
  • Dividend or distribution policy: whether distributions are discretionary, how they are declared and how they are paid.
  • Market, credit, interest-rate, liquidity, concentration, currency and operational risks, plus the principal-risk indicator or equivalent disclosure.
  • Reporting frequency, contact details, complaint escalation and the tax treatment described for your investor category.

An advertisement or social-media post is not a substitute for the approved prospectus. If a document conflicts with a salesperson’s explanation, pause and ask the manager or regulator which current document controls.

Choose the purchase route

Primary issue

  1. Read the offer notice and prospectus, including the closing time and any application limits.
  2. Log in to MeroShare, choose the eligible issue, enter the requested quantity and your CRN, and review the beneficiary-owner details before submitting. If the notice names a different designated collection route, use that route instead.
  3. Approve the C-ASBA request through your bank and keep the confirmation number or receipt.
  4. Check allotment and refund information through the stated channel. Do not assume an allotment, a universal minimum investment or a particular refund date; each issue sets its own terms.

Buying a listed closed-ended unit

  1. Confirm the fund’s ticker, current NAV, remaining tenure and recent trading activity.
  2. Compare the exchange price with NAV. A low price may reflect a discount, limited buyers, portfolio risk or an approaching maturity; it is not automatically a bargain.
  3. Use your broker’s TMS to enter a limit or other permitted order, checking quantity, price and validity.
  4. Keep enough funds or collateral for the broker’s requirements and complete settlement exactly as instructed. Verify that the units appear in your demat account after settlement.

Applying to an open-ended fund

  1. Use the manager’s application form, online portal or designated collection centre named in the prospectus.
  2. Provide your demat, bank and identity details exactly as recorded by the DP and manager.
  3. Submit before the dealing-day cut-off and retain the acknowledgement.
  4. Check the applicable NAV, any exit load, request acceptance date and expected settlement in the scheme’s dealing rules.

Compare funds on more than performance

Use a side-by-side worksheet before choosing a scheme. Give each item its own note so that a high recent return does not conceal a poor fit:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Objective and portfolio: A fund concentrated in equities behaves differently from one holding debt, money-market instruments or fixed deposits. Check concentration limits and permitted changes.
  • Structure and liquidity: Match an open-ended dealing schedule or a closed-ended maturity and exchange volume to when you may need cash.
  • NAV and market price: For a listed fund, record both and calculate the premium or discount. For an open-ended fund, check when NAV is struck and which day’s request receives it.
  • Manager and depository: Review experience, disclosures, service channels, complaint handling and the charges each document assigns to the scheme.
  • Fees and exit load: Read the expense schedule, not only the headline return.
  • Distribution policy: A dividend reduces the fund’s assets when paid; compare total value and policy rather than treating a distribution as free extra return.
  • Risk and reporting: Look for stress scenarios, portfolio disclosure, audited statements and the frequency of NAV and report publication.
  • Service quality: Confirm that applications, statements, notices and redemption requests can be completed through channels you can reliably access.

Do not infer future returns from one past period, one high dividend or a temporary market-price premium.

Fees and charges to check

The cited 2020 amendment summary to Nepal’s Mutual Fund Regulation records these ceilings. They are regulatory reference points, not a replacement for the current prospectus or tariff:

Charge Published ceiling in the 2020 amendment summary What to verify now
Annual supervisor fee 0.20% Whether the current scheme applies the ceiling and how it is accrued.
Annual scheme-manager fee 1.5% The actual rate, calculation base and whether performance-related charges exist.
Annual depository fee 0.20% The scheme’s disclosed rate and any separate DP account charges.
Open-ended repurchase exit fee Up to 1.50% of the repurchase price Applicable holding-period bands, exemptions and the rate on your dealing date.

You may also encounter broker commission, exchange, DP, bank, payment or account-maintenance charges. Their amount and tax treatment depend on the service, investor status and current tariff. Ask the broker, bank, DP or manager for the written schedule. Nepal’s rules do not establish one universal minimum investment, tax rate or settlement time for every fund and investor; rely on the current scheme and applicable tax guidance.

Portfolio safeguards and their limits

The regulation summary describes diversification limits that can reduce concentration but cannot prevent losses:

Instrument or exposure Limit described in the summary
Ordinary shares of one investee company Up to 10% of that company’s paid-up capital.
Preference shares or debentures of one investee company Up to 20% of the company’s paid-up capital or issue base as specified by the rule.
Fixed deposits Limited to 15% of scheme NAV.
Money-market instruments Limited to 10% of scheme NAV.

The rules include stated exceptions near scheme maturity. Confirm the exact wording in the current regulation and prospectus. Even within a limit, falling share prices, issuer default, interest-rate changes, weak trading volume, valuation errors or operational failures can reduce NAV. Diversification is a control, not a guarantee of capital or income.

Monitor your investment after allotment or purchase

Save the application receipt, allotment notice, contract note, demat statement and every distribution or maturity notice. Set a regular review date rather than reacting to a single market move.

  • Check NAV and the manager’s portfolio or financial reports at the published frequency.
  • For a listed closed-ended fund, compare market price, NAV, traded volume and time remaining to maturity.
  • Confirm that units and transactions appear correctly in MeroShare or your DP statement.
  • Read dividend or distribution notices for record dates, payment method and any required bank or demat update.
  • Watch for changes to manager, depository, investment objective, fees, dealing days or risk disclosures.
  • Record the fund’s maturity date and the instructions for redemption, extension, delisting or conversion.

How to exit without surprises

Redeeming an open-ended unit

  1. Check the manager’s current repurchase form, eligible dealing day, cut-off and identity requirements.
  2. Confirm the NAV reference, exit load and settlement method that will apply to your request.
  3. Submit through the stated portal, office or collection channel and keep the acknowledgement.
  4. Verify the payment in the registered bank account and reconcile the reduced units in your statement.

Do not use a broker order to exit an open-ended fund unless the scheme specifically instructs you to do so.

Selling a listed closed-ended unit

  1. Review the latest NAV, order book, trading volume and remaining tenure.
  2. Place an order through your licensed broker, using a price and quantity you understand.
  3. Allow for brokerage, exchange and other stated charges and complete settlement under the broker’s instructions.
  4. Keep the contract note and confirm that the units and proceeds have been updated.

The exchange price may be below NAV even when the portfolio is performing well, because a sale requires a willing buyer at the quoted price.

Common problems and fixes

MeroShare does not show the issue

Check that the offer is open, your DP has activated MeroShare, your account is eligible and the issue is available through your selected channel. If the closing time has passed, only the notice’s alternate process can help; do not submit through an unlisted website or agent.

The C-ASBA application fails

Verify CRN, bank balance, beneficiary-owner details and application limits. Contact the bank before retrying if funds are blocked or a duplicate request appears. Keep screenshots or reference numbers for a formal complaint.

Units are missing after allotment or purchase

Compare the allotment or contract note with the DP statement. Ask the DP or broker to investigate a name, BOID, settlement or transfer mismatch; do not submit a second application until the first is resolved.

The closed-ended unit trades below NAV

Check liquidity, portfolio composition, market conditions, distribution expectations and time to maturity. A discount can persist, so buy only if you accept the possibility of selling below NAV.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A dividend or redemption payment has not arrived

Read the notice for the record date, eligibility and payment method, then confirm your bank and demat details with the manager or DP. Escalate with the acknowledgement and statement if the published payment window has passed.

A practical pre-investment checklist

  • Have I confirmed the scheme, manager and depository through current SEBON information?
  • Have I read the latest prospectus rather than relying on an advertisement?
  • Do I understand the objective, asset mix, tenure, NAV or market-price mechanism and liquidity?
  • Are my KYC, bank, CRN, demat, BOID, MeroShare and contact details consistent?
  • For a listed unit, have I opened a broker account and checked the ticker, volume and premium or discount to NAV?
  • Have I written down every disclosed fee, exit load, tax responsibility and dealing cut-off?
  • Can I tolerate loss and, for a closed-ended fund, hold until maturity if the market is illiquid?
  • Do I know where to find statements, notices, distributions and redemption instructions after investing?

If any answer is no, pause the application and obtain the missing information from the fund, DP, bank, broker or regulator. The safest process is one that you can document and repeat, not one based on a promised return.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
