Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesThe reliable way to find recent mergers and acquisitions is to combine broad discovery with primary-document verification. Define the industry, geography, transaction types and date window first; collect candidate deals from company and regulator announcements; confirm terms and status in SEC EDGAR and other official records; then compare normalized fields such as value, consideration, strategic rationale, regulatory review and outcome. Keep announced, signed, filed, closed, terminated and litigated dates separate so a pending or failed transaction is not mistaken for a completed one.
1. Define what “recent M&A” means for your project
A search becomes unreliable when “industry” and “recent” are left undefined. Write a scope note before collecting deals. That note is the control document for your dataset and prevents comparable transactions from being mixed with unrelated ones.

Choose an industry taxonomy
Use a repeatable classification, such as an SIC or NAICS code, and add a plain-language subsegment. A broad label such as “software” can combine enterprise applications, cybersecurity, infrastructure and consumer apps whose valuation and antitrust issues differ greatly. Record both the formal code and the operating category you used to include a deal.

Specify whether the scope covers one country, a region or worldwide transactions. Decide whether a target must be headquartered in the geography, generate revenue there, or compete there. State whether private-company acquisitions are included. Public-company information is usually richer; private deals may have only a press release, a court record or a regulator notice.

Define the lookback window and event date
A 12- or 24-month window is common, but select the event that starts the clock. “Recent announced deals” uses the announcement date; a closing study uses the completion date. Keep the other milestones even when they fall outside the window. A transaction announced near the end of a period may close months later, while an older announcement can be terminated during the period being studied.
Choose transaction types
List the structures that count: merger, acquisition of shares, tender offer, asset purchase, joint venture or a material combination. A minority investment, licensing arrangement or ordinary partnership may not belong in an M&A set unless your question explicitly includes it. Record the structure rather than forcing every transaction into “acquisition.”
Define “recent” status terms
Decide whether the project covers deals that are announced, signed, filed, completed, terminated, withdrawn, blocked, litigated or restructured. A completed-only list is useful for realized transaction economics but unsuitable for assessing execution or regulatory risk.

2. Discover candidate transactions without treating headlines as facts
Discovery is a lead-generation stage. Search several channels, then verify each material field in a primary document.
- Investor-relations releases: Search buyer and target newsrooms for announcements, merger-agreement summaries and closing notices.
- Exchange and issuer announcements: Public companies often publish signed-agreement updates, shareholder-vote results, financing changes and termination notices through exchange channels.
- Regulator press releases: Competition authorities and other regulators may announce investigations, challenges, consent orders, remedies or clearances.
- Industry reporting: Trade and financial news can reveal private transactions or rumored bids. Treat every such item as a candidate until an official document confirms it.
Use search combinations that include the subsegment, buyer or target, “merger agreement,” “tender offer,” “acquisition,” “closing,” “terminated,” “second request” and “antitrust.” Save the first source you find, but do not copy its valuation or status into the final table until a filing or official release supports it.
Create a candidate log
Give each candidate a stable identifier and record the discovery date, the source that surfaced it, the apparent parties and the apparent event date. Add a verification status such as “lead,” “primary source found” or “needs follow-up.” This prevents an unverified rumor from silently becoming a deal in the published analysis.

3. Verify public-company transactions in SEC EDGAR and issuer filings
For listed companies, SEC EDGAR and the issuer’s filings are the central verification record. Read the underlying documents rather than relying on a data-provider summary.

Identify the exact buyer, target, acquisition vehicle and subsidiaries. Note whether the transaction is a statutory merger, tender offer, share purchase, asset purchase or another structure.
- Capture the announcement and signing dates separately. A release may announce an agreement on the same day it is signed, but the dates can differ. Enter each date as stated in the document.
- Read the consideration section. Record cash per share, stock exchange ratio, fixed share counts, collars, earn-outs, contingent payments and assumed debt when disclosed. Do not turn a headline value into a precise figure if the filing describes a range or conditions.
- Review the merger agreement and proxy or tender-offer materials. These documents describe conditions to closing, voting thresholds, outside dates, termination fees, financing conditions, employee arrangements and required regulatory approvals.
- Follow subsequent filings. Search for shareholder approval, amendments, extensions, financing changes, regulatory developments, closing announcements and termination notices. A single announcement is not a status history.
- Record the exact source for every material field. Keep the filing or release title, publication date, access date and URL in your research log so another reader can reproduce the row.
Keep announcement, signing, filing, closing, termination and litigation dates in separate fields. Using one generic “date” column is a common cause of false comparisons.
4. Track the timeline and determine whether a deal actually completed
Build a chronological event log for every transaction. The log should show what happened, when it happened and which document supports it.
| Milestone | What it means | Evidence to capture |
|---|---|---|
| Announcement | The parties publicly disclose a proposed transaction or bid. | Company or exchange announcement; note whether an agreement was already signed. |
| Signing | The parties execute a definitive agreement or launch a formal offer. | Merger agreement, tender-offer document or issuer filing. |
| Filing | Required securities, shareholder, competition or court materials are submitted. | SEC filing, proxy, tender materials, regulator filing or court docket. |
| Closing | Legal ownership or the contracted assets transfer after conditions are met. | Closing release, issuer filing or regulator confirmation. |
| Termination or withdrawal | The agreement ends, a bid is withdrawn, or a required condition is not met. | Termination notice, amendment, exchange announcement or filing. |
| Litigation or agency action | A regulator or private party challenges, blocks or seeks to modify the transaction. | Complaint, court order, agency release or settlement document. |
Use a controlled status vocabulary: pending, completed, terminated, withdrawn, blocked, litigated or restructured. If several labels apply, preserve the sequence—for example, “litigated, then terminated”—instead of selecting only the final word. A restructured deal should retain the original terms and the amended terms, with the date and document that changed them.
5. Understand antitrust review and closing mechanics
In the United States, the Federal Trade Commission and Department of Justice explain that the Hart-Scott-Rodino (HSR) premerger notification process gives agencies an opportunity to assess likely competitive effects before a reportable transaction closes. The agencies review thousands of merger filings each year.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
HSR waiting periods
For most reportable transactions, the standard waiting period is 30 days. A cash tender offer or a transaction involving bankruptcy generally has a 15-day waiting period, subject to the conditions described by the FTC. Early termination can shorten the period when granted. Do not treat the end of a waiting period as a guarantee that every competition issue has been resolved; other approvals, litigation or contractual conditions may remain.

Second Requests
An agency Second Request seeks additional business documents and data about products, market conditions and likely competitive effects. Record the date it was issued, the agency involved and any later clearance, challenge, settlement or abandonment. A Second Request is a review event, not proof that a transaction will be blocked.
Read the evidence and the remedy
The DOJ evidence guidance identifies documents, testimony, available data and analysis of those data as inputs to merger review. Evidence created in the normal course of business is generally more probative than material prepared after a review is anticipated. When an agency permits a deal with remedies, describe the remedy—such as an asset divestiture or behavioral obligation—and whether the transaction closed under those terms.
The 2023 DOJ/FTC Merger Guidelines state that agencies ask how firms compete and whether a transaction may substantially lessen competition or create a monopoly. They also emphasize that merger review is ultimately a fact-specific exercise. Your comparison should therefore report the relevant market evidence and agency action rather than assign a generic “high” or “low” risk score without explanation.
6. Build a normalized comparison table
Use one row per transaction and never combine multiple deals announced by the same buyer into a single row. The following fields make different structures comparable while preserving important differences.
| Field | How to record it |
|---|---|
| Buyer and target | Legal names, ticker symbols where relevant, and acquisition vehicle if disclosed. |
| Announcement, signing and closing dates | Separate dates in ISO format when possible; retain the source’s stated time zone or date wording if material. |
| Deal type | Merger, tender offer, share purchase, asset purchase, joint venture or other stated structure. |
| Transaction value | Use the parties’ stated headline value and identify whether it is equity value, enterprise value or another measure. |
| Cash, stock and mixed consideration | Record the fixed amount, exchange ratio, collar, contingent payment or “not disclosed” when the source does not specify it. |
| Premium | Enter the disclosed reference price and measurement date; otherwise write “not disclosed,” not an estimate. |
| Target geography and industry subsegment | Apply the scope definitions consistently and note cross-border exposure. |
| Buyer type | Strategic acquirer, financial sponsor, consortium, or another category supported by the documents. |
| Strategic rationale | Summarize stated product, technology, capacity, vertical, geographic or customer rationale. |
| Financing | Cash on hand, debt, equity issuance, committed financing or “not disclosed.” |
| Regulatory review | HSR status, other jurisdictions, Second Request, agency challenge, clearance and remedies. |
| Final status | Completed, pending, terminated, withdrawn, blocked, litigated or restructured, with a date. |
| Primary sources | At least one source URL for each material field, plus publication and access dates. |
Write “not disclosed” when a filing or release does not provide a value. Do not use zero, a blank cell or a calculated guess to imply that no payment, premium or financing existed.
7. Compare deal economics without mixing incompatible values
Distinguish the valuation measures
Equity value generally refers to the value paid to shareholders. Enterprise value can include assumed debt and exclude or adjust for cash. A headline “transaction value” may use either definition or include other obligations. Put the definition beside the number in the table. Two deals cannot be ranked meaningfully if one value is equity value and the other is enterprise value.

Separate fixed and contingent consideration
Cash, stock, earn-outs, rollover equity, contingent value rights and assumed liabilities create different economic exposures. Show the fixed portion and contingent portion separately when the documents permit. For stock consideration, record the exchange ratio and the reference share price or valuation date rather than treating a fluctuating market value as a fixed price.
Handle premiums carefully
A premium is meaningful only with its reference price and date—for example, the unaffected price before a specified announcement. A premium based on a 30-day average is not directly comparable with one based on the prior trading day. If the source does not disclose a premium or reference basis, mark it “not disclosed.”
Account for financing and conditions
Compare whether consideration is funded with cash on hand, new debt, equity issuance or committed financing. Note financing conditions, reverse termination fees and other provisions that shift execution risk. A nominally higher offer can carry a different risk profile when it depends on financing or contingent payments.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Compare strategic fit and buyer behavior
Price alone does not explain why a deal was pursued. Code the stated rationale into consistent categories, then preserve the supporting detail.
- Horizontal overlap: The parties sell competing products or services to similar customers.
- Vertical relationship: One party supplies, distributes or enables the other.
- Geographic expansion: The buyer enters a new country or region through the target.
- Technology or capacity: The target adds intellectual property, talent, manufacturing capacity or infrastructure.
- Customer or channel reach: The buyer gains distribution, accounts or a complementary platform.
- Portfolio or financial strategy: A sponsor, consortium or strategic buyer pursues a stated portfolio, scale or return objective.
Identify the buyer as a strategic acquirer, financial sponsor or another supported type. Compare repeated acquisitions by the same buyer for pattern, but do not infer intent beyond statements in filings and releases.
9. Assess competition risk in context
Competition risk depends on the market in which the parties compete, the strength of alternatives and the effect of the transaction—not simply on the number of competitors named in a press release.
Best Value
Describe the relevant market evidence
Record the products, customers, geography and competitive dimensions identified by the parties, agencies or courts. Note close substitutes, differentiated offerings, entry conditions and whether the parties describe one another as significant rivals. If the documents use different market definitions, preserve both rather than forcing one conclusion.
Look for consolidation patterns
Repeated acquisitions can leave fewer effective competitors and increase scrutiny even when each individual transaction appears modest. Add a field for the buyer’s related acquisitions in the same subsegment and period. Distinguish a documented consolidation trend from an assumption based only on deal count.
Record agency and court outcomes
Classify the action as clearance, clearance with remedies, Second Request, complaint, settlement, injunction, abandonment or another documented outcome. Explain what the remedy changed and whether the parties closed afterward. The 2023 Guidelines provide analytical frameworks, but they do not turn any single industry threshold into an automatic result.

10. Include failed, delayed and restructured deals
A dataset that keeps only completed transactions overstates successful execution and hides regulatory, financing and valuation risk. Keep every candidate that reached a formal announcement or signed agreement, then label the outcome accurately.
- Pending: The agreement remains active and the closing has not occurred as of the stated date.
- Completed: The parties announced that required conditions were satisfied and ownership or assets transferred.
- Withdrawn: A bid was pulled before completion, whether voluntarily or after a competing offer.
- Terminated: The agreement ended under its contractual provisions.
- Blocked or enjoined: An agency or court prevented the transaction from proceeding in its proposed form.
- Litigated: A court challenge was filed; record the case outcome separately from the commercial status.
- Restructured or repriced: The parties amended consideration, scope, assets or conditions and continued toward closing.
For a failed deal, preserve the proposed value, announced rationale, termination reason if disclosed, fees paid, litigation result and any later transaction involving the same target. Do not replace the original row with a later deal; create a separate row linked by the target and date.
11. Cite and maintain the dataset
Attach a primary source to every material field, not just to the row’s headline value. Record publication and access dates because filings can be amended and web pages can change. Retain the filing or release URL exactly as published.
Use a source hierarchy
- Regulator, court and exchange records.
- SEC EDGAR and other issuer filings.
- Official investor-relations releases and closing notices.
- Industry or financial news used to discover candidates or fill clearly attributed gaps.
When sources conflict, prefer the later primary filing for updated terms and explain the change in a note. Keep a “source coverage” field showing which rows have complete primary documentation and which rely partly on secondary reporting.
Set a status cut-off
Every published comparison needs an “information current through” date. A pending deal can change status immediately after publication, so state the cut-off beside the status field and schedule a review of all pending, litigated and restructured rows.
12. Common errors and how to correct them
- Counting rumors as transactions: Require a signed agreement, formal offer or official announcement before inclusion.
- Using one date: Separate announcement, signing, filing, closing, termination and litigation dates.
- Ranking headline values: Normalize equity value, enterprise value, assumed debt and contingent consideration first.
- Estimating missing premiums: Enter “not disclosed” unless the source states both the premium and its reference basis.
- Calling clearance completion: Check closing conditions, shareholder approval and later filings after any waiting period ends.
- Dropping failed deals: Retain withdrawn, blocked, litigated and terminated rows to measure execution risk.
- Ignoring private transactions: Label coverage limits and identify which fields came from a release, court record or regulator notice.
- Overstating database completeness: Report the search channels and missing fields; no published figure reliably establishes that any M&A database captures every industry deal.
13. A practical repeatable workflow
- Write the industry code, subsegment, geography, transaction types, inclusion of private deals and lookback window.
- Search company, exchange, regulator, court and industry sources; create a candidate log with discovery dates.
- Obtain the definitive agreement, EDGAR filing, proxy or tender materials and every subsequent status update available.
- Populate separate timeline fields and assign a controlled status as of a stated cut-off date.
- Enter transaction value with its definition, consideration mix, premium basis, financing and contingent terms.
- Code strategic rationale, buyer type, market overlap, geographic reach and consolidation context.
- Record HSR and other regulatory events, Second Requests, remedies, litigation and court outcomes.
- Mark unavailable values “not disclosed,” attach a primary source to each material field and flag rows with incomplete coverage.
- Review all pending and failed transactions again before publication so a stale status does not distort the comparison.
This process produces a comparison that explains not only which deals were announced, but also what buyers agreed to pay, how the transactions were structured, what competitive concerns arose and whether the promised combination actually occurred.
