How to Finance the Acquisition of a Construction Company

Finance a construction-company acquisition with a layered capital stack, not one loan: use acquisition debt (often an SBA 7(a) loan or conventional facility), buyer equity and lender-approved seller financing for the purchase price, then separate facilities for payroll and materials, equipment or real estate, and surety bonding. Before signing, prove the backlog, work in progress, receivables, claims, licenses, insurance, and bonding can survive the ownership change.

What a construction-company acquisition actually needs to fund

The price on the letter of intent is only one cash requirement. A contractor can be profitable on an income statement and still run short of cash because it pays employees, suppliers and subcontractors weeks before collecting progress billings. Retainage, disputed change orders and slow-paying owners extend that gap. Your financing plan therefore needs separate buckets with different collateral and repayment logic.

As an Amazon Associate I earn from qualifying purchases.

  • Operating-business purchase: goodwill, customer relationships, contracts and other eligible assets bought at closing.
  • Buyer equity: the required injection, transaction fees and a liquidity reserve that remains after closing.
  • Seller financing: a subordinated note that can bridge a valuation or equity gap if the senior lender approves its terms.
  • Working capital: a revolving line or borrowing-base facility for payroll, materials, subcontractor draws, insurance and taxes while receivables are outstanding.
  • Fixed assets: separate debt for heavy equipment, vehicles, a yard, a shop or other eligible property.
  • Surety capacity: the indemnity, collateral and bank support needed to keep bid, performance and payment bonds in place.

The right structure is the one that leaves enough liquidity to perform existing work and satisfies the surety after the ownership change. A low interest rate is not a bargain if the facility cannot fund the company’s peak cash deficit or if bonding limits fall below the backlog.

Primary ways to finance the purchase

SBA 7(a) acquisition financing

The U.S. Small Business Administration describes 7(a) as its primary business-loan program and expressly permits “changes of ownership (complete or partial),” working capital, equipment, furniture, supplies and real estate. The maximum 7(a) loan amount is $5 million (SBA program information accessed October 19, 2026). SBA does not lend directly; you apply through a participating lender. The lender underwrites repayment from business cash flow, collateral and guarantors, with repayment terms set within SBA limits.

A 7(a) loan can combine eligible acquisition uses in one senior facility, which is useful when the transaction includes goodwill and a modest amount of equipment or working capital. It does not eliminate normal underwriting. The lender still needs a supportable valuation, credible projections, acceptable personal guarantees and evidence that licenses, contracts and bonding will continue.

Conventional acquisition debt

A bank may offer a conventional term loan when the buyer, company cash flow, collateral and transaction size fit its credit policy. Ask whether the bank will finance goodwill, how it treats seller notes, and what covenants or personal guarantees apply. Compare the total cash required at closing and the post-close line of credit, not only the quoted rate. A conventional loan can be attractive for a larger or stronger contractor, but it may provide less flexibility than a government-guaranteed structure when collateral is limited.

CDC/504 for major fixed assets

The SBA’s CDC/504 program is designed for major fixed assets such as land, buildings, machinery and equipment. A typical structure has a private-sector first loan of up to 50% of project cost, a CDC debenture of up to 40%, and at least 10% borrower equity. Because 504 proceeds are aimed at eligible fixed assets, this program generally complements acquisition financing rather than replacing the loan used for goodwill and general purchase price. Separate the real estate and equipment value in the purchase agreement so your lender can test whether a 504 project is practical.

Working-capital facilities

Use a revolving line, borrowing-base facility or an SBA working-capital product to bridge the timing between job costs and collections. The SBA Working Capital Pilot is described as a monitored line of credit of up to $5 million for eligible businesses with at least one year of operating history and timely financial, receivables, payables and inventory reporting. Availability is tied to the lender’s monitoring and borrowing-base rules; it is not an automatic cash reserve.

For a contractor, size the line against the peak projected cash deficit. Average monthly revenue conceals the week when payroll, steel, concrete, subcontractor draws, insurance and taxes all fall due before the next progress payment.

Seller financing and buyer equity

Buyer cash should cover the required equity injection, fees and a realistic liquidity reserve. Do not put every dollar into the closing check. A seller note can reduce senior debt and bridge a gap between the agreed price and the amount a lender will support, but the senior lender must approve the note’s interest rate, maturity, payment schedule, subordination and any standby period. A note that is payable immediately or secured ahead of the bank can make the senior loan unacceptable.

Negotiate seller financing alongside the lender’s term sheet. Document whether payments are fully deferred during an agreed period, how defaults are handled, and whether the seller’s consulting or transition obligations continue if the note is outstanding.

Construction-specialist banking

A bank with a construction-trades group may analyze backlog, work in progress, bonding capacity and equipment cycles more precisely than a generalist lender. Sunflower Bank’s construction group, for example, says it structures contractor ownership transitions with backlog and bonding capacity in the valuation and sizes working-capital lines to project backlog; it also describes equipment loans for heavy equipment, vehicles and job-site tools. Use that approach as a comparison framework, regardless of which lender you choose.

How much cash do you need at closing?

There is no universal down payment for a contractor acquisition. The required amount depends on the lender, valuation, transaction size, collateral, guarantors, SBA rules in effect at approval and the company’s projected cash flow. Build a sources-and-uses schedule that shows every dollar.

Uses of funds What to include
Purchase consideration Goodwill, working assets and any separately priced equipment or real estate.
Refinancing or payoff Existing company debt, liens and equipment leases that must be cleared.
Transaction costs Legal, accounting, valuation, lender, environmental, title and filing costs.
Required equity The buyer injection required by the senior lender and any fixed-asset program.
Post-close liquidity Cash reserved for payroll, materials, insurance, taxes, bonding collateral and the first billing cycle.

Then list the sources: senior acquisition loan, buyer cash, lender-approved seller note, equipment or 504 financing, and the working-capital line. The senior loan should be sized to a defensible valuation and debt-service capacity, not simply to the seller’s asking price. If the price exceeds supported value, the difference must be funded by acceptable equity or seller debt on terms the senior lender accepts; projected growth alone is not a financing source.

Asset purchase or stock (membership-interest) purchase?

Have legal and tax advisers compare both structures before you sign a letter of intent. The choice changes which liabilities you inherit, how contracts and licenses move, the tax result and how the surety views continuity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Issue Asset purchase Stock or membership-interest purchase
Liabilities Buyer can select assets and may avoid some legacy liabilities, subject to successor-liability laws and the contract. The entity continues with its liabilities, claims, tax history and compliance record.
Contracts and licenses Assignments, novations or reissuance may be required; some rights do not transfer automatically. Entity-level contracts and licenses may continue, but change-of-control consent can still be required.
Employees and benefits Buyer decides which employees and obligations to assume, subject to employment and wage laws. Employees remain with the entity, along with its payroll, benefit and wage history.
Bonding Surety may treat the buyer as a new principal and require requalification, new indemnities or collateral. Continuity may help, but a change in ownership still requires surety consent and updated underwriting.
Tax planning Asset allocation affects depreciation and future tax basis; obtain an allocation agreed by both parties. Tax treatment differs by entity and election; advisers may evaluate a Section 338(h)(10) election where eligible.

Do not assume an asset deal automatically preserves the jobs that matter. Confirm that contractor licenses, permits, prequalification, master-service agreements, warranties and change-order rights can be transferred or reissued. Conversely, do not assume a stock deal transfers cleanly: a change-of-control clause can require customer, landlord, lender or surety consent even though the legal entity remains the same.

What lenders and sureties will underwrite

Backlog and work in progress

Request a contract-by-contract schedule, not a single backlog total. For each job, show original contract price, approved changes, billed-to-date, costs incurred, cost to complete, estimated gross profit, retainage and expected collection dates. Reconcile the schedule to the general ledger and test whether estimated margins have changed as work progressed. A large backlog with thin margins, aggressive estimates or unresolved change orders may provide less repayment support than a smaller, well-priced backlog.

Receivables and payables

Reconcile aged accounts receivable and accounts payable to the general ledger and bank activity. Investigate receivables beyond normal terms, retainage, disputed invoices, related-party balances, unapproved change orders and credits. Identify which receivables are eligible for a borrowing base and which are excluded. On the payable side, look for unpaid subcontractor claims, joint-check arrangements, tax balances and suppliers that have stopped extending terms.

Cash conversion

Build a weekly, 13-week cash-flow model for the transition and a monthly model for the rest of the projection period. Map payroll dates, material purchases, subcontractor draws, insurance premiums, tax deposits and debt service against progress-billing receipts. Stress the model for a delayed draw, a disputed change order, a cost-to-complete overrun and a slower collection cycle. The line should cover the modeled peak deficit plus a management cushion agreed with the lender.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Bonding capacity

Ask the current surety in writing what the ownership change requires. Confirm single-job and aggregate limits, indemnity agreements, collateral demands, personal guarantees, the buyer’s experience requirements and the treatment of work already bonded. A surety may require new financial statements, a transition plan or additional collateral before consenting. Never close on the assumption that the existing bond program will remain unchanged.

Financial reporting and accounting method

Sureties commonly request fiscal-year-end statements for at least three years, aged receivable and payable schedules and evidence of a bank line of credit. The National Association of Surety Bond Producers notes that the AICPA percentage-of-completion method is preferred by most sureties. If the target uses a different method or has weak job-cost records, budget time and money to normalize the statements before underwriting.

Licenses, contracts and compliance

Verify contractor licenses, permits, registrations, prequalification files, master-service agreements, warranty obligations and change-order rights in every state or locality where the company works. Review open claims, OSHA matters, environmental issues, prevailing-wage exposure, payroll taxes and insurance-loss history. Obtain written consent or a reissuance plan for any item that cannot transfer at closing.

Equipment and real estate

Inventory owned equipment, leased equipment, titled vehicles and job-site tools. Check liens, title, maintenance condition, hours, insurance and replacement needs. Separate the value of an owner-occupied yard or shop from the operating-company price; it may be purchased, leased back or financed through a fixed-asset facility. Do not use equipment value twice as both collateral for the acquisition loan and a separate equipment loan.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Management and customer continuity

Document seller training, key-employee retention, estimator and project-manager continuity, customer notifications and authority over bank accounts and contracts. Identify the people who control estimating, scheduling, collections and surety communication. A transition plan that exists only in the seller’s memory is a repayment risk.

A practical financing process

  1. Define the transaction perimeter. Decide whether you are buying assets or equity, and list included contracts, employees, equipment, real estate, cash, debt and excluded liabilities.
  2. Sign a lender-ready letter of intent. Make price, seller-note concept, access to records, financing contingency and required consents explicit.
  3. Assemble the underwriting file. Provide three or more years of financial statements, tax returns, job-cost reports, backlog and work-in-progress schedules, aged receivables and payables, bank statements, equipment lists, insurance, claims and licenses.
  4. Obtain an independent valuation. Reconcile normalized cash flow, equipment value, working-capital needs, backlog quality, customer concentration and bonding capacity. Challenge add-backs and owner expenses that will not disappear after closing.
  5. Approach multiple appropriate lenders. Compare an SBA 7(a) lender, a conventional bank and a construction-specialist bank on total cash required, leverage, collateral, guarantees, covenants, line availability and closing speed.
  6. Engage the surety before final credit approval. Deliver the buyer’s résumé, personal financial statement, transition plan and pro forma statements. Obtain written conditions for continuing or replacing the bond program.
  7. Model the cash trough. Integrate the acquisition debt, seller-note payments, payroll, materials, subcontractors, retainage, collections, taxes and insurance in a weekly transition model.
  8. Negotiate definitive documents. Coordinate purchase agreement, loan agreement, seller note, leases, assignments, employment agreements, indemnities, escrow or holdback and closing conditions.
  9. Close only after consents are documented. Confirm lien releases, license transfers, customer or landlord approvals, insurance certificates, bank-control procedures and surety authority.
  10. Operate to the reporting package. Deliver borrowing-base certificates, financial statements, backlog updates and covenant reports on the schedule required by the lender and surety.

How to compare financing proposals

Comparison axis Questions to ask
Total cash at close What equity, fees, reserves, collateral and minimum cash balance are required?
Leverage and debt service What debt amount is supported by normalized cash flow, and how does repayment perform under a slower collection cycle?
Seller-note flexibility Is the note subordinated, on standby or amortizing, and can its terms change without bank consent?
Collateral and guarantees Which assets, personal guarantees, life insurance or additional collateral are required?
Working-capital availability What borrowing-base formula, advance rates, exclusions, reserves and reporting frequency apply?
Equipment and real estate Can eligible assets be financed separately, and will those liens restrict the operating line?
Speed and conditions How long do valuation, environmental, legal, SBA and surety approvals take?
Covenants What minimum liquidity, debt-service, net-worth, borrowing-base and reporting tests apply?
Bonding effect Will the lender’s liens, cash controls or distributions reduce the surety’s available capacity?

Ask every lender to show the first 12 months of required payments and the remaining undrawn line under your cash-flow model. A proposal that looks cheaper on an annual percentage rate can be more expensive if it forces you to inject emergency equity during a seasonal cash gap.

Common failure points and fixes

  • Using all cash for the purchase: retain a post-close reserve and arrange the working-capital line before the closing date.
  • Relying on total backlog: analyze margin, collectability, schedule, retainage and customer concentration job by job.
  • Closing before surety consent: make written bonding approval a closing condition and satisfy every collateral or indemnity requirement.
  • Overstating receivables: remove disputed, related-party and stale balances from availability until collected or otherwise accepted by the lender.
  • Ignoring seller-note subordination: have the senior lender approve interest, maturity, standby and default provisions before signing.
  • Assuming licenses and contracts transfer: obtain assignments, novations or reissuance confirmations from the relevant authority or counterparty.
  • Accepting weak job-cost records: reconcile work in progress to the ledger, rebuild cost-to-complete estimates and use an accounting method acceptable to the surety.
  • Underestimating transition risk: retain key estimators and project managers, define seller training and notify customers with a continuity plan.
  • Double-pledging assets: map every existing lien and coordinate collateral releases before adding equipment or real-estate financing.

What the final capital stack should accomplish

The senior acquisition facility should fund only the value that the business’s normalized cash flow and collateral can support. Buyer equity should cover the required injection, fees and a reserve. A lender-approved seller note can bridge a measured gap without starving the company of cash. A monitored working-capital line should cover the modeled peak deficit, while equipment or 504 financing keeps long-lived assets from consuming operating liquidity. The surety arrangement must be documented as part of the financing, not treated as an administrative detail after closing.

Exact rates, down payments, debt-service ratios, collateral and closing timelines vary by lender, borrower, valuation, transaction size and the SBA rules in effect when you apply. The U.S. Small Business Administration states that borrowers apply directly through participating lenders and that repayment terms vary. Treat every term sheet as conditional until legal, accounting and surety diligence is complete.
