How to Evaluate the Risks of Strategy’s Bitcoin-Linked Securities

Strategy’s preferred shares are corporate securities, not direct claims on Bitcoin. Compare each series’ dividend terms, legal rights, liquidity, issuer capacity and tax risks before relying on its stated rate.

Strategy’s preferred shares are corporate securities, not Bitcoin: the filings reviewed do not establish that a holder owns Bitcoin or has a direct claim to a stated amount of it. Their value and risk are instead tied to Strategy’s financial position, which is strongly affected by Bitcoin and by the company’s ability to raise capital. To evaluate a ticker such as STRC, STRF, STRD, STRK or STRE, start with its current governing documents, then assess its dividend terms, legal priority, market price and liquidity, issuer capacity, and tax treatment. A stated dividend rate is not a guaranteed return or a promise to repay your principal.

What are Strategy’s Bitcoin-linked securities?

Strategy Inc. issues several series of perpetual preferred stock as part of its Bitcoin-related financing strategy. They are securities issued by a company—not Bitcoin, a Bitcoin fund, or evidence that a holder owns a specified quantity of Bitcoin. The issuer’s filings describe risks arising from its Bitcoin holdings and financing strategy, but the rights of a preferred shareholder come from the particular share series’ legal documents. The SEC’s Division of Corporation Finance says investors should understand what a security represents; its April 10, 2025 statement is staff guidance, not a Commission rule or endorsement of these securities (SEC staff statement).

“Bitcoin-linked” is therefore a description of economic exposure, not a guarantee that the shares are backed by Bitcoin. Strategy’s filings do not establish a direct security-level claim to its Bitcoin for preferred holders. Before relying on any advertised description, identify the exact ticker and read its current certificate of designation and prospectus supplement. Strategy’s securities information page is a starting point, not a substitute for the governing documents.

How do STRC, STRF, STRD, STRK and STRE differ?

The 2025 Form 10-K reports different dividend schedules and cumulative status for the series below. Those characteristics do not, by themselves, establish a current payment, the rate you will earn at your purchase price, or the series’ complete legal rights. Check the latest series-specific documents for the current rate, any reset formula, payment form, declaration status and ranking.

Series Dividend schedule in the 2025 Form 10-K Cumulative status
STRF Quarterly Cumulative
STRE Quarterly Cumulative
STRK Quarterly Cumulative
STRD Quarterly Non-cumulative
STRC Monthly Cumulative

These terms are reported in Strategy’s Form 10-K for the year ended December 31, 2025. They should not be treated as a complete or current term sheet: dividend rates and mechanics, conversion and redemption rights, and relative ranking need to be checked in each series’ current documents.

How do I evaluate the risks of Strategy’s Bitcoin-linked securities?

Use a security-by-security review rather than treating all preferred tickers as interchangeable. The SEC staff’s April 2025 guidance identifies security-specific features, holder rights, valuation, liquidity and legal risks as potential disclosure topics, depending on the security and issuer. The SEC’s 2023 investor alert also warns generally that crypto-asset securities can be exceptionally volatile and speculative; it is not a specific assessment of Strategy’s preferred shares (SEC investor alert).

  1. Identify the exact instrument. Match the ticker to the current certificate of designation and prospectus supplement. Confirm whether it is perpetual or has a maturity, and locate any conversion, redemption, call, repurchase or adjustment provisions.
  2. Read the dividend mechanics. Check whether the rate is fixed or variable, how it is calculated or reset, how often payments are scheduled, whether dividends are cumulative, what form payment may take, and whether the board has declared the payment. Calculate yield using the price you would actually pay, not just a stated rate or issue price.
  3. Map legal priority and remedies. Compare the series’ rights for dividends and liquidation; review the issuer’s debt obligations, any parity or senior preferred shares, rights after missed payments, and the company’s ability to issue additional securities. Do not infer one ticker’s ranking from another’s.
  4. Check market price and liquidity. Compare the trading price with the issue price and liquidation preference, and examine trading volume and bid–ask spread. A dividend does not prevent the market price from falling, and a price loss can exceed the cash dividends received.
  5. Assess the issuer’s capacity to pay. Review cash and any designated reserve, cash flows, debt maturities and interest requirements, the total preferred dividend burden, and reliance on issuing equity or debt. Consider whether the company might need to sell Bitcoin or raise capital to meet obligations.
  6. Review operational, policy and tax exposures. Read the issuer’s disclosures on custody, cyber incidents, counterparties, regulation, accounting and U.S. federal tax treatment. The tax outcome can depend on the holder and may change.

For current prices, declared dividends, rates, conversion ratios and call or redemption terms, use the latest official company materials and filings; terms and market data can change after the sources cited here.

Are the preferred shares backed by Bitcoin?

Not in the sense of giving a holder a direct claim to a stated quantity of Bitcoin. The reviewed filings describe corporate preferred stock and do not establish that its holder owns or can claim particular Bitcoin. The connection is economic: Strategy says Bitcoin volatility has affected and is likely to continue to affect its results and securities prices. Its 2025 Form 10-K also says the vast bulk of its assets are concentrated in Bitcoin, limiting diversification, and that its Bitcoin strategy has not been tested over an extended period or under all market conditions (Strategy 2025 Form 10-K).

That filing cited a Bitcoin trading range below $65,000 and above $120,000 on Coinbase during the 12 months before the filing. This is a company-disclosed historical range for that lookback period, not a current quote or forecast. For preferred holders, the practical question is how a material Bitcoin price move could affect Strategy’s assets, financing access, ability to meet obligations and the market price of the shares.

Is the dividend on STRC, STRF, STRD or STRK guaranteed?

No. Strategy’s 2025 Form 10-K says dividends accrue “as and if declared” by the board and must be paid from funds legally available for payment. The company warns that it could lack sufficient surplus or net profits to pay cash dividends even if its USD Reserve contains cash, and that debt agreements may restrict payments. The same filing says that if full dividends are not paid, Strategy may be prohibited from paying dividends on common stock and other junior securities, subject to exceptions.

Cumulative status matters, but it does not make payment assured on a particular date. A cumulative dividend can accrue under its terms when unpaid, while the board’s declaration, legal availability of funds, debt covenants and the company’s financial condition still affect payment. STRD is reported as non-cumulative in the 2025 Form 10-K, so investors should read its specific terms particularly carefully rather than assume a missed payment will accrue in the same way as for a cumulative series.

What issuer-level risks can affect these securities?

Bitcoin volatility and concentration

Strategy identifies Bitcoin price volatility and concentrated holdings as material risks. If Bitcoin falls sharply, the effect may reach the preferred shares through the issuer’s financial results, asset position, ability to finance itself and investor demand. Strategy itself calls Bitcoin “a highly volatile asset” in its 2025 Form 10-K; this is the issuer’s risk disclosure, not a price prediction.

Financing dependence and liquidity

The Form 10-K says substantially all Bitcoin purchases have been funded with equity or debt financing and that the strategy depends significantly on obtaining financing on favorable terms. It also says Bitcoin is less liquid than cash and might not be available as a source of liquidity to the same extent. Under stress, the company says it could be unable to sell Bitcoin at favorable prices or at all, and might need to sell Bitcoin or raise capital to meet obligations. Preferred holders should examine debt service as well as preferred dividends; the preferred shares do not remove the issuer’s obligations to creditors.

Seniority, limited voting and future issuance

Strategy’s 10-K says preferred holders generally have limited voting rights. It also warns that the company may issue securities ranking equally with STRF, or equally with or senior to STRC, STRE, STRK or STRD on dividends or liquidation, without consent from holders of those series. Such an issuance could affect existing holders’ position. The exact ranking and remedies must be confirmed in each series’ governing document.

Custody, counterparties, regulation and accounting

The issuer identifies custody failures, cyberattacks, loss of private keys, counterparty non-performance, trading venues and regulatory classification among its risks. It says Bitcoin held with custodians or transacted through trade partners does not receive the same protections as cash or securities deposited with FDIC- or SIPC-subject institutions. Strategy also flags tax uncertainty and non-cash earnings volatility from accounting for embedded derivatives in certain preferred features.

What do Strategy’s latest reviewed figures show—and not show?

Strategy’s July 30, 2026 results release for the quarter ended June 30, 2026 provides dated context for the issuer’s scale, reported reserve and earnings volatility. These are company-reported figures, not independent measures of the likelihood that a dividend will be paid or a share will hold its value.

Company-reported Q2 2026 item What Strategy reported How to interpret it
Bitcoin holdings 846,000 Bitcoin at the results announcement; Strategy said holdings increased 11% during the quarter. A dated company figure, not a claim that preferred shareholders own those Bitcoin.
USD Reserve $3.75 billion; Strategy said it covered existing preferred dividend payments and interest obligations for more than 2.1 years. Management’s coverage estimate for existing obligations, not a guarantee of future payments or a floor under a share price.
Preferred dividends reflected $400.7 million for Q2 2026, compared with $49.1 million for Q2 2025. A reported period comparison that illustrates the scale and change in the dividend burden.
Operating result and digital-asset mark $8.33 billion operating loss, including an $8.32 billion unrealized digital-asset loss, for Q2 2026. For Q2 2025, Strategy reported $14.03 billion operating income and a $14.05 billion unrealized digital-asset gain. Reported accounting results show how sharply unrealized digital-asset marks can affect results; they do not alone establish cash available for dividends.

All figures in the table are from Strategy’s Second Quarter 2026 Financial Results. In that release, CEO Phong Le said the objective was for STRC to trade over time at $99 to $100. Strategy also said it could not assure or guarantee a trading range and described intended repurchases if STRC traded below $100. Treat that statement as management’s objective, not a price floor or promise that repurchases will occur.

What should U.S. investors check about taxes?

Strategy’s 2025 Form 10-K says it has no current or accumulated earnings and profits and does not expect current earnings and profits in the current year or foreseeable future; on that basis, it generally does not expect preferred-stock distributions for that period to qualify as dividends for U.S. federal tax purposes. The company also identifies possible deemed distributions and other tax consequences, including those connected with liquidation-preference adjustments and STRC call terms. This is issuer disclosure, not individual tax advice: treatment depends on the holder’s circumstances, the instrument’s terms and applicable tax rules, which can change.

When should you pause before investing?

  • You cannot locate or understand the current governing document for the exact ticker.
  • You are treating the dividend rate as guaranteed income or assuming cumulative means payment on schedule.
  • You are assuming the preferred shares give you direct ownership of, or a security interest in, Strategy’s Bitcoin.
  • You have not considered the issuer’s debt, financing needs, potential future senior or parity securities, or the possibility of a share-price decline.
  • You are relying on a reserve estimate, management price objective or past dividend schedule as a promise about future results.

These are reasons to resolve the underlying question before making a decision, not a personalized buy-or-sell recommendation. The SEC’s investor alert is general background on crypto-asset securities, not a specific review or suitability determination for Strategy’s securities.
