1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsA high dividend yield, a buyback announced above the market price and a large bonus ratio can all look attractive while producing very different outcomes. Yield is a cash-distribution measure tied to the price you pay; a buyback premium is conditional on the offer terms and the number of shares accepted; a bonus changes the number of shares and the per-share arithmetic without automatically increasing your wealth.
Use each figure as a starting signal, not as a stand-alone reason to buy. The disciplined sequence is to calculate the number correctly, identify the relevant price reference, test cash-flow sustainability, adjust every per-share metric after a capital-structure change, and then verify the company’s filings, governance and valuation.

One company, three attractive headlines—and three different outcomes
Consider a hypothetical company whose shares trade at ₹100 and which paid ₹8 per share in recurring dividends over the last 12 months. Its trailing dividend yield is 8% (₹8 ÷ ₹100 × 100). If the price falls to ₹50 while the dividend remains ₹8 for the moment, the quoted yield doubles to 16%. Nothing about the company’s cash generation improved; the denominator simply fell. The lower price may be an opportunity, or it may be the market warning that the dividend is at risk.

Now suppose the company announces a buyback at ₹120 and identifies ₹100 as the reference price. The headline premium is 20%: (₹120 − ₹100) ÷ ₹100 × 100. That is not a guaranteed 20% return. If you tender 100 shares and only 40 are accepted, the offer proceeds are ₹4,800, not ₹12,000; the remaining 60 shares are exposed to the market price after the offer.

Finally, imagine a 2:1 bonus. For every two shares held, you receive one additional share. A holder of 100 shares receives 50, not 200, under this ratio. In the specific 2:1 convention used by the Securities and Exchange Board of India (SEBI)—where the ratio is written as bonus shares for every existing shares—the worked example is a ₹15 share becoming ₹5 after a 2:1 bonus because the adjustment factor is 3. The investor owns three times as many shares at one-third the mechanical price; the larger count is not, by itself, new value.
These examples show why the three numbers must be evaluated separately and then reconciled with the company’s earnings, cash flow, balance sheet, capital allocation and disclosures.
How to calculate and interpret dividend yield
The formula and the numerator you choose
Dividend yield (%) = annual cash dividends per share ÷ current market price per share × 100.
Label the dividend figure precisely. A trailing-twelve-month (TTM) yield uses cash dividends paid or declared over the past 12 months. A latest-annual yield uses the most recent completed financial year. A forward yield uses an estimate of future dividends and is therefore less certain. Do not mix a full-year dividend with a price from a different date without stating the timing.
Remove one-off special dividends when judging recurring income. A special distribution can make a company appear to have a durable high yield even though management does not intend to repeat it. If you include a special dividend for a cash-return calculation, show a second yield that excludes it.

Why a high yield can be a warning
- Falling denominator: a collapsing share price mechanically raises the yield. Investigate the reason for the fall before treating the percentage as a bargain signal.
- Weak coverage: compare dividends with both reported earnings and recurring free cash flow. Accounting profit can be positive while operating cash flow is insufficient to fund distributions.
- Debt pressure: interest, principal repayments and refinancing needs take priority over discretionary dividends. A highly leveraged company may cut its payout even after a profitable year.
- Cyclicality: commodity, shipping, financial and other cyclical businesses can pay large dividends at the top of a cycle and reduce them when conditions reverse.
- Discretionary policy: SEBI notes that a company may share profits as dividends, but “the amount and how often the company pays out dividends is not guaranteed.” A past payment is evidence of history, not a contractual promise.
Checks that make the yield useful
Read at least the latest annual report, audited income statement, balance sheet and cash-flow statement. Compare the dividend with net earnings, operating cash flow and free cash flow over multiple years, not only the latest quarter. Calculate a payout ratio (dividends divided by earnings) and examine whether it is stable, rising because earnings are falling, or temporarily elevated by a special distribution. Also inspect retained earnings, capital-expenditure requirements and debt maturities: cash paid to shareholders cannot simultaneously fund those obligations.
Compare the company with direct peers and its own history, but do not impose a universal “good yield” cutoff. Sectors have different capital needs, growth rates and distribution norms, and official sources publish no single threshold that works across markets or conditions. A lower yield from a company that can reinvest cash at attractive returns may be economically superior to a high yield that precedes a cut.

Step-by-step yield calculation
- Record the share price and the time at which it was observed.
- List every cash dividend per share in the chosen period and identify regular versus special payments.
- Add the regular payments, divide by the recorded price and multiply by 100.
- Repeat the calculation using a special-dividend-inclusive numerator only if that scenario is relevant, and label it clearly.
- Test coverage against earnings and free cash flow, then review debt, cyclicality, policy language and the company’s payment record.
| Yield input | What it answers | Main limitation |
|---|---|---|
| TTM regular dividends | What recurring cash distribution represented relative to today’s price | Past payments may not continue |
| Latest annual dividend | How the last completed year compares with the current price | May be stale after a policy or earnings change |
| Forward estimate | What the market might receive if management meets expectations | Estimate can be wrong or the dividend can be cut |
How to calculate a buyback premium without overstating the return
Use the reference price stated in the offer
Buyback premium (%) = (announced buyback price − stated reference price) ÷ stated reference price × 100.
The reference is not automatically the latest closing price. The offer document may specify the latest close, a volume-weighted average price (VWAP), or another defined value. Use exactly the reference identified by the company and record its date or measurement period. Substituting a more convenient price can materially change the premium.
For example, an offer at ₹120 against a stated ₹100 reference gives a 20% premium. If the reference is instead a VWAP of ₹110, the premium is 9.09%: (₹120 − ₹110) ÷ ₹110 × 100. Both calculations can be arithmetically correct; only the reference required by the offer is decision-useful.

Acceptance risk changes the economics
SEBI’s investor material states: “No guarantee that all tendered shares will be accepted.” Estimate proceeds as offer price × expected accepted shares, not offer price multiplied by every share you tender. Build at least three scenarios—full acceptance, a conservative partial acceptance and no acceptance—and show what happens to the untendered shares if the market price falls after completion.

A retail reservation or entitlement does not guarantee that all shares above that entitlement will be bought. Terms to verify before tendering
- Eligibility and record date: confirm that your holdings and settlement status meet the specified date.
- Method: identify whether the transaction is conducted through a tender process or another permitted mechanism.
- Price and reference: capture the exact offer price and the definition of the comparison price.
- Entitlement and reservation: understand category limits and how oversubscription is allocated.
- Funding: determine whether the company uses cash, new borrowing or another source.
- Timeline: note opening, closing, acceptance, payment and return-of-shares dates.
- Post-buyback balance sheet: assess leverage, liquidity and the cash left for operations.
Do not confuse mechanical EPS accretion with intrinsic value
When shares are retired, earnings divided by the smaller share count can increase mechanically. That arithmetic does not prove that the shares were undervalued or that future earnings will grow. Compare the buyback price with a reasonable intrinsic-value range, the company’s reinvestment opportunities and its debt cost. A company that borrows heavily to repurchase shares may report higher EPS while increasing financial risk. Conversely, a cash-funded repurchase at a price below intrinsic value can be a sensible allocation decision. The filing, not the headline premium, determines which case applies.
How to read a bonus ratio and adjust your analysis
What A:B means
SEBI’s February 2025 corporate-actions presentation defines “Bonus Ratio (A:B)” as “A bonus shares for every B Shares held.” Thus, a 1:1 issue gives one additional share for each share held; a 2:1 issue gives two additional shares for each share held. Confirm the issuer’s wording because market commentary sometimes reverses the order.
The adjustment factor and the 2:1 example
Adjustment factor = (A + B) ÷ B. The mechanically adjusted ex-bonus price is the pre-bonus price divided by that factor.

For a 2:1 bonus, the factor is (2 + 1) ÷ 1 = 3. An investor with 100 shares receives 200 additional shares and owns 300 after the issue. In SEBI’s worked example, a ₹15 pre-bonus share becomes ₹5 on the mechanical adjustment: ₹15 ÷ 3. The investor’s position value is unchanged immediately if the market follows the adjustment—100 shares × ₹15 equals 300 shares × ₹5—before market movements, taxes, costs or other corporate actions.
Rebase every per-share number
A bonus increases the share count but does not itself increase total earnings, operating cash flow or market capitalization. Recalculate EPS, dividend per share, book value per share, cash flow per share and all historical per-share growth rates using the adjusted share count. Restate historical prices when charting returns so the apparent price drop is not mistaken for a loss. A company can later raise its total dividend, but the dividend per share may still fall after a bonus if the increase is smaller than the share-count expansion.
Evaluate the aggregate business: total profit, free cash flow, net debt, market capitalization and valuation multiples. Ask why management chose a bonus rather than a cash dividend, debt reduction, investment or acquisition. A bonus can improve trading affordability or signal confidence, but the ratio alone is not evidence of value creation and should never be described as free money.
Dates and eligibility
Check the announcement, record date, ex-bonus date and the date on which the new shares are credited. Eligibility depends on the applicable settlement and depository records, not on a social-media post. Until the shares are credited and tradable, your account may show a temporary mismatch between entitlement and available holdings.

| Dimension | Dividend yield | Buyback premium | Bonus ratio |
|---|---|---|---|
| Primary price reference | Current market price | Reference price defined in the offer document | Pre-action price adjusted mechanically by (A+B) ÷ B |
| Share-count effect | No inherent change | Shares outstanding fall only if the company completes the repurchase | Shares held and outstanding increase by the stated ratio |
| What you may receive | Cash, subject to declaration and payment | Cash only for shares accepted | Additional shares, not an automatic cash gain |
| Main realization risk | Dividend can be reduced, delayed or omitted | Partial or zero acceptance and a post-offer price decline | Mechanical price adjustment and no guaranteed increase in total value |
| Core sustainability test | Earnings, free cash flow, debt and cyclicality | Funding, leverage, intrinsic value and remaining liquidity | Aggregate earnings, cash flow and valuation after rebasing |
| Governance questions | Is the policy consistent and disclosed? | Are terms, allocation and funding fully disclosed? | Why this capital action instead of other uses of cash? |
Use the table as a map, not a scoring system. A company can pass one test and fail another: strong free cash flow may support a dividend while an expensive buyback destroys value; a well-priced buyback may be sensible even when the yield is modest; a bonus may be neutral economically while management’s underlying business remains weak.

A filing-first process before you invest
1. Establish the factual record
- Download the latest annual report and audited income statement, balance sheet and cash-flow statement.
- Review at least two years of financial data, as SEBI recommends, and extend the review when the business is cyclical.
- Locate the exchange filing for the dividend, buyback or bonus and record the announcement, record, ex-action and payment or credit dates.
- Use registrar and depository records to verify holdings, eligibility and credited shares.
2. Recalculate the headline numbers
- For yield, state whether the dividend is TTM, latest annual or forward, and exclude special payments from the recurring-income view.
- For a buyback, copy the offer’s reference-price definition, calculate the premium and model acceptance scenarios.
- For a bonus, apply the adjustment factor to the share price and restate EPS, DPS, book value and historical prices.
3. Test cash sustainability and capital allocation
- Reconcile dividends with earnings and free cash flow.
- Review debt service, maturities, liquidity and covenant headroom.
- Assess whether management has higher-return opportunities in operations, maintenance capital expenditure, debt reduction or acquisitions.
- Check whether a buyback is funded from surplus cash or from additional borrowing.
- Compare the post-action valuation with a conservative intrinsic-value range and relevant peers.
4. Check disclosure and governance quality
Read audit opinions, related-party disclosures, contingent liabilities, promoter or insider transactions and any qualifications in the annual report. Confirm that the company’s stated policy matches its historical actions. Missing, inconsistent or promotional information is itself a risk signal; do not fill gaps with assumptions.
5. Verify through reliable channels
Cross-check exchange filings, the registrar, the depository and the company’s investor-relations disclosures. SEBI’s investor-support material identifies corporate-action information as an investor service, and its SME advisory urges investors to verify claims through reliable sources. Social-media summaries can omit record dates, reservations, funding details or revised terms.
Extra caution for SME companies and promotional announcements
SEBI’s 28 August 2024 advisory specifically warned investors about patterns involving promotional claims alongside bonus issues, stock splits or preferential allotments in SME companies. The warning does not mean every SME corporate action is improper. It means the combination deserves deeper verification of financial statements, trading liquidity, ownership changes, related parties, valuation and the actual terms filed with the exchange.
Thin trading can make a quoted price—and therefore a calculated yield or premium—less representative of the price at which you could actually exit. Check bid-ask spreads, trading volume, lock-ins and the ability to sell after a bonus or failed tender. Treat unusually confident return claims as marketing until the primary documents support them.
Common mistakes that distort the decision
- Using a yield cutoff: no single percentage identifies a safe dividend across sectors or market cycles.
- Counting special dividends as recurring: this overstates sustainable income.
- Using an unstated buyback reference: the premium is meaningless if the comparison price is not the one in the offer.
- Assuming full acceptance: proceeds depend on the shares actually bought.
- Calling a bonus free money: the share count rises while the mechanical price falls.
- Leaving historical metrics unadjusted: post-bonus EPS, DPS and price charts become misleading.
- Ignoring the balance sheet: dividends and buybacks can weaken a company when debt and working-capital needs are high.
- Relying on a headline or chat message: only dated filings establish the terms, eligibility and timetable.
- Forgetting risk appetite and horizon: share values fluctuate, and SEBI advises investors to understand risk characteristics before investing.
A practical decision rule
Proceed only when the underlying business remains acceptable after you remove the promotional headline. For a dividend, require credible recurring cash coverage and a balance sheet that can withstand a weaker year. For a buyback, require a clearly defined reference price, a realistic acceptance assumption, adequate post-offer liquidity and a price that is defensible against intrinsic value. For a bonus, ignore the enlarged share count until all per-share figures and historical prices have been rebased, then judge the company on aggregate earnings, cash flow and valuation.
SEBI defines due diligence as “the comprehensive and thorough analysis and assessment carried out by investors, before engaging in any investment activity.” Applying that standard turns dividend yield, buyback premium and bonus ratio from attention-grabbing percentages into properly qualified inputs for an investment decision.
