The label “tokenized stock” does not tell you whether you are a shareholder, hold an indirect securities entitlement, or own a separate instrument linked to a share price. Read the specific product documents before relying on its branding or a claim that it is “backed” by shares.
What rights do I actually get?
Start with the legal instrument, not the token’s name or the company whose share price it follows. The SEC staff’s January 28, 2026 statement describes materially different structures: a security may itself be recorded on a crypto network; a token may instead signal updates to off-chain records; a third party may issue a token representing an indirect interest in shares held in custody; or a third party may issue its own linked security or security-based swap.

Investor.gov similarly distinguishes custodial tokens, which may represent an indirect interest through a security entitlement, from synthetic tokens, which track a referenced security but give the holder no claim or rights against that company’s issuer. Its page expressly represents staff views, not a Commission rule or statement. A price that follows a company’s stock therefore does not, by itself, make the token a share in that company.
Read the documents that define the claim
Review the offering statement or prospectus, token terms, custody agreement, and any shareholder or securities-entitlement records. Establish which of these best describes your position:

- The token is the security: the relevant records treat the token itself as the share or other security.
- The token represents an indirect interest: the underlying share is held through a custodian or intermediary, and your rights arise through a securities entitlement or similar arrangement.
- The token is a separate obligation: an issuer or counterparty promises an instrument or exposure linked to the share. That does not necessarily make you a shareholder or give you a claim against the referenced company.
Then check the specific provisions for voting, dividends, company information, transfers, and corporate actions. Do not infer these rights from a ticker symbol, a “1:1 backed” description, or a price chart.
Who holds the underlying shares, and who owes me performance?
Trace the chain from you to the underlying asset. Depending on the structure, it may include a token issuer, custodian, broker or other intermediary, transfer agent, and guarantor. Identify each entity’s role, the records it maintains, and the obligation it owes. Ask where the shares are held, how holdings are reconciled against tokens, whether assets are segregated, and who controls private keys and smart-contract administration.
Most importantly, determine whether you have recourse to the underlying shares, to a custodian or intermediary, or only to the token issuer. Look for an express guarantee; do not assume a partner, affiliate, custodian, or company named in marketing materials guarantees the token.
The Tradias base prospectus dated April 24, 2026 illustrates why the distinction matters: for the securities it describes, the tokenized securities are obligations solely of the issuer and are not obligations of or guaranteed by partners or affiliates. The prospectus warns that holders could lose some or all of their investment. This is an example of product-specific terms, not a rule for all tokenized stocks.

What happens if the issuer or custodian becomes insolvent?
Find the insolvency provisions and assess what happens to both the token and any underlying shares. Questions to answer include:
- Are the underlying securities held separately from the custodian’s or issuer’s own assets?
- Who is entitled to them if the issuer or custodian enters insolvency proceedings?
- Does the token give you a property or entitlement claim, or does it leave you as a creditor seeking performance from an issuer?
- Can a trustee, administrator, or successor access the records and continue servicing holders?
- Does another entity guarantee payment or delivery, and what limits apply to that guarantee?
The answers depend on the governing documents and applicable law. A statement that tokens are backed by shares is not a substitute for terms explaining ownership, segregation, recourse, and insolvency treatment.
Can I redeem the token for stock or cash?
Locate the redemption clause and read its conditions, rather than treating “redeemable” as a promise of immediate conversion. Check who may request redemption, whether settlement is in cash or underlying units, how the redemption value is calculated, when payment or delivery is due, and what minimums, fees, notice periods, or eligibility restrictions apply.

- Is redemption unconditional, or does it depend on the issuer having enough cash or underlying units?
- Can the issuer delay, suspend, or refuse requests in specified circumstances?
- Can the issuer force redemption, and which events trigger it?
- What happens if a market, counterparty, custodian, or network disruption prevents settlement?
- Does “delivery of underlying units” mean delivery of the actual share, or a different token or entitlement?
In the Tradias base prospectus dated April 24, 2026, a holder may request cash or delivery of underlying units, but the issuer warns redemption may be delayed or unavailable if sufficient funds or units are not available. That prospectus also describes issuer call and mandatory-redemption provisions for specified events. These are terms of that offering; another product may provide different rights or none at all.

Is redemption the same as being able to sell?
No. Redemption is a claim under the product’s terms; a secondary-market sale depends on finding a buyer and having a functioning venue and transfer route. Compare both paths. Check trading hours, spreads, fees, transfer restrictions, conversion delays, and whether the token can be sold or transferred where you intend to hold it.
The Tradias prospectus dated April 24, 2026 warns that an active, liquid secondary market may not develop or continue, and that holders may be unable to sell at a fair price or at all. That disclosure applies to its offering, but it highlights why an available redemption clause should not be treated as proof of a quick or fairly priced exit.

If self-custody is allowed, determine who controls the keys and what recovery or remedy exists after theft, loss, or an unauthorized transfer. A prospectus supplement filed with the SEC on August 13, 2026 warns that self-custodied tokenized shares may not receive protections available to securities held through regulated intermediaries, and that key loss may block access or transfer. It also discusses intermediary cyber risk and warns that losses from a breach may be unrecoverable.

The same August 13, 2026 filing describes possible delays or inability to transfer or convert during a network disruption, as well as dependence on a digital transfer agent to maintain records and facilitate operations. It cautions that a successor may not be available on acceptable terms or within a reasonable time. These are risks disclosed for that filing’s product, not a prediction that every network or transfer agent will fail.
Will my broker or custodian support this exact token?
Ask the intermediary that will actually hold or service your position whether it supports the specific token format and its transfers, corporate actions, and conversion route. Do not assume that a firm supporting ordinary shares—or another token—will support this one. The SEC-filed prospectus supplement dated August 13, 2026 says some custodians and intermediaries may not be equipped to support tokenized shares and advises investors to check with their intermediary before choosing tokenized form.
How should I compare two tokenized-stock products?
Use the same evidence-based questions for each candidate and record what the governing documents establish. If a term is absent or unclear, mark it “not stated” or seek clarification rather than filling the gap with an assumption.

What the U.S. regulatory sources do—and do not—establish
The SEC staff statement dated January 28, 2026 provides a framework for understanding different tokenized-security structures; it is not a product-specific guarantee. Investor.gov’s tokenized-securities page likewise says it reflects staff views and has no legal force or effect. Product-level rights and risks must be checked in the current documents for the particular offering, jurisdiction, and custody route. The sources discussed here are U.S.-focused, so buyers elsewhere should also check the rules and documents that govern their own transaction.
