Do not judge an AI company’s safety by its policy count, public-relations language, or research output alone. Evaluate four connected questions: who legally controls the company; whether safety oversight can overrule commercial management; whether safety promises are specific and enforceable; and how equity, voting rights, compensation, and investor liquidity reward speed or restraint. Apply the same tests to every company, then verify claims against charters, filings, committee mandates, incident reports, and decisions that changed a launch.
What a credible governance evaluation must establish
An AI company can publish excellent safety principles and still have weak governance if the people who approve releases cannot delay or stop one. Conversely, a board structure that looks independent on paper may provide little protection if its safety committee has no escalation route, budget, information rights, or authority over deployment.

A practical evaluation therefore separates six dimensions:
- Control: who appoints and removes directors, controls votes, and can amend the governing documents.
- Safety oversight: whether a named body has a defined remit, independent membership, direct access to decision-makers, and power to require mitigations or halt deployment.
- Commitment quality: whether promises contain measurable thresholds, deadlines, tests, incident procedures, and consequences.
- Transparency: what the company discloses about policies, evaluations, incidents, committee work, and compliance.
- Incentives: how ownership, voting rights, compensation, employee liquidity, and strategic-investor rights affect risk-taking.
- Track record: dated evidence that oversight changed a model, launch, capability, partnership, or commercial plan.
None of these dimensions produces a universally accepted “safest company” score. A 2024 literature review covering 80 safety-relevant papers across nine approaches, including work from Anthropic, Google DeepMind, and OpenAI, warned that progress can remain slow without support from government, civil society, philanthropy, or academia. Publication volume is therefore evidence of activity, not proof that a governance system works.

1. Map legal control before reading safety promises
Start with the legal documents, not the company’s mission statement. Obtain the latest charter, bylaws, shareholder agreements, committee charters, proxy statement, and material amendments. Rewrite the control structure in plain language:
- Who appoints each director?
- Who can remove a director, and for what reasons?
- What vote is needed to amend the charter, bylaws, or special share rights?
- Can a parent company, foundation, trust, or investor veto a major transaction or deployment?
- Who controls the budget and information supplied to safety overseers?
OpenAI
OpenAI says it was founded in 2015 as a nonprofit and that its updated structure makes the operating company a public benefit corporation. In its October 28, 2025 structure announcement, OpenAI said the nonprofit OpenAI Foundation would continue to control OpenAI Group and become a substantial shareholder. The company’s May 5, 2025 explanation said the public-benefit form is intended to align mission, stakeholder interests, and commercial success.
OpenAI also states that the Safety and Security Committee (SSC) remains a committee of the OpenAI Foundation and continues to govern safety and security practices across OpenAI, including OpenAI Group. Those statements establish the intended relationship, but they do not by themselves answer the decisive diligence questions: what appointment, removal, veto, information, and budget rights does the Foundation hold in the operative documents? An evaluator should request the relevant charter and committee language and look for examples in which the Foundation required a mitigation, delayed a release, or stopped one.

Anthropic
Anthropic describes a different control mechanism: a Long-Term Benefit Trust (LTBT) composed of financially disinterested trustees with expertise in AI safety, national security, public policy, and social enterprise. Anthropic says the Trust can elect, over time, a majority of the board, insulating the mission from short-term commercial and shareholder pressure.
The company is a public benefit corporation and created Class T stock held exclusively by the Trust. Anthropic’s 2023 LTBT explainer says the Trust’s director-election and removal authority phases in according to time and funding milestones and is intended to reach a board majority within four years. Directors must balance stockholder financial interests with the public-benefit purpose. The practical test is whether shareholders can amend or neutralize the Trust’s rights, which milestones have been met, how trustees are selected and removed, and how conflicts are disclosed.

Google DeepMind and Alphabet
Google DeepMind operates within Alphabet rather than through a separate mission trust or nonprofit controller. Its Responsibility and Safety Council (RSC), co-chaired by COO Lila Ibrahim and VP for Responsibility Helen King, evaluates research, projects, and collaborations against Google’s AI Principles. Google DeepMind also describes teams for technical safety, ethics, governance, security, and public engagement.
Alphabet’s cited governance disclosure describes an independent board chair separate from the CEO, fully independent key committees, annual director elections, majority voting, minimum share-ownership requirements, and channels for shareholder feedback. Its Risk and Compliance Committee assists with oversight of legal, policy, reputational, operational, and AI-related risks. The missing link for an outside evaluator is escalation evidence: how RSC recommendations reach Alphabet’s board, which AI risks are sent to the Risk and Compliance Committee, and what public reporting follows.

| Company | Stated controlling mechanism | What is established | What must be verified |
|---|---|---|---|
| OpenAI | OpenAI Foundation controls the public benefit corporation | Foundation remains the controlling nonprofit; SSC remains a Foundation committee (OpenAI, 2025) | Actual appointment, removal, veto, amendment, information, and budget rights; investor rights after restructuring |
| Anthropic | Long-Term Benefit Trust and Class T stock | Trust authority phases in through time and funding milestones, targeting a board majority within four years (Anthropic, 2023) | Current Trust-appointed directors, milestones met, trustee conflicts and removal, ability of shareholders to alter Trust rights |
| Google DeepMind/Alphabet | Alphabet board and parent-company governance | Independent chair, independent key committees, majority voting, and a Risk and Compliance Committee are described in Alphabet’s governance disclosure | RSC reporting line, escalation thresholds, board materials, and decisions showing parent-level intervention |
2. Test whether safety oversight can actually stop or delay a release
A committee name is not a power. For each safety body, record its membership, conflicts, reporting line, access to technical evidence, escalation route, and authority. The strongest arrangement gives an independent body a direct path to the board, mandatory notice before a high-risk release, authority to demand mitigations, and a documented mechanism to pause deployment while disagreements are resolved.
OpenAI’s Safety and Security Committee
OpenAI’s public statement gives the SSC governance responsibility over safety and security practices across the organization. Ask whether its mandate is in a binding charter or only in a public description; whether members can commission independent tests; whether management must respond in writing; and whether the Foundation can overrule a commercial launch decision. Look for dated disclosures of a launch delayed, a capability restricted, a monitoring requirement imposed, or a release stopped. Without such evidence, the committee’s existence demonstrates intended oversight, not demonstrated control.
Anthropic’s Trust and board
Anthropic’s LTBT is designed to change who controls the board, not merely to advise management. That can provide stronger structural independence if the Trust’s election and removal rights are operative. It still leaves an implementation question: how does the board convert the public-benefit purpose into release decisions? Review board and Trust policies for thresholds, testing obligations, incident escalation, and reporting. Determine whether a Trust-appointed director can obtain the information needed to challenge a launch and whether a dissent is recorded or disclosed.

Google DeepMind’s Responsibility and Safety Council
The RSC evaluates work against Google’s AI Principles, supported by specialized safety, ethics, governance, security, and public-engagement teams. Evaluation should focus on the handoff from review to authority. Identify who receives an adverse recommendation, whether a project owner can reject it, when Alphabet’s Risk and Compliance Committee must be notified, and whether the board receives regular AI-risk reporting. A council that can only advise researchers is materially different from one that can impose conditions on products and partnerships.

Read each commitment as if you were preparing an audit. A credible promise answers five questions:
- Scope: which models, capabilities, products, subsidiaries, and partners are covered?
- Trigger: what measurable test, capability level, incident, or risk assessment activates the obligation?
- Action: what must happen—additional evaluation, access restrictions, redesign, pause, notification, or withdrawal?
- Deadline: when must the action occur, and who signs off?
- Evidence and consequence: what is published or retained, and what happens after non-compliance?
Statements such as “we prioritize safety” or “we follow our AI principles” are directional values. They become stronger when linked to release gates, independent testing, incident reporting, board review, regulator notification, or contractual duties. Company-authored commitments should be corroborated with filings, audits, regulator statements, independent evaluations, or a documented decision.
Specificity and disclosure checklist
- Is the risk taxonomy defined well enough that two reviewers would classify the same capability consistently?
- Are evaluation methods, pass criteria, and known limitations disclosed?
- Does the policy cover post-deployment monitoring and model updates, not only the initial release?
- Are serious incidents reported with dates, affected systems, corrective action, and residual risk?
- Can an external party verify compliance, or must readers accept self-reporting?
- Does a missed threshold trigger a mandatory pause, or merely a management discussion?
Do not treat a high number of policy documents or safety papers as an effectiveness score. The 2024 review of 80 papers across nine safety approaches is useful context for the breadth of technical work, but it does not establish that any company’s governance prevented a harmful release.
4. Examine transparency and the track record
Transparency has two parts: what the company publishes before a decision and what it discloses afterward. Before release, look for model cards, system-risk assessments, red-team findings, committee mandates, and deployment conditions. After release, look for incident reports, corrections, access changes, pauses, and explanations of unresolved risks.

Build a dated decision log for each company. For every major model or product, record the announced capability, stated risks, review body, conditions imposed, deployment date, incidents, and subsequent changes. A governance body earns credibility when the log shows that it changed the outcome—not merely that it met or issued a statement.
Absence of a public example is not proof that no intervention occurred; companies may withhold sensitive details. It is, however, a transparency limitation. Label it as “not publicly demonstrated” rather than assuming either success or failure.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.5. Analyze the incentives facing directors, executives, employees, and investors
Safety oversight operates inside a financial system. Map who gains from faster growth and who bears the cost of delay. Examine voting power separately from economic ownership: a holder can have modest financial exposure but decisive votes, or substantial economic exposure with little control.
Incentive questions
- Directors: Are they exposed to re-election pressure, personal liability, or mission-specific duties? Can a controlling foundation or trust remove them?
- Executives: Does compensation depend on revenue, valuation, product milestones, safety metrics, incident rates, or a balanced scorecard? Are safety metrics independently verified?
- Employees: Can staff sell vested equity, and does liquidity encourage short-term valuation gains? Are whistleblower and dissent channels protected?
- Investors: What shares, votes, consent rights, return rights, or information rights do they receive? Can strategic investors influence deployment or access?
- Mission holders: Does a nonprofit or trust have enforceable rights, or only a moral claim?
What is publicly established for the three structures
| Issue | OpenAI | Anthropic | Google DeepMind/Alphabet |
|---|---|---|---|
| Legal form or control feature | Operating company described as a public benefit corporation; Foundation stated to retain control (OpenAI, 2025) | Public benefit corporation; Class T stock held exclusively by LTBT (Anthropic, 2023) | DeepMind is part of Alphabet; parent-company board and committee governance apply |
| Mission-protection mechanism | Foundation control and Foundation SSC, as described by OpenAI | Trust election and removal rights that phase toward a board majority | AI Principles, RSC, and Alphabet board/Risk and Compliance Committee oversight |
| Investor return or voting terms | Not stated in the supplied public descriptions; inspect restructuring documents | Specific return economics and shareholder consent limits are not stated here; inspect the Class T and financing documents | Parent-company share and compensation details require the latest Alphabet filings |
| Employee liquidity incentives | Not stated in the cited descriptions | Not stated in the cited descriptions | Not stated in the cited descriptions |
Do not infer that a public benefit corporation automatically places safety ahead of growth. Directors still face legal and financial duties defined by the governing documents and applicable law. Likewise, a trust or foundation can be meaningful only if its rights survive financing rounds, amendments, leadership changes, and pressure from strategic partners.

6. A repeatable diligence process
- Collect current documents. Download the latest charter, bylaws, shareholder or trust agreements, proxy statement, committee charters, safety policies, and material governance amendments. Date every document.
- Draw the control map. Use arrows for appointment, removal, voting, veto, amendment, budget, and information rights. Mark each right as binding, conditional, advisory, or not stated.
- Profile every safety body. List members, expertise, conflicts, term limits, reporting line, meeting cadence, access to technical evidence, escalation route, and authority to require action.
- Convert promises into tests. For each commitment, write the scope, trigger, metric, deadline, responsible officer, disclosure duty, and consequence of failure. If any field is missing, record the commitment as incomplete.
- Audit incentives. Separate votes from economics. Review share classes, investor consent rights, executive awards, employee liquidity, clawbacks, and strategic partnerships.
- Build the decision log. Search dated product announcements, incident disclosures, regulator filings, and independent evaluations for evidence that oversight changed a decision.
- Grade evidence. Give the greatest weight to binding documents, audited or regulatory disclosures, and observable decisions. Treat company descriptions and aspirational principles as claims pending corroboration.
- Update the assessment. Governance changes when financing, acquisitions, board turnover, or new capabilities alter incentives. Recheck the documents before relying on an old conclusion.
7. Red flags and how to resolve them
“Independent” members who lack independence
Inspect financial ties, employment relationships, advisory roles, and appointment powers. Independence should be assessed against the company’s own conflict rules and the relevant board standard, not inferred from a title.
Best Value
A committee with no documented authority
Ask for the charter, minutes or reporting summaries, escalation deadlines, and management-response requirements. If the company will not disclose the mandate, describe the body as advisory unless stronger evidence exists.
Safety thresholds that cannot be measured
Require operational definitions, test protocols, pass criteria, and version control. Broad language such as “material risk” is not a release gate until the company explains who determines materiality and what action follows.
Promises without incident consequences
Look for notification duties, corrective-action timelines, access restrictions, model rollback procedures, and board review. A policy that describes prevention but not failure handling is incomplete.

Check the vote required to change trust, foundation, share-class, or committee rights and whether investors hold consent powers. A mission safeguard that can be removed by a routine majority is weaker than one requiring protected approval.
What a defensible conclusion looks like
Your final assessment should state, separately, what is legally controlled, what safety body can actually do, which commitments are measurable, what remains undisclosed, and how incentives could affect behavior. Use calibrated language: “documented authority,” “stated intention,” “not publicly demonstrated,” and “not stated in available filings” are more informative than a single safety ranking.
For OpenAI, the central question is whether Foundation control and the Foundation SSC have operative appointment, veto, and release-intervention powers after the 2025 restructuring. For Anthropic, it is whether the LTBT’s milestone-based Class T rights have produced real board influence and measurable release governance. For Google DeepMind, it is whether the RSC’s evaluations reliably reach Alphabet’s independent board and Risk and Compliance Committee and change decisions. Across all three, the decisive evidence is not the number of principles or papers, but the combination of enforceable authority, measurable thresholds, transparent incidents, aligned incentives, and a record of intervention.
