Build a dated, factual record; keep original records intact; report internally to compliance, HR, legal, internal audit, an audit committee, the board chair or an independent director as appropriate; and use the SEC, OSHA or EEOC only when the subject and jurisdiction fit. If there is an immediate threat to safety or a possible crime, protect people and contact emergency or law-enforcement resources rather than conducting your own investigation.
What executive misconduct documentation must establish
A useful record allows an uninvolved investigator to answer five questions: what happened, when and where it happened, who was involved, what supports your account, and what harm or rule may be implicated. Write about conduct you observed or records you can identify. Keep assumptions, rumors and legal conclusions separate from observed facts.

- Event: Describe the act, omission, decision or instruction in neutral language.
- Time and place: Use the local time zone and, when people work across regions, add UTC or identify the relevant system time.
- People and roles: Identify the executive, decisionmakers, witnesses, investigators and reporting recipients.
- Words: Preserve short verbatim statements in quotation marks, naming the speaker and role. If you cannot recall exact wording, label it as an approximation.
- Corroboration: Point to each email, text, file, activity log, meeting note, policy, transaction or witness and state where it can be found.
- Impact: Describe business, safety, financial, employment, compliance or customer effects without exaggerating them.
- Rule potentially involved: Quote the relevant code, procedure or requirement. Treat any legal characterization as provisional unless a qualified lawyer confirms it.
Build a dated chronology before you escalate
Create one incident entry for each material event rather than writing a single narrative weeks later. A consistent incident ID makes cross-referencing easier, especially when several reports involve the same executive.

| Field | What to record | Quality check |
|---|---|---|
| Incident ID and date/time | A unique identifier, date, local time and time zone; add UTC when systems or witnesses span regions. | Can another person place the event on a timeline? |
| Observed facts | What you personally saw, heard, received or did. | Facts are distinct from inferences or second-hand claims. |
| People and roles | Names, titles, reporting relationships and witnesses. | Include who made the decision and who had approval authority. |
| Exact language | Short quotations with speaker, role and context. | Mark paraphrases as paraphrases; do not reconstruct dialogue from memory as a quotation. |
| Corroboration | Document type, date, sender or system, file location and related witness. | Identify the original source and avoid editing the copy. |
| Impact | Known or reasonably foreseeable effects on safety, money, employment, customers or compliance. | Use measurable facts where available and avoid speculation. |
| Potential policy or law | The relevant policy section, control, contract term or regulation. | Label legal conclusions as provisional. |
| Escalation record | Date, channel, recipient, acknowledgement, promised next step and follow-up date. | Keep proof that the report was received. |
Make entries as close to the event as practical. If you are adding a late note, state when you wrote it and why. Do not backdate, silently rewrite or delete an earlier entry. A correction should preserve the original and explain the change.

Preserve evidence lawfully and without altering originals
OSHA identifies emails, phone records, text messages, activity logs, meeting notes, work orders, letters, memoranda, disciplinary records, pay stubs, witness details and related proceedings as potentially relevant documentation. The exact material that matters depends on the allegation, but the preservation principles are consistent.
Keep originals and work from copies
- Retain the original message, file or system entry in its native location when you are authorized to access it.
- For a working copy, record the source, creation or download date and any conversion you made. Do not alter timestamps, metadata or message threads.
- Preserve complete context, including attachments, preceding and following messages, recipients and relevant versions, rather than selecting only favorable excerpts.
- Use the employer’s approved legal-hold, incident-reporting or secure evidence process when one exists.
- Keep a list of where each item is stored and who has access. Limit copies to what is necessary.
Respect privacy, privilege and access limits
Do not export restricted company data, copy customer information or forward privileged communications to a personal account merely to create a backup. A lawyer can advise what you may lawfully retain, whether a document is privileged, and how to preserve it. Do not secretly record a conversation or bypass technical, privacy or preservation rules without jurisdiction-specific advice. Your goal is to preserve evidence, not to become an investigator with access you do not have.
Secure your personal chronology
Keep a contemporaneous log in a lawful, secure location that you can access without removing protected company material. Record when you made a report, who received it and what response was promised. If a system is likely to overwrite logs, tell the authorized custodian promptly so a formal preservation process can be considered.
Choose an internal route that bypasses the implicated executive
Use a channel independent of the executive who is involved or controls your normal reporting line. Depending on the organization, that may be a compliance hotline, HR, legal, internal audit, the audit committee, the board chair or an independent director. The U.S. Department of Justice treats confidential reporting mechanisms, timely investigations and effective governance as evidence of a well-designed compliance program.

Questions to ask when you file
- Who owns the investigation, and is that person independent of the executive named in the report?
- What is the expected acknowledgement and milestone schedule?
- How will records be preserved, and who can access my submission?
- What confidentiality can you provide, and in what circumstances might my identity need to be disclosed?
- Whom should I contact about retaliation or an urgent safety issue?
- When should I follow up if no milestone is met?
Ask for confidentiality to the extent possible, but do not assume absolute secrecy. A thorough and impartial investigation may require sharing your identity or allegations with witnesses, decisionmakers or regulators. Request protection from retaliation and keep the acknowledgement, case number and promised next step in your escalation record.
When the CEO or another senior executive is implicated
If the CEO, CFO, general counsel or another executive controls ordinary channels, use governance bodies outside that chain. The board chair, lead independent director, audit committee or an independent director may be appropriate, particularly for financial reporting, conflicts of interest, harassment by senior leadership or interference with an investigation.
Prepare a board or audit-committee submission
- Write a concise executive summary stating the conduct, dates, people, potential impact and action requested.
- Attach an indexed chronology and a list of supporting records; provide copies or secure references, not altered originals.
- Explain which ordinary channel is conflicted or has failed, using dates and responses rather than conclusions about motive.
- Ask the recipient to confirm independence, preservation steps, investigation ownership and the next milestone.
- Keep proof of delivery and record every response, delay or change in treatment afterward.
An independent director can retain outside counsel or investigators. Do not demand a particular outcome; ask for an impartial process and protection against retaliation.
Escalate externally only when the subject and jurisdiction fit
External reporting is not one universal “whistleblower” path. Match the allegation, your role, the affected law and the available remedy to the agency. The following comparison is a decision aid, not a promise that an agency will open a case.

| Route | Typical subject matter | Confidentiality or anonymity | Timing and evidence | Potential protection or remedy |
|---|---|---|---|---|
| U.S. Securities and Exchange Commission | Possible federal securities-law violations, such as misleading disclosures or market-related misconduct. | Submit through the SEC’s whistleblower process; do not assume anonymity in every circumstance. The program prohibits employer retaliation for information about possible securities violations. | A specific, credible, timely tip naming people, transactions or non-public evidence is more likely to receive investigative follow-up. A qualifying internal report generally must be followed by an SEC report within 120 days to preserve the internal reporting date for certain award purposes. | For qualifying enforcement actions with more than $1 million in monetary sanctions, the current SEC FAQ describes awards of 10–30% of monetary sanctions, subject to program rules and a determination by the Commission. |
| Occupational Safety and Health Administration | Covered whistleblower retaliation connected to an occupational-safety or other statute administered by OSHA. | OSHA complaints are not anonymous. The agency may need your identity and supporting records to investigate. | Use the applicable statute’s filing period and preserve the chronology, communications and employment actions that show protected activity and retaliation. The exact deadline varies by statute. | When retaliation is supported, OSHA may seek reinstatement, back pay, benefits or other relief authorized by the applicable law. |
| Equal Employment Opportunity Commission | Covered employment discrimination or retaliation for protected equal-employment-opportunity activity. | Confidentiality is balanced against a thorough, impartial investigation; do not promise yourself or others complete secrecy. | Keep evidence of the protected report, adverse treatment, timing, comparator treatment and explanations offered by management. Filing deadlines depend on the statute and jurisdiction. | Available relief depends on the covered law and facts. EEOC protection does not attach to every workplace complaint. |
Consult a lawyer promptly when deadlines, privilege, immigration status, a personal safety risk or a possible criminal investigation is involved. Legal advice can also determine whether copying a particular record is lawful and whether an internal report affects an external award or claim.
SEC reporting: what the current program emphasizes
The SEC’s current whistleblower FAQ identifies a $1 million monetary-sanction threshold for qualifying award actions and an award range of 10–30% of monetary sanctions. Those figures apply only when the program’s eligibility and award conditions are met; they are not a payment promise for every tip.
If you first report internally, the SEC says that reporting to the Commission within 120 days can preserve the internal reporting date for certain award purposes. This timing rule is distinct from any deadline that may apply to a private claim or another regulator. Submit concrete information: names, dates, transactions, documents or non-public evidence, and explain how you know it. A vague assertion that an executive is dishonest is less useful than a traceable account of a disclosure, control, approval or transaction.

OSHA retaliation complaints
OSHA’s whistleblower process is for covered retaliation claims, not a general venue for every form of executive misconduct. Determine which statute covers your activity and the applicable filing period. OSHA complaints cannot be anonymous, so consider the consequences of disclosure and obtain advice if safety, immigration or personal-security concerns exist.
Organize evidence around sequence and causation: the protected report or safety activity, who knew about it, what changed afterward, and how the employer explained the change. Preserve schedules, pay records, evaluations, discipline notices, messages and witness details. OSHA may seek reinstatement, back pay, benefits or other statutory relief when the evidence supports retaliation.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.EEOC matters: separate discrimination from general unfairness
EEOC protection depends on covered equal-employment-opportunity activity and the facts of the case. A complaint about a manager’s rudeness, poor business judgment or every policy violation is not automatically an EEO complaint. Identify the protected report or opposition, the discriminatory or retaliatory act, the decisionmaker’s knowledge and the connection between them.
EEOC retaliation guidance points to suspicious timing, retaliatory statements, comparator evidence and false explanations as facts that can support causation. In the EEOC’s FY1997–FY2015 charge statistics, retaliation claims appeared in 44.5% of all charges received in FY2015. That historical figure shows how common retaliation allegations were; it does not predict the outcome of an individual matter.

Maintain confidentiality requests realistically. The agency’s approach must allow a thorough and impartial investigation, which may require sharing allegations or identity with relevant people.
Keep a separate retaliation log after reporting
Start the retaliation log when you make the first report, even if nothing adverse has happened. Record the date, decisionmaker, action, stated reason, comparators and effect on your work. Include schedule changes, exclusion from meetings, threats, altered evaluations, discipline, pay changes, termination and other adverse treatment.
- Timing: Note the interval between your report and each action.
- Statements: Preserve exact words suggesting punishment for reporting or pressure to withdraw it.
- Comparators: Identify similarly situated people who were treated differently, with concrete dates and decisions.
- Explanations: Save the employer’s stated reason and contemporaneous evidence that may confirm or contradict it. Do not label an explanation false without recording the underlying facts.
- Response: Report urgent threats through the designated anti-retaliation contact and seek advice before resigning, signing a release or deleting records.
Keep the retaliation log distinct from the original misconduct chronology, while cross-referencing incident IDs. This prevents a later employment action from obscuring what you originally reported.

Immediate safety or criminal risk
If the conduct presents an immediate danger, preserve your safety and contact emergency or law-enforcement resources as appropriate. Do not confront the executive, collect evidence in a dangerous setting or conduct a private investigation. Once safe, record what happened, who was notified and any instructions about preserving records.
Common mistakes that weaken a report
- Overstating: Calling conduct “fraud” or “illegal” without explaining the observable facts makes review harder. State the facts and identify the rule that may apply.
- Editing originals: Cropping screenshots, changing spreadsheets or forwarding incomplete threads can raise authenticity questions.
- Using only one channel: If the implicated executive controls the hotline or HR, use an independent governance route.
- Promising secrecy: Neither you nor an intake officer can guarantee that an investigation will never reveal your identity.
- Unauthorized copying: Exporting customer, employee or privileged data to a personal account can create separate legal and privacy problems.
- Waiting without tracking: A report with no acknowledgement, milestone or follow-up record is difficult to escalate responsibly.
- Secret recording: Recording laws vary, and company policy or privacy rules may apply. Obtain jurisdiction-specific advice first.
- Assuming every regulator fits: SEC, OSHA and EEOC authority depends on subject matter, coverage and deadlines.
A practical escalation checklist
- Confirm immediate safety; use emergency or law-enforcement resources for an urgent threat or possible crime.
- Open an incident ID and write the first chronology entry with date, time zone, people, exact words and observed facts.
- List corroborating records and witnesses; preserve originals and request an authorized hold if systems may overwrite them.
- Check the relevant policy, code, contract or statute and mark legal conclusions as provisional.
- Select an internal channel independent of the implicated executive; ask about ownership, milestones, confidentiality and retaliation protection.
- If ordinary channels are conflicted, submit to the board chair, lead independent director, audit committee or independent counsel.
- Assess SEC, OSHA or EEOC jurisdiction and filing timing; obtain legal advice before copying restricted or privileged material.
- Record delivery, acknowledgement and every promised next step.
- Start a separate retaliation log and preserve schedules, evaluations, pay records, discipline, messages and comparator facts.
- Follow up on missed milestones and escalate through the next independent route rather than investigating the executive yourself.
What a well-supported report looks like
A strong submission can be read quickly and checked independently. It opens with the requested action, identifies the decisionmaker and dates, supplies a chronological table, indexes the supporting records, distinguishes firsthand knowledge from hearsay, and explains the potential impact without embellishment. It states what has already been reported, to whom, what response was received and what protection or preservation step is requested.
This approach does not guarantee anonymity, immunity, an SEC award, a regulator’s investigation or a favorable employment result. It gives an independent reviewer a reliable factual record and helps you meet whatever procedural, preservation and anti-retaliation requirements apply to your situation.
