How to Digitize Bank Agreement Workflows With Electronic Signatures

Digitizing bank agreements takes more than collecting an electronic signature. Learn how to design consent, identity checks, record retention, audit evidence, and provider oversight into a U.S. banking workflow.

Banks can digitize agreement workflows by matching each signing process to the agreement’s legal and operational requirements, verifying signer identity and authority, handling any required consumer consent and disclosures, and preserving records and audit evidence that the bank can retrieve and review. An electronic signature can satisfy a signature step; it does not, by itself, settle every question about disclosure delivery, notarization, record retention, or applicable state and federal rules.

This guide focuses on U.S. banking workflows. The E-SIGN Act provides a general rule for covered transactions, but agreement-specific requirements, exceptions, state law, and requirements in other jurisdictions still need to be assessed.

What electronic signatures do—and do not—change

Under the U.S. E-SIGN Act, a signature, contract, or other record for a transaction in or affecting interstate or foreign commerce generally may not be denied legal effect, validity, or enforceability solely because it is electronic. A contract also cannot be denied effect solely because an electronic signature or record was used to form it. The statute does not remove other applicable legal requirements or generally compel a person to accept electronic records or signatures. (15 U.S.C. § 7001(a))

That distinction matters in implementation. A bank still needs to determine what the agreement requires, whether disclosures must be delivered in a particular way, whether a signer has authority, and whether notarization or other formalities apply. E-signature validity is one part of the workflow, not a blanket approval for every document or transaction.

Map the agreement workflow before choosing a platform

Start with the agreement and customer journey, rather than the signing tool. Identify which records are contractual terms, which are required disclosures, who must sign, what evidence the bank needs, and which rules govern the transaction. Have legal and compliance teams assess the requirements for each agreement type and channel.

  1. Classify the record and transaction. Identify the agreement, associated disclosures and acknowledgments, customer or business context, applicable jurisdictions, and any special requirements such as notarization or investor rules.
  2. Define the signing parties. Establish who is expected to sign, whether a person acts for an entity, and how the bank will verify identity and authority.
  3. Separate consent from signing. Determine whether required consumer information will be delivered electronically and whether the E-SIGN consumer-consent conditions apply. Design those steps separately from agreement acceptance.
  4. Set evidence and retention requirements. Specify what records and event history the bank needs, who must be able to access them, and how long each record class must be retained under its applicable rules and schedule.
  5. Design exceptions and support. Decide how the process handles paper requests, consent withdrawal, failed access checks, incomplete signatures, identity mismatches, technical failures, and requests to correct contact information.
  6. Test the end-to-end record. Confirm that staff can retrieve the executed version and reconstruct material events using the evidence available from the bank and any service provider.

Build the consumer consent and disclosure journey

Electronic signing and electronic delivery of legally required consumer information are related but distinct. When E-SIGN’s consumer-disclosure provisions apply, the consumer must receive specified information before consenting to electronic delivery and must electronically confirm consent in a way that reasonably demonstrates access to the format being used.

Before consent, the required information includes the consumer’s paper-record rights; withdrawal rights and any disclosed conditions or fees; whether consent covers one transaction or a category of records; how to withdraw consent and update contact information; how to request a paper copy and whether a fee applies; and applicable hardware and software requirements. The workflow also needs the required electronic confirmation of consent and access to the format.

If a later technical change creates a material risk that the consumer cannot access or retain electronic records, E-SIGN sets conditions for providing revised requirements and withdrawal information and obtaining renewed confirmation. Counsel should determine how these provisions apply to the bank’s particular agreements and channels.

In practical terms, design the journey so that the consumer can understand what is being delivered electronically and complete the required access demonstration before relying on electronic delivery. Preserve the consent and disclosure events as part of the transaction record. A signature click should not be treated as a substitute for a separate consent, disclosure, or acknowledgment when one is required.

Match identity checks to the agreement’s risk

Federal banking interagency guidance recommends that authentication programs be informed by periodic risk assessment and cover customers, employees, third parties, and system-to-system communications. It identifies reliable identity verification as a way to reduce risks such as identity theft, fraudulent applications, and unenforceable electronic agreements. The guidance is risk-management material; it expressly does not establish a new compliance standard or impose new requirements.

FinCEN’s Customer Identification Program (CIP) FAQs explain that a bank may use an electronic credential, such as a digital certificate, as one way to verify the identity of a customer opening an account online. The bank remains responsible for having a reasonable belief that it knows the customer’s true identity and should ensure that a third party uses the same level of authentication the bank itself would use. This does not make digital certificates mandatory for every electronically signed agreement.

Choose controls in light of the bank’s risk assessment, applicable CIP and customer due diligence rules, agreement context, and current policy. For agreements signed for a business or other entity, define how the bank verifies that the individual is authorized to act for it and how changes or revocations of that authority are recorded. The reviewed federal sources do not prescribe one signing method for every contract.

Make the executed record retrievable and auditable

E-SIGN permits electronic retention when the record accurately reflects the contract or other record and remains accessible to people legally entitled to access it for the required period in a form that can be accurately reproduced later. An electronic record that cannot be retained and accurately reproduced may lose legal effect where writing and retention are required.

Design the bank’s record set around the rules that apply to each record class. Depending on the agreement and applicable requirements, a useful implementation checklist may include:

  • The executed agreement and the version presented to the signer.
  • Evidence connecting the signer to the identity and authentication event, and, where relevant, evidence of authority to sign for an entity.
  • Required consumer disclosures, consent, and evidence of the access confirmation.
  • Signature dates, attribution data, delivery status, completion status, and exception handling.
  • An exportable event history that allows the bank to review material steps in the transaction.

This is a design checklist, not a universal statutory list. Map each record type to its governing rule, contract, applicable litigation hold, and the bank’s retention schedule. For example, the FFIEC BSA/AML Examination Manual says most covered BSA records generally must be kept for at least five years and may be stored electronically if accessible within a reasonable period. It also notes that customer identity records are generally kept for five years after account closure, with longer retention possible in some cases. Those examples apply to specified BSA-related records; they are not a retention schedule for every bank agreement.

Auditability must extend to the systems that process and store the workflow. Basel Committee guidance on e-banking controls emphasizes effective, independently auditable controls and clear audit trails for matters such as account opening, financially consequential transactions, authorizations, and system-access changes. It recommends sufficient logs to support dispute resolution and forensic evidence practices that protect evidence against tampering. If a service provider controls the processing system or audit trail, the bank should be able to access relevant logs and verify that they meet bank standards.

Evaluate the workflow provider as part of the control design

A service provider can operate parts of the process, but outsourcing the workflow does not remove the bank’s need to oversee it or obtain relevant evidence. Compare options against the transaction requirements and the bank’s control needs—not just whether a tool can collect signatures.

  • Identity and authentication: Can the process support risk-based verification for customers, employees, third parties, and system access?
  • Consent and disclosures: Can the workflow present required information before consent and preserve evidence of the consumer’s action and access?
  • Record integrity and access: Can the bank retain an accurate version of the executed record and access and reproduce it for the required period?
  • Auditability: Can the bank reconstruct material events, export relevant logs, and protect evidence against tampering?
  • Provider oversight: If the provider stores records or controls logs, can the bank retrieve the evidence and assess whether the provider meets the bank’s standards?
  • Transaction and jurisdiction fit: Does the workflow fit the agreement type, governing law, notarization needs, investor requirements, and any applicable exception?

These are evaluation criteria, not product rankings. A platform’s ability to capture an electronic signature does not establish that the complete workflow meets the bank’s legal, recordkeeping, or oversight requirements.

Account for agreement-specific requirements, including mortgages

Requirements can vary by agreement, jurisdiction, and transaction. Electronic notarization, including remote notarization, depends on the law applicable to where the notarization is performed and any other relevant rules. A bank should confirm those requirements before enabling the process rather than infer that a valid electronic signature resolves notarization.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mortgage transactions illustrate why scope matters. The Fannie Mae Selling Guide edition published March 6, 2024, says electronic signatures and systems must comply with E-SIGN, state-adopted UETA, and other applicable federal and state laws. For covered seller/servicers, the guide requires retained evidence for each e-signature, including authenticated signer identity (and the related entity when applicable), attribution to the purported signer, the signer’s agreement to use e-signature, the signature date, and the signing method or e-sign vendor. For covered electronic records on loans Fannie Mae purchases or securitizes, the evidence must support its quality-control review. This is an example for loans within the guide’s scope, not a universal rule for all bank agreements; confirm the current guide edition before relying on it.

Use a controlled rollout

Before extending a workflow across agreement types, validate the full process with the teams responsible for legal interpretation, compliance, operations, information security, records management, and vendor oversight. Confirm that the actual customer journey matches the documented design, and that staff can handle exceptions without losing required evidence.
