First confirm that the notice is an issuer tender offer, then read its price, deadline, conditions, proration and withdrawal rules. Compare the cash you can actually receive with the value and risk of keeping the shares, your need for liquidity, your portfolio concentration and the tax result for the specific lots sold. In a typical tender offer, participation is optional: you can tender, sell in the market or continue holding.
What a company buyback means for a shareholder
An issuer tender offer is a time-limited offer by a company to buy some of its own securities. The company sets the offer terms, including the price (or, where stated, a price range), the opening and expiration dates, eligibility requirements and any maximum number of shares it will purchase. Each security holder decides whether to tender. Investor.gov summarizes the choice this way: “That means each security holder can decide for him or herself whether to tender his or her securities.”

This is different from an ordinary open-market repurchase, in which a company buys shares through the market without asking every holder to submit shares by a particular deadline. It is also different from merger consideration, a dividend, a redemption or a broker notice about another corporate action. Identify the transaction before evaluating it, because the mechanics, tax reporting and choices can differ.
Read the offer document before comparing the price
The issuer’s tender-offer statement and its exhibits, including later amendments filed with the Securities and Exchange Commission, are the controlling source for the transaction. Your broker’s notice is useful for submitting instructions, but it may summarize rather than reproduce every condition.

| Term to locate | Why it changes your decision |
|---|---|
| Offer price or price range | Sets the gross cash value, but not the net amount after fees, taxes or an incomplete acceptance. |
| Opening and expiration dates | Determine how long you have to investigate and the exact broker deadline, which may be earlier than the issuer’s deadline. |
| Maximum shares | Shows whether the company will buy every validly tendered share or cap the purchase. |
| Minimum condition | A required minimum number of shares or other condition can allow the company to cancel or change the offer if it is not met. |
| Proration formula | Explains how the company allocates purchases when more shares are tendered than it agreed to buy. |
| Odd-lot treatment | Some offers give special treatment to holders below a stated lot size; the exact eligibility and priority are transaction-specific. |
| Withdrawal rights | States whether and when you may withdraw shares already tendered, including any rule triggered by a material change. |
| Eligibility restrictions | Can exclude certain jurisdictions, account registrations, share classes or holders who do not satisfy the stated conditions. |
| Settlement timing | Tells you when accepted shares should be removed and when cash is expected to arrive. |
| Broker instructions and fees | Identify the required election, cut-off time, account permissions and any processing charge. |
SEC staff guidance says that a material change in a tender offer should be disclosed with enough time for security holders to evaluate it and decide whether to tender, withdraw shares already tendered, sell in the market or hold. If an amendment changes price, conditions, timing or other material terms, reread it rather than relying on your original decision.
Compare all three choices: tender, sell in the market or hold
A tender offer creates three practical alternatives. They are not equivalent, even when the quoted tender price is above the current market price.
| Choice | Potential benefit | Main uncertainty or cost |
|---|---|---|
| Tender shares | Provides a stated cash price and can reduce company-specific exposure. | Acceptance may be partial, delayed or conditional; taxes and fees reduce proceeds. |
| Sell in the market | Normally gives immediate execution and control over the exact quantity sold. | Market price may be below the tender price, and spread, commissions or volatility affect the result. |
| Hold shares | Preserves future upside, dividends, voting rights and economic exposure. | You retain price risk, concentration risk and the possibility that the market price falls after the offer. |
Evaluate each alternative on the same axes: price and certainty, acceptance risk, expected future return, concentration, liquidity, taxes and the importance of retaining voting or economic exposure. A premium is evidence about the offer, not proof that tendering is optimal. It may compensate holders for uncertainty, and a heavily oversubscribed offer may leave you with most of your original position.

Is the tender price worth taking?
Start with the net cash, not the headline price
Multiply the offer price by the number of shares you expect to have accepted. Then subtract any broker or tender-agent fee and estimate the tax on the lots sold. If the offer is subject to proration, calculate a range: one case in which all shares are accepted and another in which only the stated pro-rata percentage is accepted. The amount you can actually use may be much lower than the advertised price multiplied by your full tender.
Assess the value of keeping the shares
Holding is rational only if your expected risk-adjusted benefit from continued ownership is attractive relative to the cash alternative. Consider the company’s valuation, business outlook, balance-sheet and financing disclosures, expected dividends and the time horizon for your money. Do not manufacture a precise forecast when you lack reliable evidence. The available public guidance does not provide a general statistic that predicts whether a particular buyback price will outperform holding; that answer depends on the named company’s valuation, offer terms and your circumstances.

Account for concentration
Calculate the company’s weight in your total investments and in the part of the portfolio intended for long-term goals. A tender can be useful even when you remain positive on the company if one issuer has become too large a share of your assets. Conversely, selling a small position solely because the offer price is a little higher may create a taxable transaction without materially improving diversification.
Match the choice to your cash needs
Cash for an emergency reserve, debt repayment, tuition, a property purchase or another near-term obligation has a different value from money you can leave invested for years. A tender can convert an uncertain asset into a known cash amount, but settlement is not always immediate. Check the stated settlement date and plan for the possibility that only part of the tender is accepted.
Will all tendered shares be accepted?
Not necessarily. If valid tenders exceed the maximum number of shares the company agreed to purchase, the offer is oversubscribed and the issuer may accept shares pro rata. The offer document should state the formula, any minimum lot rules, and whether small “odd-lot” holdings receive priority or are excluded from proration. Do not assume that tendering 1,000 shares means selling 1,000 shares.
Acceptance can also depend on conditions such as a minimum number of shares tendered, regulatory approvals or other events described in the offer. A condition may permit the company to delay, amend or terminate the offer. Record the final accepted quantity and compare it with your instruction after settlement; a broker’s preliminary confirmation is not the same as the issuer’s final allocation.

Capital gain or loss = amount realized − adjusted basis.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsIRS Topic 409 states: “When you sell a capital asset, the difference between the adjusted basis in the asset and the amount you realized from the sale is a capital gain or a capital loss.” The amount realized generally starts with the proceeds for the accepted shares, reduced by selling expenses. Adjusted basis is generally what you paid for those shares plus purchase costs, with later adjustments required in situations such as certain corporate actions.
Identify the lots before you tender
Many brokerage accounts contain shares purchased on different dates and at different prices. If you can adequately identify the particular lots sold, select the lots that fit your tax and investment plan and obtain confirmation that the broker recorded that selection. Holding period matters for the character of a gain or loss, so record the acquisition date as well as basis.
If specific identification is not possible, IRS Publication 550 (2025) describes FIFO treatment: the oldest shares are treated as sold first. Verify the broker’s default method before submitting the tender, because a default lot method can produce a very different taxable result from the one you intended.
Illustrative calculation
Suppose 200 shares are accepted at $50 each, producing $10,000 before expenses. If the adjusted basis for the identified lots is $6,400 and selling costs are $20, the estimated gain is $3,580: $10,000 minus $20 minus $6,400. This is only a calculation example; your actual federal, state and local tax depends on holding period, other gains and losses, account type and applicable rules.

Keep the records
- The issuer’s offer and any amendments.
- Your broker’s tender instruction and confirmation.
- Lot-level purchase records and basis adjustments.
- The final acceptance or proration notice.
- Settlement statements and Form 1099-B when issued.
Retirement accounts, employee equity, inherited shares, non-U.S. taxpayers and unusual redemption structures can follow different rules. A tax professional can determine whether the transaction is treated as a sale or another form of distribution and how it interacts with loss harvesting or other transactions.
What the 1% stock-repurchase excise tax means
The Inflation Reduction Act of 2022 created a 1% excise tax on the fair market value of stock repurchased during the tax year by certain publicly traded corporations or their specified affiliates. The Internal Revenue Service Form 7208 instructions, issued in 2025, state that the tax applies to covered repurchases occurring after 2022.
This is a corporate-level rule. It may affect the economics of a company’s repurchase program, financing choices or the net benefit management expects from buying shares, but it does not calculate your personal capital gain and does not decide whether your tender is attractive. You still need to analyze your own proceeds, basis, holding period and portfolio exposure.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How much should you tender?
Tender none
Choosing not to tender preserves your entire position and avoids an immediate taxable sale. It may suit an investor who has strong, evidence-based conviction in the company’s future, does not need cash and has an acceptable concentration level. You remain exposed to future price declines and any post-offer change in the company’s outlook.
Tender part
A partial tender can reduce concentration, raise cash for a defined goal and preserve some upside. Decide the desired post-tender position first, then check whether proration could leave you with more shares than intended. If the offer is oversubscribed, a very large tender may not reduce exposure as much as planned.
Best Value
Tender all
A full tender can eliminate company-specific risk and create liquidity, but it also ends your participation in future price appreciation, dividends and voting. It may realize a large gain in one tax year. Compare that tax cost with the risk of continuing to hold before choosing an all-or-nothing instruction.
Step-by-step: making and documenting the decision
- Identify the event. Confirm the issuer, security class and whether the notice is an issuer tender offer rather than an open-market repurchase, merger payment, dividend or another corporate action.
- Build a term sheet. Record the price or range, opening and expiration dates, maximum shares, minimum conditions, proration method, odd-lot rules, withdrawal deadline, eligibility, settlement date and broker cut-off.
- Read the primary filing. Review the issuer’s tender-offer statement, exhibits and amendments filed with the SEC. Pay particular attention to financing, conditions, risks and any change to the original terms.
- Calculate three outcomes. Estimate net proceeds if you tender, proceeds from selling the same quantity in the market and the value of holding. Include fees, likely taxes and a conservative proration case.
- Review your portfolio. Measure the issuer’s current weight, the exposure you would retain after a partial acceptance and your need for cash.
- Choose tax lots. Identify the shares to be sold, confirm basis and holding period, and check whether FIFO will apply if you cannot provide adequate identification.
- Set the quantity. Choose none, part or all based on the position you want after the transaction, not merely on the number of shares you own today.
- Submit the instruction early. Follow the broker’s exact tender path and internal deadline. Save the confirmation, reference number and any stated withdrawal procedure.
- Monitor amendments. If the issuer makes a material change, reread the notice and reassess whether to tender, withdraw, sell in the market or hold. SEC guidance expects enough time for that decision.
- Reconcile settlement. Confirm the accepted quantity, cash received, fees, remaining shares and tax-lot records. Compare the final broker statement with the issuer’s proration or acceptance notice.
What happens if you do not tender?
Your shares generally remain in your account and continue to participate in the company’s market performance, dividends and voting rights, subject to the offer’s terms and the security’s normal rights. The market price may move toward, above or below the tender price as investors reassess the company, the size of the repurchase and the likelihood of acceptance. Not tendering is therefore an active decision to retain the exposure, not a way to lock in the offer price.
Common mistakes and how to avoid them
- Assuming the premium guarantees a profit. Compare the net, tax-adjusted proceeds and the value of the shares you keep.
- Ignoring proration. Model a partial acceptance and read the exact allocation formula.
- Missing the broker deadline. A broker may require instructions before the issuer’s published expiration time.
- Failing to read amendments. A changed price, condition or deadline can invalidate the original analysis.
- Using the wrong tax lots. Confirm specific identification or understand the FIFO consequence before tendering.
- Confusing corporate tax with shareholder tax. The 1% repurchase excise tax applies to certain corporations; it does not replace your gain-or-loss calculation.
- Overlooking the residual position. After proration, calculate the concentration and liquidity of the shares that remain.
- Treating a broker summary as the full contract. Use the issuer’s filing and exhibits for conditions, eligibility, withdrawal and settlement details.
When to get specialized advice
Ask a tax adviser or financial professional to review the transaction when the shares are held in a retirement account, came from an employee plan or inheritance, are subject to restrictions, or involve a non-U.S. taxpayer. Professional help is also appropriate when the tender would create a large gain, interact with loss harvesting, materially change your portfolio concentration or affect a near-term financial obligation.
A defensible decision rule
Tender only the quantity that fits your target exposure after considering likely proration, and only after comparing the offer’s net cash with a realistic, risk-adjusted value of holding. If the price does not compensate you for the risk, tax and loss of future participation, holding may be preferable. If concentration or liquidity is the bigger problem, a partial or full tender can be sensible even when you remain constructive on the company. The offer document, your lot records and your personal objectives determine the answer; there is no universal buyback percentage or published statistic that can make the decision for every shareholder.
