How to create and manage tokenized funds on the XRP Ledger

To tokenize a fund on the XRP Ledger (XRPL), create a dedicated issuer account, define a unique currency code, configure authorization and transfer controls, and issue the fund-unit token only to investor accounts that have opted in through trust lines. Then manage subscriptions, transfers, redemptions, and any trading venue through signed ledger transactions or an institutional custody workflow. The ledger records balances and rules; it does not decide whether the fund is a security or replace licensing, KYC/AML, valuation, custody, audit, disclosure, or investor-protection obligations.

This guide covers the complete operating model: design and compliance decisions, issuance, holder onboarding, restrictions, liquidity, custody integrations, reserves, governance, and incident response.

What a tokenized fund unit is on XRPL

An XRPL fund unit is normally a fungible issued token, not XRP itself. Its identity is the combination of:

  • Issuer account: the XRPL address that creates and controls the issued asset.
  • Currency code: the code selected by the issuer, such as a three-character code or a longer hexadecimal code.
  • Holder trust line: a bilateral ledger object through which an investor opts in, sets a holding limit, and records the issuer relationship.

The same currency code issued by two different accounts represents two different assets. Publish the authoritative issuer address and currency code in every subscription, statement, and integration so that investors cannot confuse the fund token with an impersonating asset.

“Trust lines tokens are a type of fungible token in the XRP Ledger.” — XRP Ledger Foundation documentation

A holder cannot ordinarily receive an issued token without first creating a trust line to the issuer. That opt-in model is central to XRPL distribution: the fund operator does not simply send units to arbitrary addresses. The investor creates or authorizes the relationship, the issuer approves it when authorization is enabled, and only then can units be delivered.

Tokenization changes the recordkeeping and transfer rail, not the legal nature of the investment. A token representing a share, partnership interest, unit in a collective investment scheme, or other claim may still be a security or another regulated instrument in the relevant jurisdiction.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Design the fund before creating the token

Define the legal and economic rights

Write the fund documents before choosing ledger settings. Specify what one token represents, whether fractional units are permitted, how net asset value is calculated, valuation frequency, subscription cut-off times, fees, distributions, redemption windows, gates or suspensions, and the source of cash or other assets used to settle redemptions. The ledger can show a balance, but it cannot calculate NAV, verify an underlying portfolio, enforce a prospectus, or determine that a redemption request is valid.

Decide which investors may hold units and through what process. Eligibility may depend on residence, professional-investor status, accreditation, sanctions screening, tax status, or a private-placement exemption. Document how an investor is approved, how eligibility is refreshed, and what happens when an investor becomes ineligible.

Choose a durable token identity

  • Use a currency code that is unique within your product and unlikely to be confused with another fund.
  • Keep the issuer account separate from operating, treasury, and market-making accounts.
  • Publish the issuer address, currency code, decimal policy, transfer policy, and redemption instructions in authoritative documentation.
  • Publish an xrp-ledger.toml file that identifies the issuer and supported currencies, reducing impersonation risk for wallets and integrators.

A code is not a trademark or a legal name. Your offering documents should always display the complete issuer address alongside the code.

Plan accounts and signing authority

Use a role model before production issuance. Typical roles include an issuer signer, a compliance approver, a transfer operator, a redemption or treasury operator, and an emergency or recovery authority. Apply multi-signature or custody approval policies where appropriate, separate daily transaction keys from offline recovery keys, and define who may enable authorization, freeze balances, initiate clawbacks, or change trust-line settings.

Budget XRPL reserves

XRPL accounts and ledger objects require XRP reserves. Current Ripple Custody documentation uses these figures as examples: 1 XRP for an account reserve, 0.2 XRP for each additional reserve-bearing object, and 2 XRP as the stated reserved amount in its trust-line creation workflow. These are documentation examples, not a promise that reserves never change; verify the live network reserve requirements and the edition of the custody service you use.

Item Figure stated in current Ripple Custody documentation How to use it in planning
Base account reserve 1 XRP Fund the issuer and holder accounts with enough XRP to meet the network reserve.
Additional ledger object 0.2 XRP per object Allow for trust lines and other reserve-bearing objects; the actual object set depends on account activity.
Trust-line workflow reserve 2 XRP reserved amount Treat this as the workflow’s stated requirement, then confirm the current network and custody calculation before onboarding investors.

Keep an operating buffer above the minimum. A failed transaction caused by insufficient reserve can interrupt subscriptions, redemptions, or emergency controls.

Issue the fund token: the end-to-end workflow

1. Create and fund the issuer account

  1. Create a new XRPL account dedicated to the fund issuer. Record the address through an approved key-management process.
  2. Fund it with XRP sufficient for the base reserve, expected trust lines or other objects, and transaction fees.
  3. Test signing and approval procedures on the network and account environment you intend to use before production issuance.
  4. Publish the issuer address through your official documentation and xrp-ledger.toml metadata.

Do not use a personal wallet as the permanent issuer. A dedicated account makes audits, key rotation, incident response, and investor verification more tractable.

2. Configure authorization and transfer policy

Decide whether the issuer will require authorization before an account can hold the token. With Require Auth enabled, a trust line can exist without being permitted to hold the asset until the issuer authorizes it. This is useful for verified-investor models, but it creates an operational obligation: every approved subscription, transfer, and remediation must follow a documented approval path.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Decide whether you need freeze or clawback capabilities and disclose them before selling units. These controls can support sanctions responses, court orders, mistaken transfers, fraud recovery, or regulated transfer restrictions. They also create concentrated power and key-management risk. Define who can invoke them, what evidence is required, how affected investors are notified, and how an action is reviewed.

3. Register and allowlist the asset in your operating systems

Ripple Custody’s issuance workflow includes registering and allowlisting the token. In practice, maintain the issuer address and currency code in every custody, compliance, transfer, and reconciliation system that can send or receive assets. An allowlist should reject look-alike issuer addresses and unknown currency codes before a transaction is signed.

4. Create and verify an investor account

  1. Create or identify the investor’s XRPL account through your wallet or custody provider.
  2. Complete the fund’s identity, eligibility, sanctions, and suitability checks outside the ledger.
  3. Confirm that the investor controls the destination address and that the address is recorded against the correct legal entity or beneficial owner.
  4. Check that the account has enough XRP for its reserve and transaction fees.

An address alone is not proof of identity. Keep the verified identity-to-address mapping in a controlled system, with an audit trail for changes.

5. Establish the bilateral trust line

  1. The holder submits a trust-line transaction naming the issuer and currency code and setting a limit at least as high as the intended holding.
  2. If authorization is required, the issuer reviews the investor and authorizes the trust line after approval.
  3. Confirm both the currency code and issuer address on the resulting ledger object before sending units.

The trust line is bilateral: it records limits and settings for the holder–issuer relationship. The holder’s limit is not a promise by the fund to issue that amount; it is the maximum balance the holder permits on that line. Investors should understand that creating a trust line is an opt-in step and may consume reserve.

6. Issue units after approval

Send the token only after the trust line is present, authorized when required, and matched to the approved subscription. Ripple’s API guide states that transfer orders are the recommended method for sending all assets, including XRPL tokens. A custody workflow can add policy checks, dual approval, and reconciliation before the underlying ledger transaction is signed.

XRPL fungible-token amounts are decimal-based. Ripple Custody documentation also notes that its custody product supports integer token amounts. If your fund uses whole-number units in custody, define the conversion, rounding, and reconciliation rules explicitly; never assume that a custody integer automatically has the same economic precision as an XRPL decimal balance.

7. Reconcile and issue investor records

After confirmation, reconcile the ledger balance with the subscription amount, cash settlement, NAV used, fees, and the investor’s off-ledger register. Store the transaction hash, issuer and holder addresses, currency code, quantity, valuation timestamp, approvals, and any restrictions applied. Provide the investor with a statement that identifies the complete asset identity and redemption instructions.

Manage trust lines and holder status

Trust lines can be created or updated as an investor’s approved limit, authorization, freeze status, or No Ripple behavior changes. Treat each change as a controlled event rather than a wallet preference. A change in an investor’s eligibility may require denying new deposits, reducing an allowed limit, freezing a balance, or processing a redemption under the fund documents.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Require Auth and authorized trust lines

Require Auth is the primary XRPL mechanism for restricting who may hold an issued token. The issuer authorizes individual trust lines after the investor passes the fund’s checks. It does not perform KYC, monitor beneficial ownership, or enforce a jurisdiction’s securities rules; those remain your responsibility.

Freeze and unfreeze procedures

Freeze controls can stop or limit transfers involving a token or account, depending on the configured capability and transaction path. Establish a written trigger matrix for sanctions hits, suspected account compromise, court orders, operational mistakes, and system incidents. Record the decision-maker, evidence, scope, start time, investor notice, review date, and release conditions. Test emergency access without exposing production keys.

Clawback procedures

A clawback can support recovery from an erroneous or abusive transfer where the implementation and applicable rules permit it. It is not a substitute for a redemption contract or a general right to confiscate investor property. Define the legal authority, notice, valuation, tax treatment, destination of recovered units, and appeal or review process before enabling the capability.

No Ripple behavior and transfer policy

Trust-line settings can include No Ripple behavior, which affects how balances may be used in path-based payments. Select settings consistently with your transfer and liquidity design, document their effect for integrators, and test paths before production. A setting that prevents unintended rippling does not itself restrict every direct transfer between approved holders.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Preauthorized deposits

Preauthorized deposits can be used when an account must explicitly approve an incoming deposit before it is accepted. They are useful for controlled treasury, escrow, or onboarding flows, but they add another approval state to reconcile. Document who preauthorizes a deposit, how long the authorization remains valid, and what happens to an unapproved or expired deposit.

Subscriptions, redemptions, and recurring operations

Subscriptions

  1. Receive an application and complete eligibility checks.
  2. Calculate the number of units from the applicable NAV, fees, cut-off, and rounding policy.
  3. Confirm the holder trust line, authorization, limit, and destination address.
  4. Collect and reconcile payment through the fund’s approved settlement channel.
  5. Submit the token transfer through the custody approval flow or controlled signing service.
  6. Reconcile the confirmed ledger result with the transfer register and issue a statement.

Redemptions

A redemption normally requires burning, returning, or otherwise retiring units according to the fund’s legal documents and settlement process. The XRPL balance alone does not prove that the investor met a notice period, gate, valuation date, or tax requirement. Lock the requested quantity in your transfer register, calculate the payable amount, obtain approvals, execute the token-side transaction, and reconcile the cash or asset settlement separately.

Periodic controls

  • Reconcile every issuer and treasury address to the general ledger.
  • Review all authorized trust lines and compare them with the current investor register.
  • Check for unauthorized issuer or currency-code changes in integrated systems.
  • Test backup keys, signer rotation, freeze and clawback runbooks, and recovery contacts.
  • Produce investor statements that show units, valuation date, restrictions, and redemption status.

Trading and liquidity on XRPL

The XRPL has a built-in decentralized exchange (DEX) for offers and cross-currency payments. A fund token can be quoted against XRP or another issued asset when the fund’s legal documents and jurisdictional rules permit secondary trading. Listing a market does not make an offering registered, suitable, or liquid.

DEX order books

Order books match explicit bids and offers. They provide visible prices and let a market maker choose spreads, sizes, and inventory, but depth depends on participants willing to post and maintain orders. Restricted tokens require every trade path and destination to satisfy authorization and transfer rules; an apparently available offer may fail when the buyer is not an approved holder.

XLS-0030 native AMM

XLS-0030 defines a native automated market maker. An AMMCreate transaction establishes a pool for two assets, creates trust lines for pooled issued assets and liquidity-provider (LP) tokens, and permits one AMM instance for each unique asset pair. The pool’s pricing and liquidity come from its reserves rather than a list of individual offers.

Before creating a pool, model valuation, redemption, oracle or pricing inputs, investor eligibility, and the legal status of LP participation. A fund token with transfer restrictions may not be suitable for permissionless pool liquidity. Pool participants also face inventory and impermanent-loss exposure, while the fund operator may face governance, disclosure, and market-manipulation concerns.

Decision factor DEX order book XLS-0030 AMM
Price discovery Prices come from submitted bids and offers; spreads and depth depend on market makers. Price follows the pool’s reserve-based curve and trades change the reserve ratio.
Liquidity responsibility Market makers must maintain orders and inventory. Liquidity providers deposit the pair; an AMMCreate pool is established for the unique pair.
Participant exposure Order execution, spread, and inventory risk. Pool pricing, withdrawal, and impermanent-loss exposure for liquidity providers.
Transfer restrictions Every buyer, seller, and payment path must satisfy the token’s authorization rules. Trust lines for pooled issued assets and LP tokens must work with the fund’s restrictions.
Legal suitability Requires a documented basis for secondary trading and market conduct. Requires the same analysis plus treatment of pool participation and LP interests.

Choose an implementation approach

Approach Strengths Trade-offs and questions
Trust-line issued token Uses XRPL’s established fungible-token and opt-in trust-line model; supports issuer authorization, limits, freezes, and related controls. Requires bilateral onboarding, reserve planning, and careful handling of decimal balances and restricted transfers.
Multi-Purpose Token (MPT) Distinct XRPL token model to evaluate when its feature set matches the fund’s requirements. The supplied implementation material does not establish comparable reserve, custody, liquidity, or compliance figures. Confirm the current specification and platform support before selecting it.
Direct XRPL integration Maximum control over signing, transaction construction, reconciliation, and custom policy logic. You must build key management, approvals, allowlists, monitoring, investor records, and operational recovery.
Institutional custody API Can provide custody controls, transfer orders, approvals, and operational segregation; transfer orders are recommended for sending assets in the cited API guidance. Introduces provider dependencies, API-specific integer handling, approval workflows, fees, and a need to reconcile provider records with the public ledger.
Unrestricted holding Simpler onboarding and potentially broader transferability. May be incompatible with investor eligibility, private-placement, sanctions, or transfer-agent obligations.
Require Auth and authorized trust lines Enables an allowlist-style holding policy at the issuer level. Every approval, transfer, and incident response action needs governance, staffing, monitoring, and reliable signer access.

Choose the model that fits the fund’s legal perimeter and operating capacity, not merely the model with the fewest ledger transactions.

Compliance, governance, and disclosure boundaries

The XRPL does not determine whether a fund interest is a security, whether an offering is registered or exempt, or which KYC/AML, sanctions, valuation, custody, audit, tax, and investor-protection rules apply. Obtain advice for every jurisdiction in which the fund, issuer, intermediary, or investor is located.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

At a minimum, align the ledger design with:

  • Offering documents: rights, restrictions, fees, valuation, redemption, suspension, and risk disclosures.
  • Investor eligibility: identity verification, beneficial-owner records, sanctions screening, geographic restrictions, and periodic refreshes.
  • Transfer policy: approved destinations, lockups, transfer-agent review, freeze and clawback authority, and treatment of errors.
  • Asset custody: segregation of issuer keys, client assets, treasury assets, and recovery credentials.
  • Valuation and audit: authoritative NAV sources, timestamped calculations, reconciliations, and independent review where required.
  • Privacy: avoid placing personal data on the public ledger; store only the address and transaction information necessary for audit and operations.

Publish the issuer identity and supported currencies with xrp-ledger.toml, and keep the published file synchronized with the official documentation. An outdated file can cause wallets or integrators to trust the wrong asset.

Security and operational failure modes

Symptom Likely cause Corrective action
Transfer fails because the recipient cannot hold the token. No trust line, insufficient limit, or missing issuer authorization. Verify issuer and currency code, create or update the trust line, complete eligibility review, authorize it when required, then retry through the approved workflow.
Investor sees an unexpected balance or cannot redeem. Decimal-versus-integer conversion, wrong currency code, or reconciliation error. Compare the ledger balance with the custody order, precision policy, NAV record, and transaction hash; correct the off-ledger record before sending another transaction.
Approved investor is rejected after a policy change. Allowlist or authorization state is stale. Review the investor status, trust-line authorization, destination address, and effective date of the policy; document any freeze or reauthorization.
Emergency control cannot be used. Signer unavailable, reserve depleted, approval path broken, or key lost. Use the tested emergency runbook, recovery signer, and reserve buffer; investigate the control failure and notify affected parties under the fund policy.
A buyer receives a look-alike token. Only the currency code was displayed or issuer metadata was not verified. Require full issuer-address matching, maintain allowlists, publish authoritative metadata, and train investors and integrators to verify both identifiers.

Production checklist

  • Legal classification, offering exemption or registration, and jurisdictional responsibilities are documented.
  • Token rights, decimals, NAV, fees, redemption, transfer restrictions, and incident powers are in the fund documents.
  • Issuer and holder accounts have sufficient XRP reserves and a transaction-fee buffer.
  • Issuer address, currency code, supported currencies, and xrp-ledger.toml metadata are published and verified.
  • Require Auth, freeze, clawback, No Ripple, and preauthorized-deposit settings have an approved purpose and tested runbook.
  • Investor-to-address mappings, trust-line status, approvals, and transaction hashes are reconciled.
  • Custody or direct-integration signers use separation of duties, backups, and recovery testing.
  • DEX or AMM liquidity is permitted by the fund documents and applicable law, with market, pricing, and participant risks disclosed.
  • Subscriptions, redemptions, failed transfers, sanctions events, key compromise, and ledger outages have documented escalation paths.
