Obtain current licence evidence and written answers from the provider; a consumer hardware wallet is not equivalent to regulated third-party custody.
The right provider depends on your entity type, client mandate, assets and location. A licence that permits one activity, asset class or jurisdiction may not cover the custody service you need.

Start with the legal test, not the technology
“Regulated” is not a universal label. First identify the law that applies to your firm, the clients whose assets you hold and the exact services you will use: safekeeping, settlement, staking, governance, lending, trading or transfers. Record the legal entity that will sign your agreement, its regulator and the permission that covers client-asset custody.
For United States investment advisers, analyze the qualified-custodian framework and any applicable state trust-company authority. SEC Commissioner Caroline Crenshaw said on April 25, 2025: “For the asset management industry, the Custody Rule gives us a clear answer on who advisers must trust with custody of advisory client assets: a qualified custodian.” Commissioner Mark T. Uyeda said at the same roundtable, “Proper custody of client and customer assets have been a key protection under the federal securities laws. Crypto is not any different in principle.” Those statements describe the protection objective; they do not make every crypto platform a qualified custodian.

In the European Union, verify that the entity is authorised under the Markets in Crypto-assets Regulation (MiCA) for custody and administration of crypto-assets. Confirm that the authorisation is current, names the contracting entity and covers the assets and activities in your mandate. Do not assume that an authorisation for exchange, execution or transfer automatically covers custody.
Build a jurisdiction-and-service map
- Identify your governing jurisdiction, client locations and any local trust, securities or adviser rules.
- List each asset, blockchain network and service you require, including staking, voting, forks, airdrops and collateral movements.
- Match each requirement to the provider’s legal entity, licence, regulator and written terms.
- Set a re-check date. Regulatory facts, permissions, supported assets and service terms can change after onboarding.
What to verify in a licence and regulatory record
Ask for the exact charter, registration or licence number, issuing regulator, legal name and permitted activities. Verify those details independently in the regulator’s public register or other official record. Keep a dated copy of the evidence and the URL or register entry used for your file.
A credible verification request should produce a written answer to each of these questions:
Recommended Free Tools
- Which legal entity will hold or control the private keys?
- Which regulator supervises that entity?
- Does the permission cover custody and administration of the specific crypto-assets and networks you intend to use?
- Can the entity serve your type of client and your geography?
- Are any activities performed by an affiliate, broker, settlement venue or sub-custodian?
- Are there restrictions on staking, protocol upgrades, withdrawals, omnibus wallets or client-directed transfers?
Use the provider’s legal name in your contract and due-diligence records. A brand name, app name or group-level licence is not enough if a different subsidiary actually controls assets.
Read the custody agreement as an insolvency document
The contract determines what you own, what the provider may do with it and what happens when the relationship or the provider ends. Have counsel review the agreement for client-asset language rather than relying on a marketing summary.
Ownership and permitted use
Look for an express statement that client crypto-assets and the means of access are held for the client, not as the custodian’s property. The agreement should prohibit rehypothecation, lending, pledging or proprietary use unless you have given the legally required, explicit consent and understand the resulting risk. Define whether the custodian may stake, delegate, vote, participate in governance or use assets to pay network fees.

Segregation, liens and set-off
Determine whether assets are held in individually identified wallets, a client omnibus wallet with internal records, or a mixture. Ask whether the provider can assert a lien or set-off against client assets for unpaid fees, losses or obligations of an affiliate. Require the agreement to state how client assets are separated from the provider’s own holdings and from other clients’ assets, and how ownership records are maintained.
Insolvency and return timing
Ask what legal mechanism protects your ownership if the custodian enters insolvency, liquidation or resolution. The answer should address the treatment of wallets, private-key shards, records, claims against sub-custodians and assets that are temporarily frozen by a protocol or court. Obtain a written process for terminating the account and returning each asset, including expected timing, network fees, address verification and what happens if the provider cannot meet a withdrawal request immediately.
In the EU, MiCA Article 75 requires arrangements that protect clients’ ownership rights and prevent proprietary use. It also requires client holdings and the means of access to be separated from the provider’s own holdings. Confirm how those legal requirements are implemented in the specific wallet and ledger model you are being offered.
Understand the segregation model in practice
“Segregated” can describe several architectures. Ask for a diagram that follows an asset from deposit through storage, transaction approval, reconciliation, disaster recovery and return.
| Model or feature | Questions to ask | Risk or trade-off |
|---|---|---|
| Individually segregated wallets | Is each client assigned identifiable on-chain addresses? Who controls the keys and how are fees paid? | Clearer attribution, but potentially higher operational cost and more address-management complexity. |
| Client omnibus wallet | How are each client’s units recorded, reconciled and protected from another client’s deficit? | Efficient on-chain operations, but your claim depends heavily on records, controls and insolvency treatment. |
| Provider proprietary wallet | Are client units ever mixed with the provider’s own assets? What legal restriction prevents use? | Mixing can complicate recovery and ownership proof; require a documented prohibition and reconciliation process. |
| Cold and hot storage split | What percentage or policy determines online versus offline storage, and who can move assets between tiers? | Cold storage can reduce online attack exposure while slowing urgent withdrawals; hot storage improves speed but increases exposure. |
Ask how the custodian handles network reorganisations, failed transactions, duplicate deposits, unsupported tokens sent to an address, and chain migrations. The written policy should identify who bears a loss caused by an operational error, an exploit, a protocol failure or an incorrect client instruction.

Demand evidence of key security and operational resilience
Security claims are meaningful only when tied to controls, owners, testing and evidence. Request current independent assurance reports, the scope and period they cover, management responses to exceptions, and a summary of material security incidents.

Key-management architecture
- Ask whether keys use hardware security modules, multi-party computation, threshold signing or another control design.
- Document the signing quorum: how many people, devices or key shards are required, and how independence is maintained.
- Confirm that no single employee can create, approve and release a withdrawal.
- Ask how privileged access is granted, logged, reviewed and revoked, including emergency access.
- Determine where key shards, backups and recovery materials are located and how geographic or legal concentration is limited.
Transaction and account controls
- Require allow-listing, address verification, withdrawal limits, dual approval and time delays where appropriate.
- Ask how suspicious activity, social engineering and compromised credentials are detected and contained.
- Review incident-response contacts, escalation times and customer-notification commitments.
- Request the results and dates of disaster-recovery and key-recovery tests, not merely a statement that tests occur.
- Check whether software changes, smart-contract integrations and new chains pass a documented risk review.
SEC custody-roundtable materials identify cybersecurity protections, annual reviews, internal reporting, account statements and client disclosures as relevant safeguards. Treat those as evidence requests: ask who performs each review, what it covers, which findings remain open and how clients are informed.
Confirm every asset, network and transaction you need
Asset support is not just a ticker list. For each token, record the exact network, deposit and withdrawal method, confirmation policy, minimums, fees, maintenance windows and whether the custodian supports native transfers or only a wrapped representation.
Questions for a capability matrix
- Are deposits and withdrawals supported on the required chain and address format?
- How are token upgrades, migrations, forks, airdrops and chain reorganisations handled?
- Can clients stake, delegate, vote or participate in governance, and who controls the associated keys?
- Are staking rewards credited to the client, and how are slashing, lockups and unbonding periods allocated?
- Can the custodian pause a network or asset, and what notice and recovery process applies?
- What transaction screening, travel-rule or sanctions controls can delay a transfer?
Run a small controlled workflow before migration: deposit a test amount, approve a withdrawal to a pre-verified address, observe the review steps, reconcile the on-chain result and test the emergency contact. Include at least one ordinary transfer and one exception scenario, such as a delayed confirmation.
Map sub-custody and settlement dependencies
Your apparent custodian may rely on another entity for cold storage, staking, settlement, fiat conversion or a particular chain. Obtain a complete list of sub-custodians and venues, the jurisdictions in which they operate, the services they perform and the protections that apply if one fails.
ESMA stated on July 9, 2025, that certain pre-funding arrangements with client crypto-assets can constitute sub-custody requiring an authorised crypto-asset service provider and client information. Ask whether your assets are pre-funded at a venue, moved to a chain-specific operator or placed under another party’s control before a transaction settles.
Require notice of material sub-custodian changes and, where appropriate, approval or termination rights. Your contract should explain whether you have a direct claim against a sub-custodian, how records are reconciled across entities and who bears a shortfall.

Require records, statements and independent verification
A custody service should let you prove what each client owns without relying on a screenshot or an app balance. Ask for the ledger design, reconciliation frequency, exception queue and retention period.
Free tools Windows power users keep installed

Under MiCA Article 75, the custody agreement must describe the service, custody policy, security systems, fees and applicable law. The provider must maintain a client position register and provide statements at least every three months and on request. Confirm the delivery format, data fields, valuation time, treatment of pending transactions and correction process.
Reconciliation questions
- How often are internal records reconciled to on-chain balances and sub-custodian statements?
- Who independently reviews the reconciliation and approves exceptions?
- Can you obtain wallet addresses, transaction identifiers and an explanation of any omnibus allocation?
- How are forks, staking rewards, fees, dust balances and inaccessible tokens recorded?
- What independent verification, audit or assurance report covers client-asset controls?
Ask for a sample statement before signing. It should identify the client, asset, network, quantity, valuation method and reporting date, and distinguish available, locked, staked, pending and disputed balances.

Insurance is not a substitute for segregation or strong controls. Ask who provides it, what event triggers coverage, whether digital-asset theft, insider fraud, cyber extortion and loss of private keys are included, the policy limits, deductibles, exclusions, geographic scope and claims process. Determine whether the policy protects the client directly or only reimburses the provider.
Read the service-level terms for withdrawal processing, incident notification, support hours, planned maintenance and remedies for missed targets. A service credit may not compensate for a market opportunity or a permanent asset loss.
Best Value
Use a documented due-diligence sequence
- Define the mandate. List jurisdictions, client types, assets, networks, transaction volumes, staking or governance needs, reporting requirements and maximum acceptable withdrawal delay.
- Verify legal authority. Obtain the exact licence, charter, registration and regulator. Independently confirm that it covers custody of the assets and services you need.
- Review the contract. Mark ownership, segregation, rehypothecation, liens, set-off, insolvency, governing law, sub-custody, termination and return-timing clauses. Escalate unclear language to counsel.
- Inspect the control environment. Request the wallet architecture, key-management design, access controls, incident history, recovery tests, independent assurance and audit evidence.
- Test records and reporting. Reconcile a sample of provider records to on-chain balances. Review a statement, proof or verification methodology and the exception-handling process.
- Map dependencies. Identify every sub-custodian, settlement venue and chain-specific operator. Confirm disclosure, authorisation and shortfall allocation.
- Run a pilot. Use a small controlled account to test deposits, approvals, withdrawals, contacts, reporting and an exception scenario before migration.
- Approve and monitor. Record owners, unresolved risks and review dates. Re-check regulatory status, supported assets, fees, security reports and service terms immediately before execution and periodically thereafter.
Red flags that should stop or delay onboarding
- The provider will not identify the legal entity, regulator or exact custody permission.
- Marketing describes “institutional-grade” security but the provider will not explain key control, signing quorum or recovery testing.
- The contract allows broad reuse, lending, pledging or set-off of client assets without clear consent and risk disclosure.
- There is no reliable client position register, on-chain reconciliation or process for correcting exceptions.
- Sub-custodians and settlement venues are undisclosed or can be changed without notice.
- Withdrawal controls, incident contacts, insolvency treatment or return timing are absent or vague.
- Supported-asset lists omit exact networks, forks, staking lockups or maintenance policies.
- The provider pressures you to rely on a consumer hardware wallet, proof-of-reserves snapshot or insurance headline as a substitute for legal custody protections.
Score candidates with a decision record
Use a written scorecard so a low fee cannot outweigh a legal or operational failure. A simple pass/fail gate should precede any weighted comparison:
| Gate | Pass condition | If it fails |
|---|---|---|
| Legal eligibility | Current authority verified for your jurisdiction, assets and services. | Do not onboard until corrected. |
| Contract protection | Ownership, segregation, permitted use, insolvency and return terms are acceptable. | Obtain amendments or reject. |
| Security evidence | Key controls, access governance, recovery tests and independent assurance are documented. | Escalate evidence gaps; do not rely on assurances. |
| Operational fit | Every required chain, workflow, report and support path has been tested. | Limit scope or choose another provider. |
| Dependency transparency | Sub-custodians and venues are disclosed with clear responsibility for losses. | Require disclosure and contractual rights. |
After all gates pass, compare recurring and transaction fees, service levels, geographic resilience, reporting quality, client support and exit effort. Keep the reasons for your decision and the evidence reviewed so a future committee or auditor can reproduce it.
Keep the assessment current
Custody diligence is an ongoing control, not a one-time procurement exercise. Set reviews after regulatory announcements, licence changes, acquisitions, material incidents, new chains, major contract amendments or changes to insurance and sub-custody.

Re-check the rule’s status and the provider’s current authorisation before relying on any proposed requirement or exemption. In the EU, monitor MiCA supervisory guidance and the provider’s implementation of Article 75. ESMA’s June 17, 2025 answer on explicit and affirmative consent for derogations from Article 75(4) is a reminder that consent language and client disclosures must be examined closely, not assumed from general terms.
A regulated custodian is therefore the provider that can demonstrate lawful authority, enforceable client ownership, robust segregation, evidenced security, accurate records and a workable return process for your exact mandate. If any of those elements cannot be verified in writing, the asset should not be moved until the gap is resolved.
