How to Check Rights Issue Eligibility and Calculate Your Entitlement From the Record Date

By Freedom251 Team · · 9 min read

You are eligible for a rights issue only if you are a qualifying shareholder on the issuer’s announced record date, subject to exclusions in the letter of offer or prospectus. Calculate the preliminary entitlement by multiplying your qualifying shares by the rights ratio: qualifying shares × (new shares ÷ existing shares). A 2:5 offer therefore gives two new shares for every five existing shares.

The offer document, not the basic multiplication, decides the final result. It sets the subscription price, opening and closing dates, payment method, minimum lots, rounding of fractions, excess-application rules, transferability and geographic or investor restrictions.

What the record date decides

The record date is the issuer’s chosen date for identifying shareholders who may apply for the specified new shares. Securities and Exchange Board of India (SEBI) rules require a listed issuer making a rights issue to announce a record date for this purpose. SEBI’s investor guide describes the practical test plainly: only shareholders who own shares on that date can participate, unless the offer document states an applicable exclusion.

Eligibility is not established by the date you remember placing a buy order. It is established by the holding shown in the broker or registrar records used for the record-date determination. Settlement conventions and cut-off arrangements differ by market, so use the issuer’s announcement and your account statement rather than assuming that a purchase made shortly before the date was recorded in time.

What to verify

  • The exact record date and the market or listing to which it applies.
  • The number of shares registered or credited for you on that date.
  • Any exclusion for a geographic area, investor category, beneficial owner or restricted jurisdiction.
  • Whether the issue permits renunciation or trading of the rights entitlement.

If your broker statement and the registrar’s records disagree, contact the broker and the issue registrar promptly. The registrar’s record used for the offer is the one that determines the entitlement.

Collect the documents that control the calculation

Start with the issuer’s official rights-issue announcement and its letter of offer or prospectus. SEBI’s investor guidance says the application information should identify the ratio, issue price, shares held and number entitled. Do not rely on a headline ratio or a third-party summary when the offer document contains a different lot, rounding or eligibility rule.

Document detail Why it matters
Record date Identifies the shareholder population used for eligibility.
Rights ratio States how many new shares may be subscribed for each block of existing shares.
Issue or subscription price Determines the cash required if you exercise rights.
Opening date Shows when applications or exercise instructions can begin.
Closing or final acceptance date Sets the last time the issuer, broker or registrar will accept an application.
Rights-entitlement trading period Determines whether and when a tradable entitlement can be sold or bought.
Payment instructions Explains when and how subscription money must be provided.
Minimum lot and rounding rule Controls how fractional or odd-number entitlements are handled.
Excess-application and refund terms Explain whether you may request additional shares and what happens if they are not allotted.
Investor and geographic exclusions Can limit participation even when a person appears in the record-date holdings.

Read a rights ratio correctly

The ratio is written as new shares : existing shares. A 2:5 rights issue means two additional shares for every five existing shares held on the record date. It does not mean two shares in total, nor two shares for every five dollars invested.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The general calculation is:

Preliminary entitlement = qualifying shares held on the record date × (rights shares in the ratio ÷ existing shares in the ratio)

Example: 2:5 ratio

With 125 qualifying shares and a 2:5 offer:

125 × (2 ÷ 5) = 50 rights shares

Fifty is the preliminary entitlement. Apply the offer document’s lot and rounding provisions before treating it as the final number you can subscribe for.

Example: 3:10 ratio

If the record-date holding is 1,000 shares and the offer is three rights shares for every 10 held:

1,000 × (3 ÷ 10) = 300 rights shares

Again, 300 is the arithmetic result before any stated rounding, minimum-lot or eligibility adjustment.

Use the issuer’s rounding rule for fractions

Ratios can produce a fraction when the holding is not an exact multiple of the denominator. The treatment is issue-specific: an offer may state a rounding convention, a minimum application lot or a separate process for fractional entitlements. Never round up or down from habit. Use the convention printed in the letter of offer, and check the final entitlement shown by the broker or registrar.

Check the full timetable, not only the record date

A rights issue has several deadlines. Singapore Exchange (SGX) rules identify the record date, the start of nil-paid-rights trading, the last day to exercise and pay, and the last day for acceptance as core timetable fields. Other markets and issuers may use different labels, but the practical questions are the same.

  1. Record date: confirms which holdings are used for eligibility.
  2. Opening date: marks when applications or exercise instructions can start.
  3. Rights-trading start: if entitlements are tradable, identifies when they can first be bought or sold.
  4. Exercise and payment deadline: the last date to subscribe and deliver the required funds.
  5. Acceptance closing date: the final deadline for the application channel specified by the issuer.

Record each date in your calendar with the time zone and the responsible channel (broker, registrar or issuer). A broker may impose an internal cut-off earlier than the issuer’s published deadline to process instructions. Missing a closing or payment deadline can leave the entitlement unexercised.

Choose what to do with the entitlement

After confirming eligibility and the final timetable, compare three possible actions. The right choice depends on the subscription price, the current market price, your desired ownership percentage, available cash and the transfer rules in the offer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Action Cash required Ownership effect Conditions to check
Subscribe for all or part Subscription price multiplied by the shares requested, plus any stated charges Can preserve your proportional stake when you exercise the full entitlement and the new shares are allotted Payment deadline, minimum lot, application channel and allotment terms
Sell the rights entitlement No subscription cash for the portion sold; transaction costs may apply Sold rights are no longer available to you; retaining unsold or unexercised rights can still lead to dilution Whether rights are transferable, trading dates, settlement and the final sale deadline
Allow it to lapse No subscription payment Your percentage ownership can fall when new shares are issued to others Whether the issue provides any value or process for an expired entitlement; do not assume a payment

Subscribing

You may generally apply for all or part of the stated entitlement, subject to the issue’s lot and payment rules. The subscription price is fixed in the offer document, not inferred from the market quotation. Preserve the application confirmation and the debit or payment reference.

Selling a tradable entitlement

Some issues create a separately tradable rights entitlement, sometimes called a nil-paid right. If trading is provided, the offer document identifies the trading window and the last date on which a buyer can exercise. Selling transfers the ability to subscribe for that portion; it does not automatically preserve your ownership percentage.

Letting the entitlement lapse

Ignoring an entitlement is an active economic choice even when no instruction is sent. New shares issued to subscribers increase the share count, so a holder who does not subscribe or transfer the entitlement may be diluted. Whether an expired entitlement has any residual value depends on the issue terms.

Buying an entitlement without being a record-date holder

NSE investor guidance explains that a person who was not an original record-date holder may still participate by buying the rights entitlement and subscribing before the issue closes, where the particular issue permits that route. The buyer must still satisfy the offer’s account, geographic, payment and timing requirements. Buying ordinary shares after the record date does not by itself create the original shareholder entitlement.

Step-by-step eligibility and entitlement check

  1. Open the issuer’s official announcement and letter of offer. Write down the record date, ratio, subscription price, opening and closing dates, payment instructions, lot size and all exclusions.
  2. Confirm the record-date holding. Obtain the broker or registrar statement showing the shares registered or credited for the determination date.
  3. Apply the ratio. Multiply the qualifying holding by new shares divided by existing shares. Keep the result as a preliminary entitlement until all issue rules are applied.
  4. Apply rounding and lot rules. Follow the exact convention in the offer document for fractions, odd holdings and minimum applications.
  5. Calculate the cash requirement. Multiply the final number of shares you intend to subscribe for by the stated issue price, then account for any payment or service instruction from your broker or registrar.
  6. Check the deadlines twice. Record rights-trading, exercise, payment and acceptance dates, including any earlier broker cut-off.
  7. Select an action. Submit an application, sell the transferable entitlement, or allow it to lapse. If applying for less than the full entitlement, verify that the remaining portion can be sold or will simply expire.
  8. Save proof of submission or sale. Keep the application number, trade confirmation, payment receipt and account messages.
  9. Reconcile the result. Compare the broker or registrar confirmation with your request. Check allotted shares, rejected or excess applications, refunds and the treatment of any fraction.

How to check your final allotment

The multiplication gives an entitlement, not a guarantee that every requested share will be issued. After the offer closes, use the broker or registrar confirmation to verify:

  • Number of shares allotted against the basic entitlement.
  • Any additional shares requested as an excess application.
  • Rejected or partially accepted applications and the reason shown.
  • Refunds or release of unused funds.
  • Fractions or odd lots handled under the published convention.
  • Date on which the new shares are credited or become available under the issue’s rules.

Oversubscription, excess applications and refunds are controlled by the offer document. Do not infer an allotment method from another company’s rights issue.

Common problems and how to resolve them

Your broker shows no entitlement

Confirm that the account held the qualifying shares on the issuer’s record date and that the issue is open for your investor category and location. Check whether the broker displays entitlements only after a processing delay. If the discrepancy remains, provide the record-date statement and the offer details to the broker and registrar.

Your calculated number differs from the displayed number

Recalculate using only the qualifying holding, not today’s balance. Then inspect the ratio denominator, minimum lot and rounding clause. A fraction or an excluded holding can explain a difference between the raw multiplication and the displayed entitlement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

You missed the payment or acceptance deadline

Contact the broker or registrar immediately, but do not assume a late instruction can be accepted. The published deadline and the intermediary’s processing cut-off control whether the entitlement can still be exercised.

The rights are not tradable

Transferability is not automatic. If the offer does not provide a rights-trading facility, your available choices may be limited to subscribing under the stated process or allowing the entitlement to lapse. Read the offer document rather than expecting a sell button in the brokerage account.

You want more shares than the basic entitlement

Use the excess-application procedure only if the offer permits it. Additional shares may be allotted subject to availability and the stated allocation rules, so requesting more does not guarantee receiving more.

What varies from one rights issue to another

Do not generalize from the 2:5 or 3:10 examples. Record-date timing conventions, settlement, fractional entitlements, oversubscription, overseas-holder treatment, renunciation rights and payment mechanics differ across issuers and exchanges. Formal rules require a record date and a detailed timetable, but the live offer document remains authoritative for the individual issue.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When comparing whether to subscribe, sell or lapse, evaluate the subscription price against the current market price, the cash you can commit, your aim of preserving proportional ownership, the transfer deadline, the risk of dilution and the issuer-specific terms. A market price above or below the subscription price does not by itself settle the decision: trading costs, timing, restrictions and the possibility of partial or rejected allotment also matter.
