To check whether a listed company’s promoters have pledged shares, use three records together: the latest quarterly shareholding pattern, the NSE Corporate Filings Pledged Data table, and the company’s Regulation 31(1)/(2) encumbrance filing. Reconcile the number of shares, the percentage of promoter holding, the percentage of total share capital, the stated reason and the secured party. Repeat the check every quarter; a single percentage is only a snapshot.
What this check can—and cannot—tell you
A promoter pledge usually means shares have been offered as security for borrowing or another obligation. The lender may enforce its security if the obligation is not met. “Encumbrance” is broader: SEBI interpretive material says the term includes “a pledge, lien or any such transaction, by whatever name called.” Some encumbrances therefore do not appear as a simple bank pledge.

The filings can establish how many promoter shares were reported as encumbered, when they were reported, what proportion of promoter holdings they represent, and (where disclosed) why they were created and for whom. They do not, by themselves, prove that a company is safe or unsafe. No authoritative source establishes a universal percentage threshold that applies to every company.

Identify the security
Find the company’s exact NSE symbol or BSE code before downloading anything. Names can be similar, and a corporate action, merger or relisting can leave several historical records. Use SEBI’s corporate-filings directory to reach the official exchange filing pages. Confirm that the issuer, security type and exchange are the same in every document.

Fix the date you are measuring
Write down the quarter-end or other reporting date shown on each filing. NSE labels its encumbrance figures as being “as of the last quarter”; the upload date is not necessarily the date on which the holdings were measured. Keep both dates in your notes so a later release or invocation is not mistaken for a change in reporting period.
Step-by-step: verify promoter pledges in NSE and BSE records
1. Download the latest quarterly shareholding pattern
- Open the company’s exchange filing page and select the latest quarterly shareholding pattern.
- In the NSE table, locate Promoter & Promoter Group (A). Record the number of shares and the percentage of total share capital.
- Record the corresponding Public (B) and other category totals. These figures provide the denominator and help reveal whether a change in promoter percentage came from a new issue, buyback, transfer or a change in the total shares outstanding.
- Save the document with its reporting period and filing date. Do not overwrite an earlier quarter; trend analysis requires the original versions.
The shareholding pattern tells you who holds the shares and the size of the promoter block. It is not a substitute for the dedicated encumbrance records: a promoter can own the same number of shares while a larger or smaller portion is pledged or otherwise encumbered.
2. Check NSE Corporate Filings Pledged Data
- Open NSE’s Corporate Filings Pledged Data page and search the company by its symbol.
- Capture the reporting period and every displayed field, not just the headline percentage.
- Record total promoter holding, shares encumbered as of the last quarter, percentage of promoter shares encumbered, percentage of total shares, number of pledged shares, total demat shares and pledge/demat percentage.
These fields answer different questions. “Percentage of promoter shares encumbered” measures concentration within the promoter block. “Percentage of total shares” measures the possible effect on the whole company. “Pledge/demat percentage” uses dematerialised shares as its denominator and should not be silently substituted for either of the other ratios.

Locate the issuer’s Regulation 31(1)/(2) filing for the same period. It should identify the promoter or person acting in concert, the reporting date, promoter holding and encumbered holding in both number and percentage of total share capital.
Check the individual rows as well as the aggregate. A group total can remain flat while one promoter releases a pledge and another creates one. The person-level rows also help you match a disclosure to the correct demat account or secured-party description.

4. Read the reason and secured-party disclosure
Do not stop at “pledged: yes.” SEBI has a dedicated circular on disclosure of the reason for encumbrance. The BSE form includes promoter holdings, pledged holdings and, where reported, the reason and secured-party details. Note whether the security supports a loan, guarantees another entity’s borrowing, satisfies a transaction condition or has another stated purpose. Record the secured-party type and name exactly as filed.
The reason changes the interpretation of the same percentage. A pledge securing the promoter’s own working-capital facility is a different fact from shares securing a group company’s debt or a transaction obligation. The filing still may not disclose the full loan balance, collateral package or likelihood of enforcement, so avoid inferring those items.

- Match the reporting date in the shareholding pattern, pledged-data table and Regulation 31 filing.
- Compare total promoter shares in the shareholding pattern with total promoter holding in the pledged-data table.
- Compare the encumbered-share count and both percentages with the Regulation 31 rows.
- Investigate any difference before drawing a conclusion. Possible explanations include different cut-off dates, a subsequent release, an invocation, a filing amendment, rounding, or a data-entry error.
- Keep a copy of each document and note the retrieval time. Exchange dashboards can change when a filing is corrected.
Pledge versus encumbrance: the distinction that matters
A pledge
A pledge gives a creditor security over specified shares. The promoter generally remains the registered holder until enforcement, but the creditor can have rights to sell or appropriate the shares under the applicable agreement and law.
A lien or similar arrangement
A lien, lock-in arrangement or another transaction can restrict dealing in shares without being labelled a pledge. SEBI’s definition deliberately covers these arrangements “by whatever name called.” That is why a check limited to the word pledged can understate the exposure.
When disclosure is required
SEBI material explains that encumbrances carrying a risk that promoter shares could be appropriated or sold by a third party are required to be disclosed under the Takeover Regulations. The disclosure obligation is therefore tied to the risk and nature of the arrangement, not merely to the title used in a contract.

How to read the numbers and calculate the ratios
| Field | What it measures | How to use it |
|---|---|---|
| Total promoter holding | Shares held by promoters and the promoter group | Use as the denominator for promoter-encumbrance percentage. |
| Shares encumbered | Shares reported as pledged or otherwise encumbered | Use the number to detect real changes; percentages can move because total shares change. |
| Encumbered as % of promoter holding | Encumbered shares ÷ promoter shares × 100 | Shows how concentrated the security is within the promoter block. |
| Encumbered as % of total share capital | Encumbered shares ÷ total shares × 100 | Shows the exposure relative to the entire equity base. |
| Total demat shares | Promoter shares held in dematerialised form, as reported in the table | Provides the denominator for the pledge/demat ratio. |
| Pledge/demat percentage | Pledged shares ÷ total demat shares × 100 | Keep separate from the promoter-holding and total-share-capital ratios. |
For a simple illustration, assume a hypothetical company has 100 million total shares, promoters hold 60 million and 12 million promoter shares are encumbered. Encumbrance is 20% of promoter holding (12 ÷ 60) and 12% of total share capital (12 ÷ 100). If promoters later hold 50 million shares while the encumbered count stays at 12 million, the first ratio rises to 24% even though no new shares were pledged. Always retain the raw counts alongside the percentages.
Rounding can produce small differences between your calculation and an exchange display. Treat a material mismatch, not a one-decimal rounding difference, as the trigger for investigation.
How to tell whether promoter pledges are increasing
Build a quarter-by-quarter worksheet
| Quarter-end | Promoter shares | Encumbered shares | % of promoter holding | % of total share capital | Reason/secured party | Document notes |
|---|---|---|---|---|---|---|
| Reporting date 1 | Copy filed value | Copy filed value | Calculate or copy | Calculate or copy | Transcribe disclosure | Filing date and version |
| Reporting date 2 | Copy filed value | Copy filed value | Calculate or copy | Calculate or copy | Transcribe disclosure | Release, invocation or amendment? |
For each quarter calculate the absolute change in encumbered shares and the percentage-point change in each ratio. A percentage-point change is not the same as a percentage change: moving from 10% to 15% is a five-percentage-point increase and a 50% relative increase.
Interpret common patterns
- New pledge: encumbered shares increase and the filing identifies a new reason or secured party.
- Release: encumbered shares fall while promoter ownership may remain unchanged.
- Invocation or sale: encumbered shares fall and promoter shares or the promoter percentage may also fall. Check corporate announcements and the next shareholding pattern.
- Denominator effect: the ratio changes because total shares or promoter holdings changed, even when the encumbered count did not.
- Data mismatch: exchange and company filings disagree. Check dates, amended forms and whether one source reports all encumbrances while another displays pledges only.
A one-quarter jump deserves an explanation, but the direction and speed over several quarters are more informative than an isolated spike. Preserve the reason and counterparty for every change; a rising ratio with the same stated secured party has a different context from repeated changes among several parties.

| Comparison axis | Question to ask |
|---|---|
| Encumbered shares as % of promoter holding | How much of the controlling block is tied up? |
| Encumbered shares as % of total share capital | How large is the exposure relative to all shareholders? |
| Direction and speed | Is the ratio stable, rising, falling or changing abruptly across quarters? |
| Reason and secured-party type | What obligation does the filing say the security supports, and who holds the security? |
| Cross-source consistency | Do the exchange dataset, shareholding pattern and Regulation 31 filing agree? |
Do not rank a company as safe or unsafe solely because one percentage is lower. A lower ratio can still accompany a rapidly rising trend, a less transparent reason or a mismatch between filings. Conversely, a high but stable ratio with clear, repeatedly disclosed information is a different fact pattern. The filings support a structured risk review, not a universal pass/fail rule.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Reasons a pledge may be hard to interpret
- Group guarantees: promoter shares may secure another group entity’s borrowing, so the operating company’s own balance sheet does not explain the entire exposure.
- Multiple secured parties: a single promoter can have several lenders or arrangements; read each row and attachment.
- Non-pledge encumbrances: liens and comparable transactions may be included in the encumbered total even when the pledge count is lower.
- Corporate actions: splits, bonuses, rights issues, buybacks and conversions alter share counts and denominators.
- Amended filings: an issuer can correct an earlier submission. Use the latest valid version while retaining the superseded document for an audit trail.
Common mistakes and how to fix them
Looking only at the shareholding pattern
It shows promoter ownership, not the complete encumbrance picture. Add the NSE pledged-data table and Regulation 31 filing.
Confusing percentages
Promoter-holding percentage, total-share-capital percentage and pledge/demat percentage have different denominators. Label every figure in your notes.
Ignoring the reporting date
A dashboard viewed today can contain last-quarter data. Write the “as of” date beside every number.
Assuming pledge equals total encumbrance
Use the broader encumbered figure and read the reason disclosure; liens and similar transactions can qualify.

Calling an increase “new borrowing”
An increase can result from a denominator change, a reclassification or a corrected filing. Verify the raw shares, reason and amendment history first.
Using a single-company snapshot
Download at least several consecutive quarters when available. A trend can reveal releases, repeated increases or a one-off event that one filing hides.
What the NSE dashboard totals mean
On the NSE pledged-data page, the live display accessed on 19 October 2026 showed 1,545 companies reporting promoter pledge and a value of Rs. 957,808.561 crore in promoter pledged holding. These are volatile dashboard totals at that access time, not historical benchmarks or a forecast. They should be rechecked whenever you use them because filings and exchange data can change.
A printable verification checklist
- Confirm the NSE symbol or BSE code and the legal issuer name.
- Record the quarter-end reporting date and each document’s filing date.
- Download the quarterly shareholding pattern.
- Copy Promoter & Promoter Group (A), Public (B) and total share capital values.
- Copy every relevant field from NSE Corporate Filings Pledged Data.
- Download the Regulation 31(1)/(2) filing and inspect person-level rows.
- Record encumbered shares, % of promoter holding and % of total share capital.
- Record demat shares and pledge/demat percentage separately.
- Transcribe the stated reason and secured-party information.
- Reconcile counts and dates across all three sources.
- Compare with prior quarters and calculate both share-count and percentage-point changes.
- Investigate releases, invocation, sharp increases, amendments and mismatches before forming a view.
This process answers the practical question—whether promoter shares are reported as pledged or otherwise encumbered—while preserving the context needed to judge how the exposure is changing.
