Assess a construction-procurement conflict before the tender is published, not after a complaint. Define the conflict, map every person and organisation that can influence the decision, obtain procurement-specific declarations, test actual, potential and perceived conflicts, apply proportionate safeguards, and document the residual risk. If a bidder keeps an unavoidable unfair advantage—or refuses a required safeguard—the bidder may have to be excluded under the governing procurement law. The UK Procurement Act 2023 provides a detailed statutory model; projects governed by another country, lender, utility regime or concession framework may use different tests and remedies.
What counts as a conflict of interest?
The Cabinet Office Procurement Act 2023 guidance states: “A conflict of interest arises in a procurement context where there is a conflict between the interests of a person acting in relation to a procurement and those of the procurement itself.” The person may be employed by the contracting authority, supplied by a consultant, seconded from another organisation, appointed as an evaluator, or connected to a bidder. The relevant interest can be personal, professional or financial, and it can be direct or indirect.

Actual conflicts
An actual conflict exists now. For example, an evaluator owns shares in a contractor submitting a bid, or a consultant writing the authority’s tender documents is also preparing a bidder’s response. The conflict concerns both the person’s ability to influence the procurement and the interest that pulls against an impartial outcome.

A potential conflict could become actual if a future event occurs. A project official’s spouse might be an executive of a company acquiring a tendering business; the interest may become directly relevant if the acquisition completes or the company bids. Potential conflicts still require controls, because waiting for the event can allow confidential information or influence to affect the process.

Perceived conflicts
A perceived conflict exists when the circumstances could lead a reasonable observer to believe that impartiality is compromised, even if no improper influence has occurred. A decision-maker’s prominent public association with a supplier can create this appearance. Perception matters because confidence in the award can be damaged, and an apparently fair process can still be challenged.
Conflict, collusion and ordinary commercial competition are different
A conflict concerns the interests of people or entities influencing the procurement. Collusion is an agreement between bidders or other parties to distort competition. A bidder’s legitimate commercial advantage, such as better productivity or a proven construction method, is not automatically a conflict. The assessment should identify the specific relationship, information, decision power and advantage rather than treating every association as misconduct.
Who and what must be mapped?
Start with influence, not job titles. List everyone who can shape requirements, budget, evaluation, approvals, negotiations, variations, payment, extensions or close-out. The map should include the senior responsible officer, budget holder, commercial director, management-board members, procurement staff, technical and tender evaluators, external experts, secondees, consultants, non-executive members, advisers and ministers where relevant. Add suppliers and other external bodies that can influence a decision or provide information.
Build a role-and-interest register
For each person or organisation, record:
- Role and decision rights at each procurement stage.
- Employer, prior employers, ownership interests and paid advisory roles.
- Family or close personal relationships that could affect impartiality.
- Current or recent work for a bidder, subcontractor, designer, lender or competing supplier.
- Access to confidential cost, scope, design, evaluation or negotiation information.
- Existing declarations, relevant public-register entries and the date each item was checked.
- The person responsible for confirming the information and the next review date.
Ask for a procurement-specific declaration rather than relying only on an annual generic form. Confirm material interests with the individual’s team, human-resources or compliance function, and the relevant company or professional body where appropriate. A declaration is evidence of the control process; it is not proof that the process is complete.

When should the assessment be created and updated?
Prepare the initial conflicts assessment before publishing a tender notice, transparency notice or dynamic-market notice. Early preparation lets the authority change the team, protect information and correct the specification before suppliers incur costs or the market is given unequal access. The assessment remains a live record through award and contract management.
| Stage | Questions to answer | Record to retain |
|---|---|---|
| Planning and business case | Who defines the need, budget, delivery model and approval route? Who has relationships with likely suppliers? | Role map, initial declarations, identified interests and owners. |
| Design and specification | Who writes or reviews the design, quantities, performance requirements and estimate? Has anyone worked for a potential bidder? | Access list, information-separation controls and design-team declarations. |
| Market engagement and tender publication | Did every supplier receive the same material and timetable? Does an incumbent or adviser hold information not available to others? | Briefing logs, release register, clarifications and updated assessment. |
| Evaluation and clarification | Can each evaluator influence scoring, moderation or clarification? Has a new relationship arisen? | Declarations, recusals, evaluator allocation, moderation minutes and approvals. |
| Award and standstill | Does any bidder retain an unfair advantage? Are exclusion or corrective measures legally available? | Residual-risk analysis, decision-maker sign-off and communications record. |
| Contract delivery and variations | Could the relationship affect payment, extensions, change orders, claims, inspection or acceptance? | Change-control declarations, checkpoint reviews and audit trail. |
| Close-out | Were all disclosures, investigations and remedial actions resolved? Should information be retained for a challenge or audit? | Final assessment, findings, lessons and retention decision. |
Review at every material change: a new evaluator, a bidder consortium change, a corporate acquisition, a design revision, a variation, a claim, a staff move or a new disclosure. Record the review even when the conclusion is “no change.”
How to perform a conflict-of-interest assessment
- Confirm the governing regime. Identify the country, public-procurement statute, lender rules, utility or concession framework, contract conditions and appeal route. The UK model is not automatically transferable. Note the applicable definitions, disclosure forms, notice wording, thresholds and exclusion tests before asking suppliers to respond.
- Define the procurement and its sensitive decisions. Describe the project, lots, procurement route, evaluation criteria, approval gates and contract-management decisions. Mark where a person can set requirements, access confidential information, score a bid, approve a recommendation or authorise a change.
- Map people, organisations and information flows. Draw the decision chain and list internal officials, board members, advisers, consultants, secondees, evaluators, external experts, suppliers and other bodies. Identify which documents, models, estimates, site data and clarifications each role can access.
- Collect and verify declarations. Obtain a signed, dated, procurement-specific declaration from every mapped participant. Ask for “no conflict” confirmation as well as positive disclosure. Check existing declarations and public registers, then resolve ambiguous answers directly with the person and the responsible compliance or procurement team.
- Classify each issue. Mark it actual, potential or perceived. Describe the direct or indirect interest, the decision influence, the information available and the way a reasonable observer might view the situation. Do not label an issue harmless merely because no improper act is proved.
- Assess the advantage and harm. Explain whether the relationship could alter requirements, timing, scoring, negotiation, price discovery, access to information or contract administration. Estimate whether a bidder received an advantage unavailable to competitors and whether the advantage can be removed without restarting the process.
- Select and implement controls. Choose the least burdensome control that removes the risk, while using stronger measures where independence or equal treatment cannot otherwise be secured. Name the control owner, implementation date, approver and evidence to be retained.
- Obtain independent approval. Have an authorised manager, ethics officer, procurement lead or independent reviewer challenge the assessment. Require documented sign-off for recusal decisions, information releases, continued participation and any proposed exclusion.
- Recheck at milestones. Repeat declarations and risk review before publication, after clarifications, before award, during standstill, at major variations and whenever a new fact appears. A late disclosure should trigger an immediate review rather than wait for the next scheduled checkpoint.
- Close the record. Preserve declarations, correspondence, access logs, meeting minutes, scoring records, mitigation evidence, approvals and the final residual-risk decision in accordance with the applicable retention rules.
Which controls are proportionate?
Controls should address independence, equal access to information, residual unfair-advantage risk, auditability, lifecycle coverage and enforceability. Use more than one control when a single measure cannot remove the risk.
| Control | Best use | Strengths | Limits to test |
|---|---|---|---|
| Declaration and monitoring | Low or emerging risk where the person has limited influence. | Fast, inexpensive and creates an auditable baseline. | It does not remove access, influence or a bidder’s existing information advantage. |
| Recusal or reassignment | A person has a relevant interest or relationship and can be replaced without disrupting the process. | Removes the conflicted decision-maker from scoring, approvals or advice. | Check whether the person still has informal influence, prior access to information or a role in later contract decisions. |
| Two or more evaluators and recorded moderation | Scoring, technical judgments and clarifications. | Reduces dependence on one person and provides a reviewable rationale. | It is not independent if all evaluators share the same conflict or if moderation simply adopts one person’s view. |
| Independent observer or reviewer | High-value, sensitive or publicly contested procurements. | Adds challenge, verifies equal treatment and strengthens confidence. | Define authority, access to records and escalation rights; an observer who cannot intervene may not control the risk. |
| Management review and sign-off | Decisions to retain a person, release information, accept a mitigation plan or proceed to award. | Creates accountability and a clear approval trail. | Approval is weak if the manager has the same interest or lacks relevant facts. |
| Information barriers and equal release | A bidder or adviser has confidential design, cost or scope information. | Can remove an information advantage by restricting access and giving all suppliers the same material at the same time. | Verify technical enforcement, document the release and consider whether earlier disclosure already created an irreversible advantage. |
| Supplier controls | The risk sits with a bidder, consortium member, subcontractor or adviser. | Transfers specific duties into declarations, team separation, confidentiality and audit rights. | Require evidence and contractual remedies; a promise without verification may not be effective. |
| Exclusion | An unfair advantage remains unavoidable or required mitigation is refused. | Protects equal treatment when lesser controls cannot work. | Apply only under the governing law, follow the required procedure and document proportionality and review rights. |
Give all suppliers the same process information at the same time. Record clarification questions and answers, the release date, recipients and any corrective extension. If one supplier received material information earlier, consider an equivalent release, a fair deadline adjustment or a restart; do not assume a later upload alone cures the advantage.

When can a bidder be excluded?
Under the UK statutory model described in Procurement Act 2023 guidance, a supplier must be treated as excluded when it retains an unfair advantage that cannot be avoided, or when it refuses required mitigation. The authority must first identify the advantage, test whether proportionate controls can remove it, and document why those controls are insufficient or were rejected. Apply the governing jurisdiction’s equivalent rule for projects outside the UK; definitions, notice obligations, challenge rights and decision-makers may differ.
Document the exclusion decision
- State the relevant relationship, information or influence and how it arose.
- Identify the supplier and any connected entity affected by the finding.
- Describe every mitigation considered, the supplier’s response and the evidence tested.
- Explain why the remaining advantage is material and cannot be avoided or neutralised.
- Identify the legal authority, approval level, notification route and any review or appeal right.
- Keep the decision separate from evaluators who may be conflicted and preserve the underlying record.
Do not exclude merely because an association looks uncomfortable. Conversely, do not keep a bidder simply because no bad act has been proven if the process still gives that bidder an unavoidable unfair advantage under the applicable rule.

Evaluator owns shares in a bidding contractor
Facts to record: the shareholding, its size and timing, the evaluator’s scoring and moderation powers, and whether the evaluator can influence clarifications or award approval. Assessment: this is normally an actual financial conflict if the evaluator can affect the bid. Control: immediate disclosure, removal from evaluation and moderation, replacement by an independent evaluator, and an audit of any information or scores already accessed. Residual risk: verify whether the evaluator influenced the specification or shared information before recusal. Approver and review: record the independent approver and recheck before award.
Consultant helps the authority and writes a bidder’s tender
Facts to record: both scopes of work, dates, personnel, systems accessed and documents handled. Assessment: the consultant may have an actual conflict and the bidder may have an information or drafting advantage. Control: stop overlapping work, quarantine information, replace the consultant on the authority team, disclose equivalent material to all suppliers and obtain an independent review of the specification. Residual risk: determine whether the advantage can be removed or whether the tender must be corrected or restarted.

Official’s spouse is an executive of a company acquiring a tendering business
Facts to record: the proposed acquisition, the spouse’s role, the companies and lots affected, the official’s decision rights and the likelihood and timing of completion. Assessment: this is a potential conflict that could become actual. Control: disclose now, restrict access to affected information, assign an alternate decision-maker and monitor the transaction. Residual risk: update the assessment if the acquisition completes, is abandoned or changes ownership.
Former bidder employee joins the evaluation team
Facts to record: employment dates, projects, confidentiality obligations, former colleagues, access to the bidder’s methods and the evaluator’s role. Assessment: the relationship may create an actual or perceived conflict and a risk of confidential knowledge. Control: recusal from the former employer’s lot, information barriers, independent scoring and a check that no protected material was used or disclosed. Residual risk: consider whether the person’s knowledge affects other bidders or the specification.
Design adviser holds confidential cost or scope information that one bidder can access
Facts to record: the information, who created it, who accessed it, access dates and whether it influenced the bid. Assessment: the issue is an information advantage even if no personal payment exists. Control: secure the source files, investigate access logs, release equivalent information to every bidder where lawful, allow adequate response time and use an independent technical reviewer. Residual risk: if the advantage cannot be recreated or neutralised, assess whether correction, restart or exclusion is required.
Public association creates a reasonable appearance of bias
Facts to record: the decision-maker’s public role or association, its visibility, the supplier involved and the decisions pending. Assessment: a perceived conflict can undermine confidence even without a financial link. Control: independent review, transparent disclosure where appropriate, reassignment of the decision and documented reasons. Residual risk: test the arrangement from the perspective of a reasonable, informed observer and record the approver’s conclusion.
Best Value
For every scenario, retain the same minimum fields: facts, influence over decisions, direct or indirect interest, perceived appearance, proposed control, residual risk, approver and review date. The World Bank recommends ad hoc disclosure and immediate recusal for potential conflicts at any procurement stage.
How to embed integrity across the project lifecycle
Infrastructure projects last long enough for relationships and risks to change. Apply controls across planning, design, tendering, award, delivery, variations and close-out rather than treating the signed declaration as a one-time event.
- Risk-based controls: scale review depth to project value, complexity, market concentration, political sensitivity, delivery model and information asymmetry.
- Transparency and joined-up data: connect declarations, ownership information, tender communications, evaluator access, contract changes and payment records so patterns can be detected.
- Clear rules and guidance: tell officials, consultants and suppliers what must be declared, when to recuse, how to protect information and whom to contact.
- Oversight and independent audit: give an independent function access to records, sampling rights and escalation powers, particularly for major variations and claims.
- Reporting and whistle-blower channels: provide confidential routes, protect reporters from retaliation and define triage, investigation and response times.
- Supplier obligations: flow disclosure, confidentiality, team-separation, audit and notification duties into consortium, subcontract and consultant arrangements.
OECD’s 2024 survey found that 78% of surveyed jurisdictions require procurement officials to declare private interests. It also found that 75% require officials to declare no conflict or notify the competent authority when a potential conflict arises during a procurement procedure. These figures describe surveyed jurisdictions, not every country or every construction project, and they do not replace the rules governing your contract.

What should the assessment record contain?
A usable record allows a reviewer who was not involved in the procurement to understand what was known, what was decided and why. Use one entry per issue, with version control and named owners.
| Field | What to enter |
|---|---|
| Procurement identity | Project, lot, authority, procurement route, governing regime and assessment version. |
| Person or organisation | Name, role, employer, relationship to the procurement and decision rights. |
| Interest and source | Financial, personal, professional or informational interest; direct or indirect; disclosure or register checked. |
| Classification | Actual, potential or perceived, with the facts supporting the classification. |
| Influence and information | Decisions, documents, systems and meetings the person or entity can access. |
| Advantage analysis | How the relationship could affect requirements, scoring, timing, price, negotiation or delivery. |
| Mitigation | Recusal, reassignment, information barrier, equal release, independent review, monitoring or supplier control. |
| Implementation evidence | Replacement appointment, access-log check, briefing, release record, minutes or signed undertaking. |
| Residual risk | What remains, why it is acceptable or not, and whether the advantage is avoidable. |
| Decision and approval | Proceed, revise, restart, exclude or investigate; approver, date, legal basis and review route. |
| Next review | Trigger or date, owner and events that require an earlier update. |
Common failures and how to correct them
- Collecting annual forms only: add a procurement-specific declaration and milestone rechecks.
- Checking only employees: include consultants, secondees, external experts, board members, advisers, suppliers and other influencing bodies.
- Treating recusal as complete: examine prior access, informal influence, system permissions and later contract roles.
- Using a generic “fairness” statement: identify the exact advantage, affected decision and evidence.
- Releasing information at different times: maintain a release log, issue the same material simultaneously and adjust deadlines where needed.
- Leaving the record until award: create it before publication and preserve each version as risks change.
- Excluding without a legal check: confirm the governing rule, proportionality, notice and challenge procedure before deciding.
- Ignoring contract management: repeat the assessment for variations, claims, payment approvals, extensions and acceptance decisions.
Questions to resolve before publication or exclusion
Confirm the governing law and any lender or concession requirements; identify who can approve a mitigation or exclusion; verify that every evaluator and adviser has declared; test whether information has reached all suppliers equally; and confirm the next review trigger. If an issue is disclosed during evaluation, pause the affected activity, secure records, obtain an immediate decision on recusal and update the assessment before continuing.
