The reliable way to assess closing risk is to build one critical-path schedule from the signed merger agreement, financing commitments, transaction structure, and every required approval. Record each funding condition and expiry, each filing and waiting period, each contractual closing condition, and the outside date. Then test whether committed funds remain available in a base case, a prolonged-review case, and a blocked-or-remedied case.
This is a U.S.-anchored framework, not a universal approvals checklist or transaction-specific legal advice. Whether a filing is required depends on the parties, assets, industry, jurisdictions, deal structure, current rules, and negotiated documents.

What closing-risk assessment is meant to answer
An acquisition can be fully negotiated and still fail to close on the expected date. Financing may expire, an agency may request more information, a stockholder vote may be delayed, a third-party consent may arrive late, or the agreement’s outside date may pass before all conditions are satisfied.

Signing is not closing. For a covered U.S. transaction, the parties generally may not close until the applicable Hart-Scott-Rodino (HSR) waiting period has expired or been terminated, and other conditions can remain outstanding. The Federal Trade Commission states: “The parties may not close their deal until the waiting period outlined in the HSR Act has passed, or the government has granted early termination of the waiting period.” FTC, Premerger Notification Program.
Start with a single critical-path schedule
Use one controlled schedule rather than separate financing, regulatory, and legal calendars. The schedule should show the earliest and latest plausible date for every dependency and identify the item that controls the closing date.
| Schedule field | What to record | Why it matters |
|---|---|---|
| Workstream | Financing, antitrust, foreign investment, sectoral approval, stockholder vote, third-party consent, conditions precedent, or closing mechanics | Prevents an approval or funding task from disappearing between teams |
| Owner | Buyer, seller, lender, counsel, regulator, trustee, or another named party | Creates accountability for preparation and escalation |
| Dependency | Information, board action, filing, notice, consent, or prior approval needed first | Shows why a nominal deadline may not be achievable |
| Expected date | Planned submission, response, approval, funding, or vote date | Provides the operating plan |
| Earliest/latest dates | Fastest credible completion and longest credible completion | Exposes schedule width instead of hiding uncertainty in one date |
| Outside-date effect | Whether delay consumes the contractual period, triggers an extension, or permits termination | Connects operational delay to legal consequences |
For each item, note whether the date is statutory, agency-estimated, contractually fixed, or merely an internal target. Do not treat a statutory waiting period as a prediction of total time to close; filing preparation, completeness reviews, information requests, remedies, and other approvals can add time.
1. Confirm that financing is executable, not merely announced
Review the actual commitment letters, debt or equity documents, funds-flow plan, and purchase agreement together. A headline financing amount is insufficient if conditions to draw, expiry provisions, or required cooperation make the money unavailable when needed.
Test the amount against uses
- Reconcile committed debt, equity, cash on hand, and other sources to the purchase price, refinancing, fees, expenses, required minimum cash, and any adjustment mechanism.
- Identify whether a shortfall can be funded automatically or requires a new approval, syndication, equity raise, or amendment.
- Confirm which source pays which use and whether the funds-flow plan matches the operative documents.
Inventory every condition to funding
Create a condition-by-condition checklist from each commitment. Typical categories to verify in the documents include execution and delivery of definitive agreements, accuracy of specified representations, absence of a material default, required corporate approvals, delivery of financial information, compliance with know-your-customer or similar requirements, and satisfaction of closing conditions. Do not assume any of these apply to a particular deal unless the document says so.
Check expiry, draw and extension mechanics
- Record the commitment termination date, any automatic extension, and the notice period for borrowing or funding.
- Check whether a lender, underwriter, or investor can decline to fund after a stated date or if a condition remains unsatisfied.
- Identify market-flex, syndication, conditionality, or replacement-financing provisions where applicable.
- Confirm who must request an extension, what consent is required, and whether fees, pricing, collateral, or covenants change.
Match funding dates to regulatory delay
Compare every financing expiry and borrowing deadline with the agreement’s outside date and all available extensions. Ask whether funds remain committed during a Second Request, a foreign-investment review, a remedy negotiation, a delayed vote, or a court challenge. If the answer depends on a waiver or amendment, show that as a separate risk rather than as committed financing.

2. Map the complete approval perimeter
The approval perimeter depends on where the buyer, target, and assets operate; what the target does; and how the transaction is structured. A U.S. HSR analysis is only one part of the exercise.
Identify jurisdictions and regimes
Screen each relevant jurisdiction for antitrust or merger control, foreign-investment review, sectoral regulation, national-security review, exchange-control or central-bank consent, and other industry-specific approvals. Include jurisdictions where the parties have operations, revenues, assets, data, infrastructure, licenses, or regulated customers if the applicable law reaches those connections.
The available materials do not establish whether a particular transaction requires CFIUS review, a foreign filing, or a sectoral consent. Resolve those questions from the transaction facts and current local rules; do not infer them from the existence or absence of an HSR filing.
Classify the transaction structure
Determine whether the deal is a stock purchase, asset purchase, merger, tender offer, bankruptcy transaction, joint venture, or another structure. Filing rules, waiting periods, notice requirements, and the parties responsible for submissions can differ by structure. A transaction that is exempt from one regime may still require another approval or contractual consent.
Check current HSR rules and thresholds
HSR thresholds are updated annually, and the FTC says its HSR forms and rules were updated in February 2025. Verify the current thresholds, filing instructions, exemptions, and form requirements in the FTC’s HSR Rules materials before deciding whether a filing is required. A stale dollar threshold can produce either a missed filing or unnecessary work.

3. Understand the U.S. HSR timing path
The FTC’s process overview describes a 30-day initial waiting period for most covered transactions and 15 days for a cash tender offer or bankruptcy transaction. These are statutory process durations, not a promise that the transaction will close in that period. Exceptions, incomplete filings, timing agreements, and additional reviews can change the calendar.

When the initial period starts
For most transactions, the HSR waiting period generally begins only after complete filings have been received from both buyer and seller by both reviewing agencies. The FTC’s timing guidance explains that parties must coordinate HSR timing with other requirements and closing conditions: Getting in Sync with HSR Timing Considerations.
Build preparation and completeness review into the schedule. The date a team sends a draft or submits an incomplete filing is not necessarily the date the statutory clock begins.
What a Second Request changes
The agencies may issue a Second Request for additional information. The waiting period is extended until the parties have substantially complied and a further review period has run. The FTC describes a further 30-day review period after substantial compliance for most transactions and 10 days for the specified cash-tender-offer or bankruptcy cases. Timing agreements and transaction-specific procedures can affect the actual path.

1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteModel the information burden, custodial collection, data production, privilege review, and management time required to reach substantial compliance. A Second Request is not merely an extra calendar block; it can create new financing, remedy, and outside-date pressure.
Possible outcomes
Agency review can end without additional action, continue through negotiation, result in a settlement or remedy, or lead to a challenge that prevents closing unless resolved. The FTC’s Merger Review overview describes the review and Second Request process. Record the operational effect of any potential remedy, including divestitures, licensing, data restrictions, firewalls, or governance changes, only when those possibilities are grounded in the actual facts and agency discussions.
4. Convert the merger agreement into a closing checklist
Read the operative agreement as a risk-allocation document. Extract every condition precedent, covenant, efforts standard, cooperation obligation, remedy provision, termination right, and extension mechanism into the critical-path schedule.

Conditions commonly requiring separate tracking
- Required stockholder approval or tender of shares, if applicable
- HSR expiration or termination and other antitrust or merger-control clearances
- Foreign-investment, sectoral, licensing, or other regulatory approvals
- Required third-party consents, contractual waivers, and notices
- Accuracy of representations and warranties at signing and closing
- Performance of covenants and delivery of closing certificates
- Absence of an order, injunction, or other restraint prohibiting closing
- Availability and drawability of the committed financing
A recent SEC-filed MarineMax merger proxy illustrates negotiated terms that included regulatory conditions, a no-prohibition condition, an outside date, and specified extensions. It is an example of drafting, not a universal standard. Use the actual agreement for the transaction under review.

Identify whether the buyer must use reasonable best efforts, best efforts, or another standard to obtain approvals; whether it must accept or offer remedies; and whether the seller must cooperate, provide information, or operate the business in a specified way. These clauses allocate delay and regulatory risk. A broad efforts covenant does not by itself guarantee approval or financing.
Read termination rights with the calendar
Record who may terminate, on what date, after which failed condition, and subject to what notice or cure period. Check reverse-termination fees, ticking fees, expense reimbursement, or other consequences if they are included. An outside date that looks distant may be effectively shorter if a financing commitment expires earlier or a termination right becomes available before the date.

Use scenarios to expose dependencies rather than assigning unsupported probabilities. The documents and facts should determine the assumptions.
Base case
Use the planned filing dates, expected information delivery, ordinary initial review, scheduled stockholder action, and stated funding date. Verify that every condition can be satisfied before the outside date with time for notices, certificates, funds flow, and closing mechanics.

Extended-review case
Assume an agency requests additional information or a foreign authority takes longer than planned. Move the affected approval to a credible later date and then test:
Best Value
- Whether the financing commitment remains in force and drawable
- Whether lender, investor, or underwriter consent is needed
- Whether the outside date or an automatic extension still covers the path
- Whether stockholder approval, third-party consents, or interim covenants expire or need renewal
- Whether costs, interest, fees, or operational restrictions increase
Blocked-or-remedied case
Assume the review raises a substantive concern. Identify the remedy decision-maker, negotiation period, required approvals for the remedy, implementation obligations, and effect on financing and the agreement. If the parties reject the remedy, determine when a challenge, termination right, or fee consequence could arise.
6. Compare alternative financing or regulatory paths
When more than one structure or approval strategy is viable, compare them on the same axes rather than choosing the option with the lowest headline cost.
| Comparison axis | Questions to ask |
|---|---|
| Funding certainty | Are funds committed, what conditions remain, and can a provider withdraw or reduce the commitment? |
| Expiry flexibility | How long do commitments last, how are they extended, and what price or consent is required? |
| Regulatory duration | What filings, completeness steps, waiting periods, information requests, and foreign reviews control the path? |
| Remedy burden | Could the route require divestitures, licenses, behavioral limits, data controls, or operating constraints? |
| Contractual efforts standard | Who must make filings, provide information, negotiate remedies, and bear execution costs? |
| Termination consequences | When can either party terminate, and what reverse-termination fee or other consequence follows? |
Deal-specific financial terms, remedies, and probabilities must come from the transaction documents and current facts. Do not substitute market folklore for an enforceable commitment.

For each schedule line, name one accountable owner and the evidence proving completion. Useful evidence can include a signed commitment, filing receipt, agency acknowledgment, consent letter, board or stockholder resolution, waiver, certificate, or funds-flow confirmation.
- Create a master conditions-and-funding register tied to document sections.
- Attach the filing form, receipt, correspondence, or consent to the relevant line.
- Set an internal deadline earlier than the statutory or contractual deadline for quality review.
- Escalate any dependency that lacks an owner, a source document, or a credible completion date.
- Refresh the schedule whenever a regulator requests information, a lender changes terms, or the parties amend the agreement.
Questions the deal team should resolve before signing
- Which jurisdictions and agencies can legally delay or prohibit closing?
- Does the proposed structure change filing obligations or timing?
- What is the first date on which complete filings can be submitted?
- What happens to the financing if the review lasts beyond the initial waiting period?
- Can the commitment be extended, by whom, at what cost, and on what conditions?
- Which remedies is the buyer required to accept or pursue?
- What approvals, consents, and stockholder actions remain after HSR clearance?
- What is the true outside date after accounting for notice and cure periods?
- Who can terminate, when, and with what fee or other consequence?
- What evidence will demonstrate that every closing condition is satisfied?
Bottom line
Assess acquisition closing risk by integrating financing availability, approval timing, contractual conditions, and the outside date into one owned, evidence-backed schedule. Verify current FTC rules rather than relying on old thresholds; treat a Second Request or other prolonged review as a financing and contract problem as well as a regulatory one; and test whether the funds, consents, remedies, and termination protections still work in the longest credible path. The definitive answer comes from the signed documents, transaction structure, jurisdictions, and current agency requirements.
