Underwrite a GPU cloud provider as a leveraged infrastructure counterparty, not merely as a source of rentable accelerators. Before signing a reserved-GPU or take-or-pay deal, identify the legal entity that owns the hardware, verify its cash and debt position, confirm that power and cooling are actually available, and negotiate continuity rights that let you move workloads if the provider fails. Match the contract term and any prepayment to how certain your demand is, and keep a tested migration route throughout the engagement.
What “financially stable” means for a GPU cloud provider
A provider can advertise a large fleet and still be unable to finish your training run. GPU clouds commonly finance expensive hardware with secured debt, long-term capacity commitments and power or colocation contracts. That leverage creates several independent failure points:
As an Amazon Associate I earn from qualifying purchases.
- Liquidity: enough unrestricted cash and operating cash flow to pay power, rent, staff, vendors and interest while utilization fluctuates.
- Refinancing: debt maturities and covenant tests that may arrive before your contract ends.
- Collateral control: lenders’ rights over GPUs, servers and related contracts if the borrower defaults.
- Delivery readiness: contracted megawatts, interconnection, cooling and installation capacity, not just purchased equipment.
- Commercial durability: diversified customers and renewals that keep the fleet earning revenue.
- Contract continuity: measurable service levels, data export and step-in rights that protect you during distress.
The relevant question is therefore not “How many GPUs does this company list?” It is “Can the contracting group fund, power, operate and legally control the capacity for the entire period I need it, and can I recover quickly if it cannot?”
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitches1. Map the complete counterparty and ownership chain
Start with the name on the order form, then trace every entity between you and the physical GPUs. The seller may be a reseller that leases capacity from another operator. In that case, your service can be interrupted by a dispute or default in an upstream contract you never signed.

Questions to ask at the outset
- Does the contracting entity own the GPUs, or does it resell leased or subleased capacity?
- Which company signs the power-purchase, utility, colocation and equipment-finance agreements?
- Which entity employs the operations team and controls provisioning, networking and data-center access?
- Who holds legal title to each GPU generation allocated to your contract?
- Are the GPUs, servers, receivables or customer contracts pledged to a lender?
- What happens to your service, data and reserved capacity if a lienholder forecloses?
- Can the provider assign your contract to an affiliate, lender or buyer without your consent?
Request an organizational chart, a schedule of operating subsidiaries and a written description of the ownership of the specific fleet and facility serving you. Jason Sun of AdaNomad framed the first test this way on June 18, 2026: “Simple question first. Is the company on your contract the same company that owns the GPUs? Or is it reselling capacity it leases or subleases from someone else?” Obtain the answer in writing, not only in a sales call.
Documents that expose structural risk
- Certificate of incorporation and beneficial-ownership information for the contracting entity.
- Intercompany service, lease and capacity agreements connecting the seller to the GPU owner.
- Evidence of title or purchase records for the hardware assigned to your term.
- A current lien, security-interest or financing statement search, where available.
- Power, colocation and network agreements, including assignment and termination clauses.
- A description of which entity receives your payment and which entity is obligated to provide support and refunds.
If the seller cannot identify the owner, lender and upstream operator, treat the arrangement as an unpriced structural risk. A lower hourly rate does not compensate for uncertainty about who can legally keep the machines running.
2. Request a finance pack proportionate to your exposure
For a public company, review the latest annual and quarterly filings, debt footnotes and subsequent-event disclosures. For a private provider, make delivery of a finance pack a condition of contracting and refresh it before each major prepayment or renewal.

- Audited financial statements for the two most recent fiscal years, including cash-flow statements and notes.
- Current management accounts, preferably no more than 60 days old.
- A rolling 12- to 18-month cash forecast showing base and downside cases.
- Monthly operating cash burn, capital expenditure and committed purchase obligations.
- A debt schedule listing principal, interest rate, maturity, amortization, collateral, covenants, cure periods and cross-default provisions.
- GPU inventory by model, generation, location, ownership status and deployment state.
- Supplier commitments for GPUs, servers, networking, power and facilities, with cancellation penalties.
- Revenue and gross-margin reporting by GPU class or cluster, rather than only blended company totals.
- Customer concentration, renewal dates and the share of fleet covered by binding contracts.
- Two or three customer references at a scale and workload type comparable to yours.
Useful screening metrics
ClusterBid suggests examining days of cash, fleet utilization, debt-to-equity, gross margin per GPU, customer concentration and the share of fleet covered by contracts. These are screening heuristics, not universal pass/fail standards; compare them with the provider’s age, growth rate, facility commitments and financing structure.
| Metric | How to calculate or inspect it | What a deterioration can indicate |
|---|---|---|
| Days of cash | Unrestricted cash divided by average daily operating cash burn; separate restricted cash. | Little room to absorb an outage, utilization drop or delayed deployment. |
| Fleet utilization | Booked and billable accelerator-hours divided by available accelerator-hours, by GPU model. | Idle hardware still incurs depreciation, power and financing costs. |
| Debt-to-equity | Total debt compared with accounting equity, with leases and vendor financing included where material. | High leverage increases refinancing and covenant risk. |
| Gross margin per GPU | Revenue less power, facility and direct operating costs for each GPU class. | Prices may not cover variable costs at current energy rates. |
| Contract coverage | Capacity covered by signed minimum commitments versus speculative inventory. | Revenue may fall sharply if spot or short-term demand weakens. |
| Customer concentration | Largest customer’s revenue share and top-five share, by period. | Loss or renegotiation by one customer can threaten debt service. |
Ask management to reconcile these figures to the audited statements and to explain any change in definitions between periods. A provider that supplies only a marketing fleet count, annualized revenue and adjusted earnings has not demonstrated liquidity.

3. Stress-test liquidity, leverage and refinancing
Build a downside case that runs at least through your full commitment term. Lower utilization, GPU price depreciation, higher electricity prices, delayed deployments, higher interest rates and loss of the largest customer should all appear as separate sensitivities. Then combine the adverse assumptions to see when cash falls below required operating and covenant levels.
Questions for the finance team
- Which debt maturities occur during my contract, and what refinancing is assumed to repay them?
- What minimum utilization or customer prepayments are required to satisfy covenants?
- Can a lender sweep receivables, restrict capex or take control of bank accounts after a covenant breach?
- How much unrestricted cash remains after committed GPU purchases, deposits and construction spending?
- What happens if a major customer delays payment or terminates a minimum-commitment contract?
- Are interest rates fixed, hedged or floating, and what rate was used in the forecast?
GPU collateral depreciates quickly. Clifford Chance reported in 2026 that GPUs have an average economic life of three to five years and that financings increasingly use minimum-commitment or take-or-pay contracts. A machine can therefore lose resale value while the loan secured by it remains outstanding. Your risk assessment should include the lender’s ability to repossess or refinance the equipment, not only the provider’s current profit.
AdaNomad reported a $2.3 billion GPU-collateralized facility disclosed by CoreWeave in 2023 and an $8.5 billion delayed-draw facility announced March 31, 2026. Those figures illustrate the scale of leverage possible in this market; confirm current amounts, terms and collateral in the provider’s own filings before relying on them in a decision.
A practical downside worksheet
- Set your contracted monthly spend, prepayment and expected accelerator-hours.
- Reduce fleet utilization in steps, such as 20%, 40% and 60% below plan.
- Increase power cost and interest expense using provider-specific sensitivities.
- Apply a realistic decline in residual GPU value over the contract term.
- Remove the largest customer’s revenue for the period needed to replace it.
- Delay each planned facility or cluster deployment and model the resulting lost revenue.
- Record the month in which cash, covenant headroom or debt-service coverage fails.
If the provider will not share enough information to run this exercise, shorten the commitment, reduce prepayment and require stronger termination and portability rights.
4. Verify power, cooling and deployment execution
Hardware ownership does not guarantee usable capacity. High-density AI clusters depend on utility interconnection, contracted megawatts, cooling, networking and installation labor. A solvent provider can miss your delivery date because a substation, liquid-cooling loop or permitting milestone is late.

- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
Evidence to request
- Dated utility or power-provider commitments showing contracted megawatts and energy-price assumptions.
- Interconnection applications, approvals and remaining construction milestones.
- Facility power-usage-effectiveness (PUE) assumptions and the measurement method.
- Cooling design for the specific GPU density, including liquid-cooling capacity where applicable.
- Equipment purchase orders, shipment status and acceptance tests for your cluster.
- A deployment schedule with responsible parties, dependencies and contingency dates.
- Remedies if a milestone slips: service credits, substitute capacity, termination or refund.
Clifford Chance describes rising power requirements, high-density AI facilities and contract terms that allocate installation-delay risk. Do not accept “capacity coming soon” as equivalent to live, tested capacity. Require a commissioning or acceptance test that measures the throughput and interconnect characteristics your workload needs.

5. Check customer concentration and operating history
Ask for the largest customer’s revenue share, contract expiry and renewal status, plus the percentage of your own compute that would depend on this provider. Concentration is not automatically disqualifying, but it changes the amount of liquidity and portability you need.
AdaNomad reported that Microsoft represented 35% of CoreWeave revenue in 2023 and 62% in 2024, based on figures reproduced from a 2025 filing. Treat those percentages as historical disclosures and verify the latest filing before using them in a current assessment. The lesson is broader: a rapidly growing provider can become more dependent on one customer even while headline revenue rises.
Operating-history checks
- Search for prior restructurings, distressed financings, material litigation and abrupt strategy changes.
- Ask why senior finance, infrastructure and reliability leaders have left and how responsibilities were transferred.
- Request uptime, incident and support statistics for the last 12 months, with exclusions explained.
- Speak with customers operating at a similar scale about provisioning delays, replacements and billing disputes.
- Check whether the provider has successfully refreshed older GPU generations without disrupting contracted users.
6. Contract for continuity, not just a low GPU price
Your agreement should convert financial diligence into enforceable operating rights. Clifford Chance says compute contracts are adding guaranteed capacity and performance, refresh mechanics, delay allocation, step-in and termination rights, portability, auditability and security assurances. AxeCompute likewise recommends defining SLA scope, financial remedies, support response and a representative proof of concept.
Core SLA and remedy terms
| Area | What to specify | Why it matters in distress |
|---|---|---|
| Capacity | Named GPU model, quantity, location, minimum available hours and substitution rules. | Prevents a provider from satisfying a reservation with materially weaker or shared hardware. |
| Performance | Measured throughput, network bandwidth, storage I/O and acceptable variance. | Availability alone does not complete a training run. |
| Provisioning | Time from request to usable cluster, queue priority and escalation path. | Lets you detect shrinking or withheld capacity early. |
| Support | Severity definitions, response and restoration targets, named contacts and 24/7 coverage where required. | Provides a remedy when an incident threatens a deadline. |
| Replacement | Maximum time to replace failed GPUs, hosts, networking or storage. | Limits the impact of scarce spare parts and maintenance backlogs. |
| Financial remedies | Service credits, refund formula, termination trigger and repayment of unused prepayment. | Creates consequences beyond a non-binding service promise. |
| Auditability | Access to utilization, incident, billing, security and capacity records, with independent-audit rights. | Allows you to verify performance and detect deterioration. |
Insolvency and lien protections
- Escrow: Place essential configuration, infrastructure-as-code, monitoring data and documentation with a release trigger tied to insolvency or prolonged outage.
- Data export: Define formats, bandwidth, assistance and deadlines for exporting datasets, checkpoints, images, keys and logs.
- Portability: Prohibit technical or contractual barriers to moving workloads to another provider, including excessive egress charges during a provider default.
- Step-in: Permit you or a nominated operator to take temporary control of the environment, personnel or facility interfaces after specified failures, subject to safety and security rules.
- Assignment: Require consent for assignment to an entity that lacks equivalent financial and operational capability; preserve your termination right after an unapproved change of control.
- Termination: Include insolvency, payment default, loss of required capacity, repeated SLA failure and extended delay as termination events.
- Lien treatment: Obtain a representation of title and a covenant that lender remedies will not terminate your access without notice and a reasonable transition period.
Have counsel test these clauses against the provider’s financing documents. A promise in your service agreement may be subordinate to a lender’s perfected security interest unless the lender recognizes your rights.

How risky is a 12–36 month prepayment?
Prepayment transfers the provider’s liquidity risk to you. The risk rises with contract length, the size of the deposit relative to the provider’s cash, the absence of a refund guarantee and the uncertainty of your own workload.
| Workload profile | Safer commitment approach | Protections to demand |
|---|---|---|
| Predictable baseload with stable utilization | Longer term can be economical if capacity and finances are verified. | Milestone-based payments, performance acceptance, escrow and termination refunds. |
| Seasonal or uncertain demand | Shorter term, staged reservations or a smaller minimum commitment. | Rollover rights, flexible scaling and no penalty for unused capacity beyond the stated minimum. |
| Burst training or research workloads | On-demand or short reservations while validating reliability. | Provisioning SLA, export automation and a second-provider fallback. |
Never prepay the full 12–36 months solely to obtain a discount. Compare the discount with the provider’s cash runway, debt maturities and the replacement cost of moving your workload. Release funds against deployed and accepted capacity, and cap the amount that would be unsecured if the provider failed tomorrow.
Comparing two or more providers
Use the same evidence request and scoring scale for every finalist. A cheap quote should not win by hiding weaker protections.
| Comparison axis | Evidence to score |
|---|---|
| Financial transparency | Public filings or audited statements, quality of management accounts and willingness to explain definitions. |
| Liquidity and leverage | Cash runway, debt maturities, collateral, covenants, interest exposure and refinancing assumptions. |
| Delivery readiness | Owned versus resold capacity, power, cooling, interconnection, equipment status and dated milestones. |
| Commercial durability | Customer concentration, renewal profile, contracted-fleet share, pricing versus direct costs and capital costs. |
| Operational protection | Capacity and performance SLAs, support, replacement, audit, escrow, portability and termination rights. |
| Workload fit | Economics for predictable baseload versus uncertain or bursty demand; commitment economics depend on workload certainty, as Civo notes. |
Record “not stated” when a provider will not disclose a comparable value. Do not turn an unavailable figure into an assumption of safety.
What happens if the provider goes bankrupt?
Bankruptcy does not automatically preserve your reservation. A lender or insolvency administrator may control the GPUs, bank accounts, contracts and facility access. Your data may remain technically intact but inaccessible if credentials, networking or storage services stop.
Best Value
Prepare for three failure scenarios
- Operational distress: capacity is delayed or support degrades while the company still trades. Trigger SLA credits, escalation and staged migration before a formal filing.
- Financing default: a lender enforces its security over GPUs or receivables. Use notice, cure and transition provisions, and confirm whether the lender has agreed to honor your access.
- Formal insolvency: services, staff and facilities may change hands. Release escrow, export data and configurations, terminate as permitted and move to your tested secondary environment.
Maintain current copies of checkpoints, container images, infrastructure code, dependency manifests, credentials held under your control and a recent export test. A migration plan that exists only on paper is not portability.
Buyer’s due-diligence checklist
- Contracting entity, GPU owner, upstream operator, lender and facility are identified.
- Title, liens, assignment rights and foreclosure treatment are documented.
- Two years of audited accounts or equivalent public filings are reviewed.
- Cash, burn, debt maturities, covenants and refinancing assumptions are modeled.
- Utilization, margin per GPU, fleet coverage and customer concentration are reconciled.
- Power, interconnection, cooling, PUE and deployment milestones are evidenced.
- Comparable customer references and operating-history checks are complete.
- Capacity, throughput, provisioning, support and replacement SLAs are measurable.
- Credits, refunds, audit rights, escrow, export, portability, step-in and termination are enforceable.
- Prepayment is staged and limited to an amount you can afford to lose.
- A secondary provider or self-hosted route has been tested with a representative workload.
Bottom line
The safest GPU cloud commitment is sized to verified liquidity and delivery evidence, not to a sales presentation’s fleet count. Map ownership and liens, read the debt and cash picture, test power and deployment milestones, and make continuity rights contractual. If the provider cannot supply the evidence or protections needed to answer those questions, reduce the term and prepayment—or keep the workload elsewhere.
Frequently Asked Questions
What financial documents should I request from a private GPU cloud provider?
Request two years of audited statements, current management accounts, a cash forecast, monthly burn and capital expenditure, a debt schedule with maturities and covenants, GPU inventory by model and ownership status, supplier commitments, margins by GPU class, customer concentration and comparable customer references.
Windows Errors? Fix Them Before They Spread

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteAre GPUs good collateral for a cloud provider’s debt?
They are valuable but depreciating collateral. Clifford Chance reported in 2026 that GPUs have an average economic life of three to five years. Lender foreclosure or refinancing can therefore interrupt service even when the provider owns substantial hardware.
Should I sign a 36-month reserved-GPU contract?
Only when demand is highly predictable, the provider’s liquidity and delivery are verified, payments are staged, and the agreement includes enforceable performance, refund, escrow, portability, step-in and termination protections. Otherwise use a shorter or staged commitment.
How can I recover my workloads if the provider fails?
Keep current exports of data, checkpoints, images, infrastructure code and credentials; test them with a secondary environment; and contract for escrow, export assistance, portability, notice, transition time and termination refunds.
