Under IFRS, the decisive tests are whether the business is held for sale and whether it is a component representing a separate major line of business or geographical area. A qualifying disposal is shown separately on a post-tax basis, its assets and liabilities are presented separately, depreciation stops after held-for-sale classification, and its operating, investing and financing cash flows are disclosed. If the cement business does not qualify as discontinued, the disposal-group remeasurement and sale gain or loss remains in continuing operations.
The analysis must start with the legal perimeter of the deal, not with the headline sale price. Plants, quarries, terminals, leases, employees, pensions, environmental provisions, tax attributes, debt, guarantees, shared services and intercompany balances can produce very different results from the same announced proceeds.

Start with the reporting framework and transaction perimeter
This guide is IFRS-centered, because IFRS 5 supplies the held-for-sale and discontinued-operation requirements described here. A company reporting under US GAAP or another local framework must perform a separate framework analysis before applying these conclusions. The transaction date, reporting period, currency, tax jurisdiction and legal form of the sale also affect the entries and disclosures.

Classification is not triggered merely because management has announced a strategic review or because a plant has been shut down.

Map the legal perimeter before making accounting judgments
Create a schedule that reconciles every asset, liability, activity and cash flow included in the sale agreement to the consolidated reporting entity and the company’s IFRS 8 segment structure. At minimum, identify:
- Legal entities, subsidiaries and non-controlling interests being transferred.
- Cement plants, quarries, terminals, warehouses, laboratories, power assets and restoration obligations.
- Owned and leased property, equipment, inventory, receivables, contracts and committed capital expenditure.
- Employees, collective agreements, pensions, post-employment benefits and incentive plans.
- Environmental provisions, litigation, product warranties, reclamation duties and other contingent liabilities.
- Income-tax attributes, deferred tax balances, tax-sharing arrangements and transaction taxes.
- Borrowings, security interests, guarantees, letters of credit, hedging contracts and cash balances.
- Shared procurement, information technology, logistics, finance, insurance and other corporate services.
- Intercompany sales, loans, management fees, eliminations and stranded costs that will remain after closing.
A share sale normally transfers the legal entity and the assets and liabilities it owns, subject to negotiated exclusions and indemnities. An asset sale can transfer selected plants or contracts while the seller retains the legal entity, debt, employees or environmental obligations. The accounting perimeter therefore cannot be inferred from the transaction label alone.

| Perimeter question | Why it changes the statements |
|---|---|
| Share sale or loss of control | The disposed component may include the subsidiary’s complete operating results, assets, liabilities and cash flows, while retained obligations depend on the sale agreement and consolidation outcome. |
| Asset sale | Only specified assets, liabilities and activities leave the group; retained corporate items may remain in continuing operations. |
| Excluded assets or liabilities | Items kept by the seller cannot be removed from continuing-operation balances simply because they relate economically to cement. |
| Shared services and intercompany balances | Allocations and eliminations must be rebuilt so the discontinued result reflects the component without obscuring costs that will continue after closing. |
Step 1: Document whether the disposal group is held for sale
Held-for-sale classification requires more than an intention to sell. Management should document each criterion and the evidence available at the classification date:
- Approval and commitment. The board or an equivalent authority has approved a plan to sell and management is committed to carrying it out.
- Immediate availability. The disposal group is available for immediate sale in its present condition, subject only to customary terms for similar transactions.
- Active marketing. A program to locate a buyer has begun, and the group is being marketed at a price reasonable in relation to its current fair value.
- Highly probable completion. The sale is highly probable, with an active buyer process and an expected completion within the period contemplated by IFRS 5, absent circumstances outside the company’s control.
- Recovery principally through sale. The carrying amount is expected to be recovered principally through sale rather than through continuing use.
Retain board papers, approved budgets, banker or adviser materials, signed or near-final sale agreements, valuation work, bidder correspondence and evidence of marketing. If a proposed transaction is withdrawn, delayed or materially repriced, reassess whether the criteria remain satisfied and whether the classification date or measurement must change.

Step 2: Decide whether the cement business is a discontinued operation
A discontinued operation is a qualifying component, not every asset sale. The cement component must have been disposed of, or be classified as held for sale, and it must represent a separate major line of business or geographical area, be part of a coordinated plan to dispose of one, or be a subsidiary acquired exclusively for resale.
Assess the component in the way management and users see it
Consider how the cement activity is managed, reported to the chief operating decision maker, monitored by investors and separated operationally from the rest of the group. A single kiln or quarry may be material without being a separate major line of business. Conversely, a group-wide cement segment spanning several countries may qualify even though it contains many facilities.
Record the judgment, including quantitative materiality and qualitative factors. The analysis should address revenue, assets, employees, cash flows, geographic concentration, customer base, supply chain, management reporting and the extent to which the disposal changes the group’s strategy.
Distinguish classification outcomes
| Outcome | Financial-statement effect |
|---|---|
| Held for sale and qualifying discontinued operation | Present the component’s post-tax result and disposal or measurement gain or loss separately; present disposal-group assets and liabilities separately; disclose operating, investing and financing cash flows; re-present comparative discontinued-operation information. |
| Held for sale but not a discontinued operation | Apply held-for-sale measurement and depreciation rules, but keep the operating result and disposal-group remeasurement gain or loss in continuing operations with appropriate note disclosure. |
| Not held for sale | Continue normal measurement and depreciation. A later sale is accounted for when the relevant recognition and disposal conditions are met. |
Step 3: Measure the disposal group at classification
At the held-for-sale classification date, compare the disposal group’s carrying amount with its fair value less costs to sell. Recognize a loss when fair value less costs to sell is lower. Subsequent increases can be recognized only within the applicable IFRS 5 limits; they cannot reverse losses beyond the amount permitted for the relevant assets or disposal group.
Costs to sell include incremental costs directly attributable to the disposal, rather than finance costs or income-tax expense. The valuation file should identify the buyer assumptions, observable market evidence, environmental and reclamation liabilities, contract restrictions and any probability-weighted sale costs used in the estimate.

Stop depreciation after classification
Depreciation and amortization cease for non-current assets classified as held for sale. The cessation begins when the classification criteria are met, not when the sale proceeds are received. Continue to account for items that are outside the disposal group under their applicable standards, and continue inventory measurement and other required provisions where IFRS 5 does not replace the underlying measurement model.

For a qualifying discontinued operation, the income statement can show one post-tax amount combining the component’s operating result with the post-tax disposal or measurement gain or loss. The notes must provide the analysis needed to understand what is inside that amount, including revenue, expenses, tax and the gain or loss on measurement or disposal.
Separate recurring performance from the transaction result
Prepare a bridge from the cement component’s management accounts to the reported discontinued-operation amount:
| Bridge line | Items to identify |
|---|---|
| Revenue and operating costs | External sales, freight, energy, raw materials, payroll, maintenance, overhead allocations and other costs directly attributable to the component. |
| Intercompany effects | Internal cement sales, transfers, loans, management fees and eliminations, with a consistent treatment in both the component and group totals. |
| One-time transaction costs | Advisory fees, legal costs, employee-retention or separation costs and other incremental costs, showing whether they were paid by the component, the seller or deducted from sale proceeds. |
| Tax | Current and deferred tax attributable to the component and the tax effect of the measurement or disposal gain or loss, based on the applicable jurisdiction and transaction structure. |
| Measurement or disposal result | The difference between carrying amount and fair value less costs to sell, followed by the final gain or loss when the sale closes. |
| Stranded corporate costs | Costs that supported cement but will remain after closing, such as central staff, systems, insurance or leases; disclose them so continuing earnings are not overstated. |
If the component is not discontinued, do not move its result into the discontinued-operation line merely to improve continuing margins. The remeasurement gain or loss and operating effects remain in continuing operations, although a clear note can explain the disposal.
Present the balance sheet without hiding retained exposure
Assets and liabilities in a disposal group classified as held for sale are presented separately from other assets and liabilities. They are not offset. The notes identify the major classes of assets and liabilities, the facts and circumstances of the sale, expected timing, and any accumulated other comprehensive income associated with the disposal group.

Show what transfers and what stays
Prepare a balance-sheet bridge that starts with the consolidated carrying amounts, removes items transferred to the buyer, adds liabilities retained under the agreement, and separately identifies amounts settled at closing. Pay particular attention to:
- Debt that is legally transferred, refinanced, repaid or guaranteed by the seller.
- Environmental remediation, quarry restoration and closure provisions that survive closing.
- Employee benefits and pensions for transferred and retained employees.
- Product warranties, customer claims and litigation tied to cement sold before closing.
- Tax liabilities, deferred tax balances and tax-sharing obligations.
- Escrow, purchase-price-adjustment and indemnity receivables or liabilities.
- Leases, take-or-pay contracts, power agreements and supply commitments excluded from the sale.
A disposal agreement may allocate an obligation contractually without extinguishing the seller’s accounting liability. Recognition, measurement and disclosure still depend on the applicable standards and the company’s continuing exposure.
Disclose the cash-flow bridge
For a discontinued operation, disclose net cash flows from operating, investing and financing activities. Users should be able to distinguish cash generated by the cement business from cash received for the business and from cash movements caused by closing mechanics.
| Cash-flow category | Items to trace |
|---|---|
| Operating | Customer receipts, supplier payments, payroll, taxes, restructuring payments and working-capital unwind before closing. |
| Investing | Capital expenditure committed before closing, asset purchases or disposals, sale proceeds, escrow movements and transaction costs treated as investing under the applicable policy. |
| Financing | Debt assumed by the buyer, debt repaid at closing, intercompany funding settled, dividends or distributions, and cash retained or transferred under the sale agreement. |
Reconcile the cash-flow disclosures to the consolidated statement of cash flows and to the completion accounts. A headline cash consideration is not the same as cash available to the continuing group after debt settlement, taxes, escrow, working-capital adjustments and retained obligations.
Re-present comparatives and recalculate performance measures
Prior-period discontinued-operation information is re-presented so users can compare continuing operations on a consistent basis. Re-present revenue, operating profit, margins, cash flows and other affected disclosures for every comparative period required by the reporting framework.
Best Value
Use continuing-operation denominators
Recalculate ratios after removing the cement component from both the current and comparative periods. Explain any mismatch between reported net income and underlying continuing performance.
| Metric | How to analyze after divestiture |
|---|---|
| Revenue and EBITDA margin | Use continuing revenue and continuing EBITDA; identify transitional-service income, stranded costs and any remaining cement-related contracts. |
| Leverage and net debt | Remove debt transferred or repaid, add debt retained or guaranteed, and show the effect of sale proceeds and restricted cash separately. |
| Interest coverage | Use continuing operating earnings and the interest burden that remains after refinancing, not the pre-sale consolidated denominator. |
| Asset turnover and return measures | Use continuing assets and earnings, with consistent treatment of assets held for sale and the disposal gain. |
| Earnings per share | Separate the post-tax discontinued amount and disposal gain from continuing earnings per share; do not treat a one-time gain as recurring profitability. |
A reported gain can increase net income in the disposal year while future revenue, EBITDA, operating cash flow and scale decline. The ratio discussion should therefore show both the reported figures and the continuing-operation figures, with the reasons for each major change.
Analyze debt, taxes, guarantees and environmental liabilities after closing
Debt and guarantees
Read the debt-transfer, repayment, refinancing and guarantee clauses together. Determine which borrowings leave the consolidated group, which are settled from sale proceeds, and which guarantees or letters of credit remain. Recalculate net debt only after considering restricted cash, escrow, mandatory repayments and any debt-like purchase-price adjustments.

Taxes and tax attributes
Map current tax, deferred tax, withholding tax, transfer taxes and tax-sharing arrangements to the legal entities and jurisdictions involved. A tax attribute may not transfer with an asset or subsidiary, and a buyer indemnity does not automatically remove the seller’s tax exposure. Explain the tax basis used for the disposal gain and the period in which cash taxes are expected.
Environmental, warranty and employee obligations
Cement operations can carry long-tail quarry restoration, emissions, groundwater, product-warranty and employee-benefit exposures. Identify the party responsible under the contract, the period covered, caps and exclusions, escrow support, and the evidence supporting recognition or contingent-liability disclosure. Retained obligations should be included in the continuing group’s forecast cash flows even when they relate to a discontinued operation.
Use a controlled closing workflow
- Freeze the perimeter. Reconcile the signed agreement and completion accounts to the consolidation ledger, segment reports and legal-entity chart.
- Document classification. Obtain approvals, marketing evidence, valuation support and the expected completion timetable for the held-for-sale test.
- Document discontinued-operation judgment. Assess the separate-major-line or geographical-area test and retain the materiality analysis.
- Measure the disposal group. Compare carrying amount with fair value less costs to sell, record permitted impairment and stop depreciation from the classification date.
- Build three bridges. Prepare income-statement, balance-sheet and cash-flow reconciliations, including taxes, intercompany eliminations and stranded costs.
- Re-present comparatives. Recast prior-period discontinued-operation information and recalculate continuing-operation ratios.
- Stress-test the contract. Review purchase-price adjustments, escrows, indemnities, tax-sharing, environmental, warranty, employee-benefit and transition-service clauses.
- Approve disclosures. Tie every major class, cash-flow category, gain or loss and retained obligation to the underlying ledger and agreement.
Common errors and how to correct them
- Calling every plant sale a discontinued operation. Correct by applying the component and separate-major-line or geographical-area test.
- Stopping depreciation when the sale is announced. Correct by using the actual held-for-sale classification date.
- Reporting the sale price as the gain. Correct by comparing carrying amount with fair value less costs to sell and then accounting for liabilities, taxes and selling costs.
- Netting disposal-group assets against liabilities. Correct by presenting them separately and showing major classes.
- Leaving shared costs in the wrong period. Correct by distinguishing costs that disappear with cement from stranded costs that continue.
- Ignoring retained guarantees or remediation. Correct by tracing each clause to recognition, measurement and disclosure requirements.
- Using pre-sale denominators for post-sale ratios. Correct by re-presenting comparatives and using continuing revenue, earnings, assets, debt and cash flows.
- Treating a contractual indemnity as automatic derecognition. Correct by assessing the seller’s legal and substantive exposure under the applicable standards.
What management should put in the notes
A decision-useful note explains what was sold, when the held-for-sale or disposal classification occurred, why the component qualifies or does not qualify as discontinued, and how the transaction changes the financial statements. It should identify major asset and liability classes, the measurement basis, significant gains or losses, post-tax operating results, net cash flows by activity, comparative re-presentation and material retained obligations.
The note should also explain unusual movements: one-time transaction costs, debt settlement, working-capital adjustments, escrow, taxes, environmental provisions, warranties, pensions, guarantees and transition services. Readers need enough information to distinguish the accounting presentation from the group’s continuing economic capacity.

Framework limitation
The conclusions above address an IFRS-centered analysis. A US-GAAP or local-GAAP issuer must test its own definition of a discontinued operation, held-for-sale measurement, presentation and comparative requirements before finalizing the entries. The legal form of the deal, loss of control, reporting date and tax jurisdiction can change the result even when the commercial transaction appears identical.
