A sports franchise is not valued by multiplying a team’s revenue by one universal number. Before a minority or control stake sale, advisers first define exactly which company and assets are changing hands, normalize the financial results, select transaction-based comparables, apply a team-specific multiple, and then bridge enterprise value to equity value. The final price is adjusted again for the rights attached to the stake—such as voting power, board seats, distributions, transfer restrictions and exit provisions.
What a buyer is actually valuing
The phrase “team value” can conceal several different assets and claims. A transaction may involve only the operating company that employs players and runs the team, or it may include an arena, regional sports-media interests, surrounding development rights, league-related assets and other businesses. Debt, leases and cash may sit at different entities within the ownership structure.

That is why a reported franchise enterprise value is not automatically the cash price for a 10% or 15% interest. The valuation must identify the transaction perimeter first, then determine what portion of the resulting equity belongs to the seller and what rights the buyer receives.
Step 1: Define the transaction perimeter
Advisers begin with a legal and economic map of the entities involved. They review the purchase agreement, organizational chart, league approvals and existing shareholder documents before choosing a valuation method.

Assets that may be included
- The team operating company and its player, coaching and administrative operations.
- Stadium or arena ownership, leases, naming-rights income and operating contracts.
- Regional media assets, production businesses or long-term local broadcasting agreements.
- Surrounding real estate, development rights, parking, hospitality and retail interests.
- League distributions, shared commercial programs and other contractual rights.
Liabilities and exclusions that change the answer
- Bank debt, shareholder loans and debt-like obligations.
- Lease liabilities, deferred compensation and other contractual commitments.
- Cash that remains with the business versus cash distributed before closing.
- Future capital calls, arena renovations or expansion obligations.
- Assets retained by the seller or held in a separate affiliated company.
A valuation report should state whether its headline figure is for the team alone, a wider sports-and-real-estate platform, or an enterprise that includes debt and cash. Two apparently different franchise values can both be reasonable when their perimeters differ.
Step 2: Normalize the financial base
Historical accounts rarely provide a clean measure of recurring performance. Analysts assemble several years of ticketing, media rights, sponsorship, licensing, merchandise and other revenue, then remove items that are unlikely to recur.
Typical normalization adjustments
- One-time playoff runs, international games or special events.
- Unusual media-rights payments, deferred recognition or accelerated revenue recognition.
- Ownership charges, related-party fees and expenses that would change under a new owner.
- Exceptional payroll decisions, buyouts, bonuses or salary-cap strategies.
- Temporary attendance disruption, venue closures or extraordinary marketing campaigns.
The model may also use forward revenue when a new media contract, a newly opened stadium, a league expansion, a planned schedule change or a major sponsorship materially changes the run rate. Forward figures are projections, not achieved results, so the assumptions and effective date should be shown separately from historical numbers.

Sports teams often use revenue multiples because EBITDA can move sharply with management choices. A club that increases payroll to pursue a championship may produce lower near-term EBITDA even as its audience, sponsorship value and long-term media appeal rise. Another club may report higher EBITDA after cutting payroll, without having the same growth prospects.

Revenue is not perfectly comparable either, but it can be a more stable reference point across teams whose salary-cap decisions and arena costs differ. PwC describes the traditional U.S. approach as one in which valuations and team goals were “almost entirely based on revenue multiples.” The same analysis says lucrative media opportunities are increasingly outstripping other available revenue streams, making the quality and durability of those rights especially important.
The multiple is therefore team-specific. It reflects the buyer’s view of future revenue, risk, scarcity and strategic opportunity—not a fixed league-wide formula.
Step 3: Select comparable transactions and methods
Precedent transactions are central because an arm’s-length sale shows what an actual buyer paid for a comparable asset. The Canadian Institute of Chartered Business Valuators (CBV) notes that sports-franchise transactions are relatively easy to identify and that precedent transactions are the most common method in this sector.
Methods used in practice
| Method | How it is used | Main limitation |
|---|---|---|
| Precedent transaction | Examines prices paid for comparable teams or stakes, then adjusts for timing, league, market and included assets. | Sales may include different debt, real estate, governance rights or strategic premiums. |
| Enterprise-value-to-revenue multiple | Applies a transaction-informed revenue multiple to normalized or forward team revenue. | Revenue quality and growth can differ substantially between teams. |
| Enterprise-value-to-EBITDA or cash-flow analysis | Tests whether the implied value is supported by normalized profitability and cash generation. | Payroll, salary-cap choices and unusual expenses can distort near-term EBITDA. |
| Public-company comparison | Provides a cross-check using listed sports, media or entertainment businesses. | Public shares have different liquidity, disclosure and minority characteristics from a private franchise stake. |
| Discounted cash flow or scenario analysis | Models future media, sponsorship, ticketing, capital spending and exit assumptions. | Results are highly sensitive to long-term assumptions and terminal value. |
CBV’s guidance emphasizes the reliability of actual arm’s-length evidence. The SEC has stated in a valuation discussion that “The most reliable evidence as to the value of a business is the price at which the business or a comparable business has been bought and sold in an arm’s length transaction.” That principle does not eliminate judgment: advisers still have to decide whether a transaction is genuinely comparable.

Step 4: Set a team-specific multiple
After selecting comparables, advisers determine where the subject franchise belongs within the observed range. They examine both the amount of revenue and its quality.
Factors that can increase or reduce the multiple
- Media-rights durability: contract length, escalation clauses, audience reach, distribution risk and the possibility of direct-to-consumer growth.
- Market size and concentration: population, corporate base, household income and dependence on a small number of local partners.
- Sponsorship and commercial depth: recurring partnerships, premium inventory and room to raise rates.
- Attendance and ticketing: season-ticket retention, pricing power, premium seating and dependence on winning seasons.
- Brand and competitive relevance: history, fan engagement, national visibility and momentum from recent performance.
- League scarcity: the limited supply of franchises, league entry barriers and buyer demand for a particular market.
- Venue economics: arena condition, lease term, operating costs, naming rights, premium hospitality and development potential.
- Capital requirements: expected renovations, new facilities, technology investment and league-mandated spending.
PwC reported an average NFL franchise value of $5.7 billion in 2024, compared with $1.2 billion in 2013. Those are average figures for the cited years, not a valuation formula for every NFL team or a price for a minority stake. A 2025 EuroLeague and JB Capital report put the combined enterprise value of the EuroLeague and its licensed clubs at more than €3.2 billion. The different league structures, currencies, included assets and dates make direct comparisons inappropriate without a detailed adjustment.
Step 5: Bridge enterprise value to equity value
Enterprise value describes the operating business before the claims of lenders and other financing providers. Equity value is what remains for shareholders after the agreed adjustments.

| Bridge item | Typical treatment |
|---|---|
| Enterprise value | Value of the operating franchise and included businesses before financing claims. |
| Debt and debt-like obligations | Subtract bank debt, shareholder loans and obligations treated as debt in the transaction. |
| Excess cash | Add cash that belongs to equity holders and is not required for normal operations. |
| Lease and contractual adjustments | Reflect leases or other commitments when they are economically equivalent to financing or materially affect value. |
| Non-operating assets and retained interests | Add or subtract stadium, real-estate, media or other assets according to what the buyer receives. |
| Equity value | Residual value attributable to all shareholders before applying the specific stake’s rights and discounts. |
For example, a hypothetical franchise with a $4.0 billion enterprise value, $600 million of debt and $100 million of excess cash would have $3.5 billion of equity value before any stake-specific adjustment. If the sale excludes a separately owned development parcel, that asset cannot be assumed to be part of the $4.0 billion figure. The arithmetic is simple; agreeing on each line item is the difficult part.

Step 6: Price the rights attached to the minority stake
A 10% interest is not automatically worth exactly 10% of a control transaction. The economic and governance rights can make the interest more or less valuable than a simple pro-rata calculation.
Rights that require review
- Voting power and the ability to appoint or nominate directors.
- Board observer rights, information access and audit rights.
- Vetoes over budgets, debt, venue changes, relocation, league matters or a future sale.
- Distribution policy, preferred returns and participation in future capital calls.
- Transfer restrictions, rights of first refusal, tag-along and drag-along provisions.
- Liquidity or exit rights, including put options or rights to join a later sale.
- Strategic access, commercial relationships and other benefits available to the buyer.
A passive, restricted interest may receive a minority or marketability discount because the holder cannot control decisions or readily sell. A stake with meaningful vetoes, board representation, guaranteed distributions or strategic access may justify a smaller discount or a premium. The adjustment should be tied to the contract, not applied as a standard percentage copied from another deal.
Why governance is now part of the valuation
Institutional investors increasingly enter sports through minority stakes and joint ventures rather than buying an entire franchise. PwC’s 2024 Global Sports Survey found that 36% of respondents expected minority stakes to be an investment strategy and another 36% expected joint ventures. Those figures describe survey responses, not the share of all transactions.

As these structures become more common, governance terms can affect value as much as the headline ownership percentage. A financial investor may accept limited voting power if it receives strong information and exit rights; an operating partner may pay more for influence over commercial strategy. League ownership rules and private-equity caps can change, so the applicable league rules must be checked for the specific transaction date.
Best Value
How profitability changes the analysis
Revenue establishes market comparability, but buyers also test whether the implied multiple can be supported by sustainable economics. PwC’s 2024 private-equity analysis expects institutional owners to apply a stronger profitability lens where payroll and operating costs can erode margins.
The model therefore examines normalized EBITDA, operating cash flow, maintenance and growth capital expenditure, arena obligations, shared league expenses and the flexibility of payroll. A high-revenue team that requires substantial venue investment or has little ability to control costs may deserve a lower sustainable multiple than its top-line figure suggests. Conversely, a team with contracted media growth and operating leverage may support a higher multiple even if current EBITDA is modest.
A practical framework for comparing two opportunities
When reviewing two minority investments, compare them on the same perimeter and at the same valuation date. The following framework prevents a headline multiple from hiding major differences.
| Comparison axis | Questions to ask |
|---|---|
| Revenue quality | How much is contracted media revenue? How recurring are sponsorships? Is attendance concentrated in premium games or dependent on winning? |
| Profitability | What is normalized EBITDA? How flexible are payroll and arena costs? What capital expenditure is required? |
| Rights and control | Does the stake include votes, board seats, vetoes, information rights, distributions and a realistic exit route? |
| Asset perimeter | Are the arena, surrounding development, media assets and league-related businesses included or excluded? |
| Market and scarcity | How limited is league supply? What is buyer demand, market depth and brand momentum? |
| Valuation sensitivity | What happens if revenue growth, margins, media renewals, capital spending or the minority discount changes? |
Common mistakes before signing a stake sale
- Treating a published team value as the purchase price: the publication may include different assets, debt or ownership rights.
- Applying a league-wide revenue multiple: media contracts, markets, venues and scarcity differ by team.
- Ignoring the equity bridge: debt, leases, cash and retained real estate can materially change the amount available to shareholders.
- Using reported EBITDA without normalization: payroll choices, unusual expenses and one-off events can distort profitability.
- Assuming pro-rata ownership equals pro-rata value: governance, transfer and distribution terms determine the stake’s actual economics.
- Mixing dates and geographies: a 2024 U.S. average and a 2025 European enterprise-value estimate are not directly interchangeable.
- Overlooking future funding: a minority buyer may have to finance renovations, losses, expansion or league obligations.
What a well-supported valuation package should contain
A defensible process leaves an audit trail from the headline value to the negotiated price. At minimum, the package should identify the valuation date, entities and assets included, historical and projected financial statements, normalization adjustments, comparable transactions, selected multiple, enterprise-to-equity bridge and the rights attached to the interest.
It should also show sensitivity cases for media-rights growth, attendance, sponsorship, payroll, capital expenditure and the minority or marketability discount. Buyers and sellers can then distinguish a disagreement about the business outlook from a disagreement about which assets or rights are included.
Bottom line
Before an ownership stake sale, advisers value the operating franchise using transaction evidence and a team-specific revenue or profitability framework. They then subtract debt and debt-like obligations, add appropriate cash and non-operating assets, and adjust the resulting equity value for the precise rights of the stake. The percentage ownership is only the starting point; the transaction perimeter, financial quality, scarcity, media prospects and governance contract determine what the buyer actually pays.
