Before SpaceX’s 2026 IPO, there was no public market price for its Class A shares, so estimates of its private valuation relied on transaction prices and analytical assumptions—not a continuously quoted share price. That changed when SpaceX’s IPO closed on June 15, 2026. Its prospectus includes audited financial statements for 2023–2025 and unaudited first-quarter 2026 statements, so it is no longer accurate to say the company has no public financial disclosures. SpaceX’s June 2026 prospectus and its IPO closing announcement document that transition.
What a private valuation actually means
A private-company valuation is generally an implied value, not a live market quote. For SpaceX before its IPO, analysts could use reported share transactions as one anchor, then assess financial measures such as revenue or EBITDA against comparable companies and expectations for future growth. The answer depended on the transaction, the shares and rights involved, the share count, the financial period, the peer group, and the forecast assumptions. A reported valuation was therefore a point-in-time estimate, not a single definitive measure of what every share was worth.

How a share transaction becomes an implied company value
Start with the deal price
A tender offer or secondary sale records a negotiated price for a particular security in a particular transaction. Analysts can multiply that price by the share count assumed for the calculation to derive an implied equity valuation. The result describes the assumptions behind that transaction; it does not establish that all shares could be sold at that price or that the same price would persist in another transaction.

Check which class of shares changed hands
Share classes can carry different economic rights. TechCrunch’s January 2025 reporting, based in part on internal documents, described employees selling common shares while investors held preferred shares with liquidation preferences. Those preferences can affect the value of a class, so a common-share transaction price should not automatically be treated as interchangeable with preferred-share value. Nor does one transaction show that every holder could sell.

TechCrunch’s reporting on the tender offer is useful historical context for the mechanics and share-class distinction, not a current valuation quote.
How financial multiples are used—and where they can mislead
Analysts may divide an implied company value by a financial measure such as revenue or EBITDA, then compare the resulting multiple with those of listed companies. The ratio is only as meaningful as its inputs: valuation, period, definition of the financial measure, selected peers, and expectations for growth all matter. A multiple built on a future forecast is conditional, not an independent confirmation of value.

In an April 8, 2026 analysis, Reuters used reported 2025 revenue of about $15–16 billion and EBITDA of about $8 billion. Reuters described these as reported figures, drawing on earlier reporting; they were not audited earnings figures published in that analysis. Its illustrative calculation for a reported $1.75 trillion valuation produced 56 times price-to-revenue and 109 times price-to-EBITDA. Those were calculated multiples, not observed trading ratios.

Reuters called that assumption aggressive and said no consensus growth projections existed. The multiples therefore show how a particular scenario changes the comparison; they should not be presented as consensus forecasts or as a settled assessment of SpaceX’s worth. Reuters quoted Futurum Equities chief market strategist Shay Boloor saying, “Starlink is the only reason this valuation is defensible.” That is one attributed opinion, not an established fact or consensus view.

- Identify the evidence: Is the figure from a completed tender or secondary sale, an analyst’s estimate, or a company-filed statement?
- Identify the security: Does the price refer to common or preferred shares, and are rights such as liquidation preferences relevant?
- Check the financial denominator: Is the comparison based on revenue, EBITDA, or another named measure, and for which period?
- Read the forecast assumptions: Is the figure based on actual results, a projection, or a scenario? Do not treat a growth assumption as consensus where none was reported.
- Check the date and market context: A private transaction price, an IPO figure, and a later public-market price are different kinds of evidence.
Public reporting does not reveal every confidential model, transaction term, or investor assumption. Where those details are unavailable, a valuation should be described with its known basis and limits rather than reverse-engineered from a headline number.
