SoftBank’s Vision Fund uses more than one financing channel. Vision Fund 1 (SVF1) was built around institutional limited-partner commitments, while Vision Fund 2 (SVF2) began with SoftBank’s own capital and can supplement it with co-investors and borrowing. The funds invest globally in technology companies, increasingly organized around an artificial-intelligence stack, then seek value creation through company growth, follow-on rounds and exits. The resulting numbers must be read carefully: a commitment is not cash invested, fair value is not realized proceeds, and a segment gain is not the same as net profit available to investors.
The capital structure in plain English
A Vision Fund transaction can involve four distinct sources of money: institutional limited partners (LPs), SoftBank balance-sheet capital, co-investors syndicated into a deal, and loans raised by SoftBank or an affiliated entity. Which source is used depends on the fund vintage and the transaction. SVF1 and SVF2 therefore should not be treated as identical pools of capital.

| Capital channel | How it works | What the public record establishes |
|---|---|---|
| SVF1 institutional LP commitments | Institutions promise capital to the fund; the manager calls money as investments are made during the fund’s life. | An SEC-filed description says approximately $98.6 billion of SVF1 commitments were accepted in 2017. |
| SVF2 SoftBank allocation | SoftBank supplied the initial allocation when SVF2 launched, rather than using the same external-LP structure described for SVF1. | SVF2 launched in the fourth quarter of 2019. |
| Co-investor syndication | Part of a large investment is allocated to outside co-investors, reducing the amount retained by a Vision Fund. | In the first OpenAI closing, $1.5 billion was syndicated on April 15, 2025. |
| Borrowing | SoftBank or a related vehicle borrows from financial institutions and lends or contributes the money to a fund or transaction. | For the first OpenAI closing, SoftBank borrowed $8.5 billion from Mizuho Bank and other financial institutions and lent the same amount to SVF2. |
SVF1: an institutional limited-partner model
SVF1’s basic arrangement is the conventional private-fund distinction between a manager and its LPs. Institutions commit a maximum amount, but they do not normally transfer the entire commitment on day one. The manager calls portions of the commitment when an acquisition, follow-on investment or fund expense requires cash. Uncalled commitments are future funding capacity, not deployed assets.
The SEC-filed historical description records approximately $98.6 billion of accepted SVF1 commitments in 2017. That figure describes commitments accepted by the fund, not a statement that $98.6 billion was invested immediately. The difference matters when comparing fundraising announcements with portfolio size or returns.

SBIA (SoftBank Investment Advisers) manages the Vision Funds, with SoftBank Global Advisers (SBGA) also involved in fund management. Their responsibilities include selecting investments, negotiating terms, deciding when to call committed capital, monitoring companies and determining whether a follow-on or exit is appropriate.
SVF2: SoftBank-backed capital with flexible deal financing
SVF2 launched in the fourth quarter of 2019 with an initial allocation from SoftBank. The available description does not present SVF2 as having the same broad institutional-LP fundraising structure documented for SVF1. In practice, later SVF2 investments can combine SoftBank capital with syndication and transaction-specific debt.
Syndication lets SoftBank support a very large financing without keeping the entire exposure inside SVF2. Co-investors receive an allocation in the same opportunity, while the Vision Fund’s retained investment falls. Borrowing adds another layer: debt proceeds must be repaid to lenders regardless of whether the underlying company appreciates. A headline deal size therefore may include fund equity, syndicated money and borrowed funds rather than one unlevered cash contribution from the fund.

How capital moves from commitment to investment
- Raise or allocate capital. SVF1 records institutional commitments; SVF2 starts with SoftBank’s allocation. A new transaction may also arrange co-investors or debt.
- Approve an opportunity. SBIA and SBGA assess a technology company, its growth prospects, valuation, ownership terms and the strategic fit with the fund mandate.
- Call or transfer cash. For SVF1, the manager calls the required amount from LPs. For SVF2 or a special transaction, SoftBank capital, financing proceeds or both can be transferred.
- Close the initial investment. The fund receives shares or another contractual exposure. The amount retained by the fund can be lower than the announced financing if a portion is syndicated.
- Support the company. The funds may participate in later rounds, helping a portfolio company finance expansion while protecting or increasing the fund’s ownership.
- Value the position. Until an exit, the holding is reported at a fair value under the applicable accounting framework. That value can rise or fall without producing cash.
- Monetize and distribute. An IPO sale, merger, private sale, dividend or another monetization produces proceeds. Cash returned to LPs is a distribution; it is different from an unrealized valuation gain.
What the Vision Funds invest in
The historical technology mandate
The SEC-filed description of the funds’ mandate covers global technology businesses whose growth depends on technological development and breakthrough innovation. It lists consumer businesses, education, enterprise software, fintech, frontier technology, health technology, real estate, and transportation and logistics. This is a broad technology mandate rather than a single-industry venture fund.
The current AI-stack emphasis
SoftBank’s more recent strategy is organized around the AI stack. Alex Clavel, chief executive of SBIA and SBGA, describes the opportunity across platforms, compute, infrastructure, scalable energy and physical AI. That framing includes both software companies and the physical systems, power and computing capacity needed to run advanced models.
In fiscal 2025, new and follow-on investment totaled more than $37 billion. SoftBank identified investments including Cast AI, Sierra, Emergent and Classiq in that period. The figure combines new positions and additional capital in existing holdings, so it is a deployment measure, not a count of new companies.

Minority stakes and follow-on rounds
The funds commonly take minority or other equity exposures rather than purchasing every company outright. A follow-on round allows the fund to invest again after the initial purchase. The 2024 message reported 32 follow-on rounds during fiscal 2023 and said investment teams worked with portfolio companies on capital-efficient growth. Follow-ons can preserve exposure to a successful company, but they also require more cash and can increase concentration in a position whose valuation may later decline.

How returns are created
Vision Fund returns come from increases in the value of portfolio companies and from realized exits. An exit can occur through an initial public offering, a merger or acquisition, a private sale or another monetization. A company can therefore generate a reported gain before the fund has sold all its shares, while a realized exit converts only the sold portion into cash.
| Measure | What it tells you | What it does not tell you |
|---|---|---|
| Capital commitment | The amount an LP has agreed to make available to a fund. | It is not cash already invested. |
| Capital deployed | Money invested by the funds over the reported period or since inception, according to the stated reporting basis. | It is not the current value of those investments. |
| Fair value | The reported value of investments still held, using the valuation basis at a specified reporting date. | It is not realized cash and can change before an exit. |
| Realized proceeds or monetization | Cash generated by selling, listing or otherwise monetizing an investment. | It does not include the unsold portion of a holding. |
| Gross MOIC | Gross multiple of invested capital: proceeds and remaining value compared with invested capital. | It is not a net LP return after fees, expenses, taxes or third-party interests. |
| Investment gain | An accounting gain reported for the Vision Funds segment during a fiscal period. | It is not automatically distributable cash or net profit available to every investor. |
| LP distribution | Cash actually returned to limited partners. | It is not the same as the fund’s total fair value or cumulative gain. |
Reported scale and performance figures
SoftBank’s latest official figures are period-specific. The 2026 SoftBank Group Report states that, at the fiscal year-end covered by that report, the Vision Funds had deployed $191.6 billion of capital and generated $236.9 billion of cumulative investment return. It also reports more than $80 billion distributed to LPs. The report says these gain figures are for the Vision Funds segment in SoftBank’s consolidated financial statements and are before third-party interests, tax and expenses.

| Figure | Period or date | Qualification |
|---|---|---|
| $191.6 billion capital deployed | Fiscal 2025 | SoftBank Vision Funds total reported in the 2026 report. |
| $236.9 billion cumulative investment return | Fiscal 2025 | Vision Funds figure in the 2026 report; before third-party interests, tax and expenses. |
| More than $80 billion distributed to LPs | Fiscal 2025 report | Cumulative distributions reported by SoftBank. |
| $45.9 billion investment gain | Fiscal 2025 | Vision Funds segment figure; before third-party interests, tax and expenses. |
| $157.3 billion total fair value | Fiscal year-end 2024 | Reported in SoftBank’s 2025 report; fair value is not realized cash. |
| $11.4 billion distributed to LPs | Fiscal 2024 | Distribution during that fiscal year, not a cumulative total. |
| $4.8 billion combined investment gain | Fiscal 2023 | Vision Funds segment figure in the 2024 report; accounting gain rather than a distribution. |
| 1.71x gross MOIC | As of March 31, 2024 | Gross multiple reported with cumulative proceeds and value; not a net investor return. |
These measures answer different questions. A fund can report high fair value while having distributed little cash, or distribute proceeds from an exit while its remaining portfolio falls in value. Always attach the fiscal year, measurement date and accounting qualification when quoting a number.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.OpenAI: a financing case study
The OpenAI transaction demonstrates how fund capital, syndication and borrowing can be combined. It is also a useful warning against treating a single announced amount as one simple investment.
| Date or stage | Reported event | How to interpret it |
|---|---|---|
| 2025 announcement | SoftBank agreed to make up to $40 billion of follow-on investments in OpenAI. | “Up to” is a commitment ceiling, not proof that the entire amount had been funded. |
| April 15, 2025 | The first closing totaled $10 billion. | This is the closing size before accounting for the final allocation retained by SVF2. |
| April 15, 2025 financing | SoftBank borrowed $8.5 billion from Mizuho Bank and other financial institutions and lent the same amount to SVF2. | Debt financing supported the fund’s participation; it does not mean the fund received an unlevered $8.5 billion of SoftBank equity. |
| April 15, 2025 syndication | $1.5 billion was syndicated to co-investors. | Outside investors took part of the exposure. |
| After syndication | SVF2’s reported investment fell from $8.5 billion to $7.5 billion. | The retained fund amount was lower than the pre-syndication financing amount. |
| Planned second closing | A second closing of up to $30 billion was planned, subject to stated conditions. | A planned or conditional closing is not the same as completed funding. |
| May 31, 2025 | SVF2’s total investment in OpenAI was reported as $9.7 billion. | This is a date-specific holding figure and should not be presented as a current balance without a newer filing. |
The case also shows why “deal size,” “fund investment,” “borrowed amount” and “syndicated amount” should be reported separately. They describe different layers of the financing stack.

How to compare SVF1, SVF2 and a new transaction
Use the same six questions for each fund or deal. The answers reveal whether two apparently similar figures are actually comparable.
- Where did the money come from? Identify external LP commitments, SoftBank balance-sheet capital, co-investor allocations and borrowing.
- Which vintage and mandate apply? SVF1 dates to 2017, SVF2 launched in the fourth quarter of 2019, and a later special-purpose transaction may follow different terms.
- What is the exposure? Record sector, geography, company stage and position in the AI stack.
- How was it deployed? Distinguish an initial equity purchase, follow-on round, acquisition or structured financing.
- Which outcome measure is quoted? Label fair value, realized proceeds, gross MOIC, investment gain and LP distributions separately.
- What creates liquidity? Note whether the expected route is an IPO, M&A, private sale, dividend or another monetization.
Common mistakes when reading Vision Fund numbers
- Calling a commitment an investment. A commitment is a promise of future funding; deployment occurs when cash is actually invested.
- Calling fair value profit. Fair value can be an unrealized estimate and may change before a sale.
- Calling a segment gain net profit. SoftBank’s reported Vision Funds gains are stated before third-party interests, tax and expenses.
- Ignoring syndication. A headline financing can be larger than the amount ultimately retained by SVF2.
- Ignoring leverage. Borrowed money creates repayment obligations and changes the economics of the fund’s exposure.
- Mixing dates. The $9.7 billion OpenAI figure is as of May 31, 2025; the $1.71x gross MOIC is as of March 31, 2024; neither should be described as current without updated reporting.
- Comparing unlike measures. Cumulative investment return, annual investment gain, fair value and LP distributions have different time periods and meanings.
Bottom line for readers and investors
SoftBank’s Vision Fund system is best understood as a set of related financing arrangements rather than one permanent pot of cash. SVF1 demonstrates the institutional-LP commitment model. SVF2 began with SoftBank capital and can add syndication or borrowing for very large investments. Both funds invest globally in technology, with current emphasis on the AI stack, and use follow-on funding and exits to seek returns. The only reliable way to interpret a headline figure is to identify its source of capital, deployment status, valuation date, liquidity status and accounting basis.
