How Qualcomm’s Patent Licensing Model Works for Phone Makers

Qualcomm’s handset patent licenses are separate from chipset sales. Its public 5G program describes SEP-only and broader portfolio options, while actual royalties depend on contract terms.

Qualcomm’s patent licensing is a separate business from its sale of phone chips. Phone makers can license rights to Qualcomm patents through Qualcomm Technology Licensing (QTL); buying a Qualcomm modem or other chipset is a different transaction. Qualcomm publicly describes two 5G handset licensing options, but their published rates are not a universal schedule for every manufacturer or negotiated agreement.

Which Qualcomm businesses handle licensing and chips?

Qualcomm Technology Licensing (QTL) handles patent licensing, while Qualcomm Technologies, Inc. (QTI) operates substantially all of Qualcomm’s engineering, research and development, and product businesses, including its chipset business, Qualcomm CDMA Technologies (QCT). Qualcomm’s FY2025 Form 10-K says QTL is operated by QUALCOMM Incorporated, which owns most of the patent portfolio; QTI does not have authority to license patents owned by QUALCOMM Incorporated. That corporate distinction helps explain why a phone maker’s patent license and its chipset purchase are separate commercial arrangements. It does not, on its own, resolve legal disputes about chipset leverage or establish what happens to a particular manufacturer’s licensing obligations if it uses a competing modem.

What does a phone maker license?

Qualcomm describes its worldwide cellular licenses as covering cellular standard-essential patents (SEPs)—patents considered necessary to implement a standard—including patents related to 3G, 4G and 5G. The portfolio also includes patents that are not essential to a standard. Qualcomm offers a broader portfolio license that adds other patents it says may be useful to licensed devices. Not every Qualcomm patent is standard-essential, and the public materials do not establish that every licensee takes the broader option.

Qualcomm’s FY2025 filing says it informed standards bodies of patents and patent applications that might be essential to 3GPP standards and committed to offer licenses for essential patents consistent with its commitments to those bodies. Qualcomm’s handset brochure says its program is consistent with its FRAND commitments and ETSI’s IPR policy. These are Qualcomm’s stated positions, not an independent determination that every term in every individual agreement is FRAND. Qualcomm 5G handset licensing program

What rates does Qualcomm publish for 5G handsets?

Qualcomm’s public handset licensing document describes the following program rates for branded 5G-capable handsets:

Broader portfolio license 5% of net selling price Cellular SEPs, other non-cellular SEPs and patents not essential to standards

Both figures and program descriptions come from Qualcomm’s undated public brochure; they are not independently established market-wide rates. The brochure says every 5G handset licensing program includes a per-device cap, but does not disclose the cap amount. It also reports more than 200 5G licensing agreements, a company-reported figure rather than an independently audited measure. Qualcomm 5G handset licensing program

These public descriptions should not be treated as a universal contract schedule. Qualcomm’s FY2025 filing says royalties are generally based on a percentage of the licensee’s wholesale selling price for a complete licensed product, net of certain permissible deductions. It also describes minimums, caps and, for some product categories, fixed per-unit royalties. The filing’s general description and the brochure’s “net selling price” wording are not enough to calculate the royalty for a specific manufacturer without that agreement’s terms.

How do royalties relate to device sales?

QTL revenue consists primarily of per-unit royalties, according to Qualcomm’s FY2025 Form 10-K. Licensees pay quarterly based on sales of products incorporating or using licensed intellectual property. In the general method described in the filing, the royalty is calculated per unit as a percentage of the wholesale price of the complete licensed product, after certain permitted deductions; contractual minimums, caps and fixed amounts can alter that calculation.

  1. Qualcomm develops or acquires patents. Its portfolio covers digital wireless communications and other technologies.
  2. Standards and patent commitments shape licensing. For patents it considers essential to cellular standards, Qualcomm says it has made commitments to offer licenses consistent with its commitments to standards bodies.
  3. The phone maker obtains patent rights. The public handset program offers cellular SEP-only and broader portfolio descriptions; individual rights and terms depend on the applicable agreement.
  4. Payments track licensed-product sales. The filing describes quarterly royalty payments based on licensee sales, with the calculation subject to the agreement’s basis, deductions and exceptions.

How is this different from Qualcomm’s IoT licensing?

Qualcomm separately describes a cellular IoT licensing program. It says certain products using third-party cellular modules may be covered through a module supplier’s license and offers direct licensing for certain asset trackers, smart meters, payment terminals and industrial products using CAT-M or LTE CAT 1–4. That program excludes smartphones, among other categories, so its terms should not be confused with the handset program. Qualcomm cellular IoT licensing

What do recent Apple and Huawei announcements establish?

On October 5, 2026, Qualcomm announced a multi-year broad patent license agreement with Huawei, including cross-licenses covering 5G, computing, AI and networking, and Qualcomm’s purchase of certain Huawei U.S. patents. Qualcomm said the transaction would close after necessary regulatory approvals; the announcement alone does not establish that it has closed or disclose royalty rates.
