The investor pays the new round’s price and terms, and can decline; declining simply means accepting dilution. The signed financing documents—not a custom or universal formula—determine who qualifies, how the percentage is calculated, which issuances are covered, and how much notice is required.
For a quick illustration, an investor owning 8% on the contract’s fully diluted basis would commonly reserve 8% of a $5 million round, or $400,000. That amount is an allocation target, not a bill: the investor must elect to participate and provide the capital by the deadline.

Why pro rata rights exist
When a startup issues new shares, the total number of shares increases. Unless an existing holder buys part of the new issuance, its percentage of the company falls. Pro rata rights give a qualifying investor the option to purchase a proportionate slice of the new securities so its ownership percentage remains approximately unchanged.

It does not guarantee a return, a board seat, a minimum valuation, or the ability to block a financing. It is a participation option that works only when the investor has capital available and follows the agreement’s procedure.

How the allocation is calculated
The common formula
A typical calculation is:
pro rata investment = current fully diluted ownership percentage × new primary round size
Using the frequently cited example, an investor with 8% ownership and a $5 million Series A would have an 8% × $5 million allocation, or $400,000. If the investor purchases that amount at the same price per share and on the same terms as the incoming investors, the investor should remain near 8% after the issuance.
The result can differ when the documents use a different definition of ownership, exclude certain securities, cap the amount, or permit only a partial allocation. The cap table and the signed rights agreement must be read together.

Fully diluted capitalization generally models the company as if instruments that can become shares already had converted or been exercised. Depending on the contract, the denominator can include:
- Outstanding common and preferred shares, with preferred stock treated as converted to common.
- Outstanding SAFEs and convertible notes, assuming the conversion mechanics specified for the financing.
- Issued options and warrants, and sometimes the unallocated employee option pool.
One agreement may count an unallocated pool while another may not. A financing notice can include a cap table that uses a different convention from an investor’s internal model. Before electing, reconcile the notice with the definitions in the Investors’ Rights Agreement or side letter; otherwise an apparently simple percentage can produce the wrong dollar amount.

What happens in a financing
The usual workflow has four stages. The exact dates and documents vary by deal, but the sequence is predictable.
- Authorization: The board approves the financing and the company determines the security, price, size and other terms.
- Notice: The company sends each rights holder a written financing notice. It normally states the security being sold, price per share or conversion terms, expected round size, closing information and the holder’s calculated allocation.
- Election: The investor sends the required written exercise notice in the form and by the deadline specified in the contract. A response period of about 20 days is commonly described by CRV and LegalClarity, but the signed agreement controls.
- Subscription and closing: The investor signs the subscription or purchase documents and wires the elected amount by the closing deadline. The company then issues the securities with the new investors.
Missing the deadline generally forfeits the right for that round. The unused allocation does not normally accumulate into a larger entitlement in the next financing, and a late response may be treated as a waiver.

Where the right is documented
Priced equity rounds
In a priced venture round, the provision is commonly in an Investors’ Rights Agreement. The NVCA model-document suite includes an Investors’ Rights Agreement, and model language is often adapted to define eligible investors, calculation rules, notice and exclusions. Some agreements label the provision a right of first offer or a preemptive right; the label matters less than the operative text.
A model term-sheet formulation reproduced by Lawson Lundell describes all eligible Major Investors receiving a pro rata right based on percentage ownership, assuming conversion of outstanding preferred stock and exercise of options and warrants. It also contemplates exclusions and allows other Major Investors to purchase shares that one holder declines. Model documents are starting points, not a substitute for the executed agreement in a particular jurisdiction.
SAFEs and convertible notes
Standard SAFEs and convertible notes generally do not include pro rata rights by default. An investor seeking participation in the first priced equity round commonly negotiates a separate pro rata side letter. That letter should state the ownership calculation, the covered financing, the notice process, any threshold and the duration of the right. A holder who assumes a SAFE automatically carries a pro rata entitlement may discover that no such right exists when the priced round is announced.

Who qualifies as a Major Investor
Rights are usually limited to investors meeting a negotiated ownership or investment threshold. CRV describes 1–2% of the company on a fully diluted basis as a typical baseline for a Major Investor in 2026, while emphasizing that individual deals vary. Some agreements use a dollar investment test, a class of investor, or a combination of tests instead.
Recommended Free Tools
Thresholds keep a company from administering dozens of tiny elections and help reserve scarce allocation for investors who can contribute meaningful capital or strategic help. They also create a trade-off: an investor below the threshold may have no contractual way to maintain its stake, even if it invested early or provided valuable assistance.
Terms to compare before signing
Two pro rata clauses can look similar while producing very different outcomes. Review each axis below with the cap table and the proposed financing terms.
| Axis | Questions to ask | Practical effect |
|---|---|---|
| Eligibility | What ownership or dollar threshold makes an investor a Major Investor? | A low threshold increases administrative work and can crowd a later round. |
| Calculation basis | Is the percentage fully diluted and as-converted? Are options, warrants, SAFEs, notes and the option pool included? | A different denominator changes the allocation. |
| Duration | Does the right cover the next round only, several rounds, or continue until an IPO or change of control? | Long duration gives investors more protection but leaves less room for future strategic participants. |
| Scope | Does it apply only to primary equity financings, or also secondary sales and other issuances? Which exclusions apply? | Broader coverage can constrain corporate flexibility. |
| Oversubscription | May other eligible investors take the shares one holder declines? | Reallocation helps fill the round and rewards investors prepared to fund. |
| Super pro rata | Can a holder buy more than its percentage? | A large election can consume allocation intended for a new lead investor. |
| Conditions | Must the investor participate in interim rounds to keep the right? | Pay-to-play terms prevent inactive holders from retaining a long-term option without supporting the company. |
| Notice | How many days are provided, what information must be delivered, and what form must the election take? | Administrative mistakes can cause a missed exercise. |
Full, capped, partial and super pro rata structures
Full pro rata
A full right lets the holder purchase enough of the covered issuance to preserve its percentage, subject to the agreement’s denominator and exclusions. This is the structure implied by the 8% example.
Capped or partial rights
A cap can limit the dollar amount or percentage a holder may buy, even when its mathematical allocation would be larger. A partial right may cover only a portion of the holder’s calculated share. These structures give the company more room for new investors while still offering some participation.

Time-bound or round-limited rights
A right may apply only to the next priced round, to a specified number of rounds, or until a sunset date. CRV identifies time-bound and round-limited grants as ways to avoid perpetual restrictions on fundraising.
Super pro rata
Super pro rata permits a holder to request more than its ordinary percentage, often subject to availability or a negotiated cap. It can help a high-conviction investor increase ownership, but it may leave too little stock for a strategic lead or other new participants. Founders should not grant it casually, and investors should confirm whether the extra allocation is a right or merely a request the company may accept.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What if an investor does not exercise?
The investor’s percentage normally declines because new shares increase the denominator while the investor’s share count stays the same. The holder still owns the original securities and retains whatever other contractual rights those securities provide, but it no longer has the same percentage exposure.
Passing can be rational when the new valuation is unattractive, the fund has better uses for its capital, the company’s prospects have changed, or the investor is subject to portfolio concentration limits. The choice should be based on the new round’s price, liquidation preferences, voting terms, information rights and the investor’s available reserves—not on the pro rata label alone.
Pro rata rights versus anti-dilution protection
These protections address different risks:
- Pro rata: The investor must make a new investment to buy additional securities and maintain its ownership percentage in a later issuance.
- Anti-dilution: In a down round, the conversion price of existing preferred stock is adjusted under a formula, increasing the shares received on conversion without requiring the investor to contribute more cash.
A term sheet can contain both. Pro rata protects percentage ownership for investors willing to fund the next round; anti-dilution protects conversion economics when the company raises at a lower price.

Founder and investor trade-offs
Why investors ask for the right
Participation lets an investor preserve exposure to a breakout company, maintain a proportional voice in shareholder decisions and avoid being diluted precisely when conviction is highest. It also gives a fund a disciplined way to reserve capital for follow-on investments.
Why founders limit it
If every small holder receives a broad, perpetual right, a future financing can become an administrative exercise with too many elections and too little stock for a new lead. A strategic investor may demand a meaningful allocation that existing holders’ rights would consume. Founders often negotiate thresholds, caps, exclusions, sunsets, round limits and pay-to-play conditions to preserve flexibility.
Granting pro rata can nevertheless help a company close a round: a committed existing investor may provide dependable capital or valuable introductions. The negotiation is about balancing that support against the company’s need to recruit new investors and adapt its capitalization over time.

Practical checklist for an investor
- Locate the operative clause in the Investors’ Rights Agreement, SAFE side letter or note side letter.
- Confirm that you meet the ownership or investment threshold on the date used by the contract.
- Recalculate the percentage using the agreement’s fully diluted definitions, including treatment of the option pool and converting instruments.
- Check whether the issuance is covered and whether any exclusion removes it.
- Read the notice method, election form, wiring instructions and exact deadline; treat an approximately 20-day period as a common reference, not a guaranteed term.
- Model the cash required, post-money ownership, liquidation preferences and portfolio concentration before electing.
- Obtain written confirmation of the allocation and closing mechanics from the company or counsel.
Practical checklist for a founder
- Define Major Investor eligibility and the capitalization denominator precisely.
- State whether SAFEs, notes, options, warrants and the unallocated pool count.
- List covered financings and exclusions, including secondary transactions if relevant.
- Decide whether rights are full, capped, partial, super pro rata, time-bound or limited to a set number of rounds.
- Specify notice content, delivery method, election form, funding deadline and consequences of a late response.
- Address oversubscription so declined allocations can be reoffered without delaying the closing.
- Consider pay-to-play provisions if continued rights should depend on participation in interim financings.
Current dispute and why the documents matter
Axios reported on October 15, 2026, that pro rata rights appear in the vast majority of early-stage deals and in NVCA model documents. The report also described a live dispute in which Valar Atomics sued Day One Ventures over attempted enforcement in a Sequoia-led Series B valued at $6 billion. The legal outcome was not established in the available reporting, so the case should not be treated as a rule about how every pro rata clause operates. It does illustrate why investors and companies must rely on the executed language, notice record and cap-table definitions rather than assumptions about market practice.
Bottom line for a round participant
Pro rata is an option to buy, not an obligation and not automatic protection from dilution. Determine your contractual percentage, multiply it by the covered round under the agreement’s capitalization rules, respond in the required form and fund the election on time. If you do nothing, your ownership percentage generally falls; if you want more than your percentage, you need an express super-pro-rata provision or the company’s separate consent.
