A public company’s market capitalization is an observable snapshot: its quoted share price multiplied by the number of shares outstanding. A private-company valuation is an estimate for a particular purpose and date, built from financial evidence, comparable businesses or transactions, and other relevant facts. The methods can overlap, but the inputs and adjustments often differ. A private company is not automatically worth less than a public peer, and its valuation is not simply its public-market equivalent with a standard discount applied.
What a public company’s market capitalization tells you
Market capitalization, or market cap, is calculated by multiplying a company’s quoted share price by its shares outstanding. Because public shares trade on an exchange, the share-price input is observable at a given moment. Market cap is therefore a current market measure of the company’s outstanding common equity, not a privately negotiated estimate of what the business is worth.

That distinction matters when interpreting headlines or comparing companies. Market cap is not the same as enterprise value, which is a different measure used to assess the business in relation to its capital structure. Nor is market cap necessarily the price a buyer would pay to take control of an entire company. An acquisition can involve control rights and transaction terms that are not represented by the quoted price of an individual public share. CFA Institute discusses the difference between market-based share prices and other valuation measures in its equity valuation overview.

A comparison with a private valuation is meaningful only after checking that both figures refer to the same kind of value, company interest, and measurement date.

What a private-company valuation estimates
Private-company shares generally do not have a continuously quoted exchange price. An analyst must estimate value using available evidence and a stated method rather than simply look up a current share price. The estimate should identify its purpose and valuation date, and clarify whether it concerns the whole business, an equity interest, a particular share class, or another defined interest.
For example, an estimate prepared for an employee equity award may address a different question from one prepared for a sale, financial reporting, tax reporting, or a legal dispute. Those purposes can call for different assumptions or definitions of value. The date matters too: a conclusion is based on conditions and information relevant to its valuation date, not automatically on later events or today’s circumstances.
Private-company valuation is not an entirely separate theory of value. CFA Institute identifies income, market, and asset-based approaches for private businesses, and the IRS also names asset-based, market, and income approaches among generally accepted business valuation methods. The challenge is deciding which approach fits the business and assignment, then supporting and adjusting the inputs. See the CFA Institute discussion of private-company valuation and the IRS valuation standards and guidelines.

Income approach
An income approach estimates value from expected future economic benefits, commonly by forecasting cash flows and discounting them to reflect time and risk. The result depends on the support for the forecast, the consistency of the financial information, and the assumptions used to reflect risk. A forecast is not made reliable merely by expressing it as a precise number: an analyst needs to assess whether it fits the company’s operating history, plans, and circumstances.

Market approach
A market approach draws on pricing evidence from comparable public companies or relevant transactions. Public-company multiples can inform a private-company estimate, but they are not a direct answer: the analyst must judge whether the businesses are sufficiently comparable and adjust for differences such as growth, margins, scale, business risk, capital structure, and the rights attached to the interest being valued.
CFA Institute notes that valuing a mature private firm with an income- or market-based approach often involves using comparable public companies to estimate its cost of capital or price multiples. That makes public-market evidence useful without making the private company’s value identical to a peer’s market cap.
Asset approach
An asset approach estimates the relevant assets and liabilities. It can be appropriate when the company’s asset base is central to the assignment or when an earnings-based view does not best capture the subject of the valuation. The choice of approach depends on the company and purpose; no single method is appropriate for every private business.

Why a private estimate can differ from a public-market value
Information quality and earnings adjustments
Public companies typically have more extensive, standardized public financial disclosures than private companies. Private-company information can vary in depth and consistency, so the analyst may need to scrutinize the statements and determine whether reported earnings reflect ongoing business operations. For instance, personal expenses or nonrecurring costs may need to be distinguished from expenses that are part of normal operations. Any adjustment should be grounded in evidence and explained; it should not be treated as an automatic boost to value.

Uneven disclosure is a possibility, not a universal feature of private firms. Some have detailed, consistent records; others provide less information. The valuation should reflect the evidence available for the company in question rather than assume all private businesses have weak accounts.
Business scale, concentration, and risk
A smaller scale, limited operating history, dependence on a few customers or key managers, or restricted access to capital may matter to forecasts, comparable selection, or the return required by investors. These factors can affect an estimate because they may change the company’s prospects or the uncertainty attached to them. Their relevance must be established from the specific business; being privately owned does not, by itself, prove that a company is riskier or less valuable than a public peer.
Different rights and share classes
The interest being valued can carry rights that differ from those of publicly traded common shares. A minority interest may not have the decision-making power associated with control, and distinct share classes can have different terms. Consequently, a value attributed to the whole company or to one class cannot be applied mechanically to every share or holder. The assignment must identify the interest whose value is being estimated.

A marketability or liquidity adjustment concerns how difficult it may be to sell a particular interest. Private shares may face transfer restrictions, a limited pool of potential buyers, or no organized resale market. Whether and how that affects value depends on the facts and the interest being appraised.

- Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft
A control premium concerns the rights and benefits associated with control, not the difficulty of selling a share. It should not be confused with a lack-of-marketability adjustment, and neither is a universal percentage to apply to every private company. The relevance of either consideration depends on the assignment, company, and shareholder circumstances. CFA Institute’s private-company valuation material addresses these adjustments as situational rather than automatic.
How to compare a private valuation with a public market figure
Before concluding that two values conflict, check that they measure comparable things. A public market cap is an equity measure for outstanding common shares at a point in time. A private valuation may instead concern enterprise value, a particular class of stock, or a defined interest for a specific purpose. The following checks help identify what explains the difference.
| Comparison check | What to establish | Why it matters |
|---|---|---|
| Value definition | Whether the figure is equity value or enterprise value, and whether it concerns the whole company or a specific interest or share class. | Different measures do not describe the same economic subject. |
| Purpose and valuation date | The reason for the estimate—such as an option, tax, reporting, transaction, or dispute context—and the date to which it applies. | Assumptions and relevant evidence depend on the question and date. |
| Method and inputs | Whether the estimate uses forecasts and a discount rate, comparable-company or transaction multiples, or asset assumptions. | Different methods and inputs can lead to different conclusions even when each is used appropriately. |
| Financial evidence | The depth and consistency of financial statements, whether they are audited, and the support for any earnings adjustments or forecasts. | Inputs with different levels of reliability should not be treated as interchangeable. |
| Business fundamentals | Growth, margins, scale, customer concentration, management dependence, and business risk. | Differences in operating prospects and risk can affect forecasts, selected peers, and required returns. |
| Rights and tradability | Whether the interest provides control, is a minority position, or is subject to transfer limits or a restricted resale market. | Control and marketability are distinct features of the interest, not properties of the company name alone. |
Two well-supported valuations can differ because their dates, purposes, methods, inputs, or subject interests differ. A difference alone does not establish that either figure is wrong; it is a reason to inspect the basis of each estimate.
Why a funding-round figure is not automatically the company’s value
A private company’s last financing-round valuation is evidence from a transaction, but it should not be treated as a timeless value for every share. To interpret it, identify the transaction date, the security class sold, and the terms attached to that investment. The round’s price for one security may not directly establish the value of a different class or a minority interest with different rights. Business conditions and expectations can also change after the financing date.

The same discipline applies when using a public-company peer. A peer’s quoted share price and market cap are observations about that company’s traded equity at a particular time, not a ready-made valuation of a private business. Comparable-company evidence is an input to an analysis, not a substitute for defining the interest and assessing the differences.
Section 409A: a specific tax context
For private stock subject to Section 409A, IRS guidance says fair market value is determined through reasonable application of a reasonable valuation method, with reasonableness assessed in light of the facts and circumstances as of the valuation date. This is guidance for that tax-regulatory context; it should not be presented as one universal rule governing every sale, reporting exercise, legal dispute, or private-company estimate. The relevant source is the IRS Internal Revenue Bulletin 2024-20.
For anyone reviewing a valuation in this context, the practical questions are what date the estimate covers, what method was applied, which facts supported its assumptions, and whether the valuation addresses the stock and purpose at issue. A label such as “company valuation” alone does not answer those questions.
When a formal valuation may be needed
A rough comparison with public peers can help explain a business, but it is not a replacement for a valuation prepared for a consequential purpose. When a figure will be used for an employee equity award, tax reporting, financial statements, a transaction, or a dispute, the required definition of value and evidence may be specific to that assignment. A qualified valuation professional can assess the appropriate method, inputs, rights, and date; the need and scope depend on the circumstances.
