How grocery-store mergers can affect prices, store choices, and local competition

A grocery merger can make shopping more expensive or less convenient, but the result depends on your local market. When two nearby chains combine, the strongest pressure to hold down prices, run promotions, maintain departments, and improve service may disappear. In a market with several credible alternatives, the effect can be small or even favorable. In a concentrated town or neighborhood, losing one close rival can affect prices, selection, hours, pickup options, workers and suppliers.

What a grocery-store merger actually changes

A merger combines ownership and decision-making for stores that may have competed for the same shoppers. The practical question is not simply whether two national names become one company. It is whether the stores that overlap in a particular area are close enough, similar enough and important enough that shoppers would have switched between them before the deal.

If a supermarket is the nearest full-service alternative to another supermarket, each has a reason to match prices, advertise weekly specials, keep popular products in stock and invest in checkout, produce and prepared-food departments. After a merger, those stores may no longer need to win the same customers from each other. The company can still face competition from other retailers, but the intensity of that pressure depends on how many realistic substitutes remain.

Area affected What can change after a merger What determines the size of the effect
Prices and promotions Everyday prices, sale frequency, loyalty offers and the size of discounts How closely the stores competed and how easily shoppers can switch
Choice Number of banners, departments, private-label ranges and product variety Whether rival stores carry comparable products at a practical distance
Convenience Hours, pharmacies, curbside pickup, delivery areas and store locations Travel time, service overlap and the merged company’s investment decisions
Quality Freshness, staffing, checkout speed, cleanliness and customer service Whether quality was used to attract customers and whether alternatives remain
Workers Hiring, wages, scheduling, benefits and bargaining leverage How many employers compete for grocery labor locally
Suppliers Product allocations, delivery terms and negotiating power The buyer’s scale and the availability of other retailers for suppliers

Why price effects differ from one community to another

Concentration is local, not national

Competition agencies examine the stores shoppers can realistically use, not just the number of grocery companies operating across the country. A merger may have little effect in a city with many supermarkets, warehouse clubs, independent grocers and drugstores selling food. The same deal can matter much more in a rural county or suburban corridor where the two merging stores are the only full-service options within a reasonable drive.

Distance is only one part of substitution. A smaller market may have several stores on a map, yet few that offer a pharmacy, fresh meat counter, culturally specific foods, delivery or prices that fit a household’s budget. Conversely, a store farther away may be a genuine alternative if shoppers already travel there regularly and it carries comparable products.

What the FTC’s regional study found

An FTC working paper by Daniel Hosken, Luke M. Olson and Loren K. Smith, published in December 2012, examined 14 U.S. regions affected by grocery mergers. In highly concentrated markets, mergers were most frequently associated with price increases. In less concentrated markets, mergers were most often associated with price decreases.

Those findings describe estimated average patterns across the regions studied, not a promise that every merger raises or lowers prices. A price decrease can occur when a buyer improves purchasing, reduces duplicated costs or responds to strong remaining competition. A price increase is more plausible when the deal removes a close rival and few alternatives remain. Local store overlap and concentration therefore matter more than a merger’s headline value or the size of the chains in the abstract.

How a merger can raise prices or reduce promotions

Less incentive to undercut a rival

Before a merger, a sale at one chain can pull customers from the other. That threat can keep regular prices and promotional prices in check. Once the stores share an owner, discounting at one location may simply shift sales within the same company rather than defend market share against a rival. The company may still promote products to compete with other retailers, but it no longer has to respond to the former partner’s weekly ad in the same way.

Changes shoppers may notice

  • Fewer or smaller temporary discounts on staple foods.
  • Higher prices on products for which shoppers have limited alternatives.
  • More reliance on loyalty-card pricing, with less favorable prices for occasional shoppers.
  • Different private-label products or a narrower range when duplicate brands are removed.
  • Reduced investment in departments or equipment if the store can retain customers without it.

These are competitive mechanisms, not automatic outcomes. A merged company can also lower costs and pass some savings to shoppers. The relevant test is whether enough independent stores remain to make that pass-through commercially necessary.

Choice and convenience extend beyond shelf prices

Store formats and departments

Two stores may sell groceries but serve different needs. One may have a large produce department, bakery, prepared foods, pharmacy or international aisle; another may specialize in low prices or quick trips. If a merger leads to one format being closed, remodeled or standardized, shoppers can lose a distinctive option even when another supermarket remains open.

Hours, pickup and delivery

Competition also affects opening hours, checkout capacity, curbside pickup windows and delivery coverage. A merged operator may coordinate services efficiently, but it may also reduce overlapping hours or pickup locations where there is less need to attract customers from a rival. For households without a car, a store’s bus access and delivery radius can make a nominally nearby alternative impractical.

Quality and investment

Freshness, in-stock rates, cleanliness, staffing and the speed of resolving problems are forms of competition. Regulators therefore examine whether a merger could reduce quality or service, not only whether a price index might rise. A store that remains open can still become a weaker option if investment falls and shoppers have nowhere comparable to switch.

Effects on grocery workers

When two chains employ many of the same kinds of workers in one area, a merger can reduce the number of competing employers. The FTC’s February 2024 challenge to Kroger’s proposed acquisition of Albertsons alleged that the deal would weaken competition for grocery workers, in addition to affecting prices, quality and shopping locations. The practical concerns include bargaining leverage over wages and benefits, scheduling and staffing levels. The filing described allegations in a merger challenge; they should not be treated as adjudicated facts unless a court or agency decision establishes them.

Why regulators examine supply chains and supplier bargaining power

Large buyers and smaller retailers

A combined chain can have more leverage when negotiating wholesale prices, delivery schedules, promotional funding and product allocations. Lower purchasing costs may benefit consumers if savings are passed through. However, a very large buyer can also make the market harder for smaller retailers by obtaining favorable terms or priority during shortages.

Lessons from pandemic-era disruptions

The FTC reported that smaller grocery retailers disproportionately struggled to obtain products during pandemic-era supply disruptions. It also reported that some larger purchasers used delivery requirements and threatened fines to secure favorable allocations. FTC Chair Lina M. Khan said, “As the pandemic illustrated, a major shock to the supply chain can have cascading effects on consumers, including the prices they pay for groceries.” A merger does not create every supply problem, but greater concentration can determine which retailers receive scarce products first and how much negotiating leverage each has.

Industry margins provide context, not a merger verdict

FTC figures published in 2024 show food-and-beverage retailer revenue was more than 6% over total costs in 2021. The comparable recent peak cited by the FTC was 5.6% in 2015. In the first three quarters of 2023, revenue reached 7% over total costs. These industry-wide figures do not prove that any particular merger caused higher prices or excessive profits. They provide context for why regulators may scrutinize whether a deal could reduce competitive pressure in an already profitable sector.

The Kroger–Albertsons case illustrates the issues

On February 26, 2024, the FTC sued to block Kroger’s proposed $24.6 billion acquisition of Albertsons. The agency alleged that the transaction would eliminate direct competition, raise prices for groceries and essential household goods, reduce quality and services, and narrow where consumers could shop. It also alleged weaker competition for grocery workers.

The companies proposed divesting stores and other assets. The FTC alleged that the package was a disconnected set of stores and assets that would not create a fully viable competitor. That distinction is central: transferring store deeds is not enough if the buyer lacks the management, supply arrangements, distribution capability, brand strength, capital or geographic network needed to compete.

The FTC’s industry page listed the Kroger/Albertsons matter as closed in an update dated January 2, 2025. Litigation and agency records can change, so anyone relying on the case’s current legal status should check the latest court and FTC information rather than treating that date as permanent.

How divestitures are supposed to preserve competition

A local example: Price Chopper and Tops

The FTC said Price Chopper and Tops agreed to divest 12 Tops supermarkets to C&S Wholesale Grocers to resolve concerns in 11 local markets in New York and Vermont. Without a remedy, the agency said the merged company could raise prices above competitive levels and have less incentive to compete on quality and service.

What makes a remedy credible

  • Connected stores: The locations should form a coherent network rather than isolated properties that cannot support a regional operation.
  • Operational capability: The buyer needs procurement, distribution, information systems, management and staffing capacity.
  • Comparable shopping offer: Stores should retain the departments, hours and services that made them meaningful alternatives.
  • Financial resources: The buyer must be able to maintain facilities, inventory and promotions while building customer trust.
  • Long-term independence: The remedy should not leave the buyer dependent on the merged company for critical supplies or decisions.

Regulators assess these details because a nominally preserved store is not the same as a viable competitor. If the divested business cannot attract shoppers, suppliers or workers, the original loss of competition may remain.

How to evaluate a proposed merger in your area

  1. Map realistic alternatives. List full-service supermarkets, discount grocers, warehouse stores, independent markets and pharmacies that households actually use. Note driving time, public transit and delivery coverage.
  2. Identify direct overlap. Check whether the merging chains are adjacent or serve the same neighborhoods, and whether one is the other’s closest price or quality rival.
  3. Compare services, not just logos. Record pharmacies, fresh departments, private-label ranges, culturally specific products, hours, pickup and delivery. A nominal alternative may not replace these features.
  4. Watch the remedy. If stores are offered for sale, examine whether the package includes a connected group, supply access and adequate management rather than disconnected addresses.
  5. Track outcomes after closing. Keep receipts and weekly ads, note stockouts and hours, and compare service changes with independent stores nearby. A single price movement is not proof of a merger effect; a sustained pattern across comparable products is more informative.

A practical decision framework

Question Higher-risk answer Lower-risk answer
How many credible stores remain nearby? The merging chains are the only practical full-service choices. Several comparable stores compete within normal travel distance.
How close was the rivalry? They matched prices, promotions and departments for the same shoppers. They served different formats or distinct customer groups.
Can shoppers switch easily? Alternatives require substantially more travel or lack key services. Alternatives are accessible and offer similar products and services.
Is the remedy viable? Stores are scattered and the buyer lacks supply or operating capability. A connected, resourced operator can compete independently.
Could supply pressure spread? The combined buyer would dominate local purchasing and smaller stores already face shortages. Suppliers have multiple strong retail customers and reliable alternatives.

Bottom line

Grocery mergers are most likely to create consumer risk where they remove a close local rival and leave shoppers with few realistic alternatives. The consequences can include higher prices or fewer promotions, but also narrower product ranges, reduced services, weaker quality incentives, fewer grocery employers and more supplier power during shortages. A merger in a less concentrated market may produce little harm or some efficiency savings. The decisive questions are local: which stores overlap, what shoppers can reach, how they compete beyond price, and whether any divestiture creates a genuinely independent, capable competitor.
