Governed business messaging is the operational system an organization uses to decide which channels employees may use for client conversations, preserve required business records, retrieve them when needed, and supervise compliance. A written rule or an archive alone is not enough: the channel, message content, capture process, retention schedule, search and review controls must work together. The exact legal duties depend on the organization and the regulator.
What governed business messaging covers
The framework begins by identifying business communications, not just company-owned devices or particular apps. In October 2019 examination materials, FINRA said firms that permit an application for business use remain responsible for preserving business-related communications on it and supervising activity and communications there. The firm must determine what counts as a business communication under the rules that apply to it. FINRA’s 2019 examination report describes this expectation and related practices.

In practice, governance connects these functions:
- Channel rules: identify permitted and prohibited apps, devices, features, and uses.
- Capture: preserve the business content and relevant associated information from permitted channels.
- Retention and holds: apply the organization’s records schedule and preserve material subject to a legal or regulatory hold.
- Retrieval and production: search, export, and produce records when an examination, investigation, dispute, or other obligation requires them.
- Supervision: review communications and activity under procedures suited to the business and channels.
- Training and escalation: teach employees the rules, detect possible violations, and route issues for investigation and response.
These elements are interdependent. A channel that cannot be captured reliably may not be suitable for business use; a captured message that cannot be found or produced promptly is not operationally useful as a record.

Governance should happen before employees begin using a channel for client business. FINRA’s 2019 materials describe effective practices including cross-functional review, defining permitted and prohibited channels and features, deciding how permitted messages will be stored, and creating supervisory procedures appropriate to each channel and the firm’s business model. FINRA summarized one practice this way: “Firms with holistic supervision and record retention programs and policies clearly defined permissible (as well as prohibited) digital channels.”

For each proposed channel, decision-makers should establish what messages and features are in scope, whether capture can be complete, how records will be retained and retrieved, and how supervisors will review use. Encryption, disappearing messages, and other features that prevent or limit capture can create recordkeeping and supervision problems; a policy should address those features explicitly rather than treating an app name as the whole risk.
Channel and capture choices can be assessed against these implementation questions. They are practical evaluation axes drawn from regulatory themes, not a regulator-issued product checklist.
- Coverage: Which apps, devices, message types, attachments, and features are included?
- Completeness: Does capture preserve the content and relevant metadata needed to understand the exchange?
- Retention: Can controls follow the applicable records schedule and support legal holds?
- Retrieval: Can authorized staff search, export, audit, and produce records when required?
- Review and escalation: Can supervisory procedures identify issues and route them for follow-up?
- Usability and adherence: Can employees follow the approved process, and can the organization monitor whether they do?
- Program fit: Does the approach integrate with the organization’s applicable records schedule and compliance program?
Capture, retention, and retrieval are different controls
Capturing a message means bringing it into a recordkeeping system. Retention means preserving it for the required period and protecting it from improper alteration or destruction. Retrieval means being able to locate and produce it when needed. Each capability needs to be tested; possession of an archive does not by itself demonstrate that records are complete, retained correctly, searchable, or producible.

The SEC’s electronic-recordkeeping amendments address maintenance and preservation of electronic records, third-party recordkeeping services, and prompt production. The SEC’s rule page, last updated May 20, 2025, describes the requirements for broker-dealers, security-based swap dealers, and major security-based swap participants within the rule’s scope: SEC electronic recordkeeping rule amendments. Organizations should map the applicable requirements to their own systems and procedures rather than infer that using an outside archive transfers responsibility.
Third-party messaging capture can be part of a solution, but the organization still needs to assess whether it captures the channels and content in scope, applies the right retention controls, supports retrieval and production, and feeds appropriate supervision. A tool’s existence is not proof that the process works.
Supervision requires more than a written policy
Policies establish expected behavior; monitoring and follow-up test whether employees actually follow it. An SEC enforcement order illustrates the distinction in a specific case: the firm’s written procedures prohibited certain unapproved communications and directed that approved communications be monitored, reviewed, and archived. The order nevertheless found that the firm failed to implement a system to determine whether personnel followed the policies and did not implement sufficient monitoring. This is a case-specific enforcement example, not a claim that every firm with a policy has the same failure. SEC order.
Effective supervision therefore connects channel rules to workable detection and escalation. Procedures should specify what is reviewed, how reviews are tailored to each channel and business model, who handles exceptions, and how suspected off-channel use is investigated. Prohibiting an app does not on its own establish that the organization can detect or respond to business use of it.
Retention periods depend on the rule and record
There is no single retention period for all business messages. The applicable regulator, record type, organization, and records schedule matter; a period stated in one rule should not be applied to unrelated messages or sectors.

Federal agency messaging has a separate records context
NARA’s May 2, 2025 memo, AC 23.2025, concerns federal agencies, not private-sector securities firms. It states that agencies may use automated tools to capture third-party messaging records and warns that auto-delete may violate federal recordkeeping requirements when users cannot identify and preserve federal records before destruction. Whether a message is transitory depends on context; NARA says, “This determination is context specific and must be made on a record-by-record basis.” NARA AC 23.2025.
What employees and compliance teams should do
Employees should use only the channels and features their organization has approved for the relevant business, keep client conversations within the approved process, and raise questions before switching to a personal or disappearing-message channel. Compliance and technology teams should jointly confirm that channel rules, capture, retention, retrieval, review, training, and escalation operate as intended for their organization’s obligations. For regulated firms, the governing regulator and record type determine the details—not a generic rule for “business texts.”
