A freight broker merger can put pressure on shipping rates or service if it removes meaningful competition and leaves shippers with fewer realistic alternatives. It does not prove, on its own, that prices will rise or service will worsen: the likely effect depends on which brokerage services and geographies overlap, how strong remaining alternatives are, and what happens to terms after the deal.
How a merger could affect rates and service
Rates and bargaining power
When two brokers compete for the same shipper business, combining them removes that rivalry. If a shipper has fewer credible alternatives for a lane or service need, the remaining brokers may face less pressure to offer competitive prices and terms. A merger can also change bargaining leverage between brokers and their trading partners. These are potential mechanisms, not evidence that a particular deal raised freight rates.

Service and choice
Competition can affect more than price. A deal could matter if it reduces a shipper’s meaningful choice, weakens incentives to maintain service quality, or changes access to services that competing brokers rely on. Assessing that possibility requires evidence about the services the firms offered, the alternatives shippers can actually use, and comparable service measures before and after the transaction. The federal sources cited here do not document measured service failures caused by a named freight-broker merger.
Why the relevant market matters
There is no reason to assume that every broker competes equally for every shipment. U.S. antitrust analysis defines a market by the services and geography in which customers can realistically switch among suppliers and suppliers can serve them. Depending on the facts, transportation costs, regulation, and local service availability can affect those boundaries. A deal may therefore matter more in a particular service category, customer group, or geographic area than a national headline figure suggests. DOJ’s 2023 Merger Guidelines set out the federal agencies’ market-definition approach.

- Digital shipping postal scale for weighing items; heavy duty yet lightweight, portable design
- Includes a postal scale and an AC adapter; black ABS with an aluminum anti-skid platform
- 660 pound (300kg) capacity reads to 0.11 pound/50g/2 ounce in 0.1 ounce increments; minimum load weight is 6 ounces (150g)
- Measuring units in kg, ounces, and pounds
- Additional separated large back-lit LCD display allows for reading the weighing data from a distance of up to 2m
Concentration figures are useful only when the market used to calculate them captures the competition at issue. A market drawn too broadly can understate the significance of two merging firms; a percentage without a stated market definition, data source, and time period is not enough to establish the likely effect. The agencies treat concentration as one indicator, not a substitute for examining how firms actually compete. DOJ’s guidelines discuss how market definition and concentration fit into merger analysis.
Other factors that can change the assessment
Remaining alternatives and entry
Consider whether shippers can switch to other brokers for the relevant lanes and service requirements, and whether those alternatives are credible in practice. The analysis can also turn on entry, switching, capacity access, and how readily rivals can serve the customers in question. A list of brokers is not enough if they cannot provide a realistic substitute.

Coordination and wider consolidation
A smaller number of meaningful rivals, evidence of past coordination, or removal of a disruptive competitor can raise concerns about coordination. A broader trend toward concentration in the same market can also heighten questions about lost direct rivalry, coordination, and entry. Those are factors to investigate, not proof that firms coordinated or that a merger caused harm. DOJ’s guidelines describe these considerations in their merger framework. DOJ’s 2023 Merger Guidelines
What to check when evaluating a specific deal
A transaction-specific conclusion needs evidence about the deal and the market, not just the fact that two firms combined. Useful questions include:

These questions follow the agencies’ market-definition and merger-analysis frameworks; the underlying data may not be public for a given deal. The FTC explains that merger review looks forward to whether a proposed transaction may reduce competition and lead to higher prices, lower-quality services, or less innovation. FTC merger review overview
What U.S. rules do—and do not—establish
Federal merger review is forward-looking and fact-specific. DOJ and the FTC say they consider the totality of available evidence when assessing a proposed merger’s likely effects; a merger is not, by itself, proof that rates rose or service declined. The agencies’ stated framework treats lower prices, quality, resiliency, innovation, and choice as dimensions of competition. 2023 DOJ Merger Guidelines

Separately, U.S. law generally requires a person providing interstate brokerage services to be registered as a broker and to meet applicable financial-security requirements, subject to specified exceptions. Those are regulatory baseline requirements, not evidence that a broker’s rates are competitive or its service is good. 49 U.S.C. § 14916

No freight-broker-specific market-share estimate, rate effect, or measured service outcome is established here. Without transaction-level evidence about market overlap, alternatives, and post-merger terms, the defensible conclusion is conditional: a merger can weaken competition where the firms were meaningful rivals, but whether that leads to higher shipping rates or worse service depends on the market and the evidence.
