Crypto startups should not begin with a license application. Begin by mapping every product function, classifying each token and transaction under the March 2026 SEC/CFTC interpretation and the Howey test, then run a separate money-transmission analysis for FinCEN and the states. A stablecoin issuer needs an additional federal workstream under the GENIUS Act. Fundraising proposals and FinCEN implementation proposals should be tracked as proposals, not treated as current exemptions or final rules.
Start with the activity, not the license
One startup can perform several legally distinct activities at once. Issuing a token, selling it, promoting it, offering staking, distributing an airdrop, holding customer assets, operating an exchange, brokering trades, transmitting value, making loans, offering derivatives, and providing software-only tools can trigger different federal and state regimes. A company that treats itself as merely a “crypto company” will miss obligations that attach to a particular function.

Create an activity inventory before choosing an entity structure, product launch date, or licensing path. For each function, record:
Recommended Free Tools
- Who controls the private keys and whether the company can freeze, burn, or redeem assets.
- Whether the company accepts and transmits value for customers or buys and sells convertible virtual currency.
- Whether customers expect profit from the company’s or another party’s managerial efforts.
- Where customers live, where the company operates, and which states it serves.
- Whether the product involves stablecoin issuance and redemption, custody, lending, leverage, or derivatives.
This inventory is the factual record that regulators, banks, auditors, and counsel will use. Update it whenever token functionality, governance, decentralization, custody, redemption rights, or promotional language changes.

Apply the March 2026 SEC/CFTC crypto-asset interpretation
The SEC and CFTC issued a joint crypto-asset interpretation on March 17, 2026; it became effective March 23, 2026. The interpretation provides a taxonomy that includes digital commodities, digital collectibles, digital tools, stablecoins, and digital securities. The category helps organize the analysis, but a label in a white paper does not decide the legal result.
Classify the token’s actual functionality
Describe what the token does at launch and what it will do after planned upgrades. Document transfer restrictions, governance rights, access to software or services, redemption mechanics, supply controls, and the people or entities responsible for development. A “utility” description is not a substitute for an analysis of the economic reality.
Analyze the offering under Howey
For every sale, apply the elements of the Howey investment-contract test: an investment of money, in a common enterprise, with an expectation of profits, derived from the efforts of others. Look at the complete package: sale terms, allocation, lockups, liquidity arrangements, statements by executives, promised milestones, and the degree to which buyers depend on the startup’s managerial work.

A token may not itself be a security, yet the way it is offered or sold can constitute an investment contract. Conversely, the investment-contract relationship can end when the promised managerial efforts have been fulfilled, abandoned, or can no longer be fulfilled, according to the SEC’s explanation. Do not assume that a later change in the network automatically cures an earlier offering.
Keep a living token and transaction memo
Prepare a memo for each issuance, sale channel, airdrop, staking arrangement, and secondary-market support program. State the relevant facts, apply Howey, identify the taxonomy category, list the people responsible for managerial efforts, and explain what would change the conclusion. Revisit the memo before a new exchange listing, token sale, governance transfer, major protocol upgrade, or marketing campaign.

Run a separate FinCEN and state money-transmission analysis
Securities analysis does not answer whether the business is a money services business (MSB) or a state-licensed money transmitter. FinCEN generally treats a business that accepts and transmits convertible virtual currency, or buys and sells it, as a money transmitter unless an exemption applies. A software provider that never takes control of value may present a different profile, but the conclusion depends on how the service actually operates.
Decide whether the company is an MSB
Map the movement of value through each product. Identify whose account receives the asset, who can initiate or reverse a transfer, whether the company takes possession of customer funds, and whether it performs conversion. Document any exemption you believe applies and the facts supporting it. Do not rely on a product name such as “non-custodial” if the company can exercise practical control over customer assets.
Build the federal BSA program
Most MSBs must register with FinCEN and generally file the registration within 180 days after establishment. Registration is only the beginning. A risk-based Bank Secrecy Act program should address:
- A written risk assessment covering customers, geographies, products, transaction types, and delivery channels.
- Customer-identification and sanctions-screening procedures appropriate to the business model.
- Suspicious-activity and other required reporting, recordkeeping, and retention controls.
- Escalation rules for blocked, rejected, or high-risk transactions.
- Training, management oversight, quality assurance, and independent testing proportionate to risk.
Assign an accountable owner for each control and preserve evidence that it operates. A policy document without transaction monitoring, case review, training records, and testing will not demonstrate an effective program.
Map every customer and operating state
Federal registration does not eliminate state obligations. Build a state matrix showing where the company is incorporated, has employees or contractors, maintains offices or infrastructure, markets to residents, accepts customers, and sends or receives funds. Determine whether each state requires a money-transmitter or other financial-services license, and track application, bonding, reporting, examination, and change-notice requirements with counsel.

The SEC’s interpretation also flags state financial-services laws as a separate risk. A federal conclusion that a token is not a security does not establish that the business is exempt from state licensing.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsGive a payment stablecoin a dedicated federal workstream
The GENIUS Act became Public Law 119-27 on July 18, 2025. A startup issuing a payment stablecoin must determine whether it can qualify as a permitted payment stablecoin issuer and then map the statutory requirements to its product, governance, reserves, custody, and operations.
Document the issuer model
Before launch, identify the legal issuer, the entity that holds reserve assets, the party responsible for minting and burning, and the process for honoring redemptions. Establish how assets are segregated, who can access them, how reconciliations work, and what happens during an outage, insolvency event, or security incident. Put governance authority and emergency powers in writing.
Plan AML, sanctions, and customer identification
Include anti-money-laundering, sanctions, and customer-identification controls in the stablecoin design rather than bolting them on after issuance. Specify onboarding data, wallet-screening logic, transaction holds, redemption escalation, and records needed for examinations. If third parties distribute or redeem the token, allocate responsibilities contractually and test the handoffs.
Track FinCEN proposals separately from enacted law
FinCEN issued proposals in April and June 2026 that would add implementation rules concerning AML, sanctions, and customer identification for the stablecoin framework. They are proposals, not final rules. Maintain a change log that records the proposal date, affected product, legal status, comment or finalization milestones, and the engineering or disclosure work that would be required if the text changes.

Understand what the 2026 fundraising proposals do—and do not do
The SEC’s Regulation Crypto Assets is a proposal, not an available exemption. It proposes a startup exemption allowing up to $5 million over four years and a separate fundraising exemption allowing up to $75 million during each 12-month period. The proposal contemplates principles-based disclosures and antifraud obligations.
Do not advertise either amount as a current safe harbor. Confirm the rule’s status and final text before relying on it, and design a contingency plan under existing securities-registration or exemption frameworks. Counsel should review offering documents, token economics, lockups, resale restrictions, cap-table treatment, and every public statement about expected appreciation or network milestones.
Control promotional claims
Marketing can change the securities analysis even when the code does not. Route website copy, social posts, influencer scripts, exchange announcements, staking explanations, and airdrop descriptions through legal and compliance review. Remove statements that imply guaranteed returns, imminent exchange listings, artificial scarcity, or profits dependent on a named team unless the company has analyzed the resulting investment-contract risk.
A practical readiness plan for a launch team
- Inventory the product. List issuance, sales, custody, exchange, brokerage, payments, lending, staking, airdrops, derivatives, and software-only functions.
- Draw the asset flows. Show each wallet, bank account, smart contract, custodian, intermediary, mint, burn, redemption, and transfer point.
- Assign control. Record who holds keys, can pause contracts, can freeze or redeem assets, changes code, and makes governance decisions.
- Write the token and transaction memo. Apply the SEC/CFTC taxonomy and Howey factors to every offering and update it when facts change.
- Make the MSB decision. Determine whether the company accepts or transmits convertible virtual currency or buys and sells it; document exemptions or plan FinCEN registration.
- Build BSA controls. Complete the risk assessment, reporting, recordkeeping, sanctions, customer-identification, training, monitoring, and independent-testing work appropriate to the risk.
- Map states. Identify customer and operating states and obtain required money-transmitter or other financial-services licenses before serving residents.
- Separate stablecoin work. If applicable, map permitted-issuer status, reserves, segregation, redemption, governance, AML, sanctions, and customer-identification requirements under the GENIUS Act.
- Review communications. Have counsel approve token economics, staking and airdrop representations, fundraising materials, and customer disclosures.
- Test and document. Run sanctions and transaction-monitoring tests, redemption and incident exercises, access reviews, and evidence retention before production launch.

Use the March 17, 2026 interpretation and its March 23 effective date as a model for date discipline. Record the GENIUS Act’s July 18, 2025 enactment separately from the April and June 2026 FinCEN proposals and from the SEC’s Regulation Crypto Assets proposal. Staff FAQs and statements can explain an agency’s view, but they do not necessarily have the force of law.
Common preparation failures and fixes
Calling a token a utility and stopping there
Fix: Analyze the sale, the buyer’s expectations, managerial promises, and the token’s actual functionality. Update the memo after material changes.
Assuming non-custodial means unregulated
Fix: Trace who can access, redirect, freeze, or redeem value. Practical control matters more than a marketing label.

Registering federally but ignoring states
Fix: Maintain a state-by-state footprint and licensing matrix before accepting residents or marketing a new service.
Treating a proposal as a safe harbor
Fix: Mark every proposal clearly, monitor its status, and preserve a launch plan that works under currently effective law.
Leaving compliance until after the code ships
Fix: Build identity, sanctions, monitoring, reporting, redemption, and evidence-retention requirements into product specifications and vendor contracts.
A practical launch standard
A prepared startup can explain, in writing, what each product function does, who controls customer assets, how value moves, why a token sale does or does not present investment-contract risk, which federal registrations and controls apply, and which states require licenses. It can also distinguish enacted requirements from interpretations, staff explanations, and proposals. That documentation—kept current as functionality and promises change—is the foundation for a defensible U.S. launch. Final launch decisions should be reviewed by qualified U.S. regulatory counsel.
