A country renegotiates private debt through a coordinated process: it first proves how large its financing gap is, then negotiates economic terms with bondholders, banks, and other lenders, and finally uses the voting and amendment rules in the debt contracts to implement the deal. The IMF can test whether the debt is sustainable and set a financing envelope for an IMF-supported program, but it cannot order private creditors to forgive debt or impose contract terms.
Most restructurings involve several tracks at once. Official bilateral creditors may coordinate through the Paris Club or the G20 Common Framework, while private creditors form committees for bonds or commercial loans. The final package must close the financing gap, satisfy the relevant bond or loan documents, obtain required votes, and leave the country on a sustainable repayment path.

What sovereign debt restructuring is designed to achieve
A sovereign restructuring changes the timing, amount, or risk of payments owed by a government. The objective is not simply to reduce a headline debt number. It is to provide enough cash-flow relief for essential public spending and economic recovery while giving creditors a reasonable, legally enforceable recovery.

The process starts when a government and its advisers determine that existing payments cannot be made without an unacceptable adjustment in fiscal policy or economic activity. An IMF-supported case normally uses an IMF-World Bank debt sustainability analysis (DSA) to estimate the financing gap and the amount of relief needed. That analysis supplies a restructuring or financing envelope: a target for how much debt-service reduction is required under the program’s macroeconomic assumptions.

The DSA is an analytical starting point, not a creditor vote. It depends on assumptions about growth, interest rates, exchange rates, primary balances, reserves, and new financing. Creditors scrutinize those assumptions and may challenge the government’s data or projections before discussing terms.
Who negotiates with private creditors
| Participant | Role in the negotiation |
|---|---|
| Sovereign authorities | Set the policy objective, appoint legal and financial advisers, provide debt and economic information, seek any required legislative or regulatory approvals, and make the restructuring offer. |
| IMF | Assesses debt sustainability, defines a financing envelope consistent with an IMF program, provides financing and financing assurances, and supports creditor-debtor discussions. It does not dictate private-creditor contract terms. |
| World Bank and other technical institutions | Contribute to the debt sustainability and development assumptions used in the financing analysis, where their mandate and program involvement apply. |
| Official bilateral creditors | Paris Club members and other G20 lenders can coordinate as one Official Creditor Committee under the Common Framework when the country is eligible and requests treatment. |
| Private bondholders | Investors in international or domestic-law bonds usually coordinate through a steering group or one or more bondholder committees representing different instruments and investor types. |
| Commercial banks and other lenders | Holders of syndicated loans, bilateral loans, trade facilities, or other non-bonded commercial claims may negotiate through a separate loan-creditor committee. |
| Trustees and fiscal agents | Carry out notices, tabulate votes, process exchanges, and perform other administrative functions specified in the bond documents; they are not substitutes for the government’s negotiators or creditor committees. |
The IMF’s 2024 guidance says a committee should reflect the affected instruments, investor geographies, retail and institutional holders, special-purpose vehicles, and distressed-debt investors. A committee that excludes a significant class can make information sharing and voting harder, even when its members hold a large percentage of the debt.
How a restructuring moves from crisis to a signed deal
- Diagnose the financing gap. The government, advisers, and international institutions assemble a complete debt inventory and test whether the debt is sustainable under realistic economic assumptions. The inventory should identify bonds, commercial loans, domestic debt, collateralized obligations, official bilateral claims, guarantees, arrears, governing law, currencies, maturities, and security.
- Choose the policy and legal strategy. Authorities decide whether to seek an IMF program, request official bilateral treatment, negotiate privately before a payment default, or use a combination. Legal advisers map cross-default clauses, pari passu wording, acceleration rights, collective action clauses (CACs), trustee powers, fiscal-agent procedures, disclosure duties, and the courts that could hear disputes.
- Obtain official-sector coordination where applicable. In a Common Framework case, the country requests treatment and official bilateral creditors coordinate through a committee. The IMF program and official financing assurances help establish the size and sequencing of private-sector relief, but they do not settle private contracts.
- Organize private creditors. Bondholders and lenders form one or more representative committees. Members sign confidentiality arrangements when appropriate, select advisers, and establish how positions will be communicated to the wider creditor body. Different bonds may require separate committees if their legal terms or economic interests diverge.
- Exchange information and assumptions. The sovereign shares debt data, fiscal accounts, macroeconomic projections, the DSA, and the proposed financing envelope. Creditors test data quality, ask for missing contracts or collateral details, and model recoveries under alternative growth, exchange-rate, and interest-rate paths.
- Negotiate the economic package. The parties bargain over maturity extensions, grace periods, coupons, principal reductions, buybacks, and state-contingent features. They also agree which instruments are included, whether arrears are capitalized, how new securities rank, and what happens to non-participating claims.
- Document and solicit the transaction. The government prepares an exchange offer or amendment documents, disclosure materials, consents, voting instructions, and settlement mechanics. The offer must follow the applicable bond or loan documents and securities-law rules in the relevant jurisdictions.
- Reach the required votes and close. CACs or other amendment provisions determine whether a qualified majority can bind the affected class. Once conditions are met, the exchange or amendment settles, old instruments are cancelled or modified, and new payment schedules take effect.
- Monitor implementation. The country and creditors track compliance with the IMF program or other undertakings, payment performance, any state-contingent adjustments, and remaining debt vulnerabilities. A deal that closes legally can still require later amendments if the economic assumptions prove wrong.
What private creditors actually bargain over
Maturity extensions and grace periods
Extending the final maturity lowers near-term principal payments but can increase total interest or postpone the point at which creditors recover principal. A grace period suspends principal, interest, or both for a defined time. The documents must specify whether unpaid interest compounds, is capitalized, or is forgiven.
Coupon reductions and payment profiles
A lower coupon reduces annual cash interest. Some offers use a temporary step-up, with a low initial rate followed by higher coupons. Others separate cash interest from payment-in-kind interest, which preserves liquidity but increases the eventual claim.

Principal haircuts
A principal haircut directly reduces the face value of a claim. It can deliver large debt-service relief but is often the most politically and economically contentious term. Creditors compare the haircut with the value of longer maturities, new coupons, collateral, and any legal protections.
Buybacks and exchanges
A buyback retires eligible debt for cash or a new instrument, while an exchange offers replacement securities for old claims. Participation levels, funding sources, tax treatment, and the treatment of non-tendered bonds determine how much debt relief the transaction actually achieves.
State-contingent terms
GDP-linked, commodity-linked, or disaster-linked features increase payments when specified economic conditions occur and reduce them when the country is under stress. These instruments can narrow disagreements about uncertain forecasts, but they require clear definitions, independent data, calculation agents, and audit rights.
How collective action clauses make a deal possible
A collective action clause lets a qualified majority of holders approve specified changes that bind the affected bond class. The clause reduces the ability of a small minority to block a restructuring after most investors have agreed. The exact threshold, aggregation method, quorum, and list of amendable terms depend on the governing bond documents.

IMF research finds that CACs can internalize the gains from coordination, whereas unanimity rules create incentives for opportunistic holdout behavior. That analysis also cautions that transaction costs are outside its formal model, so a clause does not remove the practical expense of organizing investors, verifying holdings, or completing a solicitation.
The IMF’s account of Argentina’s litigation history records that 93% of bondholders approved a restructuring while a minority of holdout creditors helped paralyze implementation. Enhanced clauses were developed to reduce the risk that a small group could block a deal supported by the large majority. The 93% figure refers to that 2014 IMF example, not to a universal voting requirement.
CACs do not decide the economic bargain. The parties still must agree on the offer, determine which instruments are included, satisfy disclosure and solicitation rules, and reach every applicable voting threshold. A bond with no usable CAC, a high threshold, separate series voting, or restrictive aggregation language can expose the sovereign to greater holdout and litigation risk.

The G20 Common Framework uses a case-by-case approach. It seeks comparable treatment among official bilateral and private creditors, with the restructuring need tied to the financing gap identified by an IMF-World Bank DSA. The framework is for eligible low-income countries; it is not a procedure that automatically applies to every emerging-market restructuring. The IMF’s current sovereign-debt FAQ says up to 73 DSSI-eligible low-income countries could be coordinated under the framework.

| Comparability question | What it means in practice |
|---|---|
| Who is compared? | The IMF assesses private creditors as a group against official bilateral treatment, rather than requiring every individual bondholder to receive the same instrument. |
| What is being compared? | The broad economic effort, including expected present-value relief, debt-service reduction, maturity, coupons, collateral, and legal features. |
| Does everyone receive identical terms? | No. Different instruments can have different maturities, coupons, collateral, or governing laws while still making a broadly equivalent contribution. |
| What must the country do? | Seek treatment from other creditors that is at least as favorable as the official bilateral treatment required under the Common Framework. |
Comparability therefore is not a mechanical percentage haircut test. A secured loan, a long-dated bond, and a short-maturity unsecured note may need different instruments to produce a similar economic effort. The calculation is sensitive to assumptions about discount rates, payment timing, collateral value, and default risk.

| The IMF can | The IMF cannot |
|---|---|
| Assess debt sustainability and the financing gap. | Force private creditors to forgive loans. |
| Set a financing envelope consistent with its program. | Rewrite a private bond, loan, or bilateral contract. |
| Provide IMF lending and financing assurances. | Impose a coupon, maturity, haircut, or exchange ratio on bondholders. |
| Support creditor-debtor discussions and clarify comparability expectations. | Interfere in bilateral debt contracts or replace the sovereign’s legal and financial advisers. |
As the IMF explains in its sovereign-debt questions and answers, restructuring decisions and terms are made by sovereign authorities in consultation with legal and financial advisers. Private creditors accept a deal through negotiation, contractual voting, or a court-supervised process where local law provides one; IMF financing can change incentives but is not a coercive order.
Why negotiations often take years
Fragmented creditor classes
A country may owe money under several bond series, syndicated and bilateral loans, domestic-law instruments, collateralized facilities, and official claims. Each class can have different advisers, voting rules, security, and recovery expectations. Reaching a common position is slower than negotiating with a single lender.
Recommended Free Tools
Incomplete or disputed debt data
Creditors need reliable principal balances, accrued interest, collateral descriptions, guarantees, and payment histories. Missing contracts or undisclosed claims can delay a DSA, committee mandate, and vote. Disputes over whether a claim is commercial, official, guaranteed, or collateralized can change the treatment analysis.
Best Value
Different investor objectives
Long-term funds may prefer a predictable coupon and a sustainable payment profile. Distressed-debt investors may value litigation rights or a higher recovery through court action. Retail holders, institutions, special-purpose vehicles, and investors in different jurisdictions face different operational and fiduciary constraints.
Legal and litigation risk
Cross-default and acceleration provisions can make a missed payment on one instrument trigger claims elsewhere. Pari passu wording, trustee duties, injunctions, and the jurisdiction of courts influence the leverage of both sides. Holdout investors may buy a blocking position, refuse an exchange, or sue for payment.
Sequencing between official and private relief
Official creditors may need an IMF program, financing assurances, or a memorandum of understanding before private creditors can evaluate the final envelope. Conversely, private creditors may demand clarity about official terms before committing to their own relief. This interdependence creates waiting periods even when the basic economics are understood.

The IMF’s 2025 stocktaking identifies the Republic of Congo, Chad, Ghana, Sri Lanka, Suriname, and Zambia as cases requiring relief from both official and private creditors. It also notes that non-bonded commercial debt was restructured after external bonds in Ghana, Sri Lanka, Suriname, and Zambia, illustrating why a bond exchange is not always the last step.
How to compare two sovereign restructurings
Case studies are most useful when they compare the same dimensions rather than just headline haircuts.
| Dimension | Questions to ask |
|---|---|
| Debt composition | What share was bonds, commercial loans, domestic debt, collateralized debt, and official bilateral claims? |
| Legal architecture | What governing law, CAC design, pari passu wording, trustee and fiscal-agent roles, and court jurisdiction applied? |
| Creditor coordination | Did committees represent different instruments and geographies? Was information shared? Was there a standstill, and how exposed was the country to holdouts? |
| Economic offer | Did relief come from maturity extension, coupon reduction, principal haircut, grace period, buyback, or state-contingent terms? |
| Official-sector sequencing | Did official assurances or an IMF program precede the private deal, and how was comparability assessed? |
| Implementation and recovery | What voting thresholds and participation rates applied? Were there lawsuits, and did post-restructuring debt remain sustainable? |
How long the process takes
There is no standard timetable. A pre-emptive exchange with clear data, widely held bonds, modern CACs, and no official-creditor complications can move faster than a post-default case involving opaque loans and several legal systems.
The IMF’s April 15, 2026 Global Sovereign Debt Roundtable playbook reports “6 months in the best case observed recently under the Common Framework” from IMF program approval to an agreement in principle with official bilateral creditors. That is a recent best-case observation for an official-creditor milestone, not a promise for private-bond negotiations and not a universal duration. Documentation, solicitation, voting, settlement, and any commercial-loan track can add substantial time.

A practical checklist for reading a restructuring announcement
- Identify the affected instruments and their governing laws.
- Check whether the announcement is a proposal, an agreement in principle, a signed agreement, or a completed exchange.
- Read the participation conditions, CAC thresholds, aggregation method, and treatment of non-tendered claims.
- Compare the new maturity, coupon, grace period, principal, collateral, and any state-contingent features with the old claims.
- Ask whether official bilateral and private relief were assessed for comparability and whether commercial loans or domestic debt remain outside the deal.
- Review the IMF program documents, relevant bond or loan contracts, and official creditor communications before drawing conclusions about debt sustainability or recovery value.
