Protect a project before a purchase order or supply agreement is signed. Identify volatile materials, obtain quotes with clear expiry dates and assumptions, choose a deliberate pricing model, and put a specific two-way adjustment formula in the contract. A clause that names the exact index and code, base period, data vintage, notice deadline, evidence and successor-index procedure gives you far more leverage than a general promise to negotiate or reliance on force majeure.
- List materials exposed to volatility, tariffs, energy costs, long lead times, single-source supply or a large share of the budget.
- Request itemized, dated quotes showing manufacturer, grade, freight, taxes, validity period and the event that would permit a revision.
- Decide for each cost line whether a firm price, indexation, early purchase, allowance, unit rate, cost-plus or hybrid is appropriate.
- For indexed items, specify the complete published index title and identifying code, base period, comparison period, frequency, calculation date, revision treatment and successor rule.
- Require prompt written notice supported by invoices, manufacturer notices, quantities, delivery dates and the index print used.
- Keep dated quotes, purchase orders, invoices, notices, delivery records and calculations in a live exposure register.
The strongest protection is an expressly drafted supply-chain or price-escalator clause. The American Bar Association describes that approach as the most specific and reliable way to address delayed deliveries and price fluctuations. The signed contract and governing law still control, so have the final language reviewed for the project’s jurisdiction.

Start with a transparent adjustment formula
A common indexation formula is:
Adjusted variable amount = base variable amount × (current index ÷ base index)

For example, a contract can leave fabrication, approved overhead or another agreed amount fixed while applying the formula only to the material component. State whether the calculation is made per unit, per shipment or on the remaining unpurchased quantity.

Worked example using a BLS illustration
The Bureau of Labor Statistics (BLS) illustrates an index moving from 178.4 to 187.7. The change is approximately 5.2%: (187.7 ÷ 178.4) − 1. Applied to a fully variable $1,000 amount, the adjustment is about $52, producing $1,052. This is an instructional calculation, not a forecast of construction prices. Your contract should identify whose index values are used and the exact publication date or data vintage.
Make movement bilateral
Unless the commercial deal deliberately says otherwise, the same mechanism should reduce the price when the index falls. Floors, ceilings and minimum-change triggers can be useful, but model their effect on both directions before accepting them. A collar that limits a supplier’s upside while leaving all downside with the buyer can encourage a risk premium or produce a price that no longer reflects the market.
Choose the right protection before bidding or signing
Map the project’s exposure
Rank each material by volatility, lead time, tariff or energy exposure, dependence on one source, storage feasibility and budget impact. A modestly priced item with a six-month lead time may create more schedule risk than a high-priced item available locally. Record the specification, expected quantity, required delivery window and acceptable substitutes.
Obtain comparable, qualified quotations
Ask suppliers to identify the manufacturer, grade or performance specification, packaging, freight, taxes, testing, warranty assumptions and quote-expiry date. Require them to state what event permits a price revision, whether the revision is limited to uncommitted quantities, and how much advance notice they will provide. Compare at least two supply routes when feasible, including regional sources and approved substitutions. Verify that an alternative has equivalent qualification, testing, warranty and lead-time consequences before treating it as interchangeable.

Decide what can be bought early
Early purchase or a price lock is useful only when the material can be safely stored without unacceptable cash-flow, insurance, damage, obsolescence or warranty-timing risk. Decide who owns the material, who bears loss, when title and risk transfer, how it will be inspected, and how it will be released to the job. A nominally locked price can be more expensive than indexation if storage and financing costs are ignored.

Draft an indexation clause that can actually be administered
Name one precise index
“PPI” is not a single measure; it is a family of producer-price indexes. BLS advises selecting an index that represents the cost of providing the particular product or service and citing its complete title and identifying code. A raw commodity series may omit fabrication, labor, energy, freight or currency effects. Match the series to the item being bought and state the geography and unit of measure where the publisher provides them.
Set the base and comparison rules
Define the base month or base-period average, the comparison period, the adjustment frequency and the date on which the new amount takes effect. Specify whether the calculation uses the first-published value, a later revised value or a final value. BLS notes that some Producer Price Index data can be revised for up to four months; leaving that issue unstated creates avoidable disputes over the same shipment.
Define the covered amount and timing
State whether the adjustment applies to the entire price, a listed material component or only quantities not yet ordered. Tie the effective date to a clear event such as the scheduled delivery month, the date of a purchase order or the first day of a billing period. Address delayed delivery: a party should not be able to create an artificial increase or avoid a decrease merely by moving the delivery date without a contractual rule.

Provide continuity if the series changes
Indexes can be paused, rebased, recoded or discontinued. Include a successor-index procedure: use the publisher’s official successor when available, preserve the historical relationship through a documented conversion, and require the parties to agree on a comparable replacement if no official successor exists. Record the chosen series and conversion method in an amendment rather than relying on an informal email.
Set evidence and audit rights
Require a written notice by a stated deadline. The notice should identify the affected purchase order or quantity, the old and new amount, delivery schedule, index title and code, base and current values, calculation date and the index print or official publication used. Permit reasonable access to supporting invoices, manufacturer notices and other records, while protecting confidential information. Accurate, current supplier information and open-book cost management can complement, but do not replace, a clear index formula.
Use caps, collars and thresholds only after modeling
A minimum percentage change can prevent administrative work for trivial movements; a cap can protect a buyer’s budget. Both alter the risk allocation. UK government guidance warns that caps and collars can distort indexation and lead suppliers to add risk premiums. Model several upward and downward scenarios, including a long period of falling prices, before agreeing to limits.
Control exposure while procurement is under way
Maintain a live materials register
Track each approved material’s specification, supplier, quoted price, quote-expiry date, index and base date, lead time, committed quantity, required-on-site date and uncommitted exposure. Add a field for storage capacity and an approved substitute so a commercial decision can be made before a shortage becomes a schedule emergency.

Order against documented expiries
When the commercial case supports it, place orders before a documented quote expiry. Confirm that the purchase order incorporates the agreed price, delivery window and adjustment language; a supplier’s later acknowledgment should not silently replace those terms. If an order is delayed, record who caused the delay and which clause governs the resulting exposure.
Check every increase before accepting it
- Confirm that the supplier gave written notice within the contractual deadline.
- Identify the exact material, quantity and delivery period affected.
- Recalculate the amount from the stated base and current index, using the contract’s data-vintage rule.
- Compare the requested percentage with the specified series rather than a generic inflation statistic.
- Review invoices, manufacturer notices, freight evidence or other documents required by the clause.
- Apply any bilateral downward adjustment, threshold, cap or collar exactly as written.
- Accept, reject or reserve rights in writing, and update the materials register and forecast.
Escalate substitutions and delays early
A shortage can create both price and schedule exposure. Require early notice of a proposed substitution, then check performance requirements, testing, approvals, warranty, installation method and lead time. Do not treat a cheaper alternative as equivalent until the design authority and contract procedures approve it.

Begin with the signed documents, not a general claim that prices are unfair. Compare the supplier’s notice with the contract’s covered items, effective date, notice period, index, evidence requirements and quantity rules. Ask for a corrected calculation when the notice uses the wrong series, an unapproved revision, an expired quote or quantities outside the clause. Preserve the original notice and all correspondence.
If the contract is firm-priced and contains no adjustment right, the supplier may still ask for a commercial change, but a market increase does not automatically amend the deal. Force-majeure interpretation is jurisdiction-dependent, and economic hardship is not automatically covered. Escalate disputed language to counsel under the governing law before withholding payment, rejecting delivery or issuing a default notice.
Public-sector and federally funded work
Public buyers should check the solicitation, incorporated provisions and agency guidance before selecting a private-sector template. Federal economic-price-adjustment clauses may require a listed material and baseline, a minimum change, a notice period and an aggregate cap; the exact FAR clause and solicitation terms control. Do not assume that a clause used on one contract carries to another.
The Federal Highway Administration maintains construction price-escalation guidance, including current and archived material and a January 2025 design-build item. Its price-escalation page was updated January 27, 2025. Use the applicable agency language and deadlines, and confirm whether the project has special listed-material, documentation or funding requirements.
Common mistakes that leave buyers exposed
- Writing “adjusted by PPI” without an index title, code, base period or calculation date.
- Using a broad consumer or economy-wide measure that does not track the supplied product’s cost drivers.
- Allowing only upward movement, or adding a cap without pricing the supplier’s resulting risk premium.
- Ignoring index revisions, rebasing or discontinuation.
- Accepting a verbal increase without a dated notice and supporting records.
- Buying early without assigning title, risk, insurance, inspection and warranty responsibilities.
- Assuming force majeure or hardship automatically excuses a firm price.
- Failing to document approved substitutions and the schedule consequences of a delayed delivery.
Final decision framework
Use a firm price when the duration is short, the market is stable and the supplier can credibly perform without embedding an excessive contingency. Use indexation when the duration or volatility makes a fixed quote unreliable, but invest the drafting effort to match the index and preserve two-way movement. Use an early buy for storable, specification-stable, long-lead goods when the carrying risks are acceptable. Use allowances or unit rates while design or quantities remain uncertain. Reserve cost-plus or open-book structures for genuinely uncertain, collaborative work with strong audit and allowable-cost rules.
