How companies can hedge exposure to an AI supplier’s potential default

The safest hedge against an AI supplier default is a layered exit plan, not a single clause or a second cloud account. Classify which workloads would harm the business if interrupted, monitor the supplier’s viability, negotiate practical rights to data and model-related assets, keep independent backups and reproducible deployment materials, maintain a tested alternative execution path, and use verified escrow for proprietary software that cannot be recreated. Insurance can absorb part of the financial loss, but it cannot keep an AI service running.

“Default” should be read broadly. Bankruptcy is only one scenario; an acquisition, withdrawal of support, an unresolved critical defect, a failed hosting provider, loss of a key subcontractor or an unacceptable change in service terms can also force a stressed exit.

Start by defining the exposure you must hedge

Do not begin with a generic requirement to “avoid vendor lock-in.” Create a service-by-service map of where the supplier sits in your operations. An apparently simple model API may also carry dependencies on identity, prompt libraries, fine-tuned weights, evaluation pipelines, vector stores, logging, data-processing locations and subcontractors.

Inventory every dependency

  • Business processes and customer-facing services that call the supplier, including batch jobs and internal tools.
  • Model endpoints, versions, fine-tuned weights, adapters, prompts, system instructions and safety configurations.
  • Training, retrieval and evaluation data, embedding indexes, vector databases, logs and monitoring history.
  • Deployment artifacts such as container images, infrastructure-as-code, environment variables, certificates and integration code.
  • Identity, access-management, billing, support and incident-communication channels.
  • Cloud regions, processors and subcontractors that store, transmit or operate the service.

Score criticality rather than guessing it

For each dependency, record tolerable downtime, recovery-time objective, data sensitivity, regulatory obligations, switching cost and the availability of substitutes. Include the effect of a degraded model: a fallback that answers more slowly or less accurately may still be acceptable for an internal assistant but not for a safety-sensitive decision.

For EU financial entities, the Digital Operational Resilience Act (DORA) framework expects risk assessments to consider operational, legal, ICT, reputational, data-availability, data-location and ICT-concentration risks. Other sectors can use those dimensions as a benchmark, while applying their own jurisdiction-specific rules.

Exposure dimension Questions to answer Evidence to retain
Business impact Which revenue, safety, customer or compliance commitments fail during an outage? Process maps, owners and maximum tolerable outage
Data and model assets Can you lawfully retrieve raw data, prompts, weights, indexes and logs? Asset register, ownership terms and export samples
Technical switching What must change to run on another model or platform? Interface specifications, dependency graph and tested build
Concentration Do several supposedly independent services rely on the same cloud, region or subcontractor? Provider and subprocessor map
Regulatory exposure Are residency, sector approval, audit or explainability requirements affected by a move? Legal review and documented control requirements

Monitor the supplier before distress becomes an outage

Financial monitoring is an early-warning control. Ask for proportionate information about financial condition, ownership, funding, capacity, incident trends and business-continuity arrangements. Require notice of a change of control, material subcontractor changes and events that could reduce support or capacity. A private company may not provide full accounts, but it can usually provide attestations, parent guarantees, audited summaries or other evidence matched to the service’s criticality.

Set a review cadence rather than treating due diligence as a one-time procurement form. Quarterly reviews are a reasonable starting point for a critical service; add event-driven reviews after a major incident, ownership change, missed service commitments, funding event or abrupt product withdrawal. Define escalation thresholds, the person who owns the decision and the actions that follow, such as increasing backup frequency, freezing new integrations or activating a migration exercise.

The UK Government Digital, Data and Technology Playbook captures the rationale: “Early recognition of the risk of supplier financial failure gives us more time to prepare for failure ‘should it occur’ and mitigate the risk to continuity of critical projects.” Its guidance also calls for ongoing financial monitoring and an insolvency element in service-continuity plans.

Make the contract usable during a stressed exit

A contract is a hedge only when it gives your team practical access to what is needed to operate and migrate. Have counsel define triggers and test the wording against a hypothetical failure, rather than accepting a broad promise to provide “reasonable assistance.”

Define events that activate rights

Include insolvency, liquidation, administration, prolonged outage, material support failure, inability to remedy a critical defect, loss of a required authorization and an unapproved change of control. Specify objective time periods where possible and state whether each event permits suspension, termination, step-in or immediate access to escrow.

Secure data, configuration and model-related assets

  • Continuous or on-demand export of business data, prompts, configurations, logs, evaluation records and model documentation.
  • Customer ownership or a perpetual, transferable license for customer-funded fine-tuning data, adapters, weights and other commissioned assets.
  • Documented, machine-readable formats with schemas, metadata, checksums and instructions for reconstruction.
  • Access to deletion records after migration, including copies held by subprocessors where legally required.

Specify export frequency, response time, format, encryption, authentication and who pays. Require a sample export during onboarding and at intervals thereafter; a right that has never been exercised may fail when the provider is under pressure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Preserve visibility and control over subcontractors

Reserve audit and access rights proportionate to risk. Cover the provider’s relevant records, systems, personnel and subprocessors, subject to sensible confidentiality and security controls. Require advance notice of material subcontractor changes, the locations where data is processed and a right to object or terminate when a change creates unacceptable legal or concentration risk.

Price and staff the transition

Set a minimum transition-support period, named roles or skill levels, response times and pre-agreed rates. Assistance should include knowledge transfer, architecture explanations, incident history, runbooks and cooperation with a replacement provider. State that termination does not immediately end access needed to export data or complete an orderly migration.

Align service, liability and insurance terms

Service levels should cover availability, latency, support response, incident notification, security duties and recovery objectives that match the workload’s criticality. Credits alone rarely fund a migration, so negotiate liability, indemnities and insurance requirements proportionately. Include rights to use escrowed materials during the transition and require the provider to maintain relevant licenses and security controls while those rights are exercised.

DORA’s delegated regulation for critical ICT services calls for written arrangements, due diligence, concentration-risk assessment, audit and access rights and exit strategies. Financial-conduct guidance from the FCA similarly emphasizes concentration, data access, subcontracting, jurisdiction and effective exit plans. UK AI-procurement guidance recommends open standards and licensing terms that make future supplier switching easier. These frameworks target specific regulated populations; obtain advice for the laws that apply to your organization.

Engineer portability instead of promising it

Portability is a technical property that must be designed and exercised before distress. Keep independent backups under your control, document infrastructure-as-code and deployment dependencies, and avoid provider-specific features for critical workloads unless you have a documented replacement.

  1. Separate your control plane. Keep prompts, routing, policy, evaluation and observability in components you can redeploy. Do not bury them in an AI supplier’s console.
  2. Use open, documented formats. Store datasets, conversation records, embeddings and configuration with schemas and version history. Keep the export process independent of the supplier’s account.
  3. Rebuild from clean materials. Maintain reproducible builds, dependency manifests, container images and infrastructure-as-code in an independent repository.
  4. Maintain a second execution path. This may be another hosted model, a different cloud, or an in-house deployment. Confirm that data use, residency, licensing and security controls permit the fallback.
  5. Test realistic workloads. Measure recovery time, quality degradation, latency, throughput, cost and error handling against pre-set acceptance thresholds.
  6. Retest after change. New model versions, data schemas, regulations or subcontractors can invalidate an earlier portability result.

A second model is not automatically a second supplier. If both models depend on the same cloud region, identity service, data store or subcontractor, concentration remains. A fallback also fails as a hedge if its license forbids your data, its region violates residency requirements, or its quality and latency are outside the business’s tolerance.

Hedge Time to recover Technical portability Data and model-asset control Legal enforceability Residual concentration Security and privacy Regulatory fit Implementation effort Recurring cost Fallback performance
Contractual exit and export Medium to slow if untested Depends on formats and documentation Strong only if rights and exports are explicit Depends on governing law and trigger wording High until another path is live Can preserve existing controls Supports audit and exit obligations Medium Legal and exercise costs Potentially unchanged after migration
Independent second provider Fast when continuously tested Medium; adapters and data translation may be needed Requires duplicate storage and clear licenses Requires enforceable access and service terms with both providers Lower, unless infrastructure overlaps Two environments to secure Must satisfy residency and sector rules in both High Duplicate minimum commitments and operations May be lower or slower than the primary
In-house or self-managed path Variable; fastest when warm High control, but operationally demanding Highest direct control Fewer supplier-exit issues, more internal compliance duties Lower external concentration Your team owns the full threat surface Control can help, but evidence and approvals remain necessary Very high Infrastructure, staff and model-operation costs May require model or feature compromises
Verified escrow Useful only after a release event High in theory; depends on runnable materials Provides access to specified proprietary assets Strong only with precise triggers and licenses Does not remove hosting or skills concentration Escrow security and key handling matter Can support temporary continuity plans Medium Agent and verification fees Usually requires a migration period

Use escrow for assets you cannot recreate

Escrow is most valuable for proprietary software and deployment materials that are essential to operation but unavailable elsewhere. A neutral escrow specialist should hold and periodically verify source code, deployment scripts, technical documentation, keys or certificates where appropriate, and other irreplaceable materials.

Define release events precisely: insolvency or liquidation, prolonged non-support, inability to remedy a critical defect, or an unapproved transfer of ownership can each be relevant. State who may access the materials, which affiliates and replacement contractors may use them, the territory and duration of the license, and whether use is limited to maintaining and migrating the service.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Cloud escrow often needs more than source code. Consider infrastructure configuration, container images, dependency manifests, data-export tooling, operational runbooks, monitoring definitions and rights to recreate the environment. Schedule verification by building in a clean environment and checking that versions, keys, dependencies and documentation are complete. Escrow does not help when deposits are stale, unverifiable, legally unusable or impossible to run on replacement infrastructure.

UK Cabinet Office guidance describes the purpose clearly: “The trusted third-party escrow specialist will securely hold the source code and release it under specific contractual conditions.” Bank of England guidance also identifies contractual or escrow arrangements as temporary measures during a stressed exit, not as a substitute for a durable operating plan.

Use insurance and governance as supporting controls

Insurance can transfer part of the financial impact of an outage, data incident or professional failure, subject to exclusions, limits, waiting periods and proof requirements. It cannot provide your prompts, weights, infrastructure or engineering staff, so it should supplement—not replace—portability, backups and a tested alternative.

Assign a board, risk committee or accountable executive to critical AI dependencies. Maintain a supplier register that records owners, data categories, locations, subcontractors, contract triggers, recovery objectives, fallback status and the date of the last exercise. Run tabletop and technical exit exercises at a frequency tied to criticality. Record defects, remediation owners and deadlines; an exercise that produces no corrective action is only a discussion.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A practical implementation sequence

  1. First 30 days: inventory AI services and dependencies, classify impact, identify data and model-asset owners, and freeze new critical integrations that lack an exit path.
  2. Days 31–60: obtain updated financial, ownership, subcontractor, incident and continuity information; review contract gaps; and select export formats and independent backup locations.
  3. Days 61–90: negotiate triggers, access, transition assistance, audit rights, liability and escrow; build reproducible deployment materials; and create a replacement-provider or in-house design.
  4. After 90 days: perform a live export and restore, run the fallback against representative workloads, verify escrow, and present residual risk and funding needs to governance.

Repeat the cycle after material model, architecture, ownership, regulatory or subcontractor changes. For a critical service, keep the alternative path sufficiently warm that the measured recovery time—not an optimistic estimate—fits the business’s tolerable outage.

Common hedging mistakes

  • Relying on a termination clause alone: termination without data, configuration and transition rights can leave you with no usable system.
  • Calling backups independent when they share the same provider: a second account or region may fail with the same cloud or subcontractor.
  • Escrowing source code without its environment: missing dependencies, keys, data schemas and runbooks can make the deposit unusable.
  • Ignoring customer-funded fine-tuning: clarify ownership and export rights for adapters, weights, evaluation sets and prompts before a dispute.
  • Skipping quality tests: a technically available model that breaches accuracy, latency, privacy or residency thresholds is not a viable fallback.
  • Treating financial monitoring as surveillance without action: define thresholds and pre-approved responses so warning signs change behavior.
  • Assuming regulation is universal: DORA, OSFI, FCA, HKMA and Bank of England materials address their own regulated populations. Other organizations should adapt the controls with jurisdiction-specific legal advice.

Decision rule for a resilient AI supply chain

For every critical AI dependency, ask whether the organization can continue safely if the supplier stops accepting requests tomorrow, and whether it can migrate if the provider disappears next month. A credible answer requires independent assets, a lawful and tested execution path, enforceable transition rights and governance that acts on early warnings. If any one of those is missing, the exposure is not yet hedged.
