The result depends on your jurisdiction and taxpayer status, what legal rights the token represents, whether you own an asset or only synthetic price exposure, how the contract settles, and how collateral, funding and liquidation work. “Tokenized” and “perpetual” are product descriptions, not tax classifications.
For a US taxpayer, the ordinary starting point is digital-asset property treatment: an investment disposition generally creates capital gain or loss, while business receipts are generally ordinary income. A contract that actually qualifies as a section 1256 contract is different: it is generally marked to market at year-end and its gain or loss is characterized 40% as short-term and 60% as long-term. Qualification must be established from the contract and applicable law.

For a UK individual, HM Revenue & Customs (HMRC) generally treats cryptoassets as investments, so disposals normally fall within Capital Gains Tax. Income Tax can apply when the facts show a genuine financial trading business, but HMRC says that is unusual for individuals. The label attached to a perpetual does not decide the result.
What a tokenized real-world-asset perpetual actually represents
A tokenized real-world-asset (RWA) perpetual combines two separate ideas. Tokenization records an interest, claim or exposure in digital form. A perpetual is a derivative-style contract with no fixed expiry, commonly using periodic funding payments to keep its price near a reference market. The token in your wallet may therefore represent very different things:
#1 Best Overall
- direct ownership or a beneficial interest in an asset;
- a security, debt claim, fund interest or commodity interest;
- a contractual claim against an issuer or platform; or
- only synthetic exposure to an asset’s price, with no ownership of the asset itself.
Those distinctions matter because tax follows the legal rights and economic substance of the arrangement. A token that tracks a property, bond or commodity is not automatically taxed as that underlying asset. Likewise, a perpetual that references a tokenized asset is not automatically a spot purchase, a regulated futures contract or a security.
Read the definitive contract, terms of service, collateral rules, oracle and settlement provisions, and any offering document. Marketing language can describe the product without answering whether you receive title, a repayment claim, a cash difference, delivery rights or merely a synthetic payoff.
The classification questions that control the result
1. Where are you resident and what is your taxpayer status?
Start with the country that taxes you, then identify whether you are an individual investor, sole trader, company, fund, trust or another entity. The same transaction can have different results for an individual and a business. Residence, domicile, source rules, entity elections and local taxes can all change the analysis. The US and UK approaches below are not a substitute for rules in another country, state or locality.

2. Do you own a token or hold a derivative position?
Ownership of a token can involve a disposal when you sell it, exchange it or otherwise transfer it. A perpetual position may instead be a contract whose value is settled in cash, stablecoins or another token. Determine whether opening the position transfers property, creates a receivable or payable, or simply records collateral securing a contract.
3. What is the settlement method?
Examine whether the contract is cash-settled, physically settled, redeemable for the referenced asset, or capable of being converted into an ownership interest. Cash settlement generally points toward derivative analysis; delivery or redemption can create a separate acquisition or disposal of the underlying token or asset. A platform’s internal offset or auto-deleveraging mechanism may also affect when your position ends.

4. Is there a statutory mark-to-market regime?
Most property-style investment gains are recognized when a taxable disposition occurs. Some derivative regimes require unrealized positions to be valued at year-end. In the United States, section 1256 treatment is the key example discussed here, but a product does not qualify merely because it is called a perpetual or is traded on an exchange.
5. Who paid or received each cash flow?
Separate the opening margin or collateral deposit, return of collateral, funding transfers, trading fees, rebates, interest, liquidation proceeds and any final settlement. A single platform statement may combine these entries, but tax analysis may treat them differently.

Digital assets are property, not currency
The Internal Revenue Service states: “For U.S. tax purposes, digital assets are considered property, not currency.” For an investor, selling a digital asset, exchanging it for another asset, or using it to settle a transaction is generally a disposition. The gain or loss is measured by comparing the amount realized with your tax basis, subject to the detailed rules that apply to your circumstances.
That default does not answer every perpetual question. A cash-settled perpetual may create a contractual gain or loss rather than a simple sale of the reference token. You must identify the rights acquired and the event that closes or adjusts them. If you operate a trading business, receipts and expenses may be ordinary business items rather than capital transactions.
When section 1256 could change timing and character
If the instrument qualifies as a section 1256 contract, the Internal Revenue Code generally requires a year-end deemed sale at fair market value. Gains and losses are then generally characterized 40% as short-term and 60% as long-term, regardless of how long the position was held. The 40/60 split is a characterization rule, not a 40% or 60% tax rate.
Eligibility depends on the statutory definition and the specific contract. Review whether the instrument is a regulated futures contract, a listed option, a dealer equity option or another contract covered by section 1256, and whether exclusions or special rules apply. An on-chain perpetual, an offshore platform product or a tokenized claim does not become a section 1256 contract simply because it resembles a futures contract. Obtain a qualified US tax opinion when the classification is material.
How common US events should be analysed
| Event | Questions to document | Why the answer is not automatic |
|---|---|---|
| Opening a position | Did you buy property, enter a derivative, or post collateral? | Margin may be collateral rather than a purchase, but the contract can impose different treatment. |
| Funding payment | Did you pay or receive a periodic amount, and what does the contract call it? | It may be a financing, expense, income item or adjustment to the position; the product terms and applicable rules control. |
| Collateral movement | Was collateral returned, transferred to another wallet, rehypothecated or converted? | A transfer between your own wallets is not necessarily a disposition, while conversion or loss of rights can be. |
| Partial close or swap | What quantity was closed and what consideration was received? | Closing a derivative and exchanging one digital asset for another can produce different computations. |
| Liquidation | What price, fees and assets were used to close the position? | A forced close is still a realization event for many arrangements, but the exact proceeds and basis must be reconstructed. |
| Year-end valuation | Does a statutory mark-to-market rule apply? | Section 1256 treatment can recognize an unrealized year-end gain or loss; ordinary property treatment generally does not do so solely because a quote changed. |
The table is a framework, not a universal event schedule. Official guidance does not provide one tax answer for every tokenized perpetual design.
United Kingdom: investment treatment is the usual individual outcome
HMRC’s starting position
HMRC says that “in the vast majority of cases, individuals hold cryptoassets as a personal investment, usually for capital appreciation or to make particular purchases.” On that basis, an individual normally considers Capital Gains Tax when disposing of a cryptoasset. A disposal can include selling for money, exchanging one cryptoasset for another, using an asset to pay for goods or services, or giving it away in circumstances where the rules treat a disposal as occurring.
For a perpetual, first establish whether you own a cryptoasset that is being disposed of or hold a contractual right that is settled under derivative terms. A cash payment on closing, an exchange of collateral, or a transfer of a token may each require separate analysis. Keep sterling values at the relevant transaction times and calculate allowable costs under the rules that apply to your pool or asset category.
When Income Tax may apply
HMRC states: “Only in exceptional circumstances would HMRC expect individuals to be buying and selling exchange tokens with such frequency, level of organisation and sophistication that the activity amounts to a financial trade in itself.” Frequency alone is not decisive. HMRC directs attention to frequency, organisation, intention and actual conduct. If the facts establish a financial trading business, profits are generally considered under Income Tax rather than the normal investment Capital Gains Tax framework. The conclusion can differ for a company or other entity.

UK-specific issues for perpetual mechanics
Funding receipts, financing costs, collateral returns and liquidation proceeds should be reconciled to the contractual rights. Do not assume that every funding transfer is capital or that every payment is interest. Determine whether a payment is consideration for a disposal, a revenue receipt, a financing amount, a fee or an adjustment to the derivative’s value. The absence of a fixed expiry does not itself create a mark-to-market rule for an individual investor.
Funding, collateral, liquidation and mark-to-market: a practical event map
Funding and financing
Perpetuals often exchange funding between long and short holders at intervals set by the platform. Record the payer, recipient, timestamp, asset, quantity and sterling or dollar value, together with the formula used. A funding debit may be an expense or part of the cost of a position; a funding credit may be income or reduce a cost, depending on the jurisdiction, taxpayer and contract. Treating every funding line as an ordinary trading gain without examining the agreement can misstate taxable income.
Collateral and margin
Collateral is not necessarily a taxable sale when posted and later returned. The analysis changes if posting transfers title, permits rehypothecation, exchanges one token for another, or leaves you with only a contractual claim for repayment. Track each wallet and sub-account, because an apparently internal movement can conceal a conversion, fee or transfer to the platform.
Liquidation and auto-deleveraging
A liquidation normally ends all or part of the contractual exposure at the platform’s liquidation price, less fees and other adjustments. Capture the exact quantity closed, the reference price, insurance-fund or socialized-loss entries, and the collateral retained or returned. A liquidation can create a realized loss even when you did not choose to sell, but its tax characterization still follows the underlying legal arrangement.
Mark-to-market
Do not report every daily price movement as taxable merely because the platform displays an unrealized profit or loss. For US taxpayers, a qualifying section 1256 contract is generally marked to market at year-end; other arrangements may recognize gain or loss on a different realization event. UK individual investment treatment generally focuses on disposals, unless another statutory or trading rule applies.

Examples that show why the contract matters
Example A: synthetic cash-settled exposure
You deposit a stablecoin as margin, open a perpetual referencing a tokenized bond, receive two funding credits, and close for a stablecoin profit. You never receive the bond token. The key questions are whether the margin was merely collateral, whether the perpetual is a derivative, how funding is characterized, and whether any statutory mark-to-market regime applies. It is not automatically a bond-interest investment or a spot sale of the bond.
Example B: redeemable token plus perpetual hedge
You buy a token that gives a contractual right to redeem an interest in a commodity pool, then open a perpetual to hedge its price. Selling the token may be a disposal of the tokenized interest, while closing the hedge may be a separate derivative event. Combining the transactions in one spreadsheet row can hide two different tax computations.
Example C: forced liquidation
A price move triggers liquidation, the platform sells collateral, and a residual deficit is covered by an insurance mechanism. Preserve the liquidation statement and the platform’s legal explanation of each transfer. The realized position, collateral conversion, fees and any residual claim may not share the same tax treatment.
Records and reporting workflow
Good records are essential because perpetual platforms can show funding and collateral movements without giving you a tax-ready basis report. Preserve:
- the version of the contract, terms of service and risk disclosures in force when each position was opened;
- token identifiers, wallet addresses, exchange sub-accounts and transaction hashes;
- opening, reducing, closing and liquidation timestamps in a consistent time zone;
- quantity, execution price, index or oracle price, collateral, leverage and settlement asset;
- every funding payment, fee, rebate, interest charge and transfer;
- fair-market values in the reporting currency at each relevant time;
- year-end position reports and evidence supporting any mark-to-market calculation; and
- the tax forms, elections, workpapers and professional advice used for the return.
Reconcile platform exports to on-chain records and bank or wallet statements. Keep an event-level ledger rather than relying only on net profit shown by an interface. Retain records for the period required by your jurisdiction, because tax authorities may need to verify basis, holding period, valuation and the identity of the legal counterparty.
A decision checklist before filing
- Identify the taxpayer and jurisdiction. Record residence, entity type, tax year and any relevant business activity.
- Read the legal documents. Determine what the token and perpetual promise, who owes you performance, and whether settlement is cash, token or physical delivery.
- Separate transaction categories. Create distinct lines for token disposals, derivative closes, funding, collateral, fees, liquidations and transfers.
- Test special regimes. For a US return, investigate section 1256 eligibility rather than assuming it. For a UK individual, assess whether conduct is investment activity or an exceptional financial trade.
- Value consistently. Use a documented exchange-rate and fair-value method, preserving the timestamp and source for each conversion.
- Reconcile and review. Match the ledger to statements, investigate negative balances and unexplained transfers, and have a professional review the classification when the amounts or legal rights are significant.
What cannot be inferred from the word “perpetual”
The product name does not tell you whether gains are capital or ordinary, whether unrealized movements are taxable, whether funding is interest, whether collateral has been disposed of, or whether the contract qualifies for a regulated-derivative regime. Nor does tokenization prove that the token holder owns the referenced real-world asset. Those conclusions require the instrument’s legal terms and the tax rules of the taxpayer’s jurisdiction.
State, local and non-US country rules are not established by the US and UK principles above. Cross-border residence, withholding, controlled-foreign-entity rules, securities or commodities regulation, and entity accounting can add further layers. Obtain jurisdiction-specific advice before filing when a perpetual is large, leveraged, cross-border, issued by an offshore entity, or connected to a business.
