A rights issue lets existing shareholders buy newly issued shares in proportion to what they already own, usually at a set price below the recent market price. The right is optional: you may subscribe, sell or renounce the entitlement when the issue permits, or take no action. If you do nothing, the entitlement can lapse and your percentage ownership may be diluted.
Your record-date holding, the offer letter and your broker’s instructions determine exactly what you can do. Check the ratio, subscription price, deadlines, payment method, trading arrangements and treatment of fractions before deciding.

What a rights issue is
A rights issue is a company’s offer of new shares to its existing shareholders. Each eligible shareholder receives an entitlement based on the number of shares held on a specified record date. HM Revenue & Customs defines it as an arrangement in which existing shareholders are given the right to subscribe for more shares in the same class, for payment, in proportion to their holding. HMRC also stresses that the right creates no obligation to buy.
Companies use rights issues to raise equity capital. The proceeds might support expansion, repay debt, strengthen the balance sheet or meet another stated corporate purpose. The new shares are commonly offered at a discount to the prevailing market price, but a discount is not a guaranteed profit: the share price can fall because of weak company performance or unfavorable market conditions.

The offer letter is the controlling document. It states the issue ratio, subscription price, timetable, payment arrangements, eligibility rules and what happens to unused or fractional entitlements. Procedures differ by country, exchange, share class and account type, so a general description cannot replace the issuer’s terms.
How the entitlement is calculated
The ratio
The ratio tells you how many new shares you may buy for each number of existing shares. A 2:5 rights issue, the example used in the Securities and Exchange Board of India (SEBI) investor guide, gives two additional shares for every five held on the record date.
| Shares held on the record date | 2:5 entitlement | Maximum new shares | Cash required at a subscription price of $X per share |
|---|---|---|---|
| 5 | 2 for every 5 | 2 | 2 × $X |
| 50 | 2 for every 5 | 20 | 20 × $X |
| 125 | 2 for every 5 | 50 | 50 × $X |
The table is an illustration of the ratio, not a promise that every issue accepts those holdings or uses dollars. Your offer document may specify rounding rules, a minimum application, or a different treatment for a holding that does not divide evenly. If a fraction cannot be issued, the issuer may aggregate or sell fractional entitlements and distribute proceeds, or apply another stated method.
The record date
The record date identifies the shareholder register used to determine eligibility. Holding the shares on that date is generally the starting condition, but settlement timing, overseas restrictions and the issue’s jurisdiction can add conditions. Confirm your registered holding and eligibility with the issuer or broker rather than assuming that a purchase made near the record date qualifies.

Key dates and documents
Rights issues normally have several dates, and each serves a different purpose:
- Record date: the date used to identify eligible shareholders.
- Opening date: when applications or trading in the entitlement can begin, if offered.
- Closing date: the final deadline for a valid subscription or renunciation. A broker may impose an earlier cut-off.
- Allotment or credit date: when successfully subscribed shares are credited to your securities account.
- Trading window: the period, if any, during which the entitlement itself can be bought or sold.
Read the full offer letter, not only the headline discount. Confirm the issue size, ratio, price, opening and closing dates, accepted payment channels, whether partial take-up is allowed, how fractions are handled, whether excess applications are possible, and whether the entitlement is transferable. Keep the application confirmation and payment record.
Your choices as an existing shareholder
Subscribe for all or part
You can apply for the full entitlement, preserving your proportional participation if the application is accepted and paid. Some issues also allow a partial subscription. Check the form: a partial application may be permitted only in whole shares and may have a minimum amount.

If the issue permits trading, you can transfer or sell the entitlement during the stated window. In the United Kingdom, the Financial Conduct Authority describes the pre-payment negotiable form as “nil paid” rights. In other markets, the entitlement may appear under a separate security code or as a rights-entitlement line in your brokerage account. Trading availability, price, fees and settlement are issue-specific.

Selling converts the right into cash instead of new shares. A market may be thin, and the entitlement can lose value as the deadline approaches. Confirm the last trading day separately from the final subscription deadline; they are not necessarily the same.
Do nothing
If you neither subscribe nor renounce by the closing date, the entitlement lapses. The National Stock Exchange of India states that rights entitlements not subscribed or renounced on or before the issue closing date lapse after closure and do not produce shares. A lapsed entitlement can therefore expire without compensation, subject to the specific offer terms.
| Choice | What you receive or retain | Main consideration |
|---|---|---|
| Subscribe | New shares, if the application is valid and allotted | Requires cash and exposes you to the company’s future share-price risk |
| Sell or renounce | Cash proceeds, if a tradable market exists and the transaction settles | Value depends on market liquidity, price and trading deadlines |
| Do nothing | Usually nothing for the unused entitlement | Entitlement may lapse and your ownership percentage may be diluted |
How to apply for rights shares
- Verify your eligibility. Check the record date, your registered share balance and any residency or overseas-investor restrictions. If your shares are held through a nominee, ask that provider how the offer is passed through to you.
- Calculate the entitlement. Multiply the number of eligible shares by the issue ratio, then apply any rounding or minimum rules in the offer letter. Record both the maximum number of new shares and the total subscription amount.
- Read the offer terms. Confirm the subscription price, opening and closing dates, broker cut-off, payment method, treatment of fractions, transferability, excess-allocation rules and any staged or partly paid payment calls.
- Choose the channel. Follow the issuer’s stated process or your broker’s rights-issue workflow. In India, SEBI describes online or broker submission through ASBA, in which the application amount is blocked in the investor’s bank account while the application is processed. Other jurisdictions may require a broker form, online instruction, bank mandate or another approved channel.
- Submit the quantity. Enter the number of shares you want, up to your entitlement, and review the account, issue code and payment details before confirming. If applying for less than the full entitlement, make sure the form explicitly supports partial take-up.
- Ensure funds are available. Keep the required amount in the designated account before the broker or issuer cut-off. A blocked amount, failed debit, incorrect bank mandate or late instruction can invalidate an otherwise eligible application.
- Save proof of submission. Keep the confirmation number, timestamp, submitted quantity and payment record. Contact the broker promptly if the instruction does not appear in your transaction history.
- Check allotment and credit. After processing, verify the number of shares allotted and the date they are credited to your demat or other securities account. SEBI says allotted shares are credited to the demat account and can then be traded, subject to normal market rules.
How to decide whether to take up the offer
Compare the cash cost with the market price
Start with the subscription price multiplied by the number of shares you would buy. Compare that total with the current market price, while recognizing that the market price can move before allotment and after the new shares begin trading. A headline discount only describes the offer relative to a reference price; it does not lock in a gain.
Consider ownership dilution
Subscribing can maintain your proportional stake if you take up the entitlement in full. If you decline while other investors subscribe, the company will have more shares outstanding and your percentage ownership can fall. The size of that dilution depends on the total issue and the number of shares you currently own.

Check liquidity and timing
Look for the entitlement’s trading symbol or security code, trading dates, settlement cycle and fees. If there is no tradable market, selling may not be available. Even where trading exists, a wide spread or low volume can reduce the proceeds you receive.
Match the decision to your risk and cash position
Subscribing commits additional money to the same company. Review why the company is raising funds, the risks described in the offer document and whether you can tolerate further exposure. Do not use money needed for near-term expenses merely to capture a discount.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What happens after you apply
An application is not always an unconditional guarantee of the exact number requested. The offer may set minimum conditions, scaling rules, oversubscription procedures or a requirement that the issue reaches a stated threshold. If demand exceeds the available shares, the issuer may allot fewer shares than requested and release or refund the unused amount according to the timetable.

Common failure points and fixes
“I cannot see the entitlement.”
Check whether the record-date position has settled, whether the shares are held through a nominee, and whether the broker has opened the instruction window. Ask the broker for the entitlement quantity and the accepted application route.
“My payment was rejected.”
Verify the designated bank account, available balance, mandate or ASBA block, and the broker’s cut-off time. Do not assume that a second attempt will be accepted after the deadline; obtain written confirmation of the status.
“I sold the rights but still received an alert to subscribe.”
Trading and subscription systems can have separate deadlines and settlement stages. Check whether the sale settled and whether any residual or fractional entitlement remains. Follow the broker’s reconciliation instructions rather than submitting a duplicate application.
“I missed the deadline.”
Ask the issuer or broker immediately whether a correction window exists, but expect that a closed issue cannot normally be reopened for an individual investor. An entitlement that was neither subscribed nor renounced by the closing date may have lapsed.
Tax, eligibility and jurisdiction limits
Tax treatment is not uniform. The cost basis of new shares, proceeds from selling an entitlement, treatment of a lapse and reporting requirements depend on local law and the account in which you hold the shares. HMRC’s manuals address the United Kingdom, while SEBI and the NSE materials describe Indian market processes; neither set of rules should be assumed to apply elsewhere.
Overseas investors may face ownership caps, currency conversion, sanctions screening, local offering restrictions or an inability to trade the entitlement. Fractional entitlements, nominee holdings, partly paid shares and excess applications are also governed by the individual offer. Use the issuer’s offer letter and your broker’s local instructions, and obtain professional tax advice for a personal determination.
