Yes—a government can exert substantial influence with less than 51% of a listed company’s ordinary shares. The decisive factor is not the headline percentage alone, but the rights attached to the stake, agreements with other investors, board and executive appointment powers, special shares, and the ability to coordinate public-sector holdings.
That influence is not automatically legal “control.” UK statutory guidance published in 2026 and the OECD’s Guidelines on Corporate Governance of State-Owned Enterprises (2024) use a facts-and-rights approach: the question is whether the state can determine, or decisively influence, corporate policy in the circumstances of the particular company.

Ownership, voting power and control are different questions
Economic ownership measures a government’s share of ordinary cash-flow rights: dividends, distributions and exposure to gains or losses. Voting power measures how many votes it can cast, which may differ when a company has multiple share classes, super-voting stock or voting caps. Control or significant influence asks a further question: can the government determine important decisions, appoint the people who run the company, or block actions that would otherwise proceed?

A 20% holding with ordinary votes and no special rights may leave a government one shareholder among many. A much smaller holding can be more powerful if it includes the right to appoint directors, select the chief executive, approve a business plan or veto a change in ownership of a strategic asset. Conversely, a large stake can remain non-controlling when the government has no special rights and other shareholders act independently.

“A person may hold a right to exercise significant influence or control as a result of a variety of circumstances.”
—UK statutory guidance, 2026
Each conclusion must therefore be tied to the company’s articles, share terms, shareholder agreements, applicable company and securities law, and the rights that are actually available and exercised. There is no single cross-jurisdiction ownership percentage that answers the question.
The main ways a minority government stake can influence a company
1. Appointing a majority of the board
The strongest route is a contractual or constitutional right to appoint enough directors to control board decisions. UK guidance identifies absolute rights over the appointment of a majority of directors as a possible right to exercise significant influence or control. OECD guidance likewise treats the power to appoint a board majority as an example of decisive influence.
This right can exist even when the government owns few ordinary shares. It may be written into the company’s articles, a privatisation agreement or a shareholder agreement. The practical effect is substantial: the board sets strategy, approves major transactions, oversees risk and appoints or removes senior executives. A government that selects most directors can shape those decisions without owning most of the economic interest.
Check whether the appointment right is unconditional or only applies while the government holds a minimum number of shares, during a defined transition period or after a specified event. A right that expires when the stake falls below a threshold is different from a permanent power.
2. Naming or removing the chief executive
Some arrangements give the state a direct right to appoint, approve or dismiss the CEO rather than a board majority. OECD guidance lists CEO-appointment powers as an example of decisive influence. Because the CEO controls day-to-day execution and prepares proposals for the board, this right can affect operations even when other directors are independent.
The wording matters. A consent right over the CEO may be limited to rejecting a proposed candidate, while an absolute appointment right lets the government choose the person. A right triggered only during a national-security event is narrower than one that applies to every appointment. The company’s documents should be read alongside any statutory limits on director and executive appointments.

3. Coordinating votes with other shareholders
A government may combine its stake with shares held by a sovereign fund, public pension fund, state-owned bank or another public entity. It can also agree with private investors to vote together. When those holdings and agreements produce a reliable voting bloc, the government’s effective influence can exceed its direct percentage.
The OECD notes that minority state ownership may still be relevant when shareholder agreements or combined stakes give the state effective controlling influence. The analysis should map direct and indirect ownership, voting agreements, common nominees, and any arrangements requiring parties to consult before shareholder meetings.
Coordination is not the same as merely owning shares through separate public bodies. Evidence of an agreement, common direction or legally connected entities is important. Disclosure rules may require the parties to report acting in concert, but the exact test is jurisdiction-specific.
4. Golden or special shares
A golden share—also called a special share—carries rights that ordinary shares do not. It may give the government consent or veto powers over a change in ownership, disposal of strategic assets, a merger, a change of nationality, or another fundamental matter.

A narrowly drafted veto over the sale of a defence facility can protect an essential public interest while leaving commercial management to the board. A broad veto over budgets, financing, senior appointments and ordinary acquisitions would reach much further and may amount to decisive influence.
The legal effect depends on the attached powers, not the label “golden share.” Read the instrument itself: identify the decisions covered, the voting threshold, the trigger events, the duration, and whether the government must give reasons or satisfy a public-law test. The OECD recommends that golden shares be used only where strictly necessary to protect essential public interests.
“The use of golden shares should be limited to cases where they are strictly necessary to protect certain essential public interests.”

5. Vetoes over operations, financing or strategic plans
A minority investor can receive consent rights over the business plan, additional borrowing, capital expenditure, regulated activities or the appointment of key officers. UK guidance distinguishes absolute rights over matters such as business plans, additional borrowing or CEO appointment from ordinary minority protections.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsAn absolute operational veto can prevent the company from acting unless the government agrees. If it covers core policy rather than an exceptional transaction, it may demonstrate significant influence or control. The breadth, frequency and practical use of the veto matter: a right that can block the annual plan is more consequential than one limited to a single asset sale.
6. Protective rights that usually do not amount to control
Investors commonly receive protections against constitutional changes, dilution, extraordinary borrowing or winding-up. These rights protect the value of a minority investment but do not normally give the holder power to run the company. UK guidance treats such minority-protection vetoes differently from absolute operational decision rights.
The distinction is functional. A consent right that activates only for an unusually large transaction or a change to the articles may preserve the investment bargain. A consent right covering routine budgets, hiring, pricing or ordinary borrowing can move from protection into policy-making influence.
7. Voting classes, caps and structural arrangements
A company may issue shares with different votes per share, reserve board seats for a particular class, or impose a cap on other shareholders’ votes. These structures can give a government more voting power than its economic percentage suggests. Articles or legislation may also reserve certain decisions to a class that includes the state’s special share.

8. Indirect and structural influence
Influence can flow through public pension funds, sovereign funds, government financial institutions, related public entities, statutory bodies or legal arrangements that nominate directors. The government may not appear as the registered holder of every share, yet still coordinate decisions across those bodies.

Map the ownership chain and governance links. Identify who appoints the trustees or directors of each public vehicle, whether voting instructions are centralized, and whether the entities must follow a common policy. Treat indirect influence as a factual question rather than assuming that every publicly owned fund acts for the government on every vote.
9. Company-specific rights are different from general regulation
A government’s power to regulate an entire sector does not, by itself, show that it controls one listed company. Licensing, safety, taxation and competition rules apply to many businesses. The relevant evidence is a company-specific right or arrangement that determines, or can decisively shape, that company’s corporate policy.
Regulatory powers can still matter to the surrounding analysis, especially in strategic industries, but they should not be confused with ownership control. Ask whether the government could exercise the same power over a comparable private company or whether the right exists only because of this company’s share terms or agreements.
How the arrangements compare
| Arrangement | Economic ownership | Voting power | Board or executive rights | Veto scope | Typical trigger or duration | Key safeguard |
|---|---|---|---|---|---|---|
| Ordinary minority holding | Below a majority; exact percentage varies | Usually one vote per ordinary share | None beyond ordinary election rights | None, unless separately agreed | Continuous while shares are held | Normal disclosure and equal-treatment rules |
| Board-appointment right | Can be small | May be ordinary, with appointment rights added | Right to appoint some or a majority of directors | Indirect influence through the board | Often tied to a minimum holding or defined period | Published appointment terms and independent directors where required |
| CEO consent or appointment right | Can be small | May not change | Direct choice or approval of the CEO | Operational influence over leadership | May apply to every vacancy or only specified events | Clear scope, reasons and expiry conditions |
| Shareholder voting agreement | Combined economic stakes may remain minority | Coordinated votes can form a decisive bloc | No automatic appointment right unless agreed | Depends on matters covered by the agreement | Meeting-specific or continuing | Acting-in-concert and beneficial-ownership disclosure |
| Golden or special share | Often nominal | Special consent or veto vote | Not necessarily | Strategic assets, ownership changes or other listed matters | Defined events, holding period or statutory sunset | Proportionality, transparency and essential-public-interest purpose |
| Minority-protection veto | Any minority level | Usually unchanged | None | Constitutional change, dilution, extraordinary borrowing or winding-up | Usually while the investment remains | Limited to protecting the investment, not routine policy |
A practical test for deciding whether the state controls the company
Use the following sequence before drawing a conclusion. The same facts can produce different legal results in different jurisdictions, so identify the applicable statute, listing rules and purpose of the analysis.
- Define the question. Is the issue company-law control, a securities-disclosure obligation, a significant-influence assessment, an accounting conclusion or a national-security review? Each regime can use different tests.
- Calculate direct economic and voting interests. List ordinary shares, non-voting shares, super-voting shares, voting caps and convertible instruments. Record the percentage and the votes separately.
- Read the articles and share terms. Look for reserved matters, class rights, quorum rules, board-seat provisions, special shares and expiry clauses.
- Collect shareholder agreements. Check for voting coordination, consultation duties, nomination arrangements, transfer restrictions and rights that apply only above or below a holding threshold.
- Map public-sector connections. Trace shares held by ministries, public funds, state-owned financial institutions and related entities. Determine who directs each holder and whether they act together.
- Separate operational powers from protective rights. Ask whether the state can decide ordinary strategy or only block exceptional actions that protect its investment or a narrowly defined public interest.
- Check actual use and practical effect. Review meeting results, director appointments, veto notices and major transactions. A dormant right can still matter, but repeated exercise may demonstrate how powerful it is in practice.
- Apply the jurisdiction’s legal test and disclose carefully. Explain the specific rights and their limits rather than labeling every minority stake “control.”
Illustrative scenarios
Small stake, board majority
The state owns 12% of ordinary shares but may appoint six of nine directors for as long as it retains at least 5%. It can replace those directors and therefore shape the board’s decisions. The economic stake is a minority; the appointment right may constitute significant influence or control under the applicable legal test.
Golden share limited to a strategic facility
The state owns one special share that can block the sale of a designated infrastructure site to a foreign buyer. It cannot approve budgets, appoint executives or influence ordinary acquisitions. This may protect an essential public interest without giving the state general corporate control.
Recommended Free Tools
Public funds acting together
A ministry owns 8%, a public pension fund owns 7% and a state investment vehicle owns 6%. If they independently vote, the combined figure may overstate practical influence. If an agreement requires them to support the same nominees and resolutions, their coordinated bloc can become decisive and may trigger acting-in-concert disclosure or control analysis.
Best Value
Broad operational consent right
The state owns 15% and must approve the annual business plan, all borrowing above a modest threshold and every CEO appointment. Those rights reach routine policy rather than exceptional investor protection. Their breadth could support a finding of decisive influence even without a majority of votes.
Safeguards for minority investors and the public interest
Disproportionate rights should be transparent, narrowly drafted and tied to a proportionate public purpose. Companies should disclose the existence of special shares, appointment rights, voting agreements and related public holdings in the places required by local law and listing rules. Investors need enough detail to understand who can determine board composition or block major transactions.
Sunset clauses, minimum-holding thresholds, defined trigger events and independent review can prevent a temporary public-interest measure from becoming an indefinite management power. The OECD’s approach favors limiting golden shares to essential interests and assessing decisive influence case by case.

For investors, the presence of a government shareholder is not proof that all decisions are politically directed. The documents and the actual governance arrangement determine the answer.
Bottom line
A government does not need 51% of a public company to wield decisive influence. Board-majority or CEO appointment rights, coordinated public holdings, voting agreements, special shares and broad company-specific vetoes can give it power well beyond its economic stake. Narrow protections against dilution, constitutional change or winding-up usually do not create the same result.
To assess a particular company, separate economic ownership from votes, map direct and indirect public holdings, read every special right and agreement, distinguish operational powers from minority protections, and apply the relevant jurisdiction’s facts-and-rights test. Only then can “influence” or “control” be stated accurately.
