How a Construction Company Acquisition Affects Existing Contracts, Warranties, and Subcontractors

Whether construction contracts survive an acquisition depends on the deal structure and the governing law. In a stock purchase, the same legal entity usually remains the contractor, so a new assignment or federal novation is generally unnecessary. In an asset sale, merger, or transfer to a new entity, the owner may need to recognize the successor, approve an assignment, or sign a novation. Private contracts can impose stricter consent and change-of-control requirements in either structure.

Warranties, bonds, retainage, defects, tax registrations, and subcontractor obligations do not move safely by assumption. The buyer and seller should identify each obligation, obtain required consents, and state in the purchase and transition documents who remains liable for pre-closing work and claims. The governing jurisdiction and the wording of each contract control the final result; transaction counsel should review the register before closing.

Start with the transaction structure

The first question is not “Was the company bought?” but “Did the legal person that signed the contract change?” That distinction determines whether there is an assignment, a novation, or simply a change in ownership.

Stock purchase

In a stock purchase, the corporation or other entity that signed the owner contract normally remains the contracting party. It still owns the contract, employs or engages the project team, receives payment, and owes performance. The buyer changes the ownership of that entity rather than transferring the contract to a different one.

For U.S. federal contracts, FAR 42.1204 states that a novation agreement is unnecessary when ownership changes through a stock purchase with no legal change in the contracting party. That does not eliminate every requirement: the contract may contain a change-of-control notice or consent clause, a financing document may require lender approval, and a public agency may request information about the new ownership or management. A stock deal also does not erase the entity’s pre-closing defects, warranty duties, tax liabilities, or subcontractor claims.

Asset sale, merger, or transfer to a new entity

An asset deal usually transfers selected contracts, equipment, personnel, and goodwill to a buyer that did not sign the original agreement. A merger or consolidation can also create a successor entity, depending on the jurisdiction and the form of the transaction. These structures commonly require an assignment, owner recognition, or a bilateral novation before the buyer performs or invoices under the contract.

FAR 42.1204 identifies asset sales in which the buyer assumes the seller’s liabilities, mergers or consolidations, and incorporation of a proprietorship or partnership as situations in which the Government may recognize a successor. The Government may require evidence that the successor has the capability and resources to perform. If it will not concur in the novation, the original contractor remains obligated; failure to perform can expose that contractor to default termination.

Private anti-assignment and change-of-control clauses

Private construction agreements can be stricter than a statute or a public-contract rule. Look for clauses that:

  • prohibit assignment without the owner’s written consent;
  • treat a sale of voting control as a deemed assignment;
  • give the owner a termination right after a control change;
  • require consent from an architect, lender, insurer, surety, or development authority; or
  • allow assignment of payment rights but not performance obligations.

A general clause allowing assignment to an affiliate may not cover a sale to an unrelated buyer. Obtain a written interpretation or consent rather than relying on an informal email or a closing assumption.

Assignment is not the same as novation

An assignment can transfer contractual rights, such as the right to receive an unpaid progress payment. A complete transfer of a construction contract also has to address duties: performing the work, correcting defects, maintaining insurance, meeting schedule requirements, defending claims, and satisfying warranty and closeout obligations.

UNIDROIT describes assignment of a contract as transferring both the original rights and the original obligations. Its commentary says the other party’s consent is generally necessary. Consent by itself does not automatically discharge the seller; the agreement may keep the seller as an obligor or make the seller and buyer jointly liable. Local law can provide automatic transfer in some business-transfer situations, so the contract’s governing-law clause and the law of the project location must be checked.

What a novation should settle

A novation is a three-party agreement in which the owner recognizes the buyer as the new contractor and specifies what happens to the seller. It should state:

  • the effective date and the exact contracts, task orders, and purchase orders covered;
  • whether the seller is released, remains secondarily liable, or shares liability with the buyer;
  • who owns pre-closing payment applications, retainage, claims, change orders, and credits;
  • which party must complete punch-list work and respond to warranty notices;
  • which insurance policies, bonds, guarantees, licenses, and security clearances continue; and
  • how notices, records, audits, disputes, and indemnities will be handled.

A one-page consent that merely says “the owner approves the sale” may leave these issues unresolved.

Build a contract and obligation register before signing

Do not limit diligence to the contracts listed in a sales summary. Create a register for every document that can create a performance, payment, warranty, or compliance obligation:

  • owner contracts, design-build agreements, frameworks, task orders, and purchase orders;
  • subcontracts, consultant agreements, supplier terms, and equipment leases;
  • manufacturer warranties, collateral warranties, guarantees, and letters of credit;
  • performance, payment, maintenance, and subcontractor bonds;
  • insurance policies, certificates, claims, and required additional-insured status;
  • licenses, permits, prequalification files, security clearances, and financing documents; and
  • open claims, disputes, notices, audits, liens, payment applications, retainage, and closeout files.

For each item, record the legal parties, project, governing law, contract value, unbilled balance, completion status, termination rights, and the person responsible for obtaining consent. Extract anti-assignment, change-of-control, notice, step-in, audit, indemnity, limitation-of-liability, dispute, and governing-law clauses. Keep rights and obligations in separate columns: the right to collect an invoice can transfer even when the duty to finish the work does not.

Reconcile the financial and technical status

Before closing, match the register to the project teams’ records. Identify approved and pending change orders, disputed applications, unpaid amounts, retention, back charges, liquidated-damages exposure, delay notices, defective work, punch lists, warranty calls, and required operation-and-maintenance manuals. Assign every item to a named entity in the purchase agreement and transition plan. A buyer that pays the purchase price without this schedule can inherit an apparently profitable project with undisclosed completion costs.

Public-contract novation requirements

For U.S. federal work, FAR 42.1204 can require a formal novation when the performing legal entity changes. A package may include:

  • the purchase, merger, or transfer agreement, including assumed liabilities;
  • a list of affected contracts, task orders, and current balances;
  • evidence of the buyer’s technical, financial, and organizational capability;
  • assignment instruments and corporate approvals;
  • legal opinions and audited balance sheets;
  • evidence concerning security clearances when relevant; and
  • surety consent when performance or payment bonds are required.

The agency may recognize the successor only after reviewing the package. Until then, the original contractor remains responsible for performance. Coordinate the submission with the contracting officer; do not wait until the first post-closing invoice is rejected.

Canadian federal contracts

CanadaBuys states that contractors must obtain written permission from Canada before assigning a contract. Its guidance also requires verification of first-tier subcontractors, including subcontractors with whom the contractor already had a relationship before the assignment. The assignment does not relieve the original contractor of its obligations. The guidance recommends preserving the original contractor’s ultimate liability or obtaining a performance guarantee. A buyer should therefore budget time for written approval and for rechecking the subcontractor file, not just for signing the acquisition documents.

Warranties, defects, and bonds need their own transition plan

Contract transfer language rarely answers every warranty question. Build a warranty schedule with one row per project or product and these fields:

  • issuer and beneficiary;
  • project and covered scope;
  • start date, expiry date, and any extended period;
  • notice address, required form, and response deadline;
  • exclusions, deductibles, caps, and maintenance conditions; and
  • assignment, successor, and change-of-control wording.

Ask the owner, manufacturer, consultant, and surety for written confirmation where the warranty or underlying contract restricts assignment. Preserve evidence of completion, commissioning, maintenance, inspections, and prior notices. A buyer that receives a warranty schedule without the supporting records may be unable to prove that a claim was timely or that a condition was satisfied.

Allocate known exposure explicitly

Every known defect, claim, delay, liquidated-damages allegation, and pending warranty notice should be tied to a responsible entity in the acquisition agreement. Specify who funds corrective work, who controls settlement, who pays defense costs, and whether the buyer can draw on an escrow or indemnity. A seller’s promise to indemnify the buyer does not by itself release the seller from liability to the project owner; that release requires the owner’s agreement where the law or contract requires it.

Performance and payment bonds

Confirm whether the existing surety consents to the transaction and will continue the performance and payment bonds. FAR 42.1204 lists surety consent among documents that may be required in a novation package. Obtain written confirmation of the bond’s principal, obligee, penal sum, covered contract, and effective dates. If the surety will not continue, arrange replacement bonding before the owner treats the transaction as a failure to maintain security.

What happens to subcontractors

Subcontractors do not automatically transfer as a group. Each subcontract has its own legal name, assignment clause, insurance requirements, licensing conditions, payment terms, and termination rights. Confirm for every first-tier subcontractor:

  • the exact contracting entity and tax identification details;
  • executed scope, current value, approved and pending changes, and percent complete;
  • insurance, licenses, bonds, safety records, and prequalification status;
  • paid-to-date amounts, retention, unpaid applications, liens, and payment disputes;
  • defects, delay notices, back charges, claims, and warranty responsibilities; and
  • whether owner, lender, or subcontractor consent is required for assignment or control change.

Send a controlled notice explaining the effective date, new remittance details, contact points, purchase-order numbers, and the entity that will issue payment. Do not change bank instructions solely from an unverified email; use the fraud controls already required for payment changes.

Where a novation leaves the seller liable, tell subcontractors which entity directs the work and which entity answers historical claims. Where the buyer assumes the subcontract, attach the assumption or consent so there is a record of the scope and outstanding balance.

Tax registrations and retention payments

Tax administration can require a separate transition even when the commercial contract continues. HMRC’s CIS 340 guidance says that when a business previously run by an individual is taken over by a partnership or company, the old Construction Industry Scheme registration cannot be used by the new business; the new business must register.

For a going-concern takeover, the buyer may request authorization to treat certain predecessor verification results as its own for subcontractors working on ongoing contracts. Keep the authorization and the underlying verification records with the project file. A close company with gross-payment status must report new shareholders after a change of control within 30 days or risk withdrawal of that status.

Retention is especially easy to mis-handle. HMRC explains that a retention payment is treated according to the subcontractor’s tax status when the retention is paid, not when the work was performed. The register should therefore show the expected payment date, the entity making the payment, the subcontractor’s status at that date, and who will file the required CIS information.

Closing-day and post-closing handoff

Before closing

  1. Complete the contract, warranty, bond, insurance, license, and subcontractor register.
  2. Classify each item as continuing with the same entity, requiring notice, requiring consent, or requiring novation.
  3. Obtain owner, government, lender, insurer, consultant, and surety approvals identified by the register.
  4. Agree a schedule of open applications, retention, changes, claims, defects, punch lists, and closeout deliverables.
  5. Verify the buyer’s licenses, tax registrations, insurance, bonding capacity, and project-management capability.
  6. Put seller liability, indemnities, escrow, records access, and dispute control in the purchase agreement.

At closing

  1. Sign each assignment, assumption, consent, or novation with the correct legal names and effective date.
  2. Deliver updated certificates of insurance, bonds, powers of attorney, and contact details.
  3. Transfer drawings, specifications, schedules, test results, warranties, notices, correspondence, and accounting records.
  4. Give owners and subcontractors verified payment and notice instructions.
  5. Record the opening balance for each contract, including retainage and unresolved items.

After closing

  1. Confirm that each owner and subcontractor has acknowledged the new contact and payment arrangements.
  2. Track every consent still pending and prohibit unauthorized invoicing or scope changes until it is resolved.
  3. Run a 30-, 60-, and 90-day review of claims, warranty deadlines, tax filings, insurance renewals, and license expiries.
  4. Reconcile the buyer’s ledger to owner statements and subcontractor waivers.
  5. Preserve the seller’s records and cooperation rights for the duration of surviving warranties and limitation periods.

Common failure modes and fixes

“The stock deal means no one needs to be told.”

Fix: check every change-of-control, lender, insurance, licensing, and public-contract notice clause. The legal party may be unchanged while a consent or disclosure duty still applies.

“We bought the invoices, so we bought the contract.”

Fix: distinguish payment rights from performance obligations and obtain a complete assignment or novation where required.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“The seller’s indemnity covers all old defects.”

Fix: identify each defect and warranty notice, set funding and control rules, and obtain an owner release if release is intended.

“The subcontractor list is enough.”

Fix: verify legal entities, insurance, licenses, bonds, retention, claims, and first-tier status, then document the handoff and payment controls.

“Tax registrations follow the business automatically.”

Fix: confirm the jurisdiction’s registration rules. Under HMRC CIS 340, a new partnership or company cannot use the predecessor individual’s CIS registration and may need fresh registration and verification authorizations.

Practical decision framework

Issue Stock purchase Asset sale or merger creating a successor
Legal contracting party Usually unchanged Usually changes or requires successor recognition
Consent or novation Federal novation generally unnecessary, but notice or change-of-control consent may apply Assignment, owner consent, or novation commonly required; public agencies may review capability
Seller liability Operating entity continues to bear its liabilities Must be stated; seller may remain liable, be released, or share liability
Warranties and bonds Often remain with the same entity, subject to contract and surety terms Written transfer, reaffirmation, and surety consent may be needed
Subcontractors and tax Commercial relationships may continue, but notices and control changes still require review Assignments, new registrations, verification, insurance, and licensing handoff are more likely
Owner termination risk Triggered if the contract treats ownership change as a termination event Triggered by anti-assignment, failure to obtain consent, or inability to show successor capability
Documentation workload Ownership disclosures, notices, and updated records Assignments, novations, schedules, approvals, capability evidence, and transition records

The safest closing condition is not a generic promise that contracts “will transfer.” It is a contract-by-contract schedule showing the legal party, required approval, continuing liability, warranty and bond treatment, subcontractor status, and owner of every open obligation.
