Frequently Asked Questions About Custom AI Agents in Legal Practice

A custom AI agent can research authorities, draft and summarize documents, organize case information, support intake, and answer routine client questions. It cannot take over a lawyer’s professional judgment. The lawyer and firm remain responsible for competence, confidentiality, supervision, conflicts, client communication, candor to a tribunal, and reasonable billing. Treat the agent as a supervised non-lawyer assistant, with approved sources, limited permissions, audit logs, and a human approval step for consequential work.

What is a custom AI agent in a law firm?

A custom legal AI agent is usually a general-purpose language model placed inside a controlled workflow. The customization may include firm instructions, approved data sources, retrieval rules, user permissions, document templates, escalation paths, and records of prompts and outputs. It is not a new category of legal professional and does not receive an exemption from professional-conduct rules.

The American Bar Association’s 2025 Innovation Trends report describes a consensus that AI should be treated in law and the courts “as a clerk or non-lawyer assistant.” That framing is useful: the system can perform delegated tasks, but a lawyer must direct, review, and take responsibility for the result.

What tasks can it perform?

  • Research support: find potentially relevant statutes, regulations, cases, and secondary authorities from approved collections; extract passages; and organize issues for a lawyer’s review.
  • Drafting: produce first drafts of pleadings, memoranda, discovery requests, correspondence, contracts, and internal checklists from firm-approved templates.
  • Document analysis: classify, summarize, compare, and extract dates, obligations, defined terms, or inconsistent statements from contracts, discovery, depositions, and hearing materials.
  • Litigation organization: build chronologies, issue lists, witness summaries, and structured matter data. Some bar guidance also discusses tools that predict or organize litigation information; predictions must never be presented as guaranteed outcomes.
  • Intake and client service: collect preliminary facts, identify missing information, route matters, and answer limited procedural questions when a lawyer-approved script and escalation rule are in place.
  • Administrative work: generate matter summaries, prepare status-report drafts, and suggest next-step checklists without making an autonomous legal decision.

Every use case needs a defined purpose, an approved information boundary, and a named lawyer who owns the review. An agent that can search, draft, send messages, alter a deadline, or file a document without an approval gate creates a materially different risk from an agent that only prepares a draft in a sandbox.

How is a custom agent different from ordinary generative AI?

Typing a question into a public chatbot is an open-ended interaction. A custom agent can constrain the interaction by supplying matter-specific instructions, retrieving from selected sources, restricting which users can see a file, requiring citations, and routing certain outputs to a lawyer. Those controls can reduce risk, but they do not make the output accurate or automatically privileged.

Characteristic Unconfigured public tool Configured firm agent Controlled private deployment
Data boundary Provider terms and default settings determine exposure; confidential input may reach a third party. Firm-defined workspace, permissions, and retention settings, subject to the provider’s contract and implementation. Firm-controlled environment and network or tenant controls can narrow access, but the firm still must manage administrators and subprocessors.
Sources and citations May answer from an unknown training mix and may invent authorities. Can retrieve from approved libraries and preserve links or quotations when configured and tested. Can enforce matter-specific repositories and logging, provided the retrieval and indexing are validated.
Human review Usually left to the individual user. Workflow can require approval before advice, filing, or external communication. Approval gates, role separation, and detailed audit trails can be built into the deployment.
Integration Little or no connection to the document-management or billing system. Connectors may be available, with a risk of overbroad indexing if permissions are wrong. Deeper integration is possible, but configuration, testing, and maintenance are heavier.
Deployment cost Not stated in the cited ethics guidance. Not stated in the cited ethics guidance. Not stated in the cited ethics guidance; additional security and implementation work should be expected.

The professional rules regulate the lawyer’s conduct and the resulting risks, not the label “custom.” Custom instructions, retrieval, or vendor assurances do not transfer responsibility away from the attorney.

Which professional duties apply?

ABA Formal Opinion 512, issued July 29, 2024, says lawyers and firms using generative AI must “fully consider their applicable ethical obligations.” The opinion identifies competence, protection of client information, communication with clients, and reasonable fees as central duties. New York City Bar Formal Opinion 2024-5 also addresses conflicts, diligence, advertising and solicitation, compliance with law, supervision of lawyers and non-lawyers, consultation, candor to tribunals, non-meritorious claims, fee limits, and discrimination.

Competence and diligence

A lawyer should understand the agent’s capabilities, limitations, data flow, and failure modes well enough to supervise it. That includes learning what model or retrieval system is used, how it handles dates and jurisdiction, what happens when no source is found, and how updates change behavior. Review must be proportionate to the stakes: a typo in an internal outline is not equivalent to a false citation in a brief or a missed filing deadline.

Confidentiality and privilege

Model Rule 1.6 principles do not change because information is entered electronically. Before sending representation information to a provider, evaluate whether the provider can disclose it, expose it to another user or third party, retain it, or use it for another purpose. Contract terms, technical settings, and actual system behavior all matter. A confidentiality promise in marketing material is not a substitute for examining the data flow.

Supervision and conflicts

The responsible lawyer must supervise the agent like other non-lawyer assistance. Matter-level permissions should prevent one client’s documents from appearing in another client’s retrieval results. Conflict screening must cover the people and entities represented in the matter and any additional information the system can access. If a system is used by many practice groups, the firm needs a way to isolate repositories and revoke access when a lawyer changes matters or leaves the firm.

Candor, claims, and discrimination

A lawyer may not submit an unverified quotation, case, holding, or factual assertion merely because an agent produced it. The same duties apply to advertising, solicitation, discovery responses, and statements to a tribunal. Test outputs for discriminatory patterns when the system ranks applicants, predicts outcomes, recommends settlement ranges, or triages prospective clients; a convenient automation can still produce an unfair result.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How should a firm protect confidential client data?

Start with a data-flow map for each proposed use. Identify what the user enters, what the agent retrieves, which model and subprocessors receive it, where it is stored, how long it is retained, how it is deleted, and who can administer the system. Florida Opinion 24-1 emphasizes confidentiality and accurate, competent service. Arizona guidance warns that public AI products must not receive client information in a way that exposes it to a third party.

Use data minimization

Send only the information needed for the task. A tool that organizes litigation events may not need a Social Security number, a full date of birth, or an unrelated medical record. Replace direct identifiers with matter-specific tokens where the task does not require identity. Keep the re-identification key outside the model workspace, with access limited to authorized personnel.

Require technical and contractual safeguards

  • Tenant isolation and matter-level access controls that are tested with a user who should not have access.
  • Encryption in transit and at rest, with clear responsibility for key management.
  • Retention and deletion controls that apply to prompts, retrieved files, embeddings, logs, backups, and support copies.
  • A contract that addresses provider disclosure, model training or secondary use, subprocessors, breach notice, data location, return or deletion, and audit rights.
  • Access logs showing who viewed a matter, submitted a prompt, retrieved a document, or approved an output.
  • Incident-response procedures, including how the firm will suspend access, preserve evidence, notify affected clients when required, and correct work product.

Do not assume that a paid account, a private label, or a setting called “enterprise” establishes privilege or compliance by itself. Verify the control, document the decision, and revisit it when the provider changes its model, terms, subprocessors, or retention behavior.

Is informed client consent required?

There is no single answer for every matter. The need for disclosure or consent depends on the tool, the information involved, the representation, the governing jurisdiction, and the materiality of the use. ABA guidance requires the lawyer to evaluate disclosure and access risks and obtain informed consent when the applicable rules require it. Boilerplate engagement language is not automatically sufficient.

  • any effect on fees, timing, staffing, or the client’s choices.

Record the client’s decision and any limits. If a client refuses a particular system, use an approved alternative or handle the task without that system. A disclosure should not imply that the lawyer has delegated legal judgment or that the provider guarantees an outcome.

How can a firm stop invented cases and bad legal advice?

Hallucinated authorities are a foreseeable failure mode, not an exceptional one. A reliable workflow treats every legal proposition as unverified until a lawyer checks it against an authoritative source.

  1. Constrain retrieval. Prefer current, authoritative sources and specify the governing jurisdiction, court, date range, and type of authority. If no approved source is found, require the agent to say so rather than improvise.
  2. Preserve provenance. Store the source link, document title, page or paragraph location, retrieval date, and the quoted passage with each material proposition. A citation without a traceable passage is not enough.
  3. Use a representative evaluation set. Test the agent on real-world patterns without exposing live client secrets: conflicting authorities, overturned cases, similarly named parties, out-of-jurisdiction law, missing dates, adversarial instructions, and questions where the correct answer is “not enough information.”
  4. Log prompts and outputs. Keep an auditable record of the instructions, sources retrieved, model version, user, time, edits, and final approval. Logging must itself respect confidentiality and retention requirements.
  5. Require lawyer verification. Before filing, sending advice, communicating with a client, setting a deadline, or making a representation to a tribunal, a lawyer checks every citation, quotation, factual assertion, calculation, and procedural requirement.
  6. Block autonomous external action. Do not permit the agent to file, send legal advice, contact a represented person, accept a settlement, or alter a calendar without an approved human-controlled workflow.
  7. Monitor after launch. Sample outputs, track errors, review user feedback, and retest after model, prompt, connector, or source-library changes. Suspend a workflow when an error pattern cannot be explained and corrected.

These controls operationalize the competence, diligence, candor, and supervision duties discussed in ABA Formal Opinion 512, New York City Bar Formal Opinion 2024-5, and Alabama guidance on common legal AI uses.

Who is liable when an agent makes a mistake?

The lawyer and firm retain professional responsibility. Customization, automation, and a provider’s accuracy claims do not transfer duties of competence, confidentiality, supervision, communication, conflicts review, candor, or reasonable billing. The ABA’s 2025 report summarizes the prevailing view that responsibility and control remain with the attorney or judge.

Provider contracts can allocate commercial risk, such as indemnity or security obligations, but they do not prevent a disciplinary problem, malpractice claim, missed deadline, sanctions motion, or client dispute. A firm should therefore document who approved the use case, who reviewed the output, what sources were checked, and what corrective action followed an error. Professional-liability coverage and engagement terms should be reviewed with the firm’s insurer and counsel rather than assumed to cover every automated workflow.

How do state rules differ?

Rules and guidance are developing unevenly. The American Bar Association Center for Innovation’s 2025 report listed 24 states and territories with official AI ethics opinions, policies, or guidance as of July 2025 and reported that 47% of states plus the District of Columbia had adopted formal AI guidance. Those figures describe the situation at that reporting date, not a uniform national rule.

For each deployment, check the jurisdiction governing the matter, the lawyer’s admission, the client’s location, the court’s technology rules, and privacy or sector-specific requirements. A multistate firm should maintain a jurisdiction matrix covering disclosure, confidentiality, supervision, billing, advertising, discovery, and tribunal submissions. Recheck it when a new opinion, court order, or agency rule affects the matter.

What should a small firm look for in a secure legal AI tool?

No label guarantees that a product is suitable. Compare the actual controls and the firm’s ability to operate them.

Evaluation area Questions to answer before use
Confidentiality and data control Can the provider use prompts or files for model training or other purposes? Are tenants and matters isolated? Can the firm control retention and deletion?
Source quality Which repositories are indexed? Are jurisdiction, currency, and version visible? Can the system show the exact passage behind a claim?
Human escalation Can the firm require approval before advice, filing, deadline changes, or client communication? Can users disable autonomous actions?
Access and conflicts Are permissions inherited from the document system? Can administrators restrict retrieval by matter, role, and ethical wall?
Auditability Are prompts, retrieved sources, model versions, edits, approvals, and exports logged and exportable?
Security operations What encryption, authentication, vulnerability management, incident response, backup, and subprocessor controls are documented?
Integration and change management How are connectors tested? How are updates announced, evaluated, rolled back, and recorded?
Support and training Who answers security and legal-process questions, and what training is provided to lawyers and staff?

A small firm may begin with one low-risk, internal workflow rather than indexing every matter. The right starting point is the use case with a clear benefit, limited data, measurable review criteria, and a lawyer who has time to supervise it.

A practical implementation sequence

  1. Define the task and owner. Write what the agent may and may not do, identify the responsible lawyer, and set the approval point.
  2. Classify the information. Separate public material, firm-confidential information, privileged material, personal data, and regulated records. Decide what may enter the system.
  3. Map the provider and data flow. Document model hosting, retrieval stores, administrators, subprocessors, retention, deletion, and incident handling.
  4. Configure least privilege. Use matter-level repositories, role-based access, ethical walls, separate test data, and disabled external actions by default.
  5. Build the evaluation set. Include citation, jurisdiction, date, adversarial, privacy, and “no answer” tests. Set a pass criterion and a process for failed tests.
  6. Pilot with human review. Run the workflow on representative matters, record errors and time savings, and have a lawyer approve every output.
  7. Train and document. Teach users what data is prohibited, how to verify citations, how to report an incident, and when to escalate. Keep the policy, approval record, and test results.
  8. Go live gradually. Limit users and matters, monitor logs, and expand only after the controls work under normal and adversarial conditions.
  9. Review continuously. Reassess the workflow after model, source, contract, jurisdiction, or security changes and at regular intervals set by the firm.

How should AI work be billed?

AI does not justify charging for time that was not reasonably spent or billing duplicative review as if the same work had been performed manually. ABA Formal Opinion 512 links AI use to reasonable fees consistent with the time and value of the work. A firm should adopt a written policy addressing when AI-related review is billable, how efficiency gains are handled, and how clients are informed. Record enough detail to explain the service without exposing confidential prompts or unnecessary internal data.

Common failure modes and fixes

A public chatbot receives a client’s full file

Fix: stop the workflow, determine what was transmitted and retained, follow the firm’s incident procedure, assess notice and consent duties, and move future work to an approved environment with minimized data.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The agent cites a real-looking but nonexistent case

Fix: require authoritative retrieval and a source passage, verify every citation manually, add the failure pattern to the evaluation set, and block external use until the control passes.

One client’s document appears in another matter

Fix: disable retrieval, preserve logs, investigate indexing and permissions, notify responsible lawyers, correct affected work, and rebuild matter isolation before relaunch.

A client assumes the agent is giving legal advice

Fix: use a clearly limited script, identify when a lawyer will respond, prohibit definitive advice and promises, and route fact-specific or urgent questions to a lawyer.

Staff accept the output because it sounds confident

Fix: train users to demand source passages, jurisdiction and date checks, and documented approval. Measure error rates rather than relying on fluent wording as a quality signal.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The firm keeps charging the old amount after automation reduces the work

Fix: review the engagement and billing policy, record actual time and value, remove duplicative entries, and explain material changes to the client.

What is the safest overall approach?

Use a custom agent for bounded, reviewable work; keep confidential data in a controlled environment; minimize inputs; retrieve from approved sources; preserve provenance; isolate matters; log activity; and require a lawyer to approve every consequential output. Disclose material use and obtain informed consent when the governing rules require it. The technology can make a firm faster and more organized, but it does not make legal judgment, confidentiality, or accountability automatic.
