A fabless chip company designs semiconductor products but has no or limited wafer-fabrication capability. It can sell chips without operating the factory that makes their wafers: it contracts with foundries for wafer manufacturing and may rely on foundries or specialist providers for assembly, testing, and packaging.
What “fabless” means
The Semiconductor Industry Association (SIA) defines “fabless” as “A semiconductor design company with no or limited wafer fabrication capability.” The key distinction is between designing a chip and fabricating it: a fabless company develops the semiconductor product, while another company may manufacture it on a wafer. The wording “no or limited” matters; fabless does not necessarily mean the company has absolutely no fabrication capability. SIA’s semiconductor ecosystem map uses this definition.

In plain terms, a fabless company can make and sell chips as products without owning and running the factory that fabricates them. “Fabless” describes its manufacturing model, not an inability to produce a commercial chip.
Where fabless companies fit in chip production
SIA divides semiconductor production into three stages: design, front-end wafer fabrication, and back-end assembly, test, and packaging. Fabless companies specialize in design; their partners may take on the manufacturing stages that follow.

- Wafer fabrication: A foundry manufactures chips on wafers, typically from customer designs.
- Assembly, test, and packaging: An outsourced semiconductor assembly and test provider (OSAT) can perform this downstream work. Some foundries and integrated device manufacturers (IDMs) also have internal packaging operations, and companies may outsource some packaging.
These roles are common divisions of work, not a rule that every company must use the same arrangement. SIA’s Semiconductor Industry Primer describes the range of ways companies participate in production.
Fabless vs. foundry, IDM, and OSAT
The terms refer to different roles in the industry. To distinguish them, ask who designs the chip, who fabricates the wafer, and who handles assembly, testing, and packaging.

Specialization lets a fabless company concentrate on chip design instead of building, maintaining, and upgrading its own wafer-fabrication operation. SIA notes that leading-edge fabs can cost several billion dollars to construct. That is a broad statement about leading-edge facilities—not a universal price for every fab, or a quantified estimate of how much a fabless company saves.

Using external manufacturing partners can avoid the investment involved in operating a foundry, but it does not prove that every fabless company has lower total costs or achieves better results. The model divides responsibilities between design firms, foundries, and potentially OSATs; it is not a guarantee of a particular financial outcome.

No. The company designs chips and can sell them, while a foundry fabricates them on wafers. The word describes where wafer-fabrication capability sits in the business model; it does not mean the company has no semiconductor product or is absent from chip production.
