SEC EDGAR provides company and full-text filing search, latest filings, RSS feeds, and links to structured data APIs. A filing can reveal a possible catalyst, but it does not prove that an event will happen or predict how a security will move.
What event-driven investing means
Event-driven investing examines whether a defined company event could change the value of a security. Events may include a merger, spin-off, restructuring, asset sale, or management change. In a prospectus, BlackRock defines a catalyst as a material change that could affect a security’s price; that is a fund-specific definition, not a universal regulatory definition.

Investors may assess an event’s likely effect on equity, debt, or other securities. The key practical distinction is between the event described in a disclosure and an investor’s interpretation of what it could mean. Neither an alert nor the presence of an event establishes a likely price direction.
What kinds of events can act as catalysts?
A 2025 Water Island fund prospectus groups examples into harder and softer catalysts. This is one fund’s disclosed taxonomy, not an exhaustive industry standard.

| Type | Examples described by Water Island | What to establish |
|---|---|---|
| Harder catalysts | Publicly announced mergers and acquisitions with a legally binding agreement; Dutch tender offers; yield-to-call situations; announced spin-offs before completion | Whether terms are documented, which conditions remain, and what approvals or dates are outstanding |
| Softer catalysts | Anticipated or rumored M&A, asset sales, turnarounds, management changes, activist campaigns, recapitalizations, refinancings, and reorganizations | Whether the event is only anticipated or advocated, or whether the company has formally announced a transaction |
Water Island characterizes harder catalysts as generally more definitive and shorter in timeline than softer ones. That is the adviser’s generalization, not a guarantee about an individual event. A signed agreement can still be conditional, delayed, changed, or terminated.
How to assess a catalyst before drawing conclusions
Use the underlying company disclosure or filing to assess the event. A useful review separates what is documented from what remains uncertain.
- Certainty and documentation: Is the event a rumor, an announced intention, or a signed agreement? What does the document actually commit the parties to do?
- Conditions and milestones: Identify regulatory approvals, shareholder votes, financing, contractual conditions, and other steps that remain. Note which dates are estimates and which are specified deadlines.
- Failure or changed-terms risk: Ask what could prevent completion or alter the terms, and how a delay or failure would affect the original interpretation.
- Source and update path: Keep a direct link to the filing or company announcement and check for later amendments, updates, or new disclosures.
- Coverage and cost: Before paying for monitoring, decide whether you need coverage or alert workflows beyond the free public filing sources.
Water Island’s prospectus identifies failure to complete a proposed reorganization, or completion on less favorable terms, as a principal risk in its merger-arbitrage strategy. That is a fund-specific disclosure, but it illustrates why an announced transaction should not be treated as certain.

How to track stock catalysts with SEC EDGAR
For U.S.-listed companies, the SEC’s EDGAR tools provide a practical public starting point. The SEC says its full-text filing search spans more than 20 years of filings and can be filtered by date, company, person, filing category, or location. Its search page also links to latest filings, REST APIs for submissions history and XBRL data, and RSS feeds. See the SEC EDGAR search page.
- Build an issuer list. Search by company name, ticker, or CIK using EDGAR’s company search. Record the correct issuer identity so similarly named companies do not get mixed up.
- Search filings for event language. Use full-text search and narrow results by date, company, or filing category where useful. Search results help locate documents; read the filing itself to determine the event’s status and terms.
- Monitor new submissions. EDGAR’s latest-filings view lists submissions as they arrive and daily form-type filings over the prior week, according to the SEC page. RSS feeds can surface filing submissions for a monitored workflow.
- Use structured data for the right task. The SEC’s REST APIs include submissions history and XBRL financial statement data. These can help organize filing and financial information, but structured data does not replace reading transaction terms in the relevant disclosure.
- Open the primary disclosure. Confirm whether the event is proposed, anticipated, or formally announced; read the conditions and identify remaining approvals and milestones. Do not treat search-result wording as the operative terms.
- Keep a dated event log. Record the filing date, source link, event status, remaining conditions, expected milestone, and what new information would change your interpretation. This is a practical recordkeeping method, not an EDGAR feature.
Example event log
Keep entries factual and time-stamped. Separate reported information from your own interpretation rather than turning a filing headline into a conclusion.
| Field | What to record |
|---|---|
| Issuer and event | Company name and a brief description, such as an announced acquisition |
| Primary source | Direct filing or company disclosure link and its filing or publication date |
| Status | Rumored, anticipated, announced, or documented by a signed agreement, as supported by the source |
| Conditions remaining | Approvals, votes, financing, or other conditions stated in the disclosure |
| Next milestone | The next relevant date or action, with a note if timing is tentative |
| Open questions | What is not yet established, and what later disclosure would resolve or change it |
What alerts can—and cannot—tell you
An alert is a discovery aid: it can tell you that a filing or item of event-related information may deserve attention. It does not confirm the event, verify the summary, or establish an investment conclusion. Follow the alert to the source, read the disclosure, and check for later updates.

One issuer description in an SEC-filed document says SpikingAI provides insider activity tracking, alerts, event monitoring, and technical analysis for more than 5,000 publicly traded U.S.-listed companies. Those capabilities are the issuer’s own description, not independent verification or an endorsement. The available evidence does not establish a comparison of current vendors, their prices, or their relative quality.
Risks, costs, and limits of the evidence
Event risk is not eliminated by better monitoring
A transaction may fail, be delayed, or close on terms less favorable than expected. In the Water Island prospectus dated September 26, 2025, the adviser states: “The principal risk associated with the Fund’s merger arbitrage investment strategy is that the proposed reorganizations in which the Fund invests may not be completed or may be completed on less favorable terms than originally anticipated, in which case the Fund may realize losses.” This is a fund disclosure, not personalized investment advice.
Fund-specific figures should stay fund-specific
Water Island Capital, LLC reported 480% portfolio turnover for the fiscal year ended May 31, 2025, in its 2025 prospectus filed with the SEC. That is a figure for one fund, not a representative statistic for event-driven investing as a category. The prospectus cautions that higher turnover may mean higher transaction costs and may increase taxes in taxable accounts. It also lists fund-specific risks including short-sale costs, leverage, counterparty exposure, and liquidity.

No category-wide performance rate is established here
The available sources do not establish a broadly applicable event-driven investing return, success rate, or market-size figure. A single fund’s turnover is not a substitute for any of those measures. EDGAR is a U.S. public-disclosure resource; this workflow does not establish coverage of corporate events in other jurisdictions.

Frequently Asked Questions
Does a new SEC filing confirm that a merger will happen?
No. The filing is evidence to review; the transaction may still depend on conditions, approvals, or other milestones.
Is SEC EDGAR a source for events outside the United States?
