ERP overruns are controlled primarily by contract design, not by a last-minute dispute over invoices. Put a precise scope baseline and acceptance tests in the statement of work (SOW), pay against accepted milestones, require a signed change order before any out-of-scope work, and cap every time-and-materials (T&M) stream. Then control the people and rates, require early budget warnings, and preserve audit, service-credit, warranty and step-in remedies. The clauses below turn those principles into a practical contract structure, with public-sector benchmarks identified by their issuing organizations and year.
Build the contract around a cost-control system
An ERP contract should make the supplier’s obligations measurable and make additional money impossible to earn merely by asserting that an assumption changed. The SOW, pricing schedule, governance plan and service levels must operate together. A useful structure is:
As an Amazon Associate I earn from qualifying purchases.
- SOW baseline: functions, interfaces, data, reports, environments, locations, regulatory requirements, client responsibilities, dependencies, exclusions and the definition of complete.
- Commercial schedule: fixed fees for knowable work, a ceiling for uncertain work, locked rates, expense rules and milestone amounts.
- Acceptance schedule: objective tests, review periods, correction and retest procedures, operational go-live criteria and post-go-live confirmation.
- Governance schedule: change control, decision rights, budget alerts, escalation and records.
- Protection schedule: service levels, warranty, continuity, audit, indemnity, subcontracting and termination or step-in rights.
South African Bureau of Standards procurement material (2025) links overruns and procurement delay to weak governance, inadequate scope definition and a lack of phased funding control. Treat those as contract failures to prevent, rather than problems to solve after the budget is gone.
1. Define a scope baseline that cannot silently expand
List the operational outcome and its components
Describe what the business must be able to do at completion, then enumerate the components needed to achieve it: modules and processes, interfaces, data-conversion volumes and cleansing responsibilities, reports, workflows, security roles, environments, locations, languages, statutory requirements, training, documentation and support handover. State the number and type of integrations, historical data years, peak transaction volumes and required batch windows where those facts affect effort.

Make assumptions and exclusions visible
Attach a responsibility matrix and dependency log. Identify client-provided staff, decisions, data, test scripts, environments, network access and third-party licences. List exclusions expressly. Require the supplier to identify every pricing assumption in its bid and state that an assumption omitted from that list is not a basis for an extra charge. Include a completeness rule such as: work reasonably necessary to achieve the stated operational outcome is included unless the SOW expressly excludes it.
Define “complete” and the evidence of completion
For each deliverable, specify the required artefact, format, test data, pass/fail measure and evidence package. A report is not complete because a file exists; it is complete when the named users can run it with agreed totals and security. A data migration is not complete because a load finishes; it is complete when reconciliation tolerances, exception handling and sign-off criteria are met.
2. Choose a pricing model that matches uncertainty
Use fixed-fee milestones when the work and acceptance tests are sufficiently knowable. Use T&M only for genuinely uncertain discovery or an approved change, and never without a ceiling. A hybrid often gives the buyer the best control: fixed-price implementation milestones plus capped T&M for discovery and signed changes, all under one rate card and invoice regime.

|---|---|---|---|
| Fixed-fee milestones | Defined design, configuration, migration and deployment deliverables | Price is known; payment can be withheld until acceptance; supplier bears delivery-efficiency risk | Requires a detailed baseline; changes need formal pricing and schedule decisions |
| Capped T&M | Discovery, unresolved legacy analysis or narrowly approved changes | Ceiling limits exposure; unused capacity remains visible through burn reporting | Buyer carries more productivity risk and must provide high oversight; ceiling increases require written approval |
| Hybrid phases | Programs with a knowable core and uncertain edges | Combines milestone leverage with controlled flexibility | Prevent suppliers from moving fixed-scope work into the T&M bucket; apply identical audit rules |
For U.S. federal awards, 2 CFR 200.320 permits T&M only after determining that no other contract type is suitable. It requires a ceiling price that the contractor exceeds at its own risk and a high degree of oversight. The regulation warns: “Because this formula generates an open-ended contract price, a time-and-materials contract provides no positive profit incentive to the contractor for cost control or labor efficiency.” That federal rule is a useful drafting benchmark; other jurisdictions may impose different requirements.
3. Put a real ceiling on time-and-materials work
A T&M schedule should state named labor categories, qualifications, hourly rates, approved hours, travel and expense rules, the work package, start and end dates, and a not-to-exceed (NTE) amount. Require written authorization before work begins and before any ceiling increase. A supplier that reaches the ceiling without authorization must stop or continue at its own commercial risk, not create an implied commitment through continued activity.

Require a weekly burn report showing hours by person and task, committed but unbilled work, cumulative spend, remaining ceiling, forecast at completion, risks and decisions needed from the buyer. The contract should say that a ceiling is a maximum, not a target or a minimum fee. Unused hours are not billable.
Control pass-through and subcontractor costs
Apply the same ceiling, rate approval, invoice detail and audit rights to subcontractors. Prohibit mark-ups that are not listed in the pricing schedule, and require prior approval for any subcontractor, specialist or premium-rate resource. A supplier remains responsible for subcontractor performance and cannot use a subcontractor invoice to bypass the prime contract’s cap.
4. Tie payment to objective acceptance and retainage
Define the acceptance mechanics
For every milestone, state the acceptance criteria, review period, permitted rejection reasons, correction period, retest method and the person authorized to accept. Require written acceptance; do not let silence become acceptance where the buyer can reasonably avoid it. If a deliverable fails, the supplier corrects and resubmits it at no additional charge. Distinguish minor defects that do not prevent operational use from material failures that block acceptance, and state how each affects payment.
Hold back enough money to preserve leverage
Nevada County’s ERP RFP (2026) requires a final acceptance period of at least 30 days after go-live and a final-acceptance milestone of at least 5% of phase implementation fees. Its stated warranty period is 45 days. These are negotiation benchmarks, not universal defaults: a high-risk migration may justify more retainage or a longer confirmation period, while a small, low-risk phase may justify less.
A concise payment clause can read:
Buyer may reject a Deliverable that fails the applicable Acceptance Criteria. Supplier shall correct and resubmit the Deliverable at no additional charge within 10 business days. Payment is not due until Buyer’s written acceptance. Buyer may retain the final acceptance milestone until the post-go-live confirmation period is complete.
Portland Public Schools’ 2026 ERP term sheet similarly states that fixed-price milestone payments are withheld until the proposer remediates all deficiencies. Align the invoice trigger with acceptance, not with delivery of an unfinished file or attendance at a meeting.

5. Make every change an approved commercial decision
Define what counts as a change
Include alterations to functionality, configuration, interface, data volume, report, environment, location, milestone, resource assumption, dependency or acceptance criterion. A change can be initiated by either party, but neither party should be able to impose it informally through email, meeting minutes or a consultant’s instruction to begin.
Require a complete change request
Before work starts, require a written request containing the description and reason; alternatives considered; one-time and recurring fees; labor category and hours; schedule and milestone effects; dependencies; security, privacy and operational risks; testing and training impacts; and the funding source. The authorized governance body signs a change order, or rejects it, with a unique identifier. Keep a cumulative register showing approved, rejected and pending changes and their effect on the forecast.
Use a narrow fast path
Minor changes can use a fast path only when the contract defines a threshold, such as a small fee and no milestone or control impact. Record the request, approval, amount and completion in the same register. A fast path is not a licence to split a large change into many small invoices.
6. Release funding in stages and force early warnings
Divide the program into stage gates: discovery exit, design approval, build/configuration completion, migration readiness, go-live readiness and post-go-live acceptance. Release the next phase budget only after the required deliverables, risk review and funding decision are approved. This limits the amount exposed if an early phase reveals data, integration or adoption problems.
Set a short notice period when forecast spend threatens a phase budget or NTE ceiling. Portland Public Schools requires notice within five business days, with an explanation and remediation plan, when projected spend may exceed a phase budget or overall NTE amount. The notice should include forecast-at-completion, variance cause, options, requested decision and the date work will pause if approval is not received. Failure to give timely notice should remove the supplier’s ability to claim that the buyer accepted an unapproved overrun.

7. Lock rates, control personnel and make invoices auditable
Rate-card protections
Attach the implementation rate card and lock it through signature and delivery. State whether rates include overhead, tools, travel time and ordinary administration. Require approval for premium hours, travel and expenses, with receipts and a clear connection to the SOW. For post-implementation services, define the adjustment formula and frequency. Portland Public Schools caps later increases at 5% or the Consumer Price Index, whichever is lower, for five years; use that as a benchmark rather than assuming it fits every market.
Key-personnel continuity
Name key people, roles, minimum experience and expected allocation. Require buyer approval before reassignment. A replacement must be equal or better in qualifications, include a documented handover and be onboarded at no charge. Portland Public Schools requires substitution within 15 business days and bars billing replacement staff until they are fully onboarded and productive. Add a remedy for repeated unapproved substitutions, such as withholding the affected milestone or requiring a recovery plan.
Invoice evidence
Every T&M invoice should list each person and role, date-level hours, task description, rate, cumulative spend, remaining ceiling, related change-order number and reimbursable-expense receipts. Fixed-price invoices should identify the accepted deliverable and acceptance date. Reject invoices that cannot be reconciled to the SOW, approved change register and time records.
8. Attach measurable service levels and remedies
Specify targets and measurement
Define availability, response and resolution times, batch-window completion, integration success, data-quality tolerances and reporting frequency. State the measurement source, scheduled-maintenance exclusions, force-majeure treatment and any service-credit calculation. South African Bureau of Standards material (2025) gives a 99.9% availability objective excluding scheduled maintenance as an example; the appropriate target depends on the ERP’s criticality and operating hours.

Make remedies cumulative and usable
Use service credits or fee refunds for missed targets, cure periods for recurring failures and termination triggers for persistent or severe breach. Credits should not be the buyer’s exclusive remedy where a failure causes additional recoverable loss, unless governing law and the negotiated liability structure clearly say so. Require root-cause reports, corrective-action plans and trend reporting so a supplier cannot treat each incident as isolated.
Best Value
Protect continuity and recovery
Require tested disaster-recovery and business-continuity plans, recovery-point and recovery-time objectives, backup ownership, security incident cooperation, knowledge transfer and usable documentation. Include step-in rights for a serious or prolonged failure, with access to environments, configurations, runbooks and qualified personnel. Define how the buyer can preserve operations while disputes over payment or termination are resolved.
9. Preserve audit, records and overpayment recovery
Reserve audit rights over invoices, time records, rate cards, subcontractor charges, change orders, acceptance evidence and service-level reports. Require prompt access to relevant accounts, systems, sites and staff, subject to appropriate confidentiality and security controls. The Crown Commercial Service’s 2025 public-sector terms require seven years of contract records and allow broad audit access; that period is a benchmark to align with applicable law, grant conditions and the buyer’s retention policy.
State that identified overcharges are repaid or set off against future invoices, and that the supplier must correct records and explain the cause. Require records to remain available after termination and give the buyer time to complete an audit. Audit rights without a repayment mechanism create paperwork but little financial protection.

10. Cover warranty, indemnity and subcontracting in the same risk design
Require conformity to the SOW, functional requirements, documentation and agreed acceptance tests for a defined post-acceptance warranty. State response times, correction obligations and whether warranty restarts for a corrected component. Nevada County’s 2026 RFP uses a 45-day post-acceptance warranty as a reference point.
Address indemnity for vendor-caused loss, intellectual-property claims, confidentiality and data incidents, while recognizing that public-entity negligence exceptions and liability caps are jurisdiction-specific. Flow every material obligation to subcontractors and keep the prime supplier fully responsible for their work. Coordinate indemnity, limitation-of-liability, liquidated-damages, data-protection, tax and public-procurement provisions with governing law and procurement rules rather than copying a threshold from another organization.
11. A practical pre-signature and governance checklist
Before signature
- Can a reviewer identify every deliverable, assumption, dependency, exclusion and acceptance test without relying on a sales presentation?
- Does each phase have a fee, milestone, budget gate and retained amount?
- Is all uncertain work inside a named T&M package with a ceiling, rate card and approval path?
- Does the change form show fee, schedule, resources, recurring cost, risk and funding?
- Are key personnel, replacement rules, invoice fields, expense limits and subcontractor controls explicit?
- Are service objectives, warranty, continuity, audit, records, repayment and step-in rights measurable?
During delivery
- Maintain a single baseline, dependency log, risk register, decision log and change register.
- Review burn, forecast-at-completion and remaining ceiling weekly for every T&M stream.
- Test deliverables against written criteria before authorizing the next milestone payment.
- Escalate forecast overruns within the contractual notice period; do not wait for an invoice.
- Record acceptance, deficiencies, cure dates and retest results in writing.
- At go-live, begin the post-go-live acceptance and warranty clocks only when the contract’s operational criteria are met.
These drafting patterns are control mechanisms, not jurisdiction-specific legal advice. Have counsel and the procurement authority reconcile them with applicable law, funding conditions, tax, privacy, security and liability requirements before execution.
